TERMS AND CONDITIONS

1. INSURANCE & PROPERTY DAMAGE: The LICENSEE shall make every reasonable effort to ensure that its actions and the actions of its agents do not cause damage to State property. With the exception of the activities described in the Plans and Specifications included in the Project Management Plan, and is hereby incorporated as if originally set forth herein, the LICENSEE shall leave the park in the same condition it was found prior to the project. If any action of the Government's employees or agents in the exercise of this right-of-entry results in damage to the real property, the Government will, in its sole discretion, either repair such damage or make an appropriate settlement with the Owner. In no event shall such repair or settlement exceed the fair market value of the fee title to the real property at the time immediately preceding such damage. The Government's liability under this clause is subject to the availability of appropriations for such payment, and nothing contained in this agreement may be considered as implying that Congress will at a later date appropriate funds sufficient to meet any deficiencies. The provisions of this clause are without prejudice-to any rights the Owner may have to make a claim under applicable laws for any damages other than those provided for herein. The LICENSOR acknowledges that the LICENSEE is self-insured.

2. ASSIGNIBILITY: The LICENSEE shall not assign this license.

3. PROPERTY DAMAGE: The LICENSEE shall insure that its actions and the actions of its agents and members shall not cause damage to State property. The LICENSEE shall leave the premises and storing and staging areas shown in Exhibit A in the same conditions they were found prior to the activities authorized herein.

4. SAFETY: The LICENSEE shall make every reasonable effort to protect the health and safety of State Park employees and visitors.

5. OTHER PERMITS: The LICENSEE shall be responsible for securing any other licenses, permits, or approvals, or waivers required by the federal, state, including the LICENSOR, regional, or municipal authority having jurisdiction over the events or activities authorized by this license.

6. COMPLIANCE: The LICENSEE shall comply with any reasonable order, oral or written, by an employee of the CT DEEP Division of Parks and Public Outreach, Unit of Land Acquisition and Management, or the Division of State Environmental Conservation Police. The LICENSEE agrees to comply with all sections of this license.

7. REVOCABILITY: This license is revocable for cause with 30-day written notice by the LICENSOR.

8. LAW ENFORCEMENT: Law enforcement services necessary for the project, if any, shall only be provided through the LICENSOR and no outside law enforcement personnel shall be retained by the LICENSEE for any purpose unless authorization is obtained in advance from the State Park Director.

9. APPROVED AREAS: The LICENSEE is granted permission to use only those areas that have been approved in the Project Management Plan, shown in Exhibits A and B attached, or other areas approved in advance by the LICENSOR's Land Acquisition and Management Unit and State Parks Director.

10. APPROVED ACTIVITIES: The LICENSEE is authorized to conduct the activities described in the Plans and Specifications included in the Project Management Plan. The LICENSEE shall provide for beach replenishment with approximately 300,000 cu.

yd. of sand piped in from the water side at both ends of the beach. See Exhibits A (access, storage, and staging) and B (beach fill placement site plan). A hopper or scow will be used to pump sand onto the beach above mean high water mark line. Heavy equipment will be used to grade the beach, and grading may continue into March. The Licensee will be provided with gate keys for unrestricted, around-the-clock use of access. Per Exhibit A, construction equipment may not be stored or staged in the BM Camp Store concession area and no storage of trailers or POV parking at this area shall occur on or before October 10, 2017.

11. APPROVED DATES & TIMES: As noted above in Item 10, per Exhibit A, the LICENSEE shall not store trailers or park POV in the BM Camp Store concession area (Staging Area A" on Exhibit A) on or before October 10, 2017 to avoid disturbing the State campground season. The LICENSEE may store and stage at the former concession area ("Staging Area B" on Exhibit A) on or after September 5, 2017. The LICENSEE may engage in all other approved activities from October 1, 2017 through March 31, 2018, thereby avoiding the piping plover and other beach-nesting bird species breeding season.

12. EXCLUSIVITY: The LICENSEE is advised that all areas of the State property will remain accessible to the general public daily between sunrise and sunset, and that this license does not grant the LICENSEE exclusive use of any area.
