(The below Sections 1.0 thru 7.0 will be included in the solicitation (Section L), titled “Information to Offerors (ITO) Instructions for Proposal Preparation” in the solicitation. They are numbered 1.0 thru 7.0 in this Source Selection Plan as they will be numbered in Section L of the solicitation.)
INFORMATION TO OFFERORS (ITO)
INSTRUCTIONS FOR PROPOSAL PREPARATION
1.0 Program Structure and Objectives
The Government seeks to award one (1) contract for the Environmental Services (ES) acquisition utilizing 100% competitive 8(a) Small Business set-aside strategy. The Government reserves the right to award more or fewer contracts if the Source Selection Authority (SSA) determines it is in the Government's best interest. Resultant contracts will have a five (5) year ordering period with an additional two years for task order performance completion. Ordinarily, the task order period of performance will not exceed 12 months; however, the nature of the work may support a longer period of performance or the use of options. Task order options will be priced on a FFP basis and evaluated for placement purposes in accordance with FAR 52.217-5 and the task order solicitation.
1.1. Budget/Funding Information
For consideration in developing a proposal, the maximum ceiling value is $7,500,000 over the life of the contract.
However, this is an indefinite delivery/indefinite quantity (ID/IQ) type contract which limits the Government’s obligation to the minimum amount specified in Section B of the solicitation. Congressional budget year allocations and prioritized requirements may determine future task order placement and exercise of task order options.
2.0 General Instruction
2.1 Information to Offeror(s)
This section of the ITO provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. The Offeror's proposal shall include all data and information requested by the ITO and shall be submitted in accordance with these instructions. The offer shall be compliant with the requirements as stated in the Performance Work Statement (PWS). Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.
(a) Offerors shall assume that the Government has no prior knowledge of their facilities and experience and will base its evaluation solely on the information presented in the proposal.
(b) The proposal acceptance period is specified in Section A, Standard Form 33, block 12 of the solicitation. The Offeror shall make a clear statement in the proposal documentation Volume I, that the proposal shall be valid for 180 days from the date of submission.
(c) Compliance with these instructions is mandatory and failure to comply may render your proposal ineligible for award.
2.1.1 Point of Contact
The Contracting Officer (KO) is the sole point of contact for this acquisition. The Offeror shall address any questions or concerns you may have to the KO. Written requests for clarification shall be sent through the ProjNet Bidder Inquiry System. The KO for this acquisition is as follows:

2.1.2 Notifications/Debriefings
(a) Notifications: Offerors who are eliminated from further consideration for award will receive a notification with a basis of the determination only. The KO will notify Offeror(s) of the source selection decision in accordance with FAR Part 15.503(b).
(b) Debriefings: The KO will promptly notify Offerors of any decision to exclude them from the competitive range;
whereupon, they may request and receive a debriefing in accordance with FAR 15.505. Offerors excluded from the competitive range may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, Offerors excluded from the competitive range are entitled to no more than one debriefing for each proposal. The KO will notify unsuccessful Offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring a debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.
2.1.3 Discrepancies
If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the KO in writing (but no later than 10 business days after release of the solicitation) with supporting rationale as well as the remedies the Offeror is asking the KO to consider as related to the omission or error. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion. This reservation includes matters of additional or substitute pages of the initial proposal.
2.1.4 Electronic Reference Documents
All referenced documents for this solicitation are available on the Beta.sam.gov website at https:/beta.sam.gov.
Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.
2.1.5 Communications
Exchanges of source selection information between Government and Offerors will be controlled by the KO. Email may be used to transmit such information to offerors only if the email includes “Source Selection Information – See FAR 2.101 & 3.104” in the Subject line.
2.1.6 Teaming
All Team members shall have a signed Teaming Arrangement (TA) or Letter of Intent (LOI). TAs or LOIs must be provided in Volume I, Contracting, and Volume II, Technical.
(a) Any business entity without a TA or LOI with the Prime is NOT considered a Team member and will not be evaluated.
(b) Mentor-Protégé (M-P) is a relationship and not a business entity. M-Ps require formal TAs or LOIs to qualify for consideration as a Team member.
(c) A Joint Venture (JV) will be considered a sole business entity. Signed JV documentation must be provided in Volume I, Contracting, and Volume II, Technical.
(d) The proposal shall present a complete, coherent presentation of the Team’s ability as applicable.
2.2 Organization/Number of Copies/Page Limits
(a) Table 2.2 Proposal Organization
(1) The Offeror shall prepare the proposal as set forth in Table 2.2 below.
(2) The titles and contents of the volumes/files shall be as shown.
(3) All titles and contents shall be within the required page limits and with the number of copies as specified.
(4) Proposals shall be submitted electronically through DOD SAFE no later than the due date and time specified in the solicitation, currently estimated to be 3 March 2021 at 2PM EST.
(b) Specific format requirements are identified in paragraph 2.3, Proposal Format.
(c) The contents of each proposal volume are described in the Information to Offeror(s) (ITO) paragraph as noted in the table below.
(d) In the event that this table conflicts with the detailed instructions in the paragraphs that follow, the detailed instructions shall take precedence.
(e) In compliance with FAR Subpart 4.8 (Government Contract Files), the Government will retain the electronic copy of all unsuccessful proposals.

2.3 Proposal Format
2.3.1 Guidance
(a) This section of the ITO provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal.
(b) The Offeror's proposal must include all data and information requested by the ITO and must be submitted in accordance with these instructions.
(c) All the requirements specified in this solicitation are mandatory.
(d) You are representing that your firm will perform all the requirements specified in the solicitation by submitting your proposal.
(e) These instructions are intended to elicit brief and specific responses. Simply stating that the Offeror understands and intends to comply with this effort or paraphrasing statements in the solicitation is inadequate.
(f) The offer shall comply with the requirements as stated in the solicitation.
2.3.2 Sufficient Detail
(a) The proposal shall be clear, concise, and shall include sufficient detail to allow for effective evaluation and for substantiating the validity of stated claims.
(b) The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements.
(c) Offeror(s) shall assume that the Government has no prior knowledge of their capabilities and experience.
The Government will base its evaluation solely on the information presented in the Offeror's proposal.
2.3.3 Elaborate Presentations Not Desired
Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are NOT desired.
2.3.4 Price Information
All pricing information shall be addressed ONLY in Volume III, the Price Proposal Volume.
2.3.5 No Cross-Referencing
(a) Each volume shall be written on a stand-alone basis so that its contents may be evaluated without cross-referencing to other volumes of the proposal.
(b) Information required for proposal evaluation, which is not found in its designated volume, will be assumed to have been omitted from the proposal.
(c) Each response to each Sub-factor shall be self-contained. No cross-referencing between sub-factor responses is allowed.
2.3.6 Indexing
(a) Indexing shall be used to identify sections within each volume.
(b) Separate cover sheets for items identified in the Title column of Table 2.2 Proposal Organization shall be utilized.
(c) Cover sheets do not count against the page limitations for their respective volumes.
Note: DO NOT include proposal information on cover pages.
2.3.7 Table of Contents
(a) Table of Contents.
(1) Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume.
(b) Master Table of Contents.
(1) Volume I, Contracting, shall contain a consolidation of the individual Table of Contents for all Volumes (I through III).
(2) A separate e-file of the Master Table of Contents shall be provided in accordance with Electronic Copy requirements in paragraph 2.3.10.3.
(c) The Table of Contents will not count against the page limitations for their respective volumes.
2.3.8 List of Tables and Figures
(a) Each volume shall contain a list of all tables and figures within that volume.
(b) The list of tables and figures will not count against the page limitations for their respective volumes.
2.3.9 Glossary of Abbreviations and Acronyms
(a) Each volume shall contain a glossary of all abbreviations and acronyms used, with an explanation for each.
(b) One glossary may be developed for the entire proposal and provided in each volume.
(c) Glossaries do not count against the page limitations for their respective volumes.
2.3.10 Proposal Copies
(a) All Proposal files shall be submitted in original form. No copies or duplicates
(b) All Prime and Team member(s) information shall be incorporated into one coherent submittal.
(c) Be sure to identify appropriate markings as identified in FAR 52.215-1(e), and FAR 3.104-4, “Restriction on disclosure and use of data.”
2.3.10.1 “Original” Unbound Proposal
N.A – Hard copies will not be accepted.
2.3.10.2 Hard Copies

2.3.10.3 Electronic Files
General requirements:
(a) All electronic copies shall be submitted through DOD SAFE.
(1) Electronic file directory titles and organization shall reflect the titles and organization of these instructions.
(2) Each directory shall contain a Adobe Portable Document File (PDF) file with the Master Table of
Contents for that directory.
(3) Offerors shall ensure electronic copies on are virus (i.e., malware, trojans, etc.) free.
(4) Electronic copies of each volume shall be compatible with the following available Government equipment and software products:
Microsoft Windows 10 compatible PCs Adobe Acrobat Pro DC Microsoft Office 365
(5) Sound or video (e.g. MPEG) files shall not be embedded into the proposal files.
2.3.11 Page Format Restrictions and Limitations
2.3.11.1 Page Format
(a) Pages shall be 8.5 x 11 inches, not including foldouts.
(b) Text pages shall be portrait oriented. Graphics and tables may be landscape oriented if required to properly present the information.
(c) Pages shall be typed with single line spacing.
(d) No condensed fonts are allowed. Times New Roman, Helvetica, Calibri, or Arial are the required fonts. The font size shall be no less than 10 point. All Section-L attachments (L-1 through L-5) provided by the Government are exempted from the font and margin requirements.
(e) Margins on all four edges of each sheet shall be at least one inch.
(f) Proprietary statements, security markings, and page numbers can fall within the defined margin area.
(g) Except for the Pricing Volume, each required section within a volume shall be numbered consecutively
(i.e. Executive Summary 1-2, Table of Contents 1-3; Management Approach 1-4; Corporate Experience 1-5, etc).
(h) These page format restrictions shall apply to responses to Evaluation Notices (ENs).
2.3.11.2 Foldouts (also considered larger size electronic file documents)
(a) Foldout pages may only be used for large tables, charts, graphs, diagrams and schematics.
(b) Foldout pages may not be used for pages of text.
(c) Legible tables, charts, graphs, diagrams, schematics and figures shall be used wherever practical to depict organizations, systems and layout, implementation schedules, design drawings, plans, etc.
(d) These displays shall be uncomplicated, legible and shall not exceed 11 x 17 inches in size.
(e) Each side of a foldout will count as two pages.
(f) All information (except documentation numbers, classification markings, and page numbers) shall be contained within an image area of 9 x 15-1/2 inches.
2.3.11.3 Page Limitations
(a) Page limitations shall be treated as maximums.
(b) Each side of each 8 ½ x 11-inch sheet that displays printed material shall be counted as 1 page for page limitation purposes. Blank pages will not be counted towards the page limitation.
(c) Each side of each 11 x 17-inch sheet that displays printed material shall be counted as 2 pages for page limitation purposes.
(d) Compliance with page count limits shall be verified via the hardcopy within each electronic document/file.
(e) If page limits are exceeded, the excess pages (1) will be destroyed; and (2) will not be read or considered in the evaluation of the proposal.
(f) Page limitations shall be placed on responses to ENs. The specified page limits for EN responses will be identified in the letters forwarding the ENs to the Offeror(s).
2.3.11.4 Pages Counted (Exemptions)
Each page shall be counted except the following:
(a) Cover pages
(b) Table of contents
(c) List of figures
(d) Glossaries
(e) Cover pages
(f) Dividers
(g) Blank pages
(h) PPQ forms
(i) Organizational Chart
2.4 Responsibility Determination
The KO is required to make a determination of responsibility IAW FAR 9.1. As part of this determination, the KO may request a Financial Capabilities Assessment from the cognizant Defense Contract Management Agency (DCMA) Office.
3 Volume I – CONTRACT DOCUMENTATION
3.0 Volume Organization
The Contracting volume shall be organized according to the following general outline:

3.1 Executive Summary
(a) The Executive Summary shall be a concise narrative summary of the entire proposal, excluding price.
(1) The summary shall include key mission capability features describing key technical, performance, and management features of the Offeror.
(2) The summary shall also include key contract features describing subcontractors, or TAs, delivery schedules for the period of performance including schedules for the basic and all options.
(b) The salient features shall tie in with Section M evaluation criteria.
(c) Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal.
3.2 Standard Proposal Information
(a) Provide a Master Table of Contents for the entire proposal (all volumes).
(b) Provide a Table of Contents for Volume I per ITO paragraph 2.3.7.
(c) Provide a List of Tables and Figures for Volume I per ITO paragraph 2.3.8.
(d) Provide a Glossary of Abbreviations and Acronyms for Volume I per ITO paragraph 2.3.9.
3.3 Validity Statement
(a) The proposal acceptance period is specified on the solicitation, SF 33, Page 1, Block 12.
(b) The Offeror shall make a clear statement that the proposal is valid until this date in the proposal documentation volume.
(c) Be sure to identify appropriate markings as identified in FAR 52.215-1(e) and FAR 3.104-4, “Restriction on disclosure and use of data.”
3.4 Contact Information
Offeror shall complete the Financial Capability Risk Assessment Form shown in Attachment L-5 and include in Volume I, Contracting.
3.5 Teaming Arrangements and/or Letters of Intent; Letters of Withdrawal
(a) Provide all Teaming Arrangements and Letters of Intent for Team members to receive credit for performing as a team as required in Volume I, Contracting per ITO paragraph 2.1.6.
(b) A business entity can participate in this acquisition on one proposal only.
(c) A firm is not permitted to submit a proposal on more than one (1) Joint Venture for the same project. A firm that submits a proposal as a prime may not be included as a designated sub consultant to another firm that responds as a prime contractor. Multiple proposals under any of the foregoing situations will be cause for the rejection of all proposals of the firm or firms involved. The above does not preclude a firm from being designated a sub consultant to more than one (1) prime responding to the solicitation.
3.6 Exceptions to Solicitation Requirements
(a) Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub-factor. Failure to meet a requirement may result in an offer being ineligible for award. Offerors shall clearly identify any exceptions to Terms and Conditions of the solicitation. Exceptions are strongly discouraged. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.
(b) Exceptions taken to terms and conditions of the solicitation, to any of its formal attachments, or to other parts of the solicitation shall be identified.
(c) Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken.
(d) Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, price, and specific requirements of the solicitation.
(e) This information shall be provided in the format and content of Table 3.6. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award.

3.7 Solicitation
(a) The purpose of this section is to provide information to the Government for preparing the contract document and supporting file.
(b) The Offeror's proposal shall include a signed copy of the solicitation (Sections A thru J). Signature by the Offeror on the Standard Form 33 constitutes an offer, which the Government may accept.
3.7.1 Representations and Certifications
(a) The Offeror's proposal shall include a signed copy of the Representations and Certifications, Section K.
The Offeror may submit a signed copy from the https://beta.sam.gov website in lieu of completing the representations and certifications included in the solicitation.
4 Volume II – TECHNICAL
4.0 Volume Organization

4.1 Standard Proposal Information
(a) Provide a duplicate copy of the executive summary narrative as required in Volume I, Contract Documentation, per ITO paragraph 3.1.
(b) Provide a Table of Contents for Volume II per ITO paragraph 2.3.7.
(c) Provide a List of Tables and Figures for Volume II per ITO paragraph 2.3.8.
(d) Provide a Glossary of Abbreviations and Acronyms for Volume II per ITO paragraph 2.3.9.
4.2 Teaming Arrangements and/or Letters of Intent
Provide duplicate copies of all TAs and LOIs for all Team members as required in Volume I, Contract Documentation, paragraph 3.6 to receive credit for performing as a Team.
4.3 General
(a) The Technical Volume shall be specific and complete. In the Technical Volume, address your proposed approach to meeting the minimum performance or capability requirements of each technical Sub-factor.
(b) Marketing presentations are not wanted and will not be evaluated. Hard evidence of capabilities is required to receive credit for evaluation factors.
(c) Legibility, clarity, and coherence are very important.
(d) Your responses will be evaluated against Section M, Evaluation Factors.
(e) Provide, as specifically as possible, the actual methodology you would use for accomplishing and satisfying the requirements.
(f) All the requirements specified in the solicitation are mandatory. By your proposal submission, you are representing that your Team shall perform all the requirements specified in the solicitation. It is not necessary or desirable for you to tell us so in your proposal. Do not merely reiterate the objectives or reformulate the requirements specified in the solicitation.
(g) Technical Acceptability Sub-factors.
(1) Include mission capabilities of Prime and Team members.
(2) Describe the Offeror’s proposed strategic approach to meeting the requirements of each Technical
Acceptability Sub-factor.
4.4 Technical Factor
In the technical volume, address your technical solution for meeting the Government’s minimum performance or capability requirements of each technical factor.
4.4.1 Factor 1.A. – Similar Experience
(a) The Offeror, in their proposal, shall provide evidence of relevant experience during the past five (5) years prior to the issue date of the solicitation. The Government will not consider or evaluate corporate experience regarding an Offeror submission that concluded more than five (5) years prior to the issuance date of this solicitation.
(b) The proposal shall identify corporate experience covering multiple efforts by identifying at least five and not more than ten (5-10) projects. This information shall be presented in accordance with (IAW) the instructions and format shown in Attachment L-1. A minimum of three (3) projects shall be provided for the Prime, and a minimum of one (1) project shall be provided for each Team member expected to perform 20% or more of the work under this contract, or a critical function. Remaining projects, if any, may be distributed among the Team at the discretion of the Offeror.
(c) The proposal shall identify corporate experience covering the scope of services specified in the ES PWS and presented IAW the instructions and format shown in Attachment L-2. Offerors are required to identify the location and region of the United States where work was completed in Attachment L-1.
Greater consideration will be given to Offerors who provide projects where work was performed within the southeastern region (North Carolina, Virginia, South Carolina, Georgia, Florida, Alabama and Mississippi). The Offeror shall provide narrative information describing in detail the corporate experience for work performed on these projects. The narratives shall include a description of the scope of the project work effort, how the effort shows the Prime or teaming partner’s experience in the specified PWS area, how quality management was accomplished, location of work, and duration of effort. At least one (1) projects submitted shall have a dollar value greater than $250,000.00.

(d) The Offeror shall provide a list of completed reports relevant to the work described in the ES PWS.
Additionally, the Offeror shall provide a brief description of each report, including whether or not the report was completed in conjunction with one of the contracts identified in the past performance section of the Offeror’s proposal, and any other pertinent information. A higher rating will be given ff the offeror is able to show that two or more projects were completed simultaneously with a minimum of having successful performance ratings on both projects.
(d) The Offeror shall provide a list of successfully completed reports relevant to the work described in the ES PWS. This list shall be populated at the discretion of the Offeror, shall include reports associated with projects featured in Attachments L-1 and/or L-2, and shall not necessarily include all relevant reports. Draft reports, communications, progress reporting, and similar correspondence are not considered “relevant reports”. Additionally, the Offeror shall provide a brief description of each report that shall include the purpose of the report, whether or not it was released for public comment, and any other pertinent information.

4.4.2 Factor 1.B. – Contract Management
The Offeror shall submit information that describes the Management Approach covering the Prime and all Team members’ ability to successfully manage the overall ES requirement on schedule and within budget. The Management Approach shall apply to the geographical locations listed above in SECTION I.A. The Offeror’s narrative shall describe how Offeror will manage, coordinate, and administer the work within the Prime and Team members. Include how the Offeror and Team members will manage communication processes, distribution of responsibilities, and allocation of projects/TOs amongst the Prime, Team members and other subcontractors. Within your response, explain why this approach is considered optimal in meeting the needs of the ES program. Also, explain how the Offeror provide a valid commitment between all parties detailing business arrangements that put the Offeror firmly in control and responsible for all aspects of the Team’s performance. The Management Approach shall include a detailed narrative description of the following management activities:
(a) Processes to administer and manage multiple, diverse, concurrent, potentially geographically dispersed projects/TOs representing the scope of services specified in the ES PWS.
(b) Processes for identifying and mitigating cost, schedule, and performance risks. Address the following risk areas: schedule delays, subcontractor nonperformance, cost growth, poor quality of services/deliverables, and site safety. Describe how these processes will be implemented in the ES program.
(c) Diagram or graphic presenting the flow or lines of communication between Prime, Team members, and subcontractors.
4.4.2 Factor 2 – Past Performance
Past performance will be evaluated for contracts performed by the Offeror during the past five (5) years consistent with the size, scope and complexity of typical Federal Environmental Services Programs. The Offeror shall provide Past Performance Questionnaires (PPQ) [Section L Attachment L-2(b)] for all identified projects during this time period. The Government may contact references cited on the PPQs as well as other relevant individuals. Completed PPQs shall be submitted with the Offeror’s proposal. The Offeror shall not incorporate by reference into their proposal PPQs previously submitted for other RFPs.
This does not preclude the Government from utilizing previously submitted PPQ information in its past performance evaluation. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.
5 Volume III –PRICE
5.0 Volume Organization
The Price volume shall be organized according to the following general outline:

5.1 General Instructions
5.1.1 Price
These instructions are to assist you in submitting information that is required to evaluate the price reasonableness and total evaluated price (TEP) of the proposal. The Government may not award a contract based on a proposal with unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of price analysis techniques. Compliance with these instructions is mandatory and failure to comply may render your proposal ineligible for award. Offers shall be sufficiently detailed to demonstrate their price reasonableness and total evaluated price. The burden of proof for credibility of proposed prices rests with the Offeror.
If, after receipt of proposals, the KO determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data.
5.1.2 Non-Required Data
Data beyond that required by this instruction shall not be submitted, unless you consider it essential to document or support your price position. All information relating to the proposed price including all required supporting documentation must be included in the section of the proposal designated as the Price Volume.
Under no circumstances shall this information and documentation be included elsewhere in the proposal.
5.1.3 Rounding
All loaded fully burdened FFP hourly labor rates shall be rounded to the nearest cent.
5.2 Other Pricing Information
5.2.1 Rate Tables
The Offeror shall complete and submit Rate Tables for the Prime and all Team members for the entire contract period using the excel spreadsheets (Attachment L-3 and L-4). All labor categories identified in the Rate Tables shall be covered and proposed collectively by the Prime /Teaming Members. The Offeror shall ensure that all labor categories are covered but NOT all labor categories must be covered by any one business entity. The Offeror shall provide fully-burdened FFP hourly labor rates that include direct labor, and all applicable burdens (inclusive of profit) for the labor categories identified in Rate Tables (Attachment L-3 and L-4). In addition, the proposed fully-burdened FFP hourly labor rates shall be based on the minimum labor category qualifications (Attachment L-3). Offeror(s) are also required to populate the indirect rates to be applied to subcontracts and other direct costs in accordance with the Offeror’s adequate accounting system. The rate tables shall be completed by the Prime and all Team members.

5.2.2 Price Model
The Offeror shall provide their fully burdened labor rates for each labor category by completing the Price Model (Attachment L-6 4). To calculate the Offeror’s total evaluated price use the instructions on the first page of the price model spreadsheet. Please note: The labor categories identified in the Rate Tables and Price Model are anticipated to be all-inclusive of the labor categories expected to be used throughout the entire period of performance of the basic contract and all options. Offerors are reminded that they shall be required to provide all necessary labor to perform the requirements of the contract. Also note that rates provided shall be contractually binding should Offeror be awarded a contract.

5.2.3 Fully-Burdened FFP Hourly Labor Rates
The fully-burdened FFP hourly labor rates shall include all direct and indirect rates and factors applicable to future task orders under this contract. Indicate the application base for indirect rates and/or factors. This applies to the Prime and Team members.
5.2.3 Exceptions/Assumptions and Rationale
(a) Offerors shall identify any exceptions taken to the pricing requirements stated in this solicitation. Provide complete rationale for each exception in the Technical Factor (4.4) and Price (5.2).
(b) Offerors shall identify any assumptions made in the preparation of the price proposals. Provide complete rationale for each assumption in the Technical Factor (4.4) and Price (5.2).
(c) Information provided regarding exceptions and assumptions assist the Government in determining price reasonableness and total evaluated price.
5.2.4 Proposal for Sample Task Order
(a) Offerors shall submit a narrative proposal to demonstrate their understanding of the work required to be performed in the Sample Task Order Performance Work Statement that will help identify labor categories and pricing.
(b) Offerors shall provide a proposed project schedule to include Government review periods critical path activities, required deliverables and due dates using a sample start date of 1 March 2021.
(c) Offerors shall provide a detailed price schedule to include labor categories, number of labor hours, hourly rates, total hours per labor category, overhead and Other Direct Costs, profit and other expenses.
5.3 Financial Responsibility
(a) The Offeror shall provide the last three (3) years of financial statements, and year-to-date financial information through the last quarter available. If audited, reviewed, compiled or certified financial statements are available, these shall be submitted.
(b) The above information shall be provided for the Prime contractor. If the Prime is a combination of firms (for example, a partnership or joint venture), discuss the financial responsibilities among the companies.
Historical and year-to-date financial data shall be submitted for each company that makes up the Prime, and the ability to fund contract performance shall be addressed for the combined firm. The Prime’s financial documents referenced in paragraph (a) above shall be submitted no later than the proposal due date to the address below:

(c) The Prime shall register for the Financial Capability Risk Assessment using the Financial Capability Risk
Assessment Pre-Review Form, Attachment L-5. A copy of this completed form shall be included in the price and contracting volumes of the proposal. The following information will be required: Firm name, Point of Contact (POC) and full contact information to include address, phone, fax, e-mail address, and administering DCMA office.
(d) Financial responsibility will not be evaluated as a separate price sub-factor. However, it is a basic contract requirement with a pass/fail determination, thus it will be evaluated during the source selection process. A contract may only be awarded to the Offerors who are deemed responsible in accordance with the FAR.
6.0 EXCHANGES
6.1 The Government may award without discussions and make an award based on initial proposals; however, discussions or negotiations may be held and result in a Final Proposal Revision (FPR). If it is determined to be in the best interest of the Government to hold discussions, the Government will make a Competitive Range determination, evaluation notices may be issued to Offerors in the competitive range, responses will be requested from applicable Offerors, and discussions will be opened. The competitive range may be further reduced for purposes of efficiency pursuant to FAR 15.306(c)(2). Formal responses to evaluation notices (if applicable), discussion items, and final proposal revisions will be considered in making the award decision.
Any revision or non-concurrences to contract terms and conditions submitted in the FPR may not be subject to further discussion or negotiation and may render the offer unacceptable to the Government. This provision is not intended to restrict the team’s opportunity to revise figures (e.g., prices, rates, etc.); rather, it is intended to preclude any misunderstandings by the Government, which could result if new or revised terms and conditions are submitted in the FPR that have not been fully disclosed, discussed and understood during discussions or negotiations. Hence, such new or revised terms and conditions are not solicited and, if submitted in the FPR, may render the offer unacceptable to the Government.
6.2 Teams are cautioned to submit sufficient information and in the format specified in Section L. Teams may be asked to clarify certain aspects of their proposal. Communication conducted to resolve minor or clerical errors will not constitute discussions and the Contracting Officer reserves the right to award a contract(s) without the opportunity for proposal revision.
