SOLICITATION PROVISIONS

L.1. Proposal Submission and Format Information.

A. This solicitation is for operations, maintenance and repair services at one (1) U. S. Army Corps of Engineers, Wilmington District Project location (Military Ocean Terminal at Sunny Point, Southport, North Carolina).

***Amendment 0002*** B. Each offeror must submit Volume I, II, III, and IV to the dedicated USACE Wilmington District Military Proposal email address. It is requested that offerors include the respective Contracting Officer and Contracting Specialist. These are the ONLY two individuals authorized to receive your proposal. No hard paper copies will be accepted or evaluated. Both the Price Proposal and the Technical. Proposal must be received by the closing date and time set for receipt of proposals. In an effort to reduce paperwork and reduce cost, all proposals shall be submitted electronically. All submissions shall be in Adobe PDF format and shall be on 8 ½ x 11 size pages in no less than a 10 pitch or 10 font. Page limitations, where specified in the RFP, shall be considered a maximum. Offerors may use compressions utility software such as WinZip or PKZip to reduce file size and facilitate transmission.

Volume I - Technical Proposal Volume II - Performance Risk Proposal Volume III – Price Proposal Volume IV – Solicitation, Offer and Award Documents, Certification, Offer and Representations

**Legal documents such as bonds, insurance certificates and other documents that must be signed and/or notarized shall be submitted on paper to include original signatures and seals.

These documents shall also be provided by the response date of the RFP. Failure to provide them as required by this RFP will result in a late proposal submission and will not be considered.

Copies of these documents may be electronically sent to the to the dedicated USACE Wilmington District Military Proposal email address (SAW-CT-Military-Proposals@usace.army.mil); however, failure to provide the required documentation with original signatures will result in a deficient proposal submission and will not be considered. C. If copies of catalog cut sheets are included in the proposal, the offeror shall highlight data specific to the equipment and/or components/model number intended for this requirement. To reduce the size of proposals, offerors will confine their submissions to essential matters sufficient to define their offer and to provide an adequate basis for evaluation.

D. Offerors shall include a cover sheet at the beginning of each volume, which clearly identifies each volume by name(s) (i.e. Volume I – Technical), Request for Proposal (RFP) number, date of submission, project location, and offeror’s name. Use the pdf bookmarking function to identify all sections within a particular proposal volume. Do not include text on the tab index pages other than that required to identify the particular section.

***Amendment 0002*** E. With the exception of spreadsheets for the price volume, copies of the proposal shall be prepared on standard 8-1/2” x 11” white documents in portrait orientation. Spreadsheets shall be no larger than 8-1/2” x 14” in a landscape orientation. The proposal pages shall be numbered. Each page must have a one inch margin at the top, the bottom and on each side. Page numbers, notations of proprietary information, and any other identifying information printed on each page are excluded from the margin requirement.

Text font must be no smaller than 10 point but text included on figures and/or matrices may be reduced to 7 point. Larger format drawings or tables may be added within the electronic file.

***Amendment 0002*** F. In order to reduce proposal size, the offeror shall confine the proposal to evaluation factors and sub-factors listed, and shall limit detail to that sufficient to define the proposal and provide an adequate basis for evaluation.

G. Price information shall not be included in the Technical Proposal so that evaluation can be made without regard to price.

H. Proposal revisions shall be submitted as page replacements with revised text readily identifiable.

Revised pages shall be submitted on colored file documents with revisions identified with a bar to the right of the changed verbiage. Revised pages shall be numbered, dated, and submitted in the same manner as the original proposal. Each Volume shall be its own PDF file and named as indicated below.

Each Volume shall be organized in the same manner also.

L.2. PROPOSAL CONTENT

Volume I of the Proposal – Technical Merit

1. Subfactor 1.a. – Management Staff. The offeror shall clearly demonstrate their approach to each of the following management functions:

(i) Organizational Structure. An organizational chart including listing of all sub contractors.

Identify existing managerial and supervisory ability and duties in the PWS specified fields, listing the years of experience in required fields, in particular the Project Manager, Superintendent and Contract Quality Control Staff. The Project Manager, Superintendent and Quality Control Person shall have at least five (5) years of experience related to that field of work experience. The offeror shall provide Qualification Statements for all management, superintendent, and CQC personnel.

Statements should indicate knowledge, skills, and abilities required to hold positions in addition to personnel histories and resumes. Discuss management controls and supervision of the subcontractors and internal teaming efforts.

Soundness of CQC approach. The proposal should indicate the methodology by which the CQC mission is fulfilled. The approach should emphasize prevention as opposed to reaction.

The organizational experience of the offeror and its proposed major subcontractors, those who will perform at least 25% of the effort, will be part of the Management Approach but shall be provided on the information sheets submitted as part of the Past Performance Factor. In accordance with FAR 52.219-14 – Limitations on Subcontracting, ‘At least 50 percent of the cost of contract performance incurred for personnel shall be expended for employees of the concern’ (i.e. prime contractor).

(ii) Degree of subcontracted work. The proposal should indicate the anticipated degree of subcontracted work that will be utilized in the performance of the contract requirements.

(iii) Knowledge of Government and Industry Practices. Provide a detailed discussion to demonstrate the offeror’s management experience, knowledge and understanding of Government (DOD and DA) and Industry Practices. Including a listing of affiliations with relevant professional associations.

(iv) Management Capability: Provide a detailed discussion of the management control and supervision of Manpower, suppliers and vendors of Equipment and Materials, including the preventive maintenance program for equipment and tools along with housekeeping procedures.

In addition, identify and discuss the management capability to support varying workloads and manpower requirements, approach to minimizing employee turnover. Identify the proposed supervisor to worker ratio. Identify and discuss training programs for schooling and recertification training of employees.

(v) Quality Control Methods: Discuss relevant work processes, Price control methods, procedures, and technical approach, as well as the nature, difficulties, corrective actions, and risks management associated with performing the kind of work that will be required. Identify established techniques for managing work for quality performance and procedures that will adequately recognize substandard performance. Identify the means and experience with automation systems, familiarity with project specific software tools as well as exposure to Government programs. Identify the clerical means used for managing equipment, technical library and related resources.

2. Subfactor 1.b. - Preventative Maintenance Approach. The offeror shall clearly demonstrate their approach to the following:

(i) Maintenance. The proposal shall indicate the approach to performing all Maintenance Services as described within the RFP.

(ii) Mobilization and start up. The proposal shall indicate the timeliness of beginning Operation and Preventive Maintenance services following contract award.

(iii) Management. The proposal shall clearly indicate their management approach for the Preventive Maintenance program to include set-up and execution.

3. Subfactor 1.c. – Service Order Approach. The offeror shall clearly demonstrate their approach to the following:

(i) Execution. The proposal shall clearly indicate the offeror’s approach to execute individual Services Orders upon Government notification.

(ii) Mobilization and response. The proposal shall indicate the timeliness of beginning Operation and Maintenance services related to Service Orders following contract award.

(iii) Management. The proposal shall indicate the approach to performing all Service Orders and shall differentiate their approach to Priority 1 Service Orders, Priority 2 Service Orders, and Priority 3 Service Orders and Response. This shall include the offeror’s management of the Service Order program.

Volume II of the Proposal – Past Performance

Offerors shall submit a list of all Government (e.g. federal, state or local government) contracts (prime and major subcontracts {in performance or awarded} during the past three (3) years, which are relevant to the efforts required by this solicitation. (The three (3) year period is three (3) years before the date of issue of this solicitation. Relevancy is defined as something that has a logical connection with the matter under consideration, e.g., similar project size and type of work. It is the offeror’s responsibility to establish relevancy.) Data concerning the prime offeror shall be provided first, followed by each proposed major subcontractor, in alphabetical order. This volume shall be organized into the following sections:

Element 2.a. - Contract Descriptions and Past Performance. This section shall include the following information in the following format:

(i) Contractor/Subcontractor place of performance, CAGE Code and DUNS Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, and current address, e-mail address, and telephone and fax numbers).

(ii) Government contracting activity, and current address, Procuring Contracting Officer's name, e-mail address, telephone and fax numbers.

(iii) Government’s technical representative/COR, and current e-mail address, telephone and fax numbers.

(iv) Government contract administration activity and the Administrative Contracting Officer's name, and current e-mail address, telephone and fax numbers.

(v) Government contract administration activity's Pre-Award Monitor's name, and current e-mail address, telephone and fax numbers.

(vi) Contract Number and, in the case of Indefinite Delivery type contracts, GSA contracts, and Blanket Purchase Agreements, include Delivery Order Numbers also.

(vii) Contract Type (specific type such as Fixed Price (FP), Price Reimbursement (CR), Time & Materials (T&M), etc.) In the case of Indefinite Delivery contracts, indicate specific type (Requirements, Definite Quantity, and Indefinite Quantity) and secondary contract type (FP, CR, T&M, etc)).

(viii) Awarded price/Price.

(ix) Final or projected final price/Price.

(x) Original delivery schedule, including dates of start and completion of work.

(xi) Final, or projected final, delivery schedule, including dates of start and completion of work.

(xii) Offerors shall provide a specific narrative explanation of each contract listed in Section 1 (Contract Descriptions) describing the objectives achieved and detailing how the effort is relevant to the requirements of this solicitation.

(xiii) For any contracts that did not/do not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence. The offerors shall list each time the delivery schedule was revised and provide an explanation of why the revision was necessary. All Requests for Deviation and Requests for Waiver shall be addressed with respect to causes and corrective actions. The offerors shall also provide a copy of any Cure Notices or Show Cause Letters received on each contract listed and a description of any corrective action implemented by the offeror or proposed subcontractor. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

Element 2.b. – Safety Record. The offeror’s shall identify any OSHA Safety violations within the last five (5) years (Performance Risk) by type and identify corrective action(s) and the result(s) of the violation and implementation of the corrective action(s).

(i) Programs and Manuals: Provide a detailed description of the Offeror’s safety programs. Due to the nature and the location of the work, identify any site-specific requirements and experiences. Relate any past experiences that illustrate the offeror’s successful implementation of these programs.

(ii) Awards and Certification: List all awards and certifications relating to safety performance records. The offeror shall clearly specify the reason for the award or certification, the issue date, and a point of contact (voice and fax telephone numbers and e-mail address).

(iii) Violations/Citations/Accidents/Fines: Identify any contracts within the last six (6) years that were in violation (Notice of Violations), citations, accidents or fines regarding safety performance.

The offeror shall summarize the circumstances under which the violation (Notice of Violations), citations, accidents or fines occurred to include the date and a point of contact (voice and fax telephone numbers and e-mail address).

Element 2.c. – Past Environmental Compliance Record. The offeror’s shall identify any Environmental Compliance violations within the last five (5) years (Performance Risk) by type and identify corrective action(s) and the results of the violation(s) and implementation of the corrective action(s).

(i) Programs and Manuals: Provide a detailed description of the Offeror’s environmental compliance programs. Due to the nature and the location of the work, identify any site-specific requirements and experiences. Relate any past experiences that illustrate the offeror’s successful implementation of these programs.

(ii) Awards and Certification: List all awards and certifications relating to environmental conformance records. The offeror shall clearly specify the reason for the award or certification, the issue date, and a point of contact (voice and fax telephone numbers and e-mail address).

(iii) Violations/Citations/Accidents/Fines: Identify any contracts within the last five (5) years that were in violation (Notice of Violations), citations, accidents or fines regarding environmental conformance performance. The offeror shall summarize the circumstances under which the violation (Notice of Violations), citations, accidents or fines occurred, to include the date and a point of contact (voice and fax telephone numbers and e-mail address).

Performance Risk Assessment Questionnaire.

a. For all contracts identified in Factor 2 (Contract Descriptions) Performance Risk Assessment Questionnaire (located in Section L) must be completed and submitted. The offeror shall complete Part I of the Performance Risk Assessment Questionnaire and e-mail the questionnaire to both the Government contracting activity and technical representative responsible for the past/current contract.

b. The POC's may be instructed to electronically complete Part II of the questionnaire and e-mail the entire questionnaire to the Contracting Officer; however, the Government requires all PPQ’s accessible to the offeror to be provided within the file documentation under Volume II. If submitting through email to the Contracting Officer, submissions shall be received by the Contracting Officer no later than five (5) days prior to the RFP response date and time.

Volume III of the Proposal – Price

1. Information to the Offeror:

a. Price spreadsheets. Price spreadsheets must be prepared in PDF format. Size of spreadsheet should be no larger than 8-1/2” x 14” if submitted in landscape orientation.

b. Fixed Prices: The offeror is to use the Government provided technical provisions found in Section C of the solicitation for preparing price proposal.

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

EVALUATION FACTORS

M.1. BASIS FOR AWARD.

a. The Government contemplates one (1) contract award from this solicitation.

b. The one (1) award will be made based on the best overall (i.e. best value) proposal that is determined to be the most beneficial to the Government, with appropriate consideration given to the three (3) evaluation factors: Technical Merit, Performance Risk and Price. To receive consideration for award, a rating of no less than “Acceptable” must be achieved for the Technical Merit factor and subfactors.

Offerors are cautioned that the award may not necessarily be made to the lowest Price offered.

c. The relative importance of factors are: Technical Merit is more important than Performance Risk. All non-price evaluation factors, when combined, are significantly more important than price.

M.2. THIS IS A BEST VALUE ACQUISITION – USING THE TRADEOFF PROCESS.

a. Determining Best Value. It may determined to be in the best interest of the Government to consider award to other than the lowest priced offeror or other than the highest technically rated offeror.

b. Trade-Off Process. The Contracting Officer will use a trade-off process to determine which offer represents the best value to the Government. This process allows the Contracting Officer to consider making award to other than the lowest priced offer or other than the highest technically rated offer. The Government is more concerned with obtaining superior technical (management and soundness of approach) quality than with making an award at the lowest overall Price to the Government. However, the Government will not make an award at a significantly higher Price to the Government to achieve slightly superior technical quality. The degree of importance of Price as a factor could become greater depending upon the equality of the proposals for other factors evaluated. When the non-Price portions of competing proposals are determined to be substantially equal, Price would become the controlling factor.

Also, the Government reserves the right to reevaluate the proposals to determine if a difference in Price is worth the difference in technical quality.

c. Tradeoff analysis. A Best Value source selection decision shall not be made on the basis of a numerical point scoring system. Qualitative assessment of source selection factors and sub-factors will serve as guides to intelligent decision-making. The Source Selection Authority (SSA) will make a tradeoff analysis to decide which proposal offers the best value. The analysis must look behind the qualitative assessment and consider the strengths, weaknesses, and risks associated with each proposal. The SSA has considerable discretion in making the analysis and decision. However, the SSA shall ensure that it does not differ from, and is consistent with, the evaluation factors and the basis for award described in the solicitation. The decision shall be rational and fully documented.

d. The Government reserves the right to make award without discussions and without giving offerors an opportunity to revise their offers. Therefore, offerors are encouraged to include their best proposal for all evaluation factors in their initial offer. By submitting a proposal in response to this solicitation, offerors are agreeing to comply with all terms and conditions contained in the solicitation. Including exceptions in the offer may be cause for the Government to reject the offer.

e. The Offeror’s accepted proposal will be made a part of the awarded contract.

M.4. EVALUATION APPROACH

All proposals shall be subject to evaluation by a Government Source Selection Evaluation Team.

1. TECHNICAL EVALUATION APPROACH.

a. Understanding of the Problems. The proposal will be evaluated to determine the extent to which it demonstrates a clear understanding of all features involved in solving the problems and meeting the requirements; and the extent to which uncertainties are identified and resolutions proposed.

b. Management Approach. The Government will also evaluate as part of each offeror’s organizational structural analysis, each offeror’s organizational experience, on the basis of breadth, depth and relevance to the work under the prospective contract based upon information submitted for the Performance Risk Factor.

c. Feasibility of Approach. The proposal will be evaluated to determine the extent to which the proposed approach is workable and the end results achievable. The proposal will be evaluated to determine whether the offeror's methods and approach in meeting the requirements in a timely manner provide the Government with a high level of confidence of successful completion. The proposal will be evaluated to determine the extent to which the offeror is expected to be able to successfully complete the proposed tasks and technical requirements within the required schedule.

d. Flexibility. The proposal will be evaluated to determine the extent to which the approach facilitates the implementation of Price effective and simplified enhancements and unanticipated future changes.

The Technical Factor Ratings, excerpted below focus on the strengths, deficiencies, weaknesses, risks and uncertainties of the offeror's proposal. The adjectival rating depicts how well the offeror’s proposal meets the Technical sub-factor requirements.

Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful contract performance is high.

Unacceptable Proposal does not meet requirements and contains one or more deficiencies. Proposal shall not be awarded

2. PERFORMANCE RISK EVALUATION APPROACH.

a. The Performance Risk evaluation will assess the relative risks associated with an offeror's likelihood of success in performing the solicitation's requirements as indicated by that offeror's record of past performance. In this context, “offeror” refers to the proposed prime contractor and all proposed major subcontractors. A major subcontractor is defined as one who will be providing critical services or whose subcontract is for more than 25% of the total proposed price. In either case, the prime contractor and proposed major subcontractors will be assessed individually and the results will then be assessed in their totality to derive the offeror’s Performance Risk rating.

b. The Government will conduct a performance risk assessment based on the quality, relevancy and confidence in the offeror's past performance, as well as that of its major subcontractors, as it relates to the probability of successful accomplishment of the required effort. When assessing performance risk, the Government will focus its inquiry on the past performance of the offeror and its proposed major subcontractors as it relates to all solicitation requirements. These requirements include all aspects of schedule, performance and supportability, including the offeror’s record of: 1) conforming to specifications and standards of good workmanship; 2) adherence to contract schedules, including the administrative aspects of performance; 3) ability to resolve technical problems quickly and effectively; 4) business-like concern for the interest of its customers; and 5) establishing and maintaining adequate management of subcontractors.

c. The Government will evaluate the adequacy of the Offeror’s safety and Environmental program plans and the degree to which the Offeror can demonstrate successful implementation as indicated by the number and types of awards and the frequency and severity of violation (Notice of Violations), citations, accidents or fines.

d. Offerors are cautioned that in conducting the performance risk assessment, the Government may use data provided in the offeror's proposal and data obtained from other sources. Since the Government may not necessarily interview all of the sources provided by the offerors, it is incumbent upon the offerors to explain the relevance of the data provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of proving low performance risk rests with the offerors.

e. All past performance will be assessed for relevance. (Relevance is defined as something that has a logical connection with the matter under consideration, e.g., similar project size and type of work. It is the offeror’s responsibility to establish relevance.)

g. PERFORMANCE CONFIDENCE ASSESSMENT: The final step is for the team to arrive at a single consensus performance confidence assessment for the offeror, selecting the most appropriate rating from the chart below. This rating considers the assessed quality of the relevant/recent efforts gathered. Ensure the rationale for the conclusions reached are included.

3. PRICE EVALUATION APPROACH

a. Reasonableness of the price proposals will be evaluated using price analysis. Price analysis will be used to verify that the overall price offered is fair and reasonable.

b. The Government will evaluate the reasonableness and fairness of the proposed price in relation to the offeror’s specific technical approach.

FFP Requirements

The RFP requires Firm-Fixed-Price contract line items. A price reasonableness approach will be utilized by the Government to determine that the proposed prices offered are fair and reasonable. If the solicitation does not yield sufficient competition, other than certified cost and pricing data may be required. Should data related to prices be required to establish a fair and reasonable price the following hierarchy will be followed: 1. Data available within the Government; 2. Data obtained from sources other than the offeror; and 3. Data obtained by the offeror
