ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS

Submission of Price Quote – Contractor shall submit the following in 1 copy:

1. Signed and dated Standard Form 1449 (Solicitation / Contract / Order for Commercial Items).

2. Signed and dated Standard Form 30, if applicable, for any Amendments to the Solicitation

3. Completed schedule (pricing information) for all line items listed in the solicitation / amendments.

4. Completed Clause 52.212-3 and Alt I, “Offeror Representations and Certifications – Commercial Item’s” As noted above.

Any DOD or DHS border wall projects in the sectors listed in the price schedule could have QA Testing requirements under this Blanket Purchase Agreement.

BASIS FOR AWARD

The Government will award multiple Blanket Purchase Agreements resulting from this solicitation in accordance with FAR 13.106 to the responsible offeror meeting or exceeding all solicitation requirements and representing the best value based on price.

TERMS AND CONDITIONS

BLANKET PURCHASE AGREEMENT

(BPA) TERMS AND CONDITIONS

DESCRIPTION OF AGREEMENT: This BPA is to provide Quality Assurance Laboratory and Field Testing Services to the U.S. Army Corps of Engineers (USACE), South Pacific Division, Task Force (TF) Barrier, and Department of Homeland Security (DHS) if, and when requested by the Contracting Officer (or the authorized representative of the Contracting Officer) for five (5) years from effective date of agreement. The Government anticipates approximately $5,000,000 in calls over five (5) years.

EXTENT OF OBLIGATION: The Government is obligated only to the extent of authorized calls actually placed against this BPA.

DURATION: This Agreement shall remain in effect for a period of five (5) years.

PURCHASE LIMITATION: Each BPA Call has a maximum limit of $250,000 by a Contracting Officer.

INDIVIDUALS AUTHORIZED TO PURCHASE UNDER THE BPA: The Contracting Officer will provide the BPA Holder a list of Ordering Officials authorized to place orders under the agreement.

MODIFICATION: This BPA may be modified only under its terms or conditions or by mutual agreement of the parties.

INVOICES: A summary invoice shall be submitted at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period, identifying the delivery tickets covered therein, stating their total dollar value, and supported by receipt copies of the delivery tickets.

REVIEW: This Agreement shall be reviewed by the Contracting Activity at least annually before the anniversary of its effective date and revised as necessary to conform to the requirements of the Federal Acquisition Regulation and applicable supplements or to statutory requirements. Any change shall be effective only through written modification to this Agreement and not by individual Calls issued hereunder, Modifications to this Agreement shall have no retroactive effect on Calls previously issued.

CANCELLATIONS/TERMINATIONS: This Agreement may be cancelled/terminated it its entirety at no cost to either party. The party desiring to cancel/terminate this Agreement shall serve to the other party a written notice of such intent at least thirty (30) calendar days prior to the effective date of the cancellation/termination. The parties agree that the cancellation shall have no effect on any Call not completed by the effective date of the cancellation/termination. The Contractor shall complete such Calls under the terms and conditions of this Agreement.

APPLICABILITY: The terms and conditions of this Agreement shall be applicable to all BPA Calls issued citing this document.

BINDING CONTRACT: Upon issuance of a BPA Call by an authorized individual, a binding contract shall be established between the Contractor and the Contracting Activity/Government. All vendors are cautioned that they are not to accept BPA Calls against the BPA from any individual that is not an Ordering Official.

NON PAYMENT FOR PROPOSALS: The Government shall not be liable for reimbursement of any Contractor proposal preparation costs for this RFQ or any Call request issued for a BPA Call proposal under this Agreement, whether the request is funded or is issued under advance call request authority given to the Contracting Office.

Advance call request authority permits the issuance of BPA Calls before funds become available or certified. Under this advance authority, funds are not available and may not become available. The Government makes no promise to award a BPA Call. If funds do not become available, the Government will cancel the Call.

PRICING: The BPA Holder is required to offer a price for every test method listed in the Price Schedule. This established price may include subcontracted sampling and testing to account for tests that the BPA Holder does not self-perform and/or is not validated to perform. BPA Holders will only need to perform (and/or subcontract) for the full suite of tests required per each individual BPA Call. An estimated quantity of tests is provided in the Pricing Schedule for bidding purposes only. The amounts do not constitute a minimum quantity per line item as actual quantities will be established per BPA Call. Pricelists shall be valid for the duration of the agreement.

BPA CALL ORDER PROCESS: All calls will be awarded on a vendor rotational basis. If you are doing this kind of work for a Contractor, you will be skipped over for that specific call.

PERFORMANCE WORK STATEMENT

1.1. GENERAL DESCRIPTION:

The Blanket Purchase Agreement (BPA) Holder(s) shall provide and/or procure all necessary and qualified personnel, facilities, equipment, transportation, and materials required to provide Quality Assurance Laboratory and Field Testing Services to the U.S. Army Corps of Engineers (USACE), South Pacific Division, Task Force (TF) Barrier, and Department of Homeland Security (DHS). The BPA Holder(s) shall ensure that good business and management practices are followed in performing the ordered services, such that the Government receives the greatest value for the services provided.

1.2. TYPE OF SERVICES

This agreement covers requirements for BPA Holder(s) field and lab testing of soil/aggregate, riprap, concrete, and structural steel field testing in strict compliance to

ASTM C 109 - Compressive Strength of Cement Mortars Using Cube Specimens (price per cube) Each (2-3 minimum must be run per ASTM)

ASTM C 138 - Standard Test Method for Density (Unit Weight), Yield, and Air Content (Gravimetric) of Concrete

Each

ASTM C 143 -Test Method for Slump of Hydraulic-Cement Concrete (when not ordered as a part of ASTM C31)

42 ASTM C 174 - Concrete Thickness by Drilled Cores Each

ASTM C 231 - Test Method for Air Content of Freshly Mixed Concrete by Each the Pressure Method (when not ordered as a part of ASTM C31)

Specifically directed stand-by time or specifically directed field testing and other field activities such as attending field

Hour the test methods specified in the Price Schedule. Sampling and testing will be performed within the USACE and DHS area of responsibility (AOR). The BPA Holder shall provide and/or procure all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and non-personal services necessary to perform the field and laboratory test methods and to report as defined in this Performance Work Statement. All of the testing will require sampling by the BPA Holder(s). Pricing shall include all required sampling and testing required of the specified test method, except as specifically stated in the Price Schedule.

1.3. PRODUCTS:

The BPA Holder(s) shall sample and test construction materials in strict compliance with the referenced standard test method report the results of the tests to USACE as required herein. See the Price Schedule for more information.

1.4. LOCATION OF SERVICES

The location of services will be within one or more projects within the South Pacific Division, TF Barrier, and Department of Homeland Security (DHS) areas of responsibility. The areas of responsibility noted above extend as follows (See Attachment 1 “MapTFBarrier_Projects_2808_284_DHS_Contract”)

Border Barrier Projects

El Centro 1 Project: The project begins approximately 10 miles west of the Calexico Port of Entry (POE) continuing west 15.25 miles in Imperial County.

Yuma 1 Project: The project begins approximately 1 mile southeast of the Andrade POE continuing along the Colorado River for approximately 5 miles in Yuma County.

Yuma 2 Project: Replacement of one segment of primary pedestrian fencing on the Barry M.

Goldwater Range starting 2.5 miles east of Border Monument 198 and extending east to Border Monument 197, for a total of approximately 1.5 to 2 miles.

Yuma 10/27 Project: Construction of approximately 31 miles of a new secondary pedestrian fence system on the Barry M. Goldwater Range.

Yuma 3 Project: Replacement of 31 miles of vehicle barriers with new pedestrian fencing, beginning approximately 0.4 miles east of the Barry M. Goldwater Range and continuing for approximately 31 miles east through the Cabeza Prieta National Wildlife Refuge in Yuma County.

San Diego 4 Project: Construction of 1.5 miles of a new primary pedestrian fence system starting 3.6 miles east of the Otay Mesa POE, extending east, and construction of 2 miles of a new secondary pedestrian fence system starting 3.6 miles east of the Otay Mesa POE, extending east.

Yuma 6 Project: Construction of approximately 1 mile of a new primary pedestrian fence system starting at Andrade POE and extending a half mile west of monument marker 206, then resuming east of the Colorado River and extending south one mile; and construction of 2 miles of a new secondary pedestrian fence system starting a half-mile east of monument marker 208 and extending east to the Colorado River, and then resuming on the east side of the Colorado river and extending south for approximately one mile.

Tucson 1 Project: The project includes replacement of two segments of vehicle barriers. The first segment begins approximately 2 miles west of the Lukeville POE continuing west approximately 30 miles.

Tucson 2 Project: The project includes approximately 5 miles of primary pedestrian fence replacement around the Lukeville POE extending from approximately 2 miles west of the port to approximately 3 miles east of the port.

Tucson 3 Project: The project includes three segments of vehicle barrier replacement beginning approximately 18 miles west of the Naco POE and continuing to approximately 25 miles east of the Douglas POE (or approximately 5 miles west of the Arizona / New Mexico state line) for approximately 20 miles of non-contiguous vehicle barrier replacement in Cochise County, Arizona.

El Paso 1 Project: The project includes 46 miles of vehicle barrier replacement beginning approximately 17.5 miles west of the Columbus Port of Entry continuing east in non-contiguous segments to approximately 35 miles east of the Columbus Port of Entry within the Luna and Dona Ana Counties, New Mexico.

El Paso 2 Project: Replacement of 23.51 miles of vehicle barriers with new pedestrian fencing in noncontiguous segments within Hidalgo and Luna Counties, New Mexico.

The first segment begins approximately 5.1 miles east of the New Mexico/Arizona Border, continuing east for 4.55 miles.

The second segment begins approximately 3 miles west of the Antelope Wells POE to 3 miles east of the POE for 6.12 miles.

The third segment begins approximately 20 miles west of the Columbus POE, extending west for 12.84 miles.

El Paso 8 Project: Construction of approximately 6 miles of a new primary pedestrian fence system in place of existing vehicle barriers starting 1.5 miles west of monument marker 64 and extending 2 miles east of monument marker 63; and construction of approximately 6 miles of a new secondary pedestrian fence system starting 1.5 miles west of monument marker 64 and extending 2 miles east of monument marker 63.
