OFFEROR’S NOTES

1. Prices must be submitted on all individual items of the Solicitation, Contract Line Item Number (CLIN) Schedule. Failure to do so may cause the proposal to be determined “non-responsive.”

2. The proposer/offeror shall distribute his indirect costs (overhead, profit, bond, etc) over all items in the CLIN schedule. The Government will review all submitted Solicitation, CLIN schedules for any unbalancing of the items. Any submitted Solicitation, CLIN schedule determined to be unbalanced may cause the proposer to be ineligible for award.

3. The Proposer/offeror shall furnish all plant, labor, material, equipment, etc., necessary to perform all work in strict accordance with the terms and conditions set forth in the contract, to include all attachments thereto.

4. All extensions of the unit prices shown shall be subject to verification by the Government. In case of variation between the unit price and the extension, the unit price will be considered to be the proposal/offer. For the purpose of initial evaluation of proposal/offer, the following will be utilized in resolving arithmetic discrepancies found on the face of the Solicitation, CLIN schedule as submitted by the proposer/offeror:

a. Obviously misplaced decimal points will be corrected;

b. In case of discrepancy between the unit price and the extended price, the unit price will govern;

c. Apparent errors in extension of unit prices will be corrected;

d. Apparent error in addition of job amount and extended prices will be corrected.

5. Amounts and prices shall be indicated in either words or figures, not both.

Proposers/Offerors are cautioned to check their Solicitation, CLIN schedule carefully for errors prior to submission. If the Solicitation, CLIN schedule contains unit prices, they shall be extended to the actual amount and not rounded off. If the Price Schedule contains unit prices, they should be round off to the second decimal point only not extended further.

6. Quantities listed are estimated, the proposers/offerors unit prices must be firm.

7. If a modification to a bid based on unit prices is submitted which provides for a job amount adjustment to the total estimated amount, the application of the job amount adjustment to each unit price in the price schedule must be stated. If it is not stated, the proposer agrees that the job amount adjustment shall be applied on a pro rata basis to every unit price in the price schedule.

8. The job line items in the price schedule are not “estimated quantity” line items and are not subject to the “variation in estimated quantity” contract clause.

9. The Contract Clause 52.232-27, “Prompt Payment for Construction Contracts” requires that the name and address of the contractor official, to whom payment is to be sent, be the same as that in the contract or in a proper Notice of Assignment.

10. Payment of Electronic Funds Transfer (EFT) is the mandatory method of payment. The Contractors attention is directed to Contract Clause 52.232-33 “Mandatory Information for Electronic Funds Transfer” located in Section 00 70 00 Conditions of the Contract.

11. Principal Contracting Officer. The Contracting Officer who signs this contract will be the Principal Contracting Officer for this contract. However, any Contracting Officer assigned to the Los Angeles District, contracting within his authority, may take formal action on this contract when the Principal Contracting Officer is unavailable and the action needs to be taken.

12. This solicitation does not commit the Government to pay any costs incurred in the preparation and submission of the initial and any subsequent proposals or for any costs incurred prior to execution of a formal contract.

SUPPLEMENTARY INSTRUCTIONS TO PROPOSERS

PROPOSAL SUBMISSION REQUIREMENTS, SELECTION PROCEDURES, BASIS OF

AWARD

1. GENERAL

A. A Source Selection Evaluation Board (SSEB) comprised of representatives of the Corps of Engineers, User/Customer, and other required personnel, will evaluate proposals.

Offerors are advised that the technical evaluation and rating of the proposals will be conducted in strict accordance with Section 00 21 16 and Section 00 22 16 of the solicitation. In addition, technical/quality proposals are first reviewed and rated by the SSEB without knowledge of the price offered. The number and identities of Offerors are not revealed to anyone who is not involved in the evaluation and award process or to other Offerors. Proposals will be evaluated on the factors described herein. The lowest price technically acceptable source selection process will be used for this acquisition.

This process allows the Government to select a technically acceptable proposal with the lowest evaluated price. Reference FAR 15.101-2.

B. Offerors shall include their best technical and price terms in their initial offer. The offeror may not have an opportunity to participate in discussions or be asked to submit a revised offer. The Government intends to award a contract without discussions based on initial proposals received; therefore, the proposal shall contain the Offeror’s best terms from a cost and technical standpoint.

2. ELIGIBILITY FOR CONTRACT AWARD

In accordance with FAR 1.602-1(b), no contract shall be entered into unless the contracting officer ensures that all requirements of law, executive orders, regulations, and all other applicable procedures, including clearances and approvals, have been met. This includes the requirement of FAR 9.103 that no award shall be made unless the contracting officer makes an affirmative determination of responsibility. To be determined responsible, a prospective contractor must meet the general standards in FAR 9.104-1 and any special standards set forth in the solicitation in accordance with FAR 9.104-2.

3. EVALUATION PROCESS

The evaluation process essentially consists of three parts: proposal compliance review and responsibility determination, technical/quality evaluation, and price evaluation.

A. Proposal Compliance Review: This is an initial review to ensure that all required forms and certifications are completed and that both a technical and price proposal were received.

B. Technical/Quality Evaluation: The SSEB will evaluate and rate those proposals passing the first review, above. Proposals will be evaluated against the RFP requirements.

Factors will be rated on an “acceptable or non-acceptable” basis.

00 22 16 Page 3

C. Price Evaluation: The SSEB will evaluate price proposals independent of the technical/quality evaluation. The SSEB will not have access to price information until completion of the technical/quality evaluation. The proposed price will be analyzed for reasonableness. It may also be analyzed to determine whether it is realistic for the work to be performed; reflects a clear understanding of the requirements; and is consistent with the Offeror’s technical proposals. All offers with separately price line items and/or sub line items will be analyzed for unbalanced pricing.

00 22 16 Page 4

4. EVALUATION FACTORS

Proposals will be evaluated in accordance with the factors listed below. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. The Offeror who submits the lowest price proposal with a technically acceptable proposal that has received ratings of “Acceptable” on ALL non-cost factors will be awarded the contract.

FACTOR 1:

PREVIOUS EXPERIENCE: TECHNICAL NARRATIVE ON PROJECTS OF SIMILAR

SCOPE, MAGNITUDE, AND COMPLEXITY

FACTOR 2:

PAST PERFORMANCE ON SIMILAR PROJECTS

FACTOR 3:

SCHEDULE; KEY PERSONNEL; PRESENT WORKLOAD, TECHNICAL

NARRATIVE ON THE FOLLOWING: CORPORATE/MANAGEMENT STRUCTURE

(PROJECT MANAGEMENT PLAN); CAPABILITY TO MANAGE AND CONTROL

PROJECTS

In order to be considered technically acceptable, proposals must meet ALL of the following requirements listed in the factors below:

FACTOR 1: PREVIOUS EXPERIENCE: TECHNICAL NARRATIVE ON PROJECTS OF

SIMILAR SCOPE, MAGNITUDE, AND COMPLEXITY

Offeror shall identify at least two projects of similar scope, magnitude (projects no less than $2,000,000) and complexity as the RFP requirement it and/or its proposed team (i.e., predecessor companies, key personnel who have relevant experience or subcontractors that will perform major or critical aspects of the requirement) has/have successfully completed within the past five years and provide a technical narrative of those projects identified with the following:

experience on similar projects. Projects referenced in Factor 1 are highly recommended to be referenced in Factor 2.

00 22 16 Page 5

The Offeror and its proposed team will be evaluated based on identifying at least two successfully completed projects within the past five years and providing a narrative of experience on similar projects. The narrative shall include a description of the project; total dollar value of the project at the time of award and at the time of completion, the Offeror’s role in the project (i.e., as a prime or a subcontractor), and the name, address and telephone number of the owner.

In the case of a federal, state or local government project, provide the name, address and telephone number of the contracting officer. Offeror may include projects completed by predecessor companies. Offeror must explain why it believes the proffered projects are similar in scope, magnitude and complexity to the RFP requirement. When relying on the specific, relevant experience of key personnel, and/or major subcontractor, the description must include, in addition to all the above information, and explanation of what role the key person or subcontractor played in the former project, and what specific role that company, key person or subcontractor would perform in this project.

Standard for Acceptability: This standard is met when the Offeror can provide a technical narrative of construction experience in two or more completed projects within the past five years;

similar in scope, magnitude (no less than $2 million) and complexity on the following:

experience on similar projects. Experience of predecessor companies, key personnel, and major subcontractors may be used to qualify for this factor so long as the key person and/or major subcontractor will participate in this project in a meaningful way.

Projects referenced in Factor 1 are highly recommended to be referenced in Factor 2.

FACTOR 2: PAST PERFORMANCE ON SIMILAR PROJECTS

Provide a customer survey describing the scope of the work, contract price at the time of award, project cost growth during contract performance, and contract price at the time of completion.

Describe the contract performance period set forth in the contract, time growth during contract performance, if any, and the number of days from the start of the project to acceptance by the owner/government agency. Provide a general description of the safety protocols employed and the number of safety-related incidents or accidents, if any, a description of any breach events and how they were resolved. Identify and describe any warranty issues raised by the owner, and how the problems were resolved. If no warranty issues were raised, Offerors should so state.

Offerors may provide information on problems encountered on the projects and the Offeror’s corrective action. Identify and include results, if any of litigation regarding the project.

The Government may consider any and all sources of information about the projects, including, but not limited to, contacting the owner or contracting officer of the project, and the PPIRS rating system. Firms who have a less than satisfactory performance evaluation should explain from the perspective what happened and lessons learned from the experience. This factor will evaluate how well an Offeror has performed on projects of a similar scope, magnitude, and

00 22 16 Page 6 complexity, and is an indicator of the likelihood of completion of the project in terms of time, cost and quality of work.

In addition, the Government will consider Client’s Overall Satisfaction with the Project. A Past Performance Questionnaire to be submitted by Offeror’s current/former client/customer is included for your use at the end of section, 00 22 00. The Offeror must provide its client information, as described in Factor 2. The Offeror’s Client will be contacted. The clients’ responses to the following questions will be considered:

(1) Were Key Personnel responsive to Client’s needs?

(2) Did Key Personnel have the authority to meet the project objectives?

(3) Were Key Personnel responsive to Client’s requested changes?

(4) Was the Client satisfied with technical knowledge of Key Personnel?

(5) Would the Client use this company again?

(6) Was the staffing level consistent with the project size and complexity?

(7) Was communication of schedule and/or project issues adequate and consistent?

(8) Was the team’s response time to Client’s questions acceptable?

(9) Did the Offeror’s or Subcontractor’s performance conform to the terms of the contract?

Completed Past Performance Questionnaires should be submitted with your proposal. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment 2 in Section 00 22 00), which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, Tom Koponen via email at tomas.e.koponen@usace.army.mil prior to proposal closing date. Offerors shall not incorporate by reference into their proposal PPQs previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation. Also include performance recognition documents received within the last 5 years such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition.

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror. If no past performance is available, a rating of Neutral will be applied.

00 22 16 Page 7

Factor 2 Standard of Acceptability: This standard is met when the Offeror has demonstrated an overall satisfactory performance evaluation or higher, on similar contracts/projects within the past five years. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.” Consideration of Client Overall Satisfaction will be made. Projects referenced in Factor 1 are highly recommended to be referenced in Factor 2.

FACTOR 3: SCHEDULE; KEY PERSONNEL; TECHNICAL NARRATIVE ON

THE FOLLOWING: CORPORATE/MANAGEMENT ORGANIZATION

STRUCTURE CHART; CAPABILITY TO MANAGE AND CONTROL

Schedules showing Government submittal review durations to be shorter than are contractually mandated may be rated Non-Acceptable.

Standard of Acceptability: This standard is met when the Offeror demonstrates a commitment to accomplish all the work in accordance with the solicitation requirements, committing to meet scheduling requirements. The standard is met when the Offeror demonstrates an understanding of the work requirements has an adequate plan for customer service and the Quality Control, and has construction safety procedures that are adequate for the work to be performed. The standard
