About this file
This Standard Form 30 (Amendment of Solicitation/Modification of Contract) modifies a federal contract for Family Advocacy Program (FAP) Educator Services supporting Army Community Services at USAG Bavaria locations. Key changes include shifting the response due time from 10:00 AM to 5:00 PM, extending the response due date from 15 Sep 2025 to 17 Sep 2025, and adjusting the performance period from 29 Sep 2025 - 28 Mar 2026 to 29 Oct 2025 - 28 Mar 2026. The contract reduces the quantity from 6 to 5 and adds an Economic Price Adjustment clause for labor and material.
The amendment addresses several contractor requirements, including mandatory backfill provisions for all staff absences, local Point of Contact (POC) in Germany, separate Contract Manager and FAP Educator roles, and compliance with German work authorization laws. Contractors must secure appropriate work permits for non-EU employees, with no SOFA status provided. Contractor travel is estimated at 500 miles per Full-Time Equivalent (FTE) per month, and the contract emphasizes the need for independent oversight and avoiding conflicts of interest in staffing and contract management.

Questions/Answers
1. Backfill/Absences: What is the policy for backfill coverage during illness, vacation times, or other reasons in which personnel may be absent? If a backfill is required, how quickly must the replacement be provided?
Please see attached revised PWS, Paragraph 5.6.1.3 and Paragraph 5.3.1. Paragraph is revised to better describe the backfill process. Please also see Paragraph 1.4 of PWS for additional information about the backfill.
2. Under what circumstances is the contractor required to provide a backfill? (E.g., short-term absences, long-term leave, or permanent replacements)
In all circumstances.
W912PB25RA0240002
3. Per PWS Paragraph "1.12 Contractor Travel: The contractor is expected to travel approximately five hundred (500) miles per month". Are the 500 miles per month per FTE or total?
Per FTE
4. The Phase-In period is set for 29 Sep - 28 Oct 2025 on the CLIN structure which overlaps with the first month of the base year period. Please confirm that this is the intent.
Solicitation data corrected as follows:
- Phase-In period 29 Sep 2025 -28 Oct 2025.
- Base period 29 Oct 2025 - 28 Mar 2025
5. Does the government envision an Economic Price Adjustment clause to address potential significant changes in the exchange rate, minimum wage rates, inflation, or adjustment to the GS-9 salary level?
As per Contracting Officers' decision, clause "52.216-4 Economic Price Adjustment - Labor and Material" was added into the Solicitation with this amendment
6. Contract Manager (Factor 1 - Technical, Subfactor 3): The solicitation specifies the Contract Manager must be "local to Germany." Does this mean the candidate must already reside in Germany, or would a qualified candidate relocating there upon award, potentially under company sponsorship, meet the requirement?
The term "Contract Manager" refers to the company's POC. While we cannot dictate how the company should run its operations, it is essential that we have a local POC available during the POP of this contract. This individual is crucial for addressing any issues that arise during our business hours, making them an integral part of the contract execution process.
7. Staffing Roles: The PWS calls for two full-time FTE FAP Educators. Could either of these individuals also serve as the Contract Manager or Alternate CM, or does the Government require these positions to be completely separate?
Please see attached revised PWS, Paragraph 1.5. and Paragraph 1.9 Key Personnel. Those Paragraphs revised to better describe the different position necessary for this requirement.
The Contract Manager and the Alternate Contract Manager cannot at the same time be the individuals who serve as FAP Educators. Otherwise, conflicts and practical issues may arise.
Therefore, the positions can't be covered by the same person.
For example:
- If the FAP Educator is sick or unavailable, it would be the responsibility of the Contract Manager (or the Alternate) to arrange a replacement. If they are also the Educator themselves, this creates a conflict of interest and no independent oversight.
- If a problem occurs during training, the Contract Manager should objectively evaluate and address it.
This is not possible if the same person manages the contract and delivering the training.
Separating these functions ensures continuity, independence, and avoids operational risks.
8. Work Authorization: The PWS notes that contractors must comply with German law, including business registration and securing work permits. Could the Government confirm whether SOFA status will be provided, or if all non-EU staff must go through the German work/residency permit process? If the latter, could you share any guidance on expected timelines?
The Government will not provide SOFA status for contractor employees. Please see the requirements as outlined in the PWS, paragraph 1.23 (Authorization to Perform Services in Germany); paragraph 1.23.1 Contractors performing services in the Federal Republic of Germany (FRG) shall comply with German law. The Contractor shall determine whether performance requires registration with German authorities or authorization to do business in Germany and, if so, shall comply with all requirements. Whether or not registration or authorization to do business is required, the Contractor shall determine what documents or authorization its employees and any subcontractor employees must possess to work in Germany. The Contractor shall ensure affirmatively that its employees and subcontractor employees possess such documents or authorizations; paragraph 1.23.2 Contractor employees who: (a) are not nationals of Germany or other European Union countries; (b) are not members of the force, the civilian component, or their dependents; or c) do not have assimilated status under Articles 71, 72, or 73 of the Supplementary Agreement to the NATO SOFA shall possess work and residence permits; and paragraph 1.23.3 By acceptance of and performance under this contract, the Contractor affirms that it has complied with the requirements above. Compliance with this requirement and German law is a material contract requirement.

FAR Clauses Incorporated by Full Text
52.216-4 Economic Price Adjustment-Labor and Material. (Jan 2017)
Economic Price Adjustment-Labor and Material (Jan 2017)
(a) The Contractor shall notify the Contracting Officer if, at any time during contract performance, the rate of pay for labor (including fringe benefits) or the unit prices for material shown in the Schedule either increase or decrease. The Contractor shall furnish this notice within 60 days after the increase or decrease, or within any additional period that the Contracting Officer may approve in writing, but not later than the date of final payment under this contract. The notice shall include the Contractor's proposal for an adjustment in the contract unit prices to be negotiated under paragraph (b) of this clause, and shall include, in the form required by the Contracting Officer, supporting data explaining the cause, effective date, and amount of the increase or decrease and the amount of the Contractor's adjustment proposal.
(b) Promptly after the Contracting Officer receives the notice and data under paragraph (a) of this clause, the Contracting Officer and the Contractor shall negotiate a price adjustment in the contract unit prices and its effective date. However, the Contracting Officer may postpone the negotiations until an accumulation of increases and decreases in the labor rates (including fringe benefits) and unit prices of material shown in the Schedule results in an adjustment allowable under paragraph (c)(3) of this clause.
The Contracting Officer shall modify this contract (1)to include the price adjustment and its effective date and (2)to revise the labor rates (including fringe benefits) or unit prices of material as shown in the Schedule to reflect the increases or decreases resulting from the adjustment. The Contractor shall continue performance pending agreement on, or determination of, any adjustment and its effective date.
(c) Any price adjustment under this clause is subject to the following limitations:
(1) Any adjustment shall be limited to the effect on unit prices of the increases or decreases in the rates of pay for labor (including fringe benefits) or unit prices for material shown in the Schedule. There shall be no adjustment for-
(i) Supplies or services for which the production cost is not affected by such changes;
(ii) Changes in rates or unit prices other than those shown in the Schedule; or
(iii) Changes in the quantities of labor or material used from those shown in the Schedule for each item.
(2) No upward adjustment shall apply to supplies or services that are required to be delivered or performed before the effective date of the adjustment, unless the Contractor's failure to deliver or perform according to the delivery schedule results from causes beyond the Contractor's control and without its fault or negligence, within the meaning of the Default clause.
(3) There shall be no adjustment for any change in rates of pay for labor (including fringe benefits) or unit prices for material which would not result in a net change of at least 3 percent of the then-current total contract price. This limitation shall not apply, however, if, after final delivery of all line items, either party requests an adjustment under paragraph (b) of this clause.
(4) The aggregate of the increases in any contract unit price made under this clause shall not exceed 10 percent of the original unit price. There is no percentage limitation on the amount of decreases that may be made under this clause.
(d) The Contracting Officer may examine the Contractor's books, records, and other supporting data relevant to the cost of labor (including fringe benefits) and material during all reasonable times until the end of 3 years after the date of final payment under this contract or the time periods specified in subpart 4.7 of the Federal Acquisition Regulation (FAR), whichever is earlier.
