SCOPE OF WORK
CORPS OF ENGINEERS – CHICAGO DISTRICT
Scope of Work for Tree Removal Along the Des Plaines River By-Pass Fence, Lemont, IL
1. SUMMARY
The U.S. Army Corps of Engineers, Chicago District, requires the removal of 150 trees of various sizes along a section of the Des Plaines River By-Pass Fence located in Lemont, IL. The trees to be removed ranging in size from six (6) inches up to approximately five (5) feet in diameter and are of various heights.
2. TREE FELLING REQUIREMENTS
The Contractor is required to utilize proper equipment and tree felling techniques to ensure the safety of all on-site personnel, as well as to prevent damage to the Des Plaines River By-Pass Fence. The Contractor will be responsible for cutting all trees marked for removal six (6) to twelve (12) inches above ground level. All stumps shall remain in place to prevent erosion in the area. Since some of the trees to be removed are located on the opposite side of the Des Plaines River By-Pass Fence, the Contractor is required to utilize appropriate equipment to lift all fell trees over this four (4) to eight (8) foot fence. At no time shall the Contractor drag downed trees over the top of the fence as it will result in damage to the fence. Any damage that may occur to the Des Plaines River By-Pass Fence as a result of the felling or removal process shall be repaired with like materials by the Contractor, at the expense of the Contractor.
The trees to be removed are located along a gravel access road which is approximately 12 to 16 feet wide. The gravel access road also has a number of turn-around areas which the Contractor may utilize as staging and/or temporary storage areas.
The contractor shall supply all materials and equipment to complete the work.
3. TREE REMOVAL REQUIREMENTS
All fell trees shall be removed from the work area at the end of the project and be properly disposed of in accordance with all federal, state and local regulations. The Contractor has the option of chipping or logging the trees in preparation for removal from the site. The Contractor may store logged trees in eight (8) to twelve (12) foot sections in the various turn-arounds located throughout the work area; however, the Contractor shall at no time store chipped material on site for more than 24 hours.
4. SAFETY
All work specified shall be performed in accordance with US Army Corps of Engineers Safety and Health Requirements manual EM 385-1-1, Appendix A, Paragraph 11, where applicable for work done on Government property. The Contractor must have a site specific Safety Plan submitted and approved by the U.S. Army Corps of Engineers, Chicago District, prior to commencement of work, including fall protection. Work within 10 feet of the water’s edge at the Des Plaines River shall only be performed by personnel using approved work vest type PFDs and a life ring shall be kept close on site when this work is performed.
5. BASIS FOR AWARD
The responsive, responsible contractor submitting the lowest priced, technically acceptable proposal. The Government reserves the right to reject any and all offers.
Offerors are reminded to include their best technical and price terms in their initial offer and not to automatically assume that they will have an opportunity to participate in discussions or be asked to submit a revised offer. The Government may make award of a conforming proposal without discussions, if deemed to be within the best interests of the Government.
The Government intends to award a contract without discussions based on initial proposals received; therefore, the proposals shall contain the Offeror’s best terms from a cost and technical standpoint.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award
6. SCHEDULE AND PAYMENT
All work shall be completed within 45 calendar days following Contractor’s acceptance of the Purchase Order. Pay requests shall be in ENG Form 93 and submitted to the Contracting Officer Representative (COR). Payment will be made within 30 days of end of the receipt of the contractor’s invoice.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.
(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.
(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.
(2)(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in FAR subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to (A) change the name in the SAM database; (B) comply with the requirements of subpart 42.12; and (C) agree in writing to the timeline and procedures specified by the responsible Contracting Officer. Assignees shall be separately registered in the SAM database. Information provided to the Contractor's SAM record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the “Suspension of payment” paragraph of the EFT clause of this contract.
(4) Offerors and Contractors may obtain information on registration and annual confirmation requirements via SAM accessed through https://www.acquisition.gov.

(1) Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti- Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(i) Any such clause is unenforceable against the Government.
(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an ``I agree'' click box or other comparable mechanism (e.g., ``click-wrap'' or ``browse-wrap'' agreements), execution does not bind the Government or any Government authorized end user to such clause.
(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.
