About this file

This document is an amendment to a solicitation for a Multiple Award Task Order Contract for Puerto Rico Power System Stabilization and Power Generation Services. The U.S. Army Corps of Engineers is seeking to award indefinite-delivery/indefinite-quantity contracts for emergency power generation, fuel supply, installation, operation and maintenance services. The total ceiling value is $5 billion over 10 years. Offerors must propose to meet or exceed 5% small business participation goals. Key personnel requirements and page limits for technical proposals were modified. The submission deadline was not extended. Cost reimbursement task orders may be used due to fuel price volatility. Discussions are not planned but may be held at the Contracting Officer's discretion. Final proposal revisions will be allowed if discussions are conducted.

The following have been added by reference:

52.243-1 Alt I Changes--Fixed Price (Aug 1987) - Alternate I APR 1984

The following have been added by full text:

52.244-2 SUBCONTRACTS (JUN 2020) - ALTERNATE I (JUN 2020)

(a) Definitions. As used in this clause--

Approved purchasing system means a Contractor's purchasing system that has been reviewed and approved in accordance with Part 44 of the Federal Acquisition Regulation (FAR).

Consent to subcontract means the Contracting Officer's written consent for the Contractor to enter into a particular subcontract.

Subcontract means any contract, as defined in FAR Subpart 2.1, entered into by a subcontractor to furnish supplies or services for performance of the prime contract or a subcontract. It includes, but is not limited to, purchase orders, and changes and modifications to purchase orders.

(b) When this clause is included in a fixed-price type contract, consent to subcontract is required only on unpriced contract actions (including unpriced modifications or unpriced delivery orders), and only if required in accordance with paragraph (c) or (d) of this clause.

(c) If the Contractor does not have an approved purchasing system, consent to subcontract is required for any subcontract that--

(1) Is of the cost-reimbursement, time-and-materials, or labor-hour type; or

(2) Is fixed-price and exceeds--

(i) For a contract awarded by the Department of Defense, the Coast Guard, or the National Aeronautics and Space Administration, the greater of the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award, or 5 percent of the total estimated cost of the contract; or

(ii) For a contract awarded by a civilian agency other than the Coast Guard and the National Aeronautics and Space Administration, either the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award, or 5 percent of the total estimated cost of the contract.

(d) If the Contractor has an approved purchasing system, the Contractor nevertheless shall obtain the Contracting Officer's written consent before placing the following subcontracts:

Any subcontract dollar threshold will be determined on a Task Order basis.

(e)(1) The Contractor shall notify the Contracting Officer reasonably in advance of placing any subcontract or modification thereof for which consent is required under paragraph (b), (c), or (d) of this clause, including the following information:

(i) A description of the supplies or services to be subcontracted.

(ii) Identification of the type of subcontract to be used.

(iii) Identification of the proposed subcontractor.

(iv) The proposed subcontract price.

(v) The subcontractor's current, complete, and accurate cost or pricing data and Certificate of Current Cost or Pricing Data, if required by other contract provisions.

(vi) The subcontractor's Disclosure Statement or Certificate relating to Cost Accounting Standards when such data are required by other provisions of this contract.

(vii) A negotiation memorandum reflecting--

(A) The principal elements of the subcontract price negotiations;

(B) The most significant considerations controlling establishment of initial or revised prices;

(C) The reason cost or pricing data were or were not required;

(D) The extent, if any, to which the Contractor did not rely on the subcontractor's cost or pricing data in determining the price objective and in negotiating the final price;

(E) The extent to which it was recognized in the negotiation that the subcontractor's cost or pricing data were not accurate, complete, or current; the action taken by the Contractor and the subcontractor; and the effect of any such defective data on the total price negotiated;

(F) The reasons for any significant difference between the Contractor's price objective and the price negotiated; and

(G) A complete explanation of the incentive fee or profit plan when incentives are used. The explanation shall identify each critical performance element, management decisions used to quantify each incentive element, reasons for the incentives, and a summary of all trade-off possibilities considered.

(2) If the Contractor has an approved purchasing system and consent is not required under paragraph (c), or (d) of this clause, the Contractor nevertheless shall notify the Contracting Officer reasonably in advance of entering into any (i) cost-plus-fixed-fee subcontract, or (ii) fixed-price subcontract that exceeds either the simplified acquisition threshold, as defined in FAR 2.101 on the date of subcontract award, or 5 percent of the total estimated cost of this contract. The notification shall include the information required by paragraphs (e)(1)(i) through (iv) of this clause.

(f) Unless the consent or approval specifically provides otherwise, neither consent by the Contracting Officer to any subcontract nor approval of the Contractor's purchasing system shall constitute a determination--

(1) Of the acceptability of any subcontract terms or conditions;

(2) Of the allowability of any cost under this contract; or

(3) To relieve the Contractor of any responsibility for performing this contract.

(g) No subcontract or modification thereof placed under this contract shall provide for payment on a cost-plus-a-percentage-of-cost basis, and any fee payable under cost-reimbursement type subcontracts shall not exceed the fee limitations in FAR 15.404-4(c)(4)(i).

(h) The Contractor shall give the Contracting Officer immediate written notice of any action or suit filed and prompt notice of any claim made against the Contractor by any subcontractor or vendor that, in the opinion of the Contractor, may result in litigation related in any way to this contract, with respect to which the Contractor may be entitled to reimbursement from the Government.

(i) The Government reserves the right to review the Contractor's purchasing system as set forth in FAR Subpart 44.3.

(j) Paragraphs (c) and (e) of this clause do not apply to the following subcontracts, which were evaluated during negotiations:

This will be determined on a Task Order basis.

The small business Minimum Quantitative Requirement (MQR) established by the Government is 5%, which will be $250,000,000 of the total contract value. Each prime offeror shall also identify in this section of its proposal the type of service/supply that the prime offeror will provide. The prime offeror shall then list each of the intended subcontractors and principal construction/supplies/services to be provided by that subcontractor. Provide the Commercial and Government Entity (CAGE) code for each intended subcontractor. Also, provide the anticipated NAICS codes(s) that the prime offeror believes best describes the product or services being acquired by its subcontracts with each intended subcontractor. Additionally, each prime offeror shall provide a copy of the enforceable commitment for each of the small business firms identified under this factor and the format at Attachment 2 shall be used. Copies of such commitments will not count against the page limitation for this factor.

***Pursuant to Section 8(d) of the Small Business Act, a business is considered small for Government procurements if it does not exceed the size standard for the NAICS code that the prime contractor believes best describes the product or services being acquired. In other words, the size of the prime’s suppliers is determined by the applicable NAICS code of their joint venture, teaming partner, or subcontract, which may or may not be the same NAICS code as the one for your prime contract with the Government.

The total page limitation for Part IIC is 20 pages.

Small Business Subcontracting Plan: Each large prime offeror shall provide a Small Business Subcontracting Plan that contains all the elements required by FAR 52.219-9, Alt II. This plan shall be submitted separately from the Small Business Participation information required above. The approved subcontracting plan will be incorporated into any resultant contract.

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

EVALUATION FACTORS

All proposals shall be subject to evaluation by the Source Selection Team (SST)

SECTION M – Evaluation Factors For Award

A. BASIS FOR AWARD

The U.S. Army Corps of Engineers Savannah District (SAS) intends to solicit and award a MATOC on an unrestricted basis and in accordance with the procedures at FAR 15.304(c)(1)(ii) in which award will be made to all qualifying offerors. A qualifying offeror is defined in FAR 2.101 as: “an offeror that is determined to be a responsible source, submits a technically acceptable proposal that conforms to the requirements of the solicitation, and the Contracting Officer has no reason to believe would be likely to offer other than fair and reasonable pricing.”

Price will be a selection factor for all orders placed under the awarded contracts. The Task Orders under these contracts will be hybrid firm-fixed price (FFP) Task Orders with potential for cost-plus fixed fee (CPFF) elements.

Additionally, any other than small business offeror must have an acceptable Small Business Subcontracting Plan to receive an award in accordance with FAR 19.702(a).

B. EVALUATION APPROACH

The following evaluation factors will be used to evaluate each proposal.

Factor 1 – Evaluation for Technical/Management Approach: In order to be found technically acceptable, the offeror must provide a narrative technical approach that addresses each of the Elements identified (to include specific detail in response to each task listed within). Offerors will be deemed unacceptable if their response introduces unacceptable risk to successful performance. Specific criteria are identified below:

Element A. Task 1. The Government will evaluate whether the Offeror’s proposal provides either a list of Contractor-owned equipment that meets all requirements in Part IIA, Element A, Task 1 with assurances that such equipment is currently available for this contract, or a signed letter of intent from a power generator provider for sale or lease of equipment that meets all requirements in Part IIA, Element A, Task 1.

Element A. Task 2. The Government will evaluate whether the Offeror’s proposal includes a viable transportation plan for each piece of equipment proposed in response to Part IIA, Element A, Task 1 that:

- lists the city in which each proposed piece of equipment is currently located;

- lists the proposed mode of transportation (truck, cargo ship, etc.) for each segment of each generator’s route from that current location to one of the potential project sites listed in Part IIA, Element A, Task 2 above;

and

- lists the name of the transportation firm the Offeror plans to utilize for each segment.

Element A. Task 3. The Government will evaluate whether the Offeror’s proposal demonstrates Offeror’s ability to successfully install, test, and commission power generation and ancillary equipment and to meet all of the requirements in Part IIA, Element A, Task 3.

Element A. Task 4. The Government will evaluate whether the Offeror’s proposal demonstrates Offeror’s ability to successfully operate, maintain, and repair the proposed power generation units and other equipment in accordance with the requirements of Part IIA, Element A, Task 4.

Element B. Task 5. The Government will evaluate whether the Offeror’s proposal provides either a list of Contractor-owned equipment that meets all requirements in Part IIA, Element B, Task 5 with assurances that such equipment is currently available for this contract, or a signed letter of intent from a power generator provider for sale or lease of equipment that meets all requirements in Part IIA, Element B, Task 5.

Element B. Task 6. The Government will evaluate whether the Offeror’s proposal includes a viable transportation plan for the equipment proposed in response to Part IIA, Element B, Task 5 that:

- lists the city in which the proposed equipment is currently located;

- lists the proposed mode of transportation (truck, cargo ship, etc.) for each segment of the equipment’s route from that current location to one of the potential project sites listed in Part IIA, Element B, Task 6; and

- lists the name of the transportation firm the Offeror plans to utilize for each segment.

Element B. Task 7. The Government will evaluate whether the Offeror’s proposal demonstrates Offeror’s ability to install, test, and commission LNG systems and meets all requirements in Part IIA, Element B, Task 7.

Element B. Task 8. The Government will evaluate whether the Offeror’s proposal demonstrates Offeror’s ability to install ultra-low sulfur diesel fuel piping and infrastructure that meets all requirements in Part IIA, Element B, Task 8.

Element B. Task 9. The Government will evaluate whether the Offeror’s proposal demonstrates Offeror’s ability to operate, maintain, and repair proposed LNG and diesel systems in accordance with the requirements in Part IIA, Element B, Task 9. The Government will also evaluate whether the Offeror’s proposal includes a signed letter of intent from an LNG provider and ultra-low sulfur diesel provider that meets all requirements in Part IIA, Element B, Task 9.

Element C. The Government will evaluate whether resumes included in the Offeror’s proposal demonstrate that all proposed key personnel meet all listed requirements for the corresponding positions. The Government may use references to corroborate information in resumes.

Element D. The Government will evaluate whether the Offeror’s proposal demonstrates the ability to fund and carry the expenses inherent in performance of a project consisting of tasks 1 through 9 above while awaiting progress payments for completed work in accordance with Federal Acquisition Regulations (FAR) clause 52.232-25 Prompt Payment. The offeror must submit the information identified in Part IIA, Element D so that the Contracting Officer can make a determination of the adequacy of the offeror’s cost accounting system in accordance with FAR 16.301-3 prior to contract award. The Government will also evaluate whether the Offeror’s proposal demonstrates the ability to meet bonding capacities listed in Part IIA, Element D.

Each Element will be rated on an “acceptable” or “unacceptable” basis using the ratings in the table below. All elements must be rated "acceptable" in order to receive an overall "acceptable" rating for Factor 1.

Technical/Management Approach Acceptable/Unacceptable Rating Method

Adjectival Rating Description Acceptable Proposal meets the requirements of the solicitation.

Unacceptable Proposal does not meet the requirements of the solicitation.

Factor 2 – Past Performance: The Government will evaluate whether the offeror’s present/past performance is recent and relevant or not relevant to the scope areas identified. The past performance evaluation will also determine the quality of how well the offeror performed on each the prior projects.

Past Performance Relevancy Ratings

Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

The Government reserves the right to verify past performance evaluations by reviewing CPARS or other Government appraisal systems. The Government may also check any cited references to verify supplied information.

The Government is not limited to the evaluations provided. Any additional sources of information concerning the offeror’s past performance which the Government becomes aware of can be considered in the evaluation of the contractor’s past performance.

NOTE: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “acceptable.”

The Past Performance factor will be rated on an “acceptable” or “unacceptable” basis using the ratings in the table below.

Past Performance Acceptable/Unacceptable Rating Method

Acceptable Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.

Unacceptable Based on the offeror’s recent/relevant performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

Factor 3 – Small Business Participation: Prime offerors will be evaluated on the level of proposed participation of U.S. small businesses in the performance of the contract relative to the objectives and goals established herein. The Government will evaluate the following:

• That the firms, as defined in FAR Part 19, are specifically identified in the proposal and the complexity and variety of work to be performed by each firm are identified;

• An enforceable commitment is provided in the proposal for each of the small business firms identified; and

• The prime offeror has proposed to meet or exceed the Minimum Quantitative Requirement of 5% established by the Government in the solicitation.

Small Business Participation will be rated on an “acceptable” or “unacceptable” basis using the ratings in the table below.

Small Business Participation Acceptable/Unacceptable Rating Method

Acceptable Proposal indicates an adequate approach and understanding of small business objectives.

Unacceptable Proposal does not meet small business objectives.

D. DISCUSSIONS

1. General Information: The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror’s initial proposal should contain the offeror’s best terms. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. Should discussions take place, all offerors in the competitive range will be allowed a minimum of five (5) calendar days to submit Final Proposal Revisions.

2. Discussion Scheduling: Government reserves the right to conduct discussions either written or verbally.
