NOTES TO OFFERORS
1. The offerors' attention is directed to contract clause 52.212-4003 TIME EXTENSIONS FOR
UNUSUALLY SEVERE WEATHER. Please note the number of anticipated adverse weather days for each month. In particular, please note that this contract assumes that each and every potential work day in the months of October, November, December, January, February, and March will experience adverse weather and atmospheric conditions that will be unfavorable to construction activities and that the Contractor remains obligated to achieve the required completion date in light of that fact. By way of example, that means that the Contractor will not be entitled to any extension of time (or other compensation) for weather related delays to work scheduled for the months of October, November, December, January, February, or March.
The offeror's attention is also directed to contract clause 52.249-10 Default (Fixed-Price Construction).
Please note that the contract assigns certain performance risks relating to weather and climatic conditions to the Contractor and that the Contractor will not be entitled to a time extension, equitable adjustment in contract price, or other contractual relief as a result of encountering those conditions in the performance of the contract work. The payments made under this contract constitute compensation in full for all risk, cost, effort and expense by the contractor to maintain the required contract schedules in light of the risks which have been assigned to the contractor.

4. Facsimile or email of bids/proposals and facsimile or email of modifications thereto, will not be accepted.
5. This solicitation is 100% set-aside for small business concerns. See Clause 52.219-14 for information regarding the percentage of work that must be performed by the Prime Contractor.
6. All Quantities are estimated except where unit is given as "EA" (EACH) or "JB" (JOB).
7. The apparent low offeror may be asked to provide the following information before award is made:
a. Financial Statements, including balance sheets that identify major categories of assets, liabilities, and owner’s equity; and profit and loss statements for the past three (3) years, and

9. The original bid/proposal and any modifications must be complete as to all the items on the respective schedule.
10. Unbalanced Offers. The Government may reject as any offer that is materially unbalanced between contract line item numbers or sub-items on the bidding schedule. A offer is materially unbalanced when it is based on prices which are significantly less than cost for some work and prices which are overstated, in relation to cost, for other work. A materially unbalanced offer may be rejected if the Contracting Officer has a reasonable doubt as to whether the offer will result in the lowest overall cost to the government even though it may be the low evaluated offer. Additionally, an offer that is so unbalanced so as to be tantamount to an advance payment will be rejected even if acceptance of the offer would result in the lowest overall cost to the Government.
11. Any prospective offeror desiring an explanation or interpretation of the solicitation, drawings, specifications, etc., must request it not later than 10 days prior to the offer due date.

| 52.215‐1 | INSTRUCTIONS | TO | OFFERORS‐‐COMPETITIVE | ACQUISITION | |
| (JAN | 2004) |
(a) Definitions. As used in this provision--
“Discussions” are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer's discretion, result in the offeror being allowed to revise its proposal.
“In writing or written” means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.
“Proposal modification” is a change made to a proposal before the solicitation's closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.
“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.
“Time”, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.
(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).
(c) Submission, modification, revision, and withdrawal of proposals. (1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages (i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror.
Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.
(2) The first page of the proposal must show--
(i) The solicitation number;
(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);
(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;
(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror's behalf with the Government in connection with this solicitation; and
(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.
(3) Submission, modification, or revision, of proposals.
(i) Offerors are responsible for submitting proposals, and any modifications, or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.
(ii)(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(1) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or
(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(3) It is the only proposal received.
(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.
(4) Unless otherwise specified in the solicitation, the offeror may propose to provide any item or combination of items.
(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is included in the solicitation.
(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.
(7) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.
(8) Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.
(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days specified on the solicitation cover sheet (unless a different period is proposed by the offeror).
(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall--
(1) Mark the title page with the following legend: This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed--in whole or in part--for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of--or in connection with-- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and
(2) Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.
(f) Contract award. (1) The Government intends to award a contract or contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.
(2) The Government may reject any or all proposals if such action is in the Government's interest.
(3) The Government may waive informalities and minor irregularities in proposals received.
(4) The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
(5) The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specifies otherwise in the proposal.
(6) The Government reserves the right to make multiple awards if, after considering the additional administrative costs, it is in the Government's best interest to do so.
(7) Exchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.
(8) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
(9) If a cost realism analysis is performed, cost realism may be considered by the source selection authority in evaluating performance or schedule risk.
(10) A written award or acceptance of proposal mailed or otherwise furnished to the successful offeror within the time specified in the proposal shall result in a binding contract without further action by either party.
(11) If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(i) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(ii) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(iii) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(iv) A summary of the rationale for award.
(v) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(vi) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
52.215‐4005 Preparation and Evaluation of Proposals (Construction)
PROPOSAL REQUIREMENTS
A. Basis for Award:
Award will be made to the responsible Offeror offering the Lowest-Priced, Technically Acceptable (LPTA) proposal. Each technical evaluation factor and subfactor must be found to be “ACCEPTABLE” in order for the proposal to be found technically acceptable. Proposals will not be technically ranked.
The successful Offeror’s Technical Proposal, Part I: Schedule, and any proposed subcontractors under Part II: Relevant Experience, will be incorporated in any resulting contract. The incorporated Schedule dates will become enforceable contractual interim completion dates. The identified subcontractors must be used on the project. If any of the subcontractors identified in the proposal are not available during construction, the prime contractor may propose a different subcontractor by submitting the name and relevant experience to the Government in the form of a submittal prior to the start of work. The qualifications and experience of the subcontractors incorporated into the contract will be considered the minimum acceptable qualifications for any proposed replacements during contract performance. In the event that the contractor cannot provide a listed subcontractor or one of comparable qualification, the contracting officer may reduce the contract price or take such other actions as are necessary to protect the interests of the Government, including the timely completion of the contract work.
It is the Offeror’s responsibility to ensure the completeness of its proposal. The Government may evaluate solely on the information provided in the initial proposal and not assume that an Offeror possesses any capability that is not specifically identified in the proposal
Failure to submit mandatory information for a factor or subfactor, indicated by the word “shall” or similar verbiage in the solicitation, will result in a rating of “unacceptable” for that factor, and the Offeror will be ineligible for award unless the Contracting Officer decides to hold discussions and includes the Offeror in the competitive range.
B. Solicitation Submittal Requirements:
The proposal shall be submitted in two sections, a Technical Proposal and a Price Proposal.
All pages containing text shall be consecutively numbered, type-written on 8½ x 11 inch paper with margins of at least one inch, and created using a font no smaller than 12.
Technical Proposal: Offerors shall submit one original and four (4) single-sided hard copies.
The Technical Proposal shall include the following:
The Solicitation number (“W912ES-14-R-0003”)
The Offeror’s name, address, telephone and email address Names, titles, telephone and email addresses of persons authorized to negotiate on the Offeror’s behalf with the Government in connection with this solicitation Name, title, and signature of person authorized to sign the proposal.
Documentation evidencing those individuals that have authority to bind the
Offeror (appropriate to the partnership, company, corporation, or joint venture demonstrating the agency relationship (ie. copies of corporate resolutions, powers of attorney, or official meeting notes)).
Responses to all technical evaluation factors. The format used for the Parts below should be strictly adhered to. All responses in the Offeror’s Technical Proposal must clearly indicate the areas to which they are applicable:
Part I: Schedule and Work Plan Part II: Relevant Experience Part III: Past Performance
Part I of the Technical Proposal, Schedule and Work Plan, is limited to no more than 30 pages.
The Technical proposal shall not include pricing information.
Price Proposal: Offerors shall submit (1) hardcopy single-sided original Price Proposal. The Price Proposal shall include the following:
Completed Standard Form (SF) 1442, including acknowledgement of Amendments
Completed Pricing Schedule (Section 00 01 00).
Proof of System for Award Management (SAM) registration along with any applicable representations (Section 00 60 00)
EVALUATION FACTORS
The evaluation factors and significant sub-factors are listed below. It is intended that proposals be evaluated, and award made, without discussions with the offerors (other than communications conducted for the purpose of clarification(s)). If discussions are determined to be necessary, discussions will occur with all offerors unless a competitive range has been established. Failure to submit mandatory information for a factor, indicated by the word “shall”, will result in a rating of “unacceptable” for that factor, and the offeror will be ineligible for award unless the Contracting Officer decides to hold discussions and includes the offeror in the competitive range. Technical evaluation factors (Part I:
Schedule and Work Plan, Part II: Relevant Project Experience, Part III: Past Performance) will be evaluated first. Price will be evaluated last.
A. Technical Proposal, Part I: Schedule and Work Plan
Submittal Requirements: Offerors shall submit a proposed Schedule and a Work Plan.
1. Schedule.
a. The Schedule shall include submission of a network diagram listing the following significant project activities, their interrelation to each other, activity durations, start/stop dates, non-work dates and critical path:
i. Preconstruction submittals and Storm Water Pollution Prevention Plan (SWPPP) submission to MPCA
ii. Trench Drain System (all aspects)
iii. Dewatering Trench
iv. Channel Excavation
v. Drawdown Period and Dewatered Condition
vi. Channel Toe Protection
vii. Restriction Structure Cofferdam Installation

2. Work Plan
a. Offerors shall submit a complete, detailed and feasible narrative description of their proposed Work Plan. The Plan shall address how the offeror will mobilize labor, material, and equipment resources that will be used to complete the significant project activities in the Schedule within the work restrictions contained in the specifications and by the completion date stated in contract clause 52.211-10 Alt 1, Commencement, Prosecution, and Completion of Work. In addition to addressing the significant project activities, the Work Plan shall provide an overall dewatering plan.
b. The number of crews, crew sizes, pieces of equipment and equipment make and model shall be included as well as anticipated work schedules (days, hours/shifts) and anticipated daily production rates for each of the different significant project activities identified in paragraph 1 Schedule, and the overall dewatering plan.
c. Offerors shall also submit detailed information on the work being performed by the contractor and its subcontractors, and how the contractor is going to perform no less than 15% of the work per contract clause FAR 52.219-14, Limitations on Subcontracting.
The Schedule and Work Plan will receive a rating of “acceptable” or “unacceptable”. In order to receive an “acceptable” rating, the proposed schedule and work plan shall contain: 1) all significant project activities; and 2) must be considered feasible in light of the construction schedule required by the contract, the site conditions, equipment proposed, and the environmental and other restrictions contained in the contract documents; and 3) shall meet all schedule requirements specified in the solicitation. Non-compliant, missing, incomplete, or ambiguous information may result in a rating of “unacceptable”. In order to be acceptable for a given evaluation factor, evaluations must be acceptable on all of the subfactors.
B. Technical Proposal, Part II: Relevant Experience
Submittal Requirements: Relevant Experience shall be provided by completing Attachment 1, Relevant Experience as instructed below.
Offerors shall provide the names of firm(s) that will perform any portion of the work elements listed below, and information about each firm’s relevant experience by completing Attachment 1, Relevant Experience. Firms must include the prime contractor and major subcontractor(s). If more than one firm (i.e. subcontractor or joint venture/teaming partners) will perform a significant portion of the work for an element, all the proposed firms must be identified and a minimum of two (2) projects per firm must be submitted.
For each firm identified as performing the work, Offerors shall provide a minimum of two (2) examples of relevant projects for each of the following work elements:
Work Elements:
1) Cofferdam and Dewatering in Winter Conditions*
2) Earthwork and Excavation within a compressed and restricted schedule and/or in Winter Conditions*
3) SWPPP
4) Trench Drain System
*Examples provided for the work elements “Cofferdam and Dewatering in Winter Conditions” and “Earthwork and Excavation within a compressed and restricted schedule and/or in Winter Conditions,” shall describe work performed in winter conditions similar to that which would be encountered at the project location where the January average high temperature is 13 degrees Fahrenheit and the average low temperature is -6 degrees Fahrenheit.
Relevant projects must be at least 50% physically complete and performed by the firm within the last five (5) calendar years of the date of the initial proposal under this solicitation:
The Relevant Project Experience factor will receive an overall rating of “acceptable” or “unacceptable”. In order to receive an “acceptable” rating, Offerors must demonstrate that it and its key subcontractors have the necessary experience to successfully undertake the Work Elements and the time frames and conditions required by this contract. Offerors must submit the required information using the Relevant Project Experience Form (Attachment 1) and demonstrate to the government that the Offeror has successfully performed the tasks described in this solicitation. Missing, incomplete, or ambiguous information could result in a rating of “unacceptable”.
C. Technical Proposal, Part III: Past Performance
Submittal Requirements: Offerors must submit completed Past Performance Questionnaires (See Attachment 2) with their offer. Blocks 1-4 of the questionnaire must be completed by the offeror and blocks 5-8 of the questionnaire must be completed by the offeror’s reference.
Offerors shall provide information for at least (2) projects for completed work by the Offeror within the past five (5) years.
If less than two completed past performance questionnaires are submitted, the submitted project will be evaluated, and the lack of the requested number of projects will not affect the rating for this factor, provided the Offeror certifies that additional past performance information is not available and provides an acceptable explanation as to why additional past performance is not available.
In the case of an Offeror with no relevant performance history, or for whom information on past performance is not available, the Offeror will be evaluated as acceptable provided the Offeror certifies that additional past performance information is not available and provides an acceptable explanation as to why past performance information is not available.
The past performance reference must have been a client, or client representative, with whom the Offeror had a contract, or subcontract (if applicable) for one or more projects. The reference must hold, or have held at the time, a senior position in the client organization with responsibilities of contract administration, quality control, engineering, or technical supervision, or was otherwise in a position to evaluate the Offeror’s performance in executing the contract or subcontract. The past performance reference must have first-hand knowledge of the Offeror’s performance. The reference must have a current, valid phone number at which they can be reached during normal business hours, an e-mail address or fax number, and must be able to speak, read, and write in the English language.
