1.1.2. Work that is to be done on a unit price basis (see Bid Schedule) will be pointed out and definitely assigned as to location and amount by the Contracting Officer.

1.1.3. DEFINITIONS -- SHIP REPAIR - For the purposes of this solicitation and resulting contract, any reference to "job order" will be construed to mean "contract and/or task order" resulting from this solicitation. "Agreement" will be construed to mean "contract."

1.1.4. WORK COVERED BY THE CONTRACT PRICE -- SHIP REPAIR

(a) Lump Sum Jobs. A lump sum for doing any particular job shall cover the cost of all labor, material, and appliances (including hand and machine tools) necessary for fully completing the job unless the detailed description of the job specifies otherwise. When a job provides for the disassembly or replacement of parts of machinery or piping, it shall always be reassembled to proper working condition and all new gaskets, bolts, nuts, packing, or any part incidental thereto which may be necessary for re-assembly shall be furnished by the Contractor. All new work or areas disturbed by repair activities shall be thoroughly cleaned, given a prime coat of paint, and two final coats to restore the repaired work or area to the original surroundings, unless otherwise specified.

(b) Unit Price Jobs. On items in which it is not possible to determine in advance the exact quantities of work to be done, unit prices are required in the Price Schedule. The quantities stated under such items are the Government's best estimate. These quantities may be increased or decreased, to the extent necessary, by the Contracting Officer, for the satisfactory repair of the vessel. Payment for each estimated quantity item will be made at the unit price specified in the line items for the actual quantity ordered, completed and accepted under this contract; regardless of whether or to what extent the quantities are increased or decreased from the estimated amount. The unit price shall include all costs associated with accomplishing the work as specified in subparagraph (a) above.

1.1.5. ADVERSE WEATHER CONDITIONS -- SHIP REPAIR - No outside work will be performed when (i) the temperature is below 32 degrees F.; (ii) wind, rain, snow, sleet, or ice renders efficient work impracticable; or (iii) ice conditions prevent operation of the Contractor's drydocks. No adjustment of contract price will be allowed for any additional costs incurred as a result of delays caused by conditions described in this paragraph.

1.1.6. Over and Above Work.

(a) "Definitions." - As used in this scope of work --

(1) "Over and above work" means work discovered during the course of performing overhaul, maintenance, and repair efforts that is --

(i) Within the general scope of the contract;

(ii) Not covered by the line item(s) for the basic work under the contract; and

(iii) Necessary in order to satisfactorily complete the contract.

(2) "Work request" means a document prepared by the Contractor which describes over and above work being proposed.

(b) The Contractor and Administrative Contracting Officer shall mutually agree to procedures for Government administration and Contractor performance of over and above work requests. If the parties cannot agree upon the procedures the Administrative Contracting Officer has the unilateral right to direct the over and above work procedures to be followed. These procedures shall, as a minimum, cover --

(1) The format, content, and submission of work requests by the Contractor. Work requests shall contain data on the type of discrepancy disclosed, the specific location of the discrepancy, and the estimated labor hours and material required to correct the discrepancy. Data shall be sufficient to satisfy contract requirements and obtain the authorization of the Contracting Officer to perform the proposed work;

(2) Government review, verification, and authorization of the work; and

(3) Proposal pricing, submission, negotiation, and definitization.

(c) Upon discovery of the need for over and above work, the Contractor shall prepare and furnish to the Government a work request in accordance with the agreed-to procedures.

(d) The Government shall --

(1) Promptly review the work request;

(2) Verify that the proposed work is required and not covered under the basic contract line item(s);

(3) Verify that the proposed corrective action is appropriate; and

(4) Authorize over and above work as necessary.

(e) The Contractor shall promptly submit to the Contracting Officer, a proposal for the over and above work. The Government and Contractor will then negotiate a settlement for the over and above work. Contract modifications will be executed to definitize all over and above work.

(f) Failure to agree on the price of over and above work shall be a dispute within the meaning of the Disputes clause of this contract.

1.1.7. ACCESS TO VESSEL –

(a) Upon the request of the Contracting Officer, the Contractor shall grant admission to the Contractor's facilities and access to vessel, on a non-interference basis, as necessary to perform their respective responsibilities, to a reasonable number of:

(1) Government and other Government contractor employees (in addition to those Government employees attached to the vessel); and

(2) Representatives of offeror’s on other contemplated Government work.

(b) All personnel granted access shall comply with Contractor rules governing personnel at its shipyard.

1.1.8. VESSEL DELIVERY AND RETURN -- SHIP REPAIR

(a) Delivery of Vessel. It is anticipated that the vessel will be delivered to the Contractor’s yard on or about 1 July 2009; or earlier if negotiated. If tug or pilot service is required during said delivery for maneuvering the vessel between open water and the dry dock, slip, or berth at the Contractor's yard, such service shall be promptly furnished by the Contractor at his expense.

(b) Return of Vessel. The Government will accept return of the vessel at the Contractor's yard upon acceptance of the work. Should tug or pilot service be necessary for unberthing the vessel or maneuvering into open water from slips or basins on which the Contractor's yard is located, the Contractor shall immediately furnish such service at his expense.

(c) Time of Completion. The date and hour of the completion of all the contract requirements and the vessel is returned to the Government shall be considered as the time of completion of the contract subject to the provisions of the Commencement, Prosecution, and Completion -- Ship Repair paragraph 1.1.12 of this scope of work.

1.1.9. In case of failure on the part of the Contractor to complete the work within the specified availability period (see paragraph 1.1.12, below) or any extensions thereof, the Contractor shall pay the Government as liquidated damages as specified in Clause 52.211-11, for each calendar day of delay until the work is completed or accepted.

1.1.10. The Contractor shall submit a report to the Contracting Officer pertaining to any major part or component found to be damaged or exceeding permissible tolerances upon disclosure of the defects.

1.1.11. Should the removal or shifting of any parts of the vessel or its fittings, stores, fuel, water, etc., be necessary for the carrying out of the repairs specified, the same shall be done by the contractor and all such removals shall be subsequently replaced and any damage or loss resulting there from shall be made good by the contractor at his expense.

1.1.12. COMMENCEMENT, PROSECUTION, AND COMPLETION -- SHIP REPAIR

(a) It is the intent of these specifications that the vessel be out of service for work under this contract for no longer than a total of 120 calendar days, as follows: Due to the work schedule, the vessel cannot be made available for one continuous period of time; but will have to be made available to the contractor for two separate periods of time, as specified hereafter. The vessel will be delivered to the contractor after award. The vessel must be released by the contractor in order to travel to, and arrive at Fernandina Harbor, FL, on 27 July 2009. Whatever items of repair work (see Part 2, DETAILS OF WORK TO BE PREFORMED, below) the contractor begins during this first period of availability must be completed not later than close of business on July 24, 2009, such that the vessel will be fully functional. The vessel will be returned to the contractor approximately 60 calendar days later, on or about 22 September 2009, for the second period of availability, during which all specified work will be completed, after which the vessel will depart for its next assignment at Miami Harbor, FL.

The Contractor will therefore be required to commence work under the contract immediately upon delivery of the vessel to prosecute the work with faithfulness and energy and to complete the work within the availability period specified above. This 120 calendar-day availability period shall include the travel time of the vessel from its last duty station to the Contractor's yard; the time required to perform all work specified herein; the travel time to and from Fernandina Harbor, FL, during the break in the availability period and the travel time from the Contractor's yard to the vessel's next duty station. (See the Evaluation of Cost to Deliver Vessel -- Ship Repair paragraph in paragraph 1.1.13 below for location of duty stations.) For purposes of this paragraph, it shall be assumed that the vessel travels at a rate of 150 miles per day. The vessel is operated only between the hours of operation of 8:00 a.m. and 4:30 p.m., Monday through Friday, excluding Federal holidays. It shall be the contractor's responsibility to schedule work on the vessel in such a manner as to assure completion in a period, which, with allowance for travel time, does not extend past 120 calendar days.

(b) In computing the time for commencement and completion of the work under the contract, fractional days will be prorated to the nearest hour. The hour of commencement shall be reckoned as the time when the vessel leaves its duty station for the Contractor's yard. The hour of completion of the contract shall be reckoned as the time when the vessel arrives at its next duty station subsequent to leaving the Contractor's yard. The hour of delivery shall be reckoned as the time when the vessel enters the Contractor's yard. The hour of acceptance shall be reckoned as the time all work under the contract is accepted by the Contracting Officer. If all work is not satisfactorily completed when the vessel is returned to the Government, the Contractor shall complete the work remaining to be done. Any operating time lost by the vessel thereafter because of any activities of the Contractor in completing said work shall be included in the computation of time for completion of work under the contract.

(c) In Summary of the above mentioned period of performance, line items 0011, 0017, and 0021 are to be completed by 24 July 2009. The remaining line items are to be completed between the periods of performance of 22 September 2009 through 29 October 2009.

1.1.13 EVALUATION OF COST TO DELIVER VESSEL -- SHIP REPAIR

(a) The Surveyboat FLORIDA will be located in Jacksonville, Florida at the time offers are received. For the purpose of determining the lowest priced offer, the cost of delivery and return of the vessel will be given due consideration at the rate of $20.00 for each nautical mile that the vessel is required to travel as herein described. Upon completion of the 2 repair periods, the vessel will begin operations at Miami Harbor, Florida; therefore, the vessel will be delivered without cost to yards located between Jacksonville, FL and Miami, FL. Offers from yards located outside this area will be evaluated based on delivery and return of the vessel from and to Jacksonville or Miami Harbor, Florida as appropriate. All distances will be based on the usually traveled route affording safe navigation for the vessel as determined by the Contracting Officer.

(b) Offers must be based on the Contractor's acceptance of the vessel in accordance with the Vessel Delivery and Return -- Ship Repair paragraph of this contract and commencement of work in accordance with the Commencement, Prosecution, and Completion -- Ship Repair paragraph of this scope of work. Offers based on any other schedule will be rejected as non-responsive.

1.1.14. Should any portion of the vessel's structure, housing, fixtures, or equipment require alteration in order to carry out the work, even though not specifically mentioned herein, the contractor shall make such alterations at his expense. Moreover, should the contractor damage any portion of the vessel's structure, housing, fixtures, or equipment while carrying out this work on the vessel, the contractor shall make such alterations or repairs at his expense to restore the property to its previous condition.

1.1.15. Similarly, should any tank, compartment, void, bilge, or other area of the vessel, except those tanks specified hereafter, require cleaning and gas freeing in order to perform the work, it shall be done at no additional expense to the Government. This shall include furnishing a certificate to the Contracting Officer's representative stating that the area has been tested by a certified marine chemist and is safe for burning and welding.

(End of clause)

52.204-11 AMERICAN RECOVERY AND REINVESTMENT ACT-REPORTING REQUIREMENTS (MAR 2009)

(a) Definitions. As used in this clause—

Contract, as defined in FAR 2.101, means a mutually binding legal relationship obligating the seller to furnish the supplies or services (including construction) and the buyer to pay for them. It includes all types of commitments that obligate the Government to an expenditure of appropriated funds and that, except as otherwise authorized, are in writing. In addition to bilateral instruments, contracts include (but are not limited to) awards and notices of awards; job orders or task letters issued under basic ordering agreements; letter contracts; orders, such as purchase orders, under which the contract becomes effective by written acceptance or performance; and bilateral contract modifications. Contracts do not include grants and cooperative agreements covered by 31 U.S.C. 6301, et seq. For discussion of various types of contracts, see FAR Part 16.

First-tier subcontract means a subcontract awarded directly by a Federal Government prime contractor whose contract is funded by the Recovery Act.

Jobs created means an estimate of those new positions created and filled, or previously existing unfilled positions that are filled, as a result of funding by the American Recovery and Reinvestment Act of 2009 (Recovery Act). This definition covers only prime contractor positions established in the United States and outlying areas (see definition in FAR 2.101). The number shall be expressed as “full-time equivalent” (FTE), calculated cumulatively as all hours worked divided by the total number of hours in a full-time schedule, as defined by the contractor. For instance, two full-time employees and one part-time employee working half days would be reported as 2.5 FTE in each calendar quarter.

Jobs retained means an estimate of those previously existing filled positions that are retained as a result of funding by the American Recovery and Reinvestment Act of 2009 (Recovery Act).

Total compensation means the cash and noncash dollar value earned by the executive during the contractor’s past fiscal year of the following (for more information see 17 CFR 229.402(c)(2)):

(1) Salary and bonus.

(2) Awards of stock, stock options, and stock appreciation rights. Use the dollar amount recognized for financial statement reporting purposes with respect to the fiscal year in accordance with the Statement of Financial Accounting Standards No. 123 (Revised 2004) ( FAS 123R), Shared Based Payments.

(3) Earnings for services under non-equity incentive plans. Does not include group life, health, hospitalization or medical reimbursement plans that do not discriminate in favor of executives, and are available generally to all salaried employees.

(4) Change in pension value. This is the change in present value of defined benefit and actuarial pension plans.

(5) Above-market earnings on deferred compensation which is not tax-qualified.

(6). Other compensation. For example, severance, termination payments, value of life insurance paid on behalf of the employee, perquisites or property if the value for the executive exceeds $10,000.

(b) This contract requires the contractor to provide products and/or services that are funded under the American Recovery and Reinvestment Act of 2009 (Recovery Act). Section 1512(c) of the Recovery Act requires each contractor to report on its use of Recovery Act funds under this contract. These reports will be made available to the public.

(c) Reports from contractors for all work funded, in whole or in part, by the Recovery Act, and for which an invoice is submitted prior to June 30, 2009, are due no later than July 10, 2009. Thereafter, reports shall be submitted no later than the 10th day after the end of each calendar quarter.

(d) The Contractor shall report the following information, using the online reporting tool available at www.FederalReporting.gov.

(1) The Government contract and order number, as applicable.

(2) The amount of Recovery Act funds invoiced by the contractor for the reporting period. A cumulative amount from all the reports submitted for this action will be maintained by the government's on-line reporting tool.

(3) A list of all significant services performed or supplies delivered, including construction, for which the contractor invoiced in this calendar quarter.

(4) Program or project title, if any.

(5) A description of the overall purpose and expected outcomes or results of the contract, including significant deliverables and, if appropriate, associated units of measure.

(6) An assessment of the contractor’s progress towards the completion of the overall purpose and expected outcomes or results of the contract (i.e., not started, less than 50 percent completed, completed 50 percent or more, or fully completed). This covers the contract (or portion thereof) funded by the Recovery Act.

(7) A narrative description of the employment impact of work funded by the Recovery Act. This narrative should be cumulative for each calendar quarter and only address the impact on the contractor’s workforce. At a minimum, the contractor shall provide—

(i) A brief description of the types of jobs created and jobs retained in the United States and outlying areas (see definition in FAR 2.101). This description may rely on job titles, broader labor categories, or the contractor’s existing practice for describing jobs as long as the terms used are widely understood and describe the general nature of the work; and

(ii) An estimate of the number of jobs created and jobs retained by the prime contractor, in the United States and outlying areas. A job cannot be reported as both created and retained.

(8) Names and total compensation of each of the five most highly compensated officers of the Contractor for the calendar year in which the contract is awarded if—

(9) For subcontracts valued at less than $25,000 or any subcontracts awarded to an individual, or subcontracts awarded to a subcontractor that in the previous tax year had gross income under $300,000, the Contractor shall only report the aggregate number of such first tier subcontracts awarded in the quarter and their aggregate total dollar amount.

(10) For any first-tier subcontract funded in whole or in part under the Recovery Act, that is over $25,000 and not subject to reporting under paragraph 9, the contractor shall require the subcontractor to provide the information described in (i), (ix), (x), and (xi) below to the contractor for the purposes of the quarterly report. The contractor shall advise the subcontractor that the information will be made available to the public as required by section 1512 of the Recovery Act. The contractor shall provide detailed information on these first-tier subcontracts as follows:
