ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS
Submission of Price Quote – Contractor shall submit the following in 1 copy:
1. Signed and dated Standard Form 1449 (Solicitation / Contract / Order for Commercial Items).
2. Signed and dated Standard Form 30, if applicable, for any Amendments to the Solicitation
3. Completed schedule (pricing information) for all line items listed in the solicitation / amendments.
4. Completed Clause 52.212-3 and Alt I, “Offeror Representations and Certifications – Commercial Item’s” As noted above.
A. BASIS FOR AWARD
The Government will award one contract resulting from this solicitation in accordance with FAR 13.106 to the responsible offeror meeting or exceeding all solicitation requirements and representing the best value based on lowest price technically acceptable.
B. FACTORS AND SUB-FACTORS TO BE EVALUATED
Award will be made to the Offeror whose quote is most advantageous to the Government based upon an integrated assessment of the evaluation factors and sub-factors described below.
1. Factor 1: Technical Capability of the Offeror to Perform the Requirements of the SOW.
a. Professional qualifications of the proposed staff in the disciplines needed to successfully complete the tasks.
Include staff qualifications in: analyzing water chemistry data (particularly nutrient levels); and analyzing population data and trends for bacteria, phytoplankton, and zooplankton.
Acceptable: Contractor key personnel or principle investigator must hold at least a bachelor’s degree in limnology, fishery biology, or related field and have a minimum of 5 years analyzing water quality data and bacteria, phytoplankton, and zooplankton population trend data.
Unacceptable: Contractor key personnel or principal investigator has less than 5 years experience and or does not hold a college degree in limnology, fishery biology, or related field.
b. Provide background, knowledge, and expertise in supplementing nutrient levels in large lakes in the Pacific Northwest, particularly for kokanee populations, and determining appropriate amount and type of fertilizers to use.
Acceptable: Contractor key personnel or principal investigator has completed at least 3 nutrient supplementation programs using liquid fertilizers since 2001 in large lakes of at least 1,000 acres in the Pacific Northwest with an emphasis on increasing productivity or population levels of kokanee or sockeye salmon.
Unacceptable: Contractor key personnel or principal investigator have not completed at least 3 nutrient supplementation programs using liquid fertilizers since 2001 in large lakes of at least 1,000 acres in the Pacific Northwest with an emphasis on increasing productivity or population levels of kokanee or sockeye salmon.
2. Factor 2: Past Performance
a. Discuss past performance on similar projects. Address the types of work, agency or firm for which work was done, locations, problems encountered and resolutions, project success, and other details to sufficiently discuss past performance.
(1) Contractor must provide sufficient information on past performances to demonstrate that they have been successful in working with other agencies/firms to successfully accomplish nutrient supplementation programs and have been successful in resolving problems encountered
b. Provide three current references for verification of past performance of similar type requirements. Include Company Agency name and address, point of contact, and telephone and fax numbers for each reference.
(1) Contractor must submit references for this type of work and receive a minimum satisfactory rating by references in the following areas on at least three similar projects in the previous five years:
a. Timeliness of service
b. Quality of service
c. Problem resolution and Teaming
The previous areas are rated using the references submitted for Past Performance rating as follows.
a. Acceptable: Contractor rates at least satisfactory in each past performance area evaluated.
b. Unacceptable: The contractor does not rate at least satisfactory in each performance area.
c. Neutral: The offeror has no record of relevant past performance or information is not available.
3. Factor 3: Offeror’s Responsiveness in Understanding the Requirements of the SOW
Acceptable: Proposal contains no technical errors or discrepancies, and proposal discusses how the contractor will perform each item required in the SOW. Any deviations from the SOW are identified and justified.
Difficult areas are identified and details for overcoming them are provided.
Unacceptable: Proposal contains technical errors or discrepancies, and proposal does not address how the contractor shall perform items in the SOW. Or contractor does not explain why they are deviating from the SOW or explain how they will overcome difficult areas.
PERFORMANCE WORK STATEMENT
PART 1 – GENERAL INFORMATION
1.1 General. This is a non-personal services contract to provide Consultation Services for the Reservoir Nutrient Enhancement Project at U.S. Army Corps of Engineers, Dworshak Dam & Reservoir, Ahsahka, Idaho (Government). The Government will not exercise any supervision or control over the Contractor’s employees performing the services herein. The Contractor’s employees shall be accountable solely to the Contractor, who in turn is responsible to the Government.

1.2 Background. Dworshak Reservoir is located on the North Fork Clearwater River near Ahsahka, Idaho, held by Dworshak Dam, a multifunction hydroelectric power plant. The Reservoir is approximately 600 feet at its deepest and extends approximately 55 miles upstream of the dam. In 2016 the Government completed a 5-year pilot program providing nutrient supplementation to Dworshak Reservoir, to enhance the productivity of the aquatic environment of both the Reservoir and tributaries, by the application of liquid fertilizer to replace depleted nutrients.
Results from the pilot study indicated positive trends in aquatic health and productivity, and the Government intends to continue the program forward. Application of liquid fertilizer is performed weekly between May 1 and September 30 each calendar year.
1.3 Scope. The Contractor shall provide assistance to the Government in managing the continuing Reservoir Nutrient Enhancement Project. Required activities include, but are not limited to:
Reviewing historic data and in-season water quality data Providing initial fertilization prescription tables, and updating when necessary Recommending improvements to application plans, processes, and recordkeeping
Securing laboratory testing for water chemistry, biological analysis, and blue-green algae samples (new this iteration)
Preparing an annual report summarizing the supplementation efforts and results of each application season Attending and presenting at various meetings Ensuring all operations that are contractor responsibilities are in accordance with EPA NPDES Permit No.
ID-0028444 (Attachment 1).
See Part 2, Specific Tasks for a detailed description of these requirements.
1.4 Place of Performance. The work will be generally be performed at the Contractor’s own facilities. The Contractor will be required to attend meetings in Lewiston, Orofino, and Ahsahka, Idaho, and shall effect performance of water quality testing on and around the Northfork Clearwater River.
1.5 Period of Performance. The period of performance shall be for one base period of up to 12 months and four 12-month option periods. The performance periods are as follows:
Base Period April 1, 2017 (or date of award, if later) – March 31, 2018 Option 1 April 1, 2018 – March 31, 2019 Option 2 April 1, 2019 – March 31, 2020 Option 3 April 1, 2020 – March 31, 2021 Option 4 April 1, 2021 – March 31, 2022
1.6 Pre-screen candidates using E-Verify Program. The Contractor must pre-screen Candidates using the E-verify Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements. The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 30 business days after the initial contract award.
PART 2 – SPECIFIC TASKS
2.1 Initial Dworshak Reservoir Fertilization Schedule (aka Prescription Table)
The Contractor shall review available historic data, including the previous year’s annual report “Dworshak Reservoir Nutrient Enhancement Project: Progress Report and Data Summary,” and any draft data collected by the Idaho Department of Fish and Game (IDFG) for the previous season(s), as well as the latest water quality monitoring data, current reservoir conditions, and the initial Dworshak Reservoir Fertilization Schedule prepared at the end of the previous season. The Contractor shall update the initial Dworshak Reservoir Fertilization Schedule, as needed, for the three application zones (see Attachment 2) for weekly fertilizer applications to be performed between May 1 and September 30 (see sample in Attachment 3), to specify application rates needed to obtain a balanced nutrient loading (Nitrogen:Phosphorus ratio) in the Reservoir. The initial Prescription Table shall be delivered to the Government not later than April 20 or within two weeks of receipt of data for review, whichever is later.
2.2 Season Kickoff Meeting
The Contractor shall meet at Dworshak Project for the first scheduled Reservoir fertilizer application to:
Review fertilizer application techniques and equipment with project personnel Review the project application plan and provide comments and recommendations for improving the plan Provide technical assistance to project personnel in setting up and calibrating equipment and applying the fertilizer correctly over the length of the Reservoir (per the updated Dworshak Reservoir Fertilization Schedule), and
Review the recordkeeping systems and make recommendations as needed for correct documentation of fertilizer applications and water quality data.*
*The recordkeeping system tracks the amount and type of fertilizer applied to each section of the reservoir by each application and water quality data obtained from the monitoring program. This information will also be utilized by the contractor for annual reporting.
2.3 Water Quality Monitoring (Limnologic Data)
2.3.1 Program. The Dworshak Reservoir Nutrient Enhancement Project has shown great potential to improve the ecological function of the reservoir. Consistent collection and analysis of limnologic data is essential to the continued success of the program. The water quality monitoring program includes monitoring parameters such as:
light penetration; temperature; dissolved oxygen levels; nutrient concentrations; bacteria, phytoplankton, and zooplankton communities; and overall reservoir productivity. The objective is to obtain quality analytical results at the lowest possible detection limits to update the water-quality database and enhance the prescription.
2.3.2 Water Testing Laboratories. The Contractor shall identify qualifying water testing laboratories to provide necessary water chemistry, biologic analysis, and blue-green algae testing services. The Contractor shall receive and analyze test results, ensure the data and analysis is provided to USACE, as well as coordinate payments to the contract laboratory. Specific laboratory and analysis requirements are detailed in Attachment 4 Dworshak Nutrient Enhancement Program – Water Quality Analysis. Requirements in Attachment 4 are contractually binding.
2.3.3 Water Sample Collection. Idaho Department of Fish & Game (IDFG) is working in partnership with the Corps of Engineers on the Reservoir Nutrient Supplementation Program. Under this partnership, IDFG will collect field data and water samples. Samples will be shipped directly to the contract laboratory as identified in accordance with paragraph 2.3.2 above.
2.3.3.1 Monthly Samples. IDFG will collect water samples for chemical and biological analysis from seven monitoring sites (six sites on the Reservoir, and one below Dworshak Dam) once per month (over a two-day period) from April through November, for a total of eight sampling events (reference Attachment 4).
2.3.3.2 “Grab” Samples. In the event a blue-green algae bloom is observed, personnel from IDFG or USACE will collect field data and water sample sets from anywhere on the Dworshak Reservoir for biologic and toxin analysis. Under this contract, up to five samples for each analysis may be collected for analysis. In accordance with NPDES Permit ID-0028444, all grab samples shall be expedited, with a turn-around time of no more than 24 hours.
Note: If Blue-Green Algae blooms do not appear, no samples will be sent for analysis. The Government makes no guarantee, express or implied, that any B-G Algae tests will be requested, and the Government reserves the right to increase the number of tests required via contract modification at the same price quoted in the base contract.
2.4 In-Season Data Review and Fertilization Prescription Table Updates
The Contractor shall review water quality monitoring data and other Reservoir data provided by IDFG and USACE (such as elevation projections) to determine whether there are any imbalances in the water quality parameters that may warrant changes in the Fertilization Prescription Tables or additional action by the Government is recommended. The Contractor shall notify the Government within three working days of receipt of test results whether adjustments to the Dworshak Reservoir Fertilization Schedule rates are needed or provide other recommendations to balance the nutrient levels in the reservoir.
2.5 Annual Report
The Contractor shall prepare a report for the Government covering the application year. The report shall be similar in content and complexity to existing annual reports and shall include:
Details of each fertilizer application Results from monthly water quality monitoring Summary of in-season recommendations made by the Contractor A comparison of the year’s water quality and aquatic ecology parameters to pre-enhancement and previous years’ program data Contractor’s recommendations for fertilizer applications or monitoring activities for the subsequent application year.
Updated Dworshak Reservoir Fertilization Schedule for the subsequent season. (separate document, due not later than 31 March/End of Period of Performance)
The Contractor shall provide electronic copies of a draft report to the Government not later than January 31 each performance period, for a 15-day review. The Contractor shall incorporate the Government’s comments into the final report and shall provide six printed copies and a compact disk containing the electronic copy of the final report in PDF format not later than February 28 of the performance period.
2.6 Program Summary Meeting
In late February or early March of each performance period, the Corps and IDFG will host a meeting in Lewiston, Idaho, inviting other state and Federal agencies to review the results of the application year. The Contractor shall attend this meeting and provide a summary presentation of the Nutrient Supplementation Program. At a minimum, this presentation shall summarize:
Fertilizer applications for all years to date of the program Results from the water quality monitoring program, and Changes to primary production in the reservoir compared to pre-enhancement and previous program data.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Factor 1: Technical Capability of the Offeror to Perform the Requirements of the SOW.
a. Professional qualifications of the proposed staff in the disciplines needed to successfully complete the tasks.
Include staff qualifications in: analyzing water chemistry data (particularly nutrient levels); and analyzing population data and trends for bacteria, phytoplankton, and zooplankton.
Acceptable: Contractor key personnel or principle investigator must hold at least a bachelor’s degree in limnology, fishery biology, or related field and have a minimum of 5 years analyzing water quality data and bacteria, phytoplankton, and zooplankton population trend data.
Unacceptable: Contractor key personnel or principal investigator has less than 5 years' experience and or does not hold a college degree in limnology, fishery biology, or related field.
b. Provide background, knowledge, and expertise in supplementing nutrient levels in large lakes in the Pacific Northwest, particularly for kokanee populations, and determining appropriate amount and type of fertilizers to use.
Acceptable: Contractor key personnel or principal investigator has completed at least 3 nutrient supplementation programs using liquid fertilizers since 2001 in large lakes of at least 1,000 acres in the Pacific Northwest with an emphasis on increasing productivity or population levels of kokanee or sockeye salmon.
Unacceptable: Contractor key personnel or principal investigator have not completed at least 3 nutrient supplementation programs using liquid fertilizers since 2001 in large lakes of at least 1,000 acres in the Pacific Northwest with an emphasis on increasing productivity or population levels of kokanee or sockeye salmon.
Factor 2: Past Performance
a. Discuss past performance on similar projects. Address the types of work, agency or firm for which work was done, locations, problems encountered and resolutions, project success, and other details to sufficiently discuss past performance.
(1) Contractor must provide sufficient information on past performances to demonstrate that they have been successful in working with other agencies/firms to successfully accomplish nutrient supplementation programs and have been successful in resolving problems encountered
b. Provide three current references for verification of past performance of similar type requirements. Include Company Agency name and address, point of contact, and telephone and fax numbers for each reference.
(1) Contractor must submit references for this type of work and receive a minimum satisfactory rating by references in the following areas on at least three similar projects in the previous five years:
a. Timeliness of service
b. Quality of service
c. Problem resolution and Teaming
The previous areas are rated using the references submitted for Past Performance rating as follows.
a. Acceptable: Contractor rates at least satisfactory in each past performance area evaluated.
b. Unacceptable: The contractor does not rate at least satisfactory in each performance area.
c. Neutral: The offeror has no record of relevant past performance or information is not available.
Factor 3: Offeror’s Responsiveness in Understanding the Requirements of the SOW
Acceptable: Proposal contains no technical errors or discrepancies, and proposal discusses how the contractor will perform each item required in the SOW. Any deviations from the SOW are identified and justified. Difficult areas are identified and details for overcoming them are provided.
Unacceptable: Proposal contains technical errors or discrepancies, and proposal does not address how the contractor shall perform items in the SOW. Or contractor does not explain why they are deviating from the SOW or explain how they will overcome difficult areas.
[Contracting Officer shall insert the significant evaluation factors, such as
Technical and past performance, when combined, are __________ [Contracting Officer state, in accordance with FAR 15.304, the relative importance of all other evaluation factors, when combined, when compared to price.]
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JAN 2017)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
(a) Definitions. As used in this provision--
“Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“Civil judgment” means--
(1) In paragraph (h) of this provision: A judgment or finding of a civil offense by any court of competent jurisdiction.
(2) In paragraph (s) of this provision: Any judgment or order entered by any Federal or State court in which the court determined that a labor law violation occurred, or enjoined or restrained a violation of labor law. It includes a judgment or order that is not final or is subject to appeal. To determine whether a particular judgment or order is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.
“DOL Guidance” means the Department of Labor (DOL) Guidance entitled: ``Guidance for Executive Order 13673, `Fair Pay and Safe Workplaces' ''. The DOL Guidance, dated August 25, 2016, can be obtained from www.dol.gov/fairpayandsafeworkplaces.
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Enforcement agency” means any agency granted authority to enforce the Federal labor laws. It includes the enforcement components of DOL (Wage and Hour Division, Office of Federal Contract Compliance Programs, and Occupational Safety and Health Administration), the Equal Employment Opportunity Commission, the occupational Safety and Health Review Commission, and the National Labor Relations Board. It also means a State agency designated to administer an OSHA-approved State Plan, but only to the extent that the State agency is acting in its capacity as administrator of such plan. It does not include other Federal agencies which, in their capacity as contracting agencies, conduct investigations of potential labor law violations. The enforcement agencies associated with each labor law under E.O. 13673 are--
(1) Department of Labor Wage and Hour Division (WHD) for--
(i) The Fair Labor Standards Act;
(ii) The Migrant and Seasonal Agricultural Worker Protection Act;
(iii) 40 U.S.C. chapter 31, subchapter IV, formerly known as the Davis-Bacon Act;
(iv) 41 U.S.C. chapter 67, formerly known as the Service Contract Act;
(v) The Family and Medical Leave Act; and
(vi) E.O. 13658 of February 12, 2014 (Establishing a Minimum Wage for Contractors);
(2) Department of Labor Occupational Safety and Health Administration (OSHA) for--
(i) The Occupational Safety and Health Act of 1970; and
(ii) OSHA-approved State Plans;
(3) Department of Labor Office of Federal Contract Compliance Programs (OFCCP) for--
(i) Section 503 of the Rehabilitation Act of 1973;

“Forced or indentured child labor” means all work or service—

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C.
395(c).
“Labor compliance agreement” means an agreement entered into between a contractor or subcontractor and an enforcement agency to address appropriate remedial measures, compliance assistance, steps to resolve issues to increase compliance with the labor laws, or other related matters.
“Labor laws” means the following labor laws and E.O.s:
(1) The Fair Labor Standards Act.
(2) The Occupational Safety and Health Act (OSHA) of 1970.
(3) The Migrant and Seasonal Agricultural Worker Protection Act.
(4) The National Labor Relations Act.

“Labor law decision” means an administrative merits determination, arbitral award or decision, or civil judgment, which resulted from a violation of one or more of the laws listed in the definition of ``labor laws''.
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).
