SUMMARY OF CHANGES
SECTION SF 1449 - CONTINUATION SHEET
SOLICITATION/CONTRACT FORM
The required response date/time has changed from 28-Sep-2015 04:00 PM to 07-Oct-2015 02:00 PM.
The following have been modified:
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF
1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the
Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent
Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA

20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,000, and offers of
$3,000 or less if the solicitation requires the Contractor to be registered in the System for Award Management
(SAM) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts
(see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling
1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting
Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
INSTRUCTIONS, CONDITIONS AND NOTICES TO OFFERORS
Following is language from the solicitation covering Basis for Award, factors to be evaluated, the proposal submission instructions and evaluation approach. In the case of any discrepancy, the language in the solicitation as issued or amended controls.
1. General
All proposals received in response to this solicitation will be evaluated in accordance with source selection procedures. Contract award will be made to the Offeror whose proposal meets all of the technical criteria and offers the lowest evaluated price.
Each Offeror’s ability to perform the work set forth in this solicitation will be evaluated. This will be determined by evaluating non-price factors and price. The Government will not award a contract to an Offeror whose proposal contains a deficiency, as defined in FAR 15.001.
Offerors must propose on all line items (price schedule) in order to be considered for award. Offerors that do not propose on all line items will be eliminated from the competition and will not be considered.
In accordance with FAR 15.306(a)(3) the Government intends to evaluate proposals and make award without discussions. If, however, after initial evaluation the Contracting Officer determines that no offer is acceptable for award, the Contracting Officer may establish a competitive range. The Government reserves the right to limit the competitive range for the purpose of efficiency.
2. Proposal Submission
Any costs related to proposal preparation and submission will not be reimbursed by the Government.

Competitive range: If applicable, the competitive range may be limited for purposes of efficiency in accordance with
FAR 15.306(c)(2). Offerors are urged to reflect their best possible terms; to include price-related elements, since less than the best potential price(s) could result in exclusion of the proposal from further consideration.
Unrealistically high or low proposed prices may be grounds for eliminating a proposal from the competitive range based upon an assessment that the Offeror does not understand the requirement or the Offeror has made an unrealistic proposal.
Note to offerors: In accordance with FAR Part 29.3 – STATE and LOCAL TAXES, and pursuant to Title 4 of the
USC104-107, the Government is exempt from paying local and state taxes. Exempt tax identification number is 91-

D. Joint Ventures (JV)
A joint venture is defined as follows: a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as
“teaming agreements” or “strategic alliance”, which are not recognized as bona fide joint ventures for the purposes of this solicitation.
A company that is part of a joint venture shall submit a legally binding joint venture agreement. The Government will not evaluate the capability of any contractors that are not included in the joint venture agreement. Joint ventures shall include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified.
If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners can be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity. Joint Ventures shall submit the following additional documentation regarding their business entities:
a. A copy of their Joint Venture Agreement translated into English, if the original agreement is in a language other than English.
b. A detailed statement outlining the following, in terms of percentages, where appropriate.
(1) The relationship of the Joint Venture parties, in terms of business ownership, capital contribution, and profit distribution or loss sharing.
(2) The management approach of the Joint Venture in terms of who will conduct, direct, supervise and control the project and have custody and control of the assets of the Joint Venture and perform the duties necessary to complete the work.

II. Price Proposal 1 1 1 N/A
(3) The structure of the Joint Venture and decision-making responsibilities of the Joint Venture parties, in terms of who will control the manner and method of performance of the work.
(4) The bonding responsibilities of the Joint Venture parties.
(5) Identification of the key personnel having authority to legally bind the Joint Venture to subcontracts and state who will provide or contract for the labor and materials for the Joint Venture.
(6) Identification of party maintaining the Joint Venture bank accounts for payment of all expenses, deposits of all receipts, keeping the books and records, and payment for applicable taxes for the Joint Venture.
(7) Identification of party furnishing the facilities, such as office supplies and telephone service. (8)
Identification of the party having overall control of the Joint Venture.
Other sections of the proposal shall identify, where appropriate, whether key personnel are employees of the individual Joint Venture parties, identifying the party, or as hired employees of the Joint Venture.
If one of the Joint Venture parties possesses relevant experience, certifications, and/or past performance, the experience, certifications, and/or past performance of that firm will be considered as the experience, certifications, and/or past performance of the Joint Venture.
A complete and legally binding document with all the information required under this section titled “Joint Ventures” shall be included.
*** All members of the Joint Venture shall sign the SF 1449.
E. Credit for Subcontractor Experience and/or Certification; Letter of Commitment (LOC) If an Offeror wishes to be credited with experience and/or certification of a subcontractor or supplier, i.e., a firm that is not the prime contractor or part of the joint venture, a letter of commitment signed by the subcontractor and the prime contractor must be submitted. The letter of commitment must be submitted even if the firm is in some way related to a joint venture partner (for example, the subcontractor is subsidiary of a joint venture partner, or a subsidiary of a firm to which the joint venture partner is also a subsidiary). In regard to experience and/or certification, if an Offeror submits projects demonstrating experience and/or certification in one of the factors, and that project was completed by a subcontractor, a subsidiary, or a supplier, as opposed to the prime or one of the joint venture partners, the Offeror MUST submit a signed letter of commitment from the contractor who either performed and completed the work or holds the certification. If a letter of commitment is not submitted, the experience and/or certification will not be considered.
F. Subcontractors
The Government recognizes that completion of a project is often a team effort. Therefore, if an Offeror wishes to be credited with experience and/or past performance of a subcontractor (i.e., a firm that is not a member of the Joint
Venture), a letter of commitment signed by the subcontractor must be submitted. The letter of commitment must be submitted even if the firm is in some way related to a Joint Venture partner (for example, the subcontractor is a subsidiary of a Joint Venture partner, or a subsidiary of a firm to which a Joint Venture partner is also a subsidiary).
If a letter of commitment is not submitted, the experience and past performance of subcontractor firms will not be considered. If the Offeror proposal includes the use of subcontractors, the Offeror may not change subcontractors without the Contracting Officer’s approval. Approval will not be given unless the Contracting Officer considers the proposed substitute to be comparable in all respects to the originally proposed subcontractor and that the substitution is in the best interests of the Government.
(End of provision)
(End of Summary of Changes)
The following items are applicable to this modification:
QUESTIONS AND ANSWERS
Question 1: Is there an incumbent? If yes, who is the incumbent?
Answer 1: Western Ecosystems Technology, Inc.
Question 2: What organizations can apply for and be awarded funding under the Anadromous Fish Evaluation
Program?
Answer 2: It depends on the expertise required and who is best qualified to conduct the work. Some work is done by other government agencies, some is done by contractors on a “task order” basis, and some is done under full and open competition. The purpose of this solicitation is to review the proposals.
Question 3: Section II of the Performance Work Statement says that the AFEP receives 45-60 preliminary proposals annually. The successful offeror is to review each proposal within 30 days of receiving it.
3a: Are all of the 45-60 preliminary proposals received at the same time by the AFEP?
Answer 3a: For the most part, yes, but the number of proposals to be reviewed is typically much smaller. Some proposals may be received at different (random) times of the year.
3b: Will all 45-60 of the preliminary proposals be delivered to the successful offeror at the same time (which would mean that all 45-60 proposals must be reviewed in the same 30 day period)?
Answer 3b: Again, yes, but actual number of proposals is typically much smaller.
3c: Does the 30 day period refer to calendar days or business days?
Answer 3c: Calendar days
Question 4: Are the final proposals to be reviewed by the offeror all at the same time (and thus in the same 30-day period)?
Answer 4: Yes, but again the actual number will likely be smaller.
Question 5: Are the Draft Final Reports to be reviewed by the offeror all at the same time (and thus in the same 30-day period)?
Answer 5: Draft final reports are received on an irregular schedule and will typically not be all at the same time.
Question 6: Are the preliminary proposals submitted to the AFEP at the same time (or times) every year? If yes, at what time(s) of year are the proposals submitted?
Answer 6: Draft proposals typically received in July and August (although some may be submitted at other times).
6a: Same question for the Final proposals.
Answer 6a: Final proposals typically received in September and October (although some may be submitted at other times).
6b: Same question for the Draft Reports.
Answer 6b: Draft reports can be received at any time of the year.
6c: Can the government provide a calendar of a typical proposal-study-report cycle?
Answer 6c: Varies, but here’s typical cycle:
Proposals – July through November (year 00)
