RFP Section L Past Performance Experience

L.6 NOTE: NOTE: A teaming agreement is an arrangement in which a potential prime contractor agrees with one or more companies to have them act as its subcontractors (only the Prime contractor's experience will be considered), or a teaming agreement may be a JV agreement.

L.4.1 Past Performance

NOTE: Past Performance contract descriptions shall be contracts held by the prime

Offeror or significant Subcontractors. A significant subcontractor is defined as a subcontractor responsible for 25% or more of the performance required.

M.4.1

The Government will consider the combined Offeror's and proposed subcontractor's past performance in providing services consistent with the scope and complexity of our requirement during the last five (5) calendar years. The Government will assess the Offeror's Team to determine whether the team displays the depth and breadth of experience necessary to demonstrate an acceptable history of performance relative to the solicitation requirements in the section C.

NOTE: A teaming agreement is an arrangement in which a potential prime contractor agrees with one or more companies to have them act as its subcontractors, or a teaming agreement may be a

JV agreement. (particular attention to line: subcontractors, OR a teaming agreement).

The past performance evaluation considers each offeror's demonstrated recent and relevant record of performance in meeting the contract requirements. In accordance with FAR 15.305, the currency and relevance of the information, source of the information, context of the data, and general trends in contractor's performance shall be considered. These are combined to establish one performance confidence assessment rating for each offeror.

M.4.ii

ii. Relevancy – A relevancy determination of the offeror's present and past performance, including joint venture partners and/or significant subcontractors will be made (significant subcontractor meaning a subcontractor responsible for 25% or more of the performance required).

Particular attention to: including joint venture partners and/or significant subcontractors.

Language in M and L significantly contradict the NOTE in L.6. Throughout the rest of the instructions and evaluation factors, the Government states past performance of prime/major subcontractor TEAMS will be combined for evaluation of the team's capability.

The gov also states Prime/Sub teams OR JVs are acceptable for combined evaluation.

All instruction aside from the NOTE require sub past p for evaluation as is standard procedure.

Would the Government please remove the single conflicting note in L.6 or definitely clarify the criteria for prime/subcontractor past performance evaluation.

RFP Question Follow on to Question 9776574

In addition to the cited verbiage in previous question regarding the past performance instructions conflict.

L.4.1

The evaluation of Past Performance is a subjective assessment of the

Performance on contracts of a similar nature, size, scope, and complexity, utilizing a comparable number of personnel with like skills. The Government will consider the previous and current and significant subcontractors. A significant subcontractor is defined as a subcontractor responsible for 25% or more of the performance required.

The Government will consider the combined and proposed past performance in providing services consistent with the scope and complexity of this requirement during the last five (5) calendar years.

The Government will assess the experience to determine whether the team displays the depth and breadth of experience necessary to demonstrate an acceptable history of performance relative to the solicitation requirements in the section C.

RFP Subfactor 4 Equip Description

Re Response to 9769528

The Government is correct in that Section L.3.5 asks for a description and list of equipment provided.

However, Sections M.3.1.C and M.3.1.D do not conform with Sections L.3.4 and L.3.5.

L.3.4 Management Plan does not ask for a discussion of equipment and material use.

L.3.5 Equipment asks for descriptions and lists.

M.3.1.C has an additional requirement "demonstrate an understanding of materials and equipment required to perform the solicitation requirements."

M.3.1.D has an additional statement that offerors are to "identify how the equipment will be used effectively and efficiently for operations in accordance with the solicitation requirements (including any Government furnished equipment, Exhibit 005).

In contrast to Section L which does not require the discussion in either, Section M adds equipment usage to perform operations to both the Management and Equipment Sections.

Would the Government please clarify the conflict by specifying if use/understanding of materials and equipment will be used to perform requirements are to be discussed in

Subfactor 3 Management or Subfactor 4 Equipment.

Thank you.

Government Response. . Verbiage regarding equipment will be moved from paragraph M.3.1.C to paragraph M.3.1.D. Amendment forthcoming. On: Jun 17

Comment Classification: Controlled Unclassified Information (CUI)

In Section B, under the CPFF CLINs' descriptions, it states that the Home Office Overhead shall not exceed 7% of total estimated costs (or 6% for Arkbutla as of Amendment 001).

For pricing, typically there are the Fringe, Overhead and G&A pools. For the purpose of this response, could the Government please clarify what should be considered part of the

Home Office Overhead? Fringe and Overhead indirect costs appear to belong under Part 5

– Other Costs, and G&A appear to be under Part 6 – G&A costs based on Section L's descriptions, but it is not clear what the Home Office Overhead is in relation to the indirect costs/rates (e.g. sum of indirect rates or partial combinations thereof), unless

Home Office Overhead is the Fee that is capped.

Government Response. . What is considered part of the Office Overhead/G&A costs - Part 6 - General Administrative G&A Home Office - Reference page 217 of the solicitation, in para L.5.9, Part 6 the first sentence states what G&A EXPENSES usually relate to/consist of in operating a home office, usually referred to as the OVERHEAD RATE.

Part 5 - OTHER COSTS - Para L.5.8, page 217 of the solicitation - states costs associated with Part 5 this is where the FRINGE is listed for the employees and OTHER COSTS for

Section L.5.4 provides instructions for presenting the Direct Labor Cost in Part 2. Direct

Labor is usually defined as the labor provided by the prime while subcontractor-provid ed portion of labor is accounted for separately. Is it the Government intent to have Part 2 –

Direct Labor Cost more broadly include the entirety of staffing (prime & subcontractor labor) so it shows the overall FTEs and productive hours, or should it strictly show only the direct labor for the prime?

Government Response. . Part 2 – Direct Labor Cost shall include the entirety of staffing (prime & subcontractor labor). On: Jun 17 2022

RFP Exhibit 003 Past Experience

An "Exhibit 003 Summary of Past Experience" was released with the RFP.

Within Section L Exhibit 003 refers to the Acquisition Form.

We understand the exhibit numbers are off but there is no instruction as to where the

Summary of Past Experience sheet is supposed to go.

Would the Government please confirm this sheet is not applicable to the bid or provide direction as to volume/section it is required?

Thank you On: Jun 15 2022.

Section B and Sections L5.6 and L.5.7

2-47 of 233 and 217 of 233

In section B, for each site and each year, the Government provides an estimated amount of

$125,000 per location per year for cost reimbursable materials, supplies and service allowance. Per the price volume instructions in Sections L5.6 and L.5.7 for Parts 3 and 4, the offeror is to list equipment and maintenance costs. Can the Government please clarify whether the costs to be listed in Parts 3 & 4 fall under the plug number allowance

$125,000 per location or that the $125,000 plug number is for contingency in addition to the costs listed in Parts 3 & 4? If the plug amount is to cover costs listed in Parts 3 & 4, they would be mutually exclusive as either the detailed costs are priced, or the plug number is priced, but not both (costs built from the bottom up will seldom match a plug number).

Government Response. . The Government Requested Property amount of $125,000.00 per lake is NOT mutually exclusive to the costs in Section L.5.6.

RFP C.8.2.1 CDL Requirements

Currently the RFP requires Key Personnel to possess a CDL.

C.8.2.1 Requires that among Key Personnel and other proposed personnel, there shall be a minimum of 2 personnel assigned to each lake with a Class A CDL.

Given the maintenance employees typically perform work tasks requiring that licensure rather than Superintendents, it would be more efficient and cost effective to change the requirement to two employees at each site to possessing the herbicide and CDL license.

We respectfully request the Government remove the requirement for the Superintendents to possess a CDL license.

On: Jun 15 2022.

Government Response. . See Section C.8.2.2. "Note that among key personnel AND other proposed personnel there shall be a minimum of 2 individuals assigned to each lake with a Class A CDL." There is no specific requirement stating key personnel must possess a CDL license. On: Jun 17

RFP Section LM Conflict between Staffing L and M

Amend 0001

Conflict between L/M Staffing Section requirements.

L.3.3 Staffing - KMPs, Position Quals, Annual Staffing Plan

L.3.4 Mgt - Structure, Org Chart, Management Plans

M.4.3.B Staffing - "Demonstrate an effective organizational structure and staffing concept approach to organize, staff, lead, plan, coordinate, and control resources to meet the requirements of the solicitation."

M.4.3.B Mgt - Org Structure, Leadership, Plans, Coordinate Resources.

Organizational structure, planning, coordinating, controlling resources all pertain to managerial design and functions which are all required to be discussed under Subfactor 3

Management per both L.3.4 and M.3.1.C.

Would the Gov please delete that sentence from M.4.3.B to remove management content evaluation criteria from Subfactor 2 Staffing and ensure the M.4.3.B staffing section evaluation criteria matches the staffing section content requirements as laid out in L.3.3?

RFP Exhibit 0005

Comment Classification: Controlled Unclassified Information (CUI)

The government provided a revised Exhibit 0005 Government Provided Equipment listing. In the revised listing all Heavy Equipment, (Loaders, Backhoes, Forklifts, Trackhoe's, etc..) were removed. Is the government expecting the contractor to provide these pieces of equipment to satisfy the PWS requirements?

If so, the contractor was counting on these equipment items to be provided and may not have pricing or vendors arranged to provide these items. If these are contractor required, will the government grant an extension to the due date to allow the contractor to have appropriate time to price these items and have exhibit 0003 populated by the vendor?
