Seismic Design Buildings Performance Work Statement
10 November 2016
1. General Information
1.1 Course Background
1.1.1 The Government provides training courses that are managed through the US
Army Corps of Engineers Learning Center (ULC) in Huntsville, Alabama.
These courses require technical or specialized information taught by experienced instructors at Corps or contractor facilities to help fulfill the mission goals.
1.1.2 Course Description: This requirement is to provide instructional services to support the US Army Corps of Engineers Learning Center in efforts to provide structural engineers, who have a working knowledge of seismic design and analysis, with the updated criteria and guidance required to perform an analysis or design in accordance with current seismic criteria. The course material is based on the latest IBC 2015, ASCE7-10 and UFC 3-310-04 dated June 2016.
The course will be targeted to the design of new buildings, the analysis and remediation of existing buildings, the design or analysis of non-building structures and the design or analysis of building components and their anchorages such as piping, HVAC equipment, electrical components, infill walls, etc.
1.1.3 The Seismic Design Buildings (027) course shall consist of 36 hours of instruction combined with hands-on practical exercise. Students will learn about earthquake ground motion, structural response, and code-based seismic design.
1.2 The contractor shall as a minimum but not limited to, teach the following topics:

1.4 Instructional Systems Design (ISD)
1.4.1 The contractor shall ensure that an acceptable Instructional Systems Design (ISD) model is followed to develop, update, or revise course instructional materials. Training materials should be developed to meet standards based on TRADOC Pamphlet 350-70-14 Training and Education Development in Support of the Institutional Domain (27 March 14).
1.5 Period of Performance (POP)
1.5.1 The POP for this contract is a one year base plus four one year option periods.

1.6 Definitions and Abbreviations
1.6.1 CLIN – Contract Line Item Number
1.6.2 COR – Contracting Officer Representative
1.6.3 Course – A systematic presentation of a group of instructional periods designed to convey one or more related ideas, concepts, or procedures.
1.6.4 Course Content – Written, graphical, and pictorial information provided to students as additional information or explanation presented during an instructional period.
1.6.5 Course Manager – CEHND-TD personnel assigned responsibility to oversee/manage courses in accordance with this regulation.
1.6.6 Course Proponent – An action officer responsible for the technical content of a PROSPECT course.
1.6.7 CPARS – Contractor’s Performance Assessment Reporting System.
1.6.8 Deficiencies- Contractor Performance that fails to meet the requirements of the contract.
1.6.9 Develop – To create new training materials such as learning objectives, test questions, quizzes, etc., where they did not exist before.
1.6.10 Duty - A group of homogeneous tasks related by similarity of functions.
1.6.11 FFP – Firm Fixed Price.
1.6.12 ILP – Instructor Lesson Plans - ILPs are the instructor’s primary guide for topic sequencing and accomplishments of learning objectives during the conduct of the course.
1.6.13 Instructional Period – The time allocated in a training course dedicated to meeting a student learning objective.
1.6.14 Job - A group of related duties.
1.6.15 KO – Contracting Officer
1.6.16 Learning Objective – The stated measureable behavioral change that is expected from the student as a result of an instructional period.
1.6.17 POP – Period of Performance – current year of contract execution, base or option year.
1.6.18 PAR - Post Award Review meeting – held at Government’s discretion via teleconference, videoconference, or in person for the Government and Contractor to discuss the expected services/supplies to be delivered, and the due dates for delivery of the submittals of this contract.
1.6.19 Post Test – A test, based on learning objectives, given after a lesson or a period of instruction to determine what the students have learned.
1.6.20 Practical Exercise - The hands-on application of the performance required in learning objectives.
1.6.21 Pre-Test – A test, based on learning objectives, given before a lesson or a period of instruction to determine the student’s current level of knowledge.
1.6.22 PROSPECT – Proponent-Sponsored Engineer Corps Training
1.6.23 Revise – The change of current graphical or written training materials to a different presentation mode.
1.6.24 Schedule of Instruction - (SOI) – a chronological listing of the major subjects and sub-subjects and become the basis for the development of the other course materials.
1.6.25 Task – A unit of a job or activity with a defined beginning and ending place.
1.6.26 ULC – USACE Learning Center
1.6.27 Update – The correction of outdated graphical or written materials.
1.6.28 USACE – U.S. Army Corps of Engineers
1.6.29 Visual Aids – Supplies, materials, tools, and equipment used by an instructor to present ideas, concepts, or objects during an instructional period.
2. Contractor Requirements and Tasks
2.1 The Contractor shall teach the topics identified in paragraph 1.2 above.
2.1.1 The Contractor shall instruct course sessions upon thirty-day (30-days) notification by the KO.
2.1.2 Contractor shall teach topics identified in paragraph 1.2 above.
2.1.3 The Contractor shall update existing course material to present the topics and the course purpose and description.
2.1.4 The Contractor shall incorporate current IBC codes, regulations, guides, mandates, and directives as necessary to support course goals and objectives.
2.2 Base Year Requirements
2.2.1 Training Task
2.2.1.1 The Contractor shall review topics in paragraph 1.2 to determine completeness to meet the purpose and goals of this training course as described in paragraph 1.1.2
2.2.2 Student Learning Objectives:
2.2.2.1 Contractor shall provide student learning objectives, based on the identified training tasks.
2.2.2.2 Contractor shall include learning objectives at the beginning of each learning topic in the training curriculum.
2.2.3 Test for Measurement of Student Achievement of the approved learning objectives.
2.2.3.1 The Contractor shall, update pre-test and post test questions to measure achievement of each approved measurable student learning objective for assigned lecture.
2.2.1.1 The Contractor shall ensure full coverage of answers to all test questions within the course lectures, discussions, or practical exercises.
2.2.4 Instructor Lesson Plans (ILPs)
2.2.4.1 The Contractor shall update instructor lesson plans based on the learning objectives to meet the identified training requirements.
2.2.4.2 The lesson plans shall serve as the instructor’s primary guide for topic sequencing, objective accomplishment, and presentation detail during the conduct of the training course.
2.2.4.3 The Contractor shall ensure that all test items are covered during the course lectures, discussions, or practical exercises.
2.2.5 Student Course Manual
2.2.5.1 Contractor shall provide an updated course manual that incorporates the
Schedule of Instruction, learning objectives and visual aids that supports the instructor lectures.
2.2.5.2 The course manual shall provide the student with sufficient study materials required to accomplish the learning objectives.
2.2.6 Student Handouts
2.2.6.1 Contractor shall, as required, provide handouts that support the student learning objectives and instructors lectures.
2.2.7 Visual Aids
2.2.7.1 The Contractor shall provide visual aids to support course content.
2.2.7.2 A copy of each visual aid must be included in the student training course manual.
2.2.8 Practical Exercises
2.2.8.1 The Contractor shall provide practical exercises to complement instructional content.
2.2.8.2 A solution shall be provided for all practical exercises employed.
2.2.9 Course Presentation
2.2.9.1 The Contractor shall instruct course sessions upon thirty-day (30-day)
2.3 Option Year Requirements
2.3.1 The Contractor shall modify training tasks, as required, and update topics in paragraph 1.2 to determine their completeness and up to meet the purpose and goals of this training course as described in paragraph 1.1.2
2.3.2 The Contractor shall update, as required, topics in paragraph 1.2 to determine their completeness and to meet the purpose and goals of this training course as described in paragraph 1.1.2.
2.3.3 The Contractor shall update, as required, pre-test and post test questions to measure achievement of each approved measurable student learning objective for assigned lecture.
2.3.4 The Contractor shall update, as required, instructor lesson plans, as necessary, based on the learning objectives to meet the identified training requirements.
2.3.5 Contractor shall provide an updated student course manual that incorporates the learning objectives and visual aids that support the instructor lectures.
2.3.6 Visual Aids shall be updated, as required, to support course content
2.3.7 Practical Exercises shall be updated, as required, to complement instructional content.
2.3.8 Schedule of Instruction shall be updated to meet any changes to instructors or course content.
2.4 Course Presentation
2.4.1 The Contractor shall instruct course sessions upon thirty-day (30-days)
2.5 Contractor Administrative Requirements
2.5.1 Post Award Meeting
2.5.1.1 The Contractor shall attend a post award review (PAR) of the contract requirements with the Government.
2.5.1.2 The Government will determine the method to be used whether by videoconference, teleconference, or face-to-face.
2.5.1.3 In the event the post award meeting is not conducted, a milestone schedule for all deliverables will be provided to the Contractor.
2.6 Personnel and Materials
2.6.1 The Contractor shall provide all services, personnel, and materials to conduct the training requirements not provided by the government.
2.6.2 The Contractor shall be responsible for all travel and lodging arrangements.
2.7 Classroom Administration
2.7.1 Administer student registration. All students are require to complete the government furnished registration form. The contractor shall ensure all required information is entered on the form. Completed registration forms shall be forwarded to the government NLT 10 working days after the course session.
2.7.2 Administer classroom management. The contractor shall ensure all students are accounted for during class hours. If required, contractor shall counsel students regarding tardiness, inattentiveness, and lapses of courtesy during lectures.
Repetitive offenders shall be reported to the immediate attention of the course manager or COR.
2.7.3 Course Roster. A government-furnished attendance form shall be utilized to record daily attendance. The attendance form shall be forwarded to the government NLT 10 working days after completion of the course session, as required.
2.7.4 Administer Pre/Post Tests. One copy of the Pre/Post Tests and all student answer sheets shall be forwarded to the Government within 10 working days after the completion of the course session.
2.7.5 End-of-Course Evaluation. A required End-of-Course evaluation must be completed by every student. The contractor shall ensure all information is filled out and completed by each student. The contractor shall forward the original evaluation forms to the government NLT 10 working days after completion of the course session.
2.7.6 The contractor shall complete and present the Corps of Engineers Certificate of Completion to each student meeting all course requirements. Requirements include 90% class attendance, present at end of course. Any absences from class must be excused absences. Typical examples of excused absences are illness and emergencies.
2.7.7 Excess training materials. Excess training and reference materials shall be returned to the government NLT 10 working days after the end of each course, as required.
2.8 Invoice Procedures
2.8.1 Contractor shall submit an invoice within 10 days after each completed training session.
2.8.2 All invoices must have the Company Name as listed in the System for Award
Management (SAM).
2.8.3 All invoices shall reference the contract number.
2.8.4 All invoices must reference the Contract Line Item Number (CLIN).
2.8.5 The contractor shall sign each invoice.
2.8.6 All invoices shall be submitted through electronic media, i.e., e-mail.
2.8.7 Contractor shall submit the signed invoice and prompt payment certification to:

2.8.8 The contractor shall clearly label the FINAL INVOICE and submit a signed Release of Claims with the FINAL INVOICE.
2.9 Contractor Travel
2.9.1 All travel should be conducted in accordance to the Joint Travel Regulation
(JTR) which can be found at http://www.defensetravel.dod.mil/.
2.10 Travel Days
2.10.1 Contractor travel will be reimbursed only for arrival at training location no earlier than one (1) day prior to course start date.
2.10.2 Return travel to contractor place of departure must be completed within twenty-four (24) hours of course completion date.
2.10.3 Exceptions to departure and return date will be made on a case-by-case basis when determined as advantageous to the Government.
2.11 Commercial Airplane
2.11.1 Reimbursement for airfare is limited to the price of a coach ticket purchased 21 days in advance.
2.11.2 Mileage rates will be reimbursed in accordance with the current Joint Travel Regulation.
2.12 Personally Owned Vehicles
2.12.1 Reimbursement for travel by Personally Owned Vehicle (POV) is limited to the
JTR mileage rate for POV travel in those circumstances when reimbursement of mileage results in a lower overall price to the government (including per diem costs).
2.12.2 Mileage rates will be reimbursed in accordance with the current Joint Travel Regulation.
2.13 Rental Car
2.13.1 Reimbursement for travel by rental car is limited to the JTR mileage rate for
POC travel in those circumstances when reimbursement of rental car costs result in a lower overall price to the government (including per diem costs).
2.13.2 Mileage rates do not apply. Gasoline charges will be reimbursed in accordance with the current Joint Travel Regulation.
2.14 Lodging
2.14.1 Reimbursement of costs for lodging, meals and incidentals is limited to the per diem rates in effect at the time of the travel.
2.14.2 The Joint Travel Regulations (JTR) which can be found at http://www.gsa.gov/portal/content/104419.
2.15 Limitation of Funds
2.15.1 The Contractor’s travel cost must not exceed the contracted obligated amount.
2.15.2 The Contractor shall notify the KO and the COR in writing when he/she has reasons to believe charges to the government will exceed the obligated amount.
2.15.3 All documents shall be forwarded to the COR/Course Manager NLT 10 working days at the end of each course to:

3. Contractor Deliverables Base Year
3.1 Base Period Course
3.1.1 All deliverables must be made prior to any invoice being paid.
3.1.2 All course material shall be delivered by electronic media.
3.1.3 The Contractor shall present lesson in the course entitled Seismic Design Buildings.
3.1.4 The Contractor shall deliver Pre and Post Test for Measurement of Student Achievement based upon the student learning objectives.
3.1.5 The Contractor shall deliver handouts (if used).
3.1.6 The Contractor shall deliver visual aids.
3.1.7 The Contractor shall deliver practical exercises (if used).
3.1.8 The Contractor shall deliver schedule of instructions.
3.1.9 The Contractor shall deliver one (1) paper copy of the student materials as specified in delivery schedule in appendix 3.
3.1.10 The Contractor shall deliver to the Government, two (2) electronic copies on CD-ROM or DVD of all course materials as specified in delivery schedule in appendix3.
3.1.11 The Contractor shall deliver to the Government an electronic course manual that incorporates the learning objectives, visual aids, that supports the instruction as described in paragraph 3.1.
3.2 Delivery Schedule
3.2.1 Draft Materials
3.2.1.1 The contractor shall submit draft student and instructor course materials per the delivery schedule in Appendix 2.
3.2.1.2 The government will review and provide comments, if required, within 5 working days of submittals.
3.2.2 Final Materials
3.2.2.1 The contractor shall submit final student and instructor course materials per the delivery schedule in Appendix 2.
3.2.2.2 The government will review and provide final comments, if required, within 5 working days of submittals.
3.2.2.3 All course materials shall be delivered by electronic media.
3.2.2.4 Text documents shall be editable in Microsoft Word or compatible format.
3.2.2.5 Visual aids shall be editable in Power Point or compatible format.
3.2.2.6 The deliverables shall be provided in an electronic format via CD-ROM or AMRDEC Safe file exchange site link provided by the government.
4. Government Furnished Materials
4.1 The Government will provide access to government facilities and resources as required.
4.2 The Government will provide course administration materials and equipment, at the government’s discretion.

If course materials are not electronically available, the government will supply hard copies.
5. Special Terms and Conditions
5.1. Privacy Act: Work on this project may require that personnel have access to Privacy Information. Personnel shall adhere to the Privacy Act, Title 5 of the US Code, Section 552a and applicable agency rules and regulations.
5.2. Security: This project is unclassified.
5.3.The Contractor must pre-screen employees using the E-verify Program (http://www.dhs.gov/E-Verify) website to meet the established employment eligibility requirements. The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award.
5.4.Instructor Qualifications
5.4.1 The instructor (s) shall possess an earned Master’s degree from an accredited college or university in Structural Engineering.
5.4.2 The instructor shall have at least ten years’ experience in the field of Seismic Design. The identified instructor shall have experience teaching Structural Engineering focusing on Seismic Design Buildings.
5.5 Key Personnel
5.5.1 The Contractor shall assign to this contract key personnel designated in their technical proposal and for whom resumes were submitted as part of the proposal.
5.5.2 The Contractor must have a solid understanding of Instructional Design approaches, Design, Development, Implementation and Evaluation (ADDIE) Model.
5.5.3 The Contractor must have experience performing analysis, design and development for instruction; conducting task, needs, and audience analyses; writing learning and performance objectives; and applying principles of adult learning and learning styles.
5.5.4 The Contractor must have experience making presentations, and conducting classroom training; and developing assessments to achieve specific goals. Have ability to follow processes and procedures for quality assurance and technical accuracy of training material content.
5.5.5 Proposed instructor personnel shall be assigned and available on this contract starting from the date of contract award.
5.5.6 Contractor shall immediately notify the Contracting Officer (KO) as soon as practicable if instructor personnel become unavailable.
5.5.7 The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitution(s), complete resume(s) for the proposed substitute(s), and any additional information requested by the Contracting Officer.
5.5.8 The Contractor must demonstrate that the qualifications of prospective personnel are equal to, or better than, the qualifications of the personnel being replaced.
5.5.9 The Contracting Officer will notify the Contractor within fifteen (15) calendar days after receipt of all required information of the approval/disapproval decision on substitution(s).
6.0 Americans with Disabilities Act, Section 508 Compliance
6.1.1. The Contractor shall support the Government in its compliance with Section
508 throughout the development and implementation of the work to be performed.
Section 508 of the Rehabilitation Act of 1973, as amended (29 U.S.C. 794d) requires that when Federal Agencies develop, procure, maintain, or use electronic information technology, Federal Employees with disabilities have access to and use of information and data that is comparable to the access and use by Federal employees who do not have disabilities, unless an undue burden would be imposed on the agency.
6.1.2. Section 508 also requires that individuals with disabilities, who are members of the public seeking information or services from a Federal agency, have access to and use of information and data that is comparable to that provided to the public who are not individuals with disabilities, unless an undue burden would be imposed on the agency.
6.2. Safety:
6.2.1. The Contractor shall ensure all class participants and themselves adhere to EM 385-1-1 during execution of this contract.
6.2.2. Any site visits associated with the class shall adhere to any and all applicable safety requirements of the EM 385-1-1.
6.3. Course Cancellation
6.3.1. The Government will notify contractor forty-five (45) days prior to course session start date for course cancellations.
6.4. Additional Students
6.4.1. The Government will notify the Contractor as soon as possible of additional student requirements.
6.4.2. The Government will pay Contractor the pre-determined additional student cost.
6.4.3. Maximum number of additional students will not exceed 5 students.
6.5. Additional Sessions
6.5.1.The Government will notify contractor as soon as possible of additional session requirements.
6.5.2. The Government will pay contractor the pre-determined additional session cost.
6.6. Date Changes
6.6.1. The Government will notify contractor as soon as possible of course session date changes.
6.6.2. The Contractor and the Government will agree to the proposed date change prior to contract modification.
6.7. Manpower Reporting
6.7.1. The Office of the Assistant Secretary of the Army (Manpower and Reserve Affairs) operates and maintains a secure Army data collection site where the Contractor will report Contractor manpower information (including subcontractor manpower information) required for performance of this contract. The Contractor shall submit all the information required in the format specified at the following internet address:
http://cmra.army.mil/default.aspx.
6.7.2. The UIC for the US Army Corps of Engineers (USACE) is W2V6AA.
6.7.3. The required information include:

6.7.12. Reporting period will be the period of performance not to exceed twelve (12) months ending September 30th of each Government fiscal year and must be reported by October 15th of each calendar year. If this particular contact (your contract as in the selected Contractor’s contract) crosses fiscal years, two entries must be made to capture the data for the contract period.
7. Contractor Performance - The Contractor’s performance will be evaluated by the COR and entered into the ARMY’s Contractor’s Performance Assessment Reporting System, http://www.cpars.gov/cparsmain.htm .
8. Surveillance Plan: The USACE Learning Center (ULC) Course Manager assigned to this course will monitor the Contractor for contractual compliance and performance during the development and presentation of this course(s).
9. Standard Contract Provision & Clauses:
9.1 AT Level I Training. This provision/contract text is for contractor employees with an area of performance within an Army controlled installation, facility or area. Proposed language: "All contractor employees, to include subcontractor employees, requiring access to Army installations, facilities, controlled access areas, or require network access, shall complete AT Level I awareness training within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable.
Upon request, the contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee, to the COR or to the contracting officer (if a COR is not assigned), within 5 calendar days after completion of training by all employees and subcontractor personnel. AT Level I awareness training is available at the following website: http://jko.jten.mil/courses/atl1/launch.html; or it can be provided by the RA ATO in presentation form which will be documented via memorandum."
9.2 AT Awareness Training for Contractor Personnel Traveling Overseas. This standard language text required US based contractor employees and associated sub-contractor employees to make available and to receive government provided area of responsibility (AOR) specific AT awareness training as directed by AR 525-13 (Antiterrorism). Specific AOR training content is directed by the combatant commander with the unit ATO being the local point of contact. Proposed language: "All US based contractor employees and associated sub-contractor employees traveling overseas will receive the government provided AOR specific AT awareness training. The documentation of training completion must be provided to the COR prior to departure.”
9.3 Access and General Protection/Security Policy and Procedures. This standard language text is for contractor employees with an area of performance within an Army controlled installation, facility or area. Per Homeland Security Presidential Directive-12 (HSPD-12), Common Access Cards (CAC) are required for contractors working six months or more; background investigations are required prior to CAC credential issuance. Un-cleared contractors working less than six months must submit to a background check, via the appropriate Provost Marshal Office, Director of Emergency Services or Security Office, and must abide by applicable identification and access control requirements. Proposed language: "All contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks or background investigation and to meet installation/facility access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any installation or facility change, the Government may require changes in contractor security matters or processes."
9.4 Suspicious Activity Reporting Training. Suspicious Activity Reporting Training (e.g.
iWATCH, CorpsWatch, or See Something, Say Something). This standard language is for contractor employees with an area of performance within an Army controlled installation, facility or area. Proposed language: "The contractor and all associated sub-contractors shall receive a brief/training (provided by the RA) on the local suspicious activity reporting program. This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the project manager, security representative or law enforcement entity. This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance with the results reported to the COR NLT 5 calendar days after the completion of the training."
9.5 Contractor Employees Who Require Access to Government Information Systems. This standard language text is for contractor employees with access to government info system.
Proposed language: "All contractor employees with access to a government info system must be registered in the Army Training Certification Tracking System (ATCTS) at commencement of services, and must successfully complete the DOD Information Assurance Awareness prior to access to the information systems and then annually thereafter in accordance with personnel security standards listed in AR 25-2 (Information Assurance), an appropriate background investigation will be conducted prior to accessing the government information systems."
9.6 For Contracts that Require OPSEC Training. Per AR 530-1, (Operations Security) contractor employees must complete Level I OPSEC Training within 30 calendar days of contract award. Proposed language: "All new contractor employees will complete Level I OPSEC Training within 30 calendar days of their reporting for duty. Additionally, all contractor employees must complete annual OPSEC awareness training. The contractor shall submit certificates of completion for each affected contractor and subcontractor employee, to the COR or to the contracting officer (if a COR is not assigned), within 5 calendar days after completion of training. OPSEC awareness training is available at the following websites: https://www.iad.gov/ioss/ or http://www.cdse.edu/catalog/operations-security.html; or it can be provided by the RA OPSEC Officer in presentation form which will be documented via memorandum."
9.7 For Information assurance (IA)/information technology (IT) training. This standard language text is for contract employees who need network access and/or working IA/IT functions. Proposed language: "All contractor employees and associated sub-contractor employees must complete the DoD IA awareness training before issuance of network access and annually thereafter. All contractor employees working IA/IT functions must comply with DoD and Army training requirements in DoD 8570.01, DoD 8570.01-M and AR 25-2 within six months of employment."
9.8 Pre-screen candidates using E-Verify Program. Proposed language: "The Contractor must pre-screen Candidates using the E-verify Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements. The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award." *When contracts are with individuals, the individuals will be required to complete a Form I-9, Employment Eligibility Verification, with the designated Government representative. This Form will be provided to the Contracting Officer and shall become part of the official contract file.
