The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JAN 2017)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) RESERVED.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) RESERVED.

The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(End of Addendum)

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) While reserving the right to not award any contract under this solicitation, the Government intends to award a contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors, listed in descending order of importance below, shall be used to evaluate offers:

1. Technical Approach – Most important factor;

2. Past Performance – Somewhat less important than technical approach;

3. Price Proposal – Slightly less important than technical approach;

4. Small Business Participation – Significantly less important than technical approach, past performance and price, considered individually.

All non-price factors, when combined, are significantly more important than price.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)

ADDENDUM TO FAR 52.212-2 EVALUATION—COMMERCIAL ITEMS

The Government intends to evaluate proposals in accordance with the criteria described within the solicitation. The Government reserves the right to accept other than the lowest priced offer or to reject all offers. The Government will not award a contract to a firm whose proposal contains a deficiency, as defined in FAR 15.001. Before award to a higher priced offer when a lower priced, conforming Offer(s) remains, the Source Selection Authority (SSA) must affirmatively determine that the higher priced offer’s technical superiority justifies award to that Offeror and offers the best value to the government. This contract will be awarded to the Offeror whose proposal represents the best value to the Government, noting that as proposals become increasingly technically equal and are awardable in other non-price areas, the proposed price will become increasingly determinative in the best value decision. The following evaluation factors will be used:

1. Technical Approach - Most important factor;

2. Past Performance - Somewhat less important than technical approach;

3. Price Proposal – Slightly less important than past performance;

4. Small Business Participation - Significantly less important than technical, past performance and price, considered individually.

Technical approach is the most important factor. All the non-price factors, when combined, are significantly more important than price.

However, as proposals become increasingly technically equal (and at least awardable in the other non-price areas), the proposed price will become increasingly determinative in making best value decision for award.

The Government reserves the right to award without discussions, but reserves the right to conduct discussions, if deemed necessary.

The adjectival rating scale to be applied for Factor I, Technical, will use a combined technical/risk rating of Outstanding, Good, Acceptable, Marginal or Unacceptable in conjunction with the significant strengths, strengths, weaknesses, significant weaknesses, uncertainties and deficiencies in determining technical ratings. Proposals must receive a technical rating of acceptable or better to be eligible for award.

Factor II, Past Performance evaluation will consist of three (3) aspects: Recency (within 3 years of the RFP release date), 2) Relevancy (very relevant, relevant, somewhat relevant, and not relevant, and 3) The quality of the past performance submittals to assign an overall Performance Confidence rating (including context of data), of Substantial Confidence, Satisfactory Confidence, Neutral Confidence, Limited Confidence, or No Confidence. Only those submittals evaluated as recent and at least somewhat relevant will be considered in the overall Performance Confidence rating.

Proposals must receive a Past Performance rating of Neutral or better to be eligible for award.

Factor (III) will not be assigned an adjectival rating but the Government will evaluate all aspects of the price proposal for fairness, reasonableness, and balance. Offers found to be unreasonably high may be considered unacceptable and may be rejected solely on that basis. The proposed prices in Factor III Price, will be evaluated to assure that the final agreed to price is fair and reasonable in accordance with FAR 15.404-1(b) and FAR 15.404- 1(c). In accordance with FAR 15.306, the Government intends to make an award without discussions; however, the Government reserves the right to hold discussions, if necessary.

Factor (IV), Small Business Participation evaluators will evaluate proposals and an adjectival rating of Outstanding, Good, Acceptable, Marginal, or Unacceptable, as defined in the DOD Source Selection Procedures (DFAR PGI

215.3 dated 31 March 2016) and the Army Source Selection Supplement (AS3) to the Department of Defense Source Selection Procedures dated 21 December 2012.

Ratings Definition/Description Outstanding Proposal indicates an exceptional approach and understanding of the small business objectives. Proposal demonstrates substantive commitment to SB firm(s), e.g., an enforceable commitment for this procurement with SB firms; Proposal identifies the complexity and variety of work small businesses are to perform; Proposal demonstrates its commitment to far exceed the overall SB Participation goal by offering 30% or more for small business participation and proposes a percentage that meets or exceeds three (3) or more subcategory small business goals. Small businesses are not required to subcontract to other small business firms and may be rated excellent based on offering 30% or more for small business participation.

Good Proposal indicates a thorough approach and understanding of the small business objectives. Proposal demonstrates substantive commitment to SB firm(s), e.g., an enforceable commitment for this procurement with small business firms; Proposal identifies the complexity and variety of work small businesses are to perform;

Proposal demonstrates commitment to exceed the SB Participation goal by offering 25% or more for small business participation and proposes a percentage to meets or exceeds two (2) or more subcategory small business goals. Small businesses are not required to subcontract to other small business firms and may be rated good based on an offering that exceeds 25% for small business participation.

Acceptable Proposal indicates an adequate approach and understanding of the small business objectives. Offeror is a large or small business (SB). SB firm(s) are specifically identified in the proposal; Proposal demonstrates a substantive commitment to SB firm(s), e.g., an enforceable commitment for this procurement with small business firms; identifies the complexity and variety of work small businesses are to perform;

and demonstrates commitment to meet the 20% overall SB Participation goal,.

Small businesses are not required to subcontract to other small business firms and may be rated acceptable based on offering 20% for small business participation.

Marginal = not eligible for award

Proposal has not demonstrated an adequate approach and understanding of the small business objectives or a commitment to meet the 20% SB Participation. The proposal may or may not identify Small Business firms, the complexity and variety of work to be performed, or commitments were not demonstrated.

Unacceptable = not eligible for award

Proposal does not meet small business objectives demonstrate commitment to meet the 20% SB Participation goal or does not identify SBs in the proposal; or does not demonstrate a commitment to use SB firms; or does not identify the work small businesses are to perform or does not state the percentage in terms of proposed total value of the acquisition or proposed total contract value, or otherwise does not provide adequately detailed information to allow full and complete evaluation of the proposed Small Business Participation Plan, as required by the RFP, Attachment 05, Small Business Participation Plan Worksheet.

Eligibility for Award:

To be eligible for award, a proposal must receive a rating of 1) Acceptable or better on Factor I, Technical Capability 2) Neutral or better on overall Confidence Rating for, Factor II Past Performance, and 3) Acceptable or better for Factor IV, Small Business Participation Plan. Again, to be eligible for award, the price proposal will be evaluated for fairness, reasonableness and balance to determine the best value to the Government. Offers found to be unreasonably high may be considered unacceptable and rejected solely on that basis.

Basis for Award

This is a full and open competition that will be awarded based upon the best value to the Government. The Government intends to award without discussions, however, it reserves the right to enter into discussions if deemed necessary.

The price proposal will include binding labor rates across a series of labor categories. Offeror shall provide hourly burdened rates for ALL labor categories provided on the Pricing Worksheet. Offeror shall NOT provide additional labor categories. This factor will not receive an adjectival rating, as with Factors I, II, and IV. The Government may reject an offer if evaluation reveals a lack of price fairness or reasonableness.

Throughout the solicitation, “key subcontractor” refers to any subcontractor that is expected to perform at least fifty

(50) percent or more of the recurring maintenance at a single site awarded to that particular contractor.

1. Factor I– Technical Approach

The technical approach narrative will be evaluated for clarity, technical feasibility and integration of a holistic systems engineering approach. Sufficient details should be provided to allow the government to assess the nature and quality of services being proposed. Specifically, the technical proposal shall address the following elements:

A. MANAGEMENT PLAN –Description of the offeror’s proposed plan for managing personnel, team members, and subcontractors including:

1. Organizational chart

i) Include all key personnel in org chart

ii) Signify where the dividing line is between corporate level and task order level

iii) Signify on org chart if an individual will be shared across multiple projects/task orders or if the person will be strictly supporting this task order with no other duties assigned

2. List of Key Personnel:

i) Project Manager – Provide Resume documenting relevant experience.

ii) Quality Control Manager (resume not required)

iii) Safety Manager (resume not required)

iv) Project Engineer (resume not required)

3. Key Subcontractors (any subcontractor the contractor plans to utilize for 50% or more of the recurring maintenance at a single site) to be utilized

i) Location

ii) Capabilities and capacity

iii) Contractor’s management strategy of subcontractor

*Key subcontractors are only for Recurring Maintenance and not Minor Repair and therefore do satisfy the competition requirement of the BOA (W912DY-12-R-0052) or PWS (4.7 Competition Requirements).

B. PERFORMANCE PLAN - Description of the offeror’s proposed plan for performing scheduled maintenance and minor repair as outlined in the PWS with regard to the total workload of current petroleum facility maintenance projects under contract and the additional sites in this task order if successful. The contractor shall discuss the following (at minimum):

1. Capacity to perform task order.

i) The offeror should also discuss the approach to managing the workload of additional future task orders if successful.

2. Administration process

3. Explanation of tasks that will be self-performed and those that will be subcontracted

4. Quality Control

5. Describe how contractor will meet response time requirements

i) The offeror should discuss the approach to managing multiple simultaneous routine and emergency repair requests.

6. Safety

NOTE: The technical proposal (evaluation Factor 1) shall be no longer than ten (10) typewritten pages front and back or twenty (20) pages one sided.

2. Factor II - Past Performance

The goal of the Government’s past performance evaluation will be to rate the offeror's likelihood of success in performing the solicitation's requirements based upon that offeror's record of past performance. In this context, “offeror” refers to the proposed prime contractor and its proposed key subcontractors. A letter of commitment shall be provided from all key subcontractors (Volume 5).

NOTE: A letter of commitment and/or teaming agreement is required for source selection evaluators to consider the past performance of a team member. This letter comes from the subcontractor to the prime. Provide this requirement in Volume 5.

Offerors should provide for itself and each of its key subcontractor’s three (3) CPARS reports or three (3) PPQs or a combination thereof (i.e., 2 CPARS and 1 PPQ or 2 PPQ and 1 CPARS). Please forward the PPQs (see RFP Attachment 03: Past Performance Questionnaire form) to your customer POC, as well as the government POC, after completing section one (1). Please request that the customer POC email the completed questionnaire directly to the Government POC. Past Performance is limited to projects and/or contracts that are relevant to the type of work being solicited and were performed within the last three (3) years prior to the RFP release date. The prime Contractor and proposed team members will be assessed individually, and the results will then be assessed in their totality to derive the Offerors Past Performance rating. Past performance of prime contractors or team members whose firms are divided into severable segments (i.e. division, group, unit, etc.) will only be evaluated as it relates to those segments of the firm(s) that will actually perform the work.

Include copies of CPARS reports and/or page one (1) of each PPQ into your proposal. Provide correct and current phone numbers and email addresses for the PPQ customer point of contact. The Government will attempt to contact those customers who did not return a completed PPQ. The Government may contact those evaluators that returned a completed PPQ. CPARS reports will be verified by the government prior to past performance review.

Individual service order PPQs/CPARS under the same Task Order will not count more than once; cannot use the same project/contract for both PPQ and CPARS.

NOTE 1: CPARS and PPQ pages are not included in the page count.

A “contractor team arrangement” is an arrangement in which: (1) two or more companies form a partnership or joint venture to act as a potential prime contractor; or (2) a potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified Government contract or acquisition program (see FAR 9.6). “Key Subcontractors” any subcontractor the contractor plans to utilize for 50% or more of the work load recurring maintenance at a single site. If the subcontractor performs a significant part of the maintenance and repair at a site they are considered a key subcontractor. Past performance evaluation will consist of CPARS reviews and/or review of Past Performance Risk Assessment Questionnaires (PPQs) for the Prime Contractor and its team members. .

In either case the prime contractor and proposed key subcontractors will be assessed individually, and the results will then be assessed in their totality to derive the offeror’s past performance rating. Past performance of prime contractors or key subcontractors whose firms are divided into severable segments (i.e. division, group, unit, etc.)

will only be evaluated for those segments of the firm(s) that will actually perform the work. The Government may properly consider past performance of an offeror's affiliated companies where the firm's proposal demonstrates that the resources of the affiliated company will affect the performance of the offeror. For these affiliated companies to be considered in the past performance rating, offeror must include a binding commitment letter and/or teaming agreement. Past Performance references will first be reviewed to determine the relevancy of the past performance information. The Government will evaluate projects that are either currently underway (minimum 75% complete as billed or accomplished) or completed no more than three years preceding the closing date of this solicitation.

Past Performance is limited to projects and/or contracts that are relevant to the type of work being solicited and were performed within the last three (3) years prior to the RFP release date. Past Performance portions of the proposals will receive a Recency Rating, a Relevancy Rating, and a Confidence Assessment, as detailed below:

a. Recency of work (within the last 3 years)— If the submittal regards work outside the last 3 years, it will not be evaluated further.

b. Relevancy of work (including context of data)—evaluated as very relevant, relevant, somewhat relevant, and not relevant. Only submittals that evaluators consider are somewhat relevant or better will receive further evaluation/consideration in the overall Confidence Assessment rating.

c. Quality evaluated to determine how well offerors performed on past contracts based on information from customers.

d. Overall confidence Rating assigned to Past Performance in its Entirety--Substantial Confidence, Satisfactory Confidence, Neutral Confidence, Limited Confidence, or No Confidence. Neutral Confidence or better required will be required for award.

The Government will evaluate performance ratings by the customer (e.g. CPARS and/or Past Performance Questionnaires). If no recent/relevant performance record is available or if the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the offeror will be given a “Neutral Confidence” assessment rating.

The offeror is cautioned that in conducting the performance risk assessment, the Government may use data provided in the offeror's proposal in addition to data obtained from other sources. The Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

Since the Government may not necessarily obtain information on all of the listed contract references and/or may not contact all of the identified POCs provided by the offeror, it is required for the offeror to explain the relevance of the data provided. In the event that adverse past performance information is obtained from other sources, and the agency conducts either discussions or communications with the particular offeror as defined in FAR 15.306, the offeror if otherwise competitive for award will have the opportunity to respond to any adverse information received which it had not had a previous opportunity to comment.

Please forward the PPQ (Attachment 03) to your customer POC, as well as the government POC, after completing section one (1). Offeror should request that the customer POC email the completed questionnaire directly to the Government POC.

The Past Performance Questionnaire (PPQ) included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its proposal for Factor II Past Performance.

Ensure correct phone numbers and email addresses are provided for the client point of contact. Completed Past Performance Questionnaires should be submitted with your proposal. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment 03), which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires.

If the client requests, questionnaires may be submitted directly to the Government via…
