SECTION L – INSTRUCTION, CONDITIONS AND NOTICES TO OFFERORS

1.0 General Information: This Section 8(a) Small Business solicitation is identified as part of the Multiple

Environmental Government Acquisition (MEGA) Strategy/Plan in support of the U.S. Army Corps of Engineers

(USACE), Northwestern Division (NWD).

1.1. The U.S. Army Corps of Engineers (USACE), Seattle District intends to conduct this acquisition by use of Competitive Source Selection Procedures in accordance with the provisions set forth in the Solicitation and FAR Part 15. The Government intends to award Section 8(a) Small Business Indefinite

Delivery/Indefinite Quantity contracts as part of a Multiple Award Task Order Contract (MATOC) pool for

Environmental Remediation Services for regional support to USACE customers. Task Orders awarded under this MATOC may be Fixed-Price contracts in accordance with FAR Subpart 16.2 or Cost-Reimbursement contracts in accordance with FAR Subpart 16.3. The Government intends to award 5 contracts ; however, if the Source Selection Authority determines during the source selection process that fewer or more than that number of contracts should be awarded, the Source Selection Authority has the discretion of adjusting that number (higher or lower), or awarding none at all. In any case, the Government may not award any contract if the resulting contract would not represent a "best value" to the Government using trade-off selection procedures as required by the Defense Federal Acquisition Regulations (DFARS). It is strongly suggested that the provisions stated in the proposal information be fully studied prior to assembly of the proposal.

1.2. There are no drawings associated with this Solicitation. Copies of the solicitation are available by

INTERNET ACCESS ONLY. All solicitation documents and amendments will be posted to BetaSAM

(https://beta.sam.gov). It is the offeror’s responsibility to check the website for any amendments.

1.3. To ensure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The proposal should be prepared simply and economically, providing straightforward, concise delineation of capabilities to perform the contract. The proposal should be practical, legible, clear, and coherent. The proposal must address the offeror’s proposed approach to fully perform the requirements of the Solicitation. Offerors are discouraged from providing information not required by the Solicitation. The offeror must submit in the proposal all requested information specified in this section of the solicitation at or before the exact time specified. There will be no public opening of the proposals received as a result of this solicitation. Failure to meet a requirement may result in an offer being ineligible for award.

1.4. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if, in the Contracting Officer's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the

Contracting Officer determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the Contracting Officer to determine the reasonableness and affordability of the price.

3.0 Volume I Contents – Company Experience and Performance Confidence Information:

3.1 Executive Summary. Volume I of the proposal must include an Executive Summary which should include an introduction of the proposal team. The Executive Summary must not exceed two (2) pages in length and is not included in the fifteen (15) page limitation.

Proposals submitted in response to this solicitation must consist of the contents required in the sub-paragraphs described below:

3.2. Volume I, Factor 1 – Company Experience

Provide five (5) examples of projects that demonstrate the offeror's experience in performance of relevant work.

Relevant work is environmental remediation services similar to those described in Section C of this solicitation

(focus is paragraph 1.3). Relevant work may include construction related to environmental remediation services, but projects involving only construction and no environmental remediation services are not relevant. Projects submitted must have been executed by the offeror as either a prime contractor (including individual members of a joint venture prime contractor) or a subcontractor responsible for at least 50% (based on cost) of completed, relevant work (Note:

For purposes of this requirement, offeror is defined to include the individual members of a joint venture, in cases where an offeror is submitting as a joint venture; the definition of offeror does not also includes first-tier small business team subcontractors). See Paragraph 3.4 below for additional information regarding documentation required for Joint Ventures and Team Subcontractors. Projects submitted must have been completed within 8 years from the date of the RFP or are ongoing with at least 90% invoiced by the date of the RFP.

A project is defined as work performed at one site or at a single installation. An Indefinite Delivery Contract (IDC) is not a project. However, Task Orders or a correlated group of Task Orders from an IDC can be considered a project. A project may contain multiple Task Orders or multiple Contracts if they are from the same site or installation and they are for the same remediation effort such as multiple phases of one project. For contracts or task orders that involve multiple and geographically distinct sites (e.g., multiple Air Force installations), the contract or task order does not need to be complete or at least 90% invoiced by the date of the RFP; however, work at a distinct site must be complete or at least 90% invoiced by the date of the RFP, and the offeror must clearly describe how the project meets this criteria.

3.2.1 Presentation of Company Experience: The proposal must include five relevant projects. NOTE: Only five projects will be evaluated for Factor 1. If the proposal includes more than five projects for Factor 1, only the first five will be evaluated. If Volume I, Factor 1 in the proposal includes information unrelated to the five projects, the unrelated information will not be evaluated.

For the specific purpose of presentation of Company Experience, offerors may use a maximum of 15 pages. See

Section L, Paragraph 2.7 for additional guidance. The majority of the sheet should use a 10-12 point font; footnotes may use a smaller font. The following information should be included in the presentation of company experience.

Use the “Box” terminology below on your submission.

1) Box A – Project #: Name and location of project. Include City, County, and State, or military installation name and State, as appropriate.

2) Box B – Name of the contractor that performed the work and Offeror’s role in the project (prime or subcontractor).

3) Box C – Client Organization name and address. Also include the name and telephone number of the

Client’s Point of Contact.

4) Box D – Contract number under which company performed the work. Include the Task Order number for work done under an Indefinite Delivery Type Contract.

5) Box E – The type of contract under which the work was performed (Firm Fixed Price, Cost Reimbursable, Time and Materials).

6) Box F – The total contract obligation amount including all modifications, award date of original contract, and contract period of performance (i.e., start and completion dates).

7) Box G – The percentage of the contract amount performed by the offeror.

8) Box H – Please include the following for the contract identified in Box D above:

A brief site description and an overview of the contractor’s work performed on the project as it relates to the work scope described in Section C (focus on paragraph 1.3). Also, indicate the dates that the work was performed for the work being described.

Describe the experience on this project that demonstrates the criteria in Section M that the government has identified for additional consideration. See Section M for evaluation criteria.

3.2.2 Required company experience: The proposal must include the following minimum requirements (note: a single project may meet more than one of these requirements):

a) at least one project which demonstrates experience performing investigation phase activities (i.e., CERCLA equivalent Site Investigation or Remedial Investigation) for Perfluoroalkyl and Polyfluoroalkyl

Substances (PFAS), also called perfluorinated compounds (PFCs), in groundwater;

b) at least one project which demonstrates experience on a military installation;

c) at least one project executed under a USACE contract;

d) demonstrated experience with local, state, and/or federal regulators.

The description in Box H must clearly identify how the criteria above were demonstrated for the projects being submitted.

3.3 Volume I, Factor 2 – Performance Confidence

3.3.1. Past Performance Information

The Offeror must provide past performance information for each example project provided in the offeror’s response to Volume I, Factor 1 – Company Experience. Organize the information by project, and in the same order as the projects submitted in Factor 1. For each project, the offeror must include: Project # - Title (matching Factor 1);

contract and task order number, as applicable; a client point of contact (POC) including title, email, and telephone number; and a Contractor Performance Assessment Reporting System (CPARS) rating or Past Performance

Questionnaire (PPQ). Additionally, provide the CAGE Codes for the Offeror (which includes all joint venture partners).

NOTE: Past performance information is not included in the Volume I page count.

For each example project provided in the offeror’s response to Volume I, Factor 1, the offeror must submit a

CPARS rating if it is available for the project. If a CPARS rating is not available, a PPQ is also acceptable. Do not submit PPQs for projects evaluated via CPARS. In the event an Offeror submits a PPQ for a project for which a

CPARS evaluation is available, the CPARS evaluation will be considered authoritative.

If a CPARS rating is not available, the offeror must use the PPQ form (Form PPQ-0) included in Section J, Attachment 1 of this solicitation. A sample cover letter to accompany the PPQ and instructions for completing the

PPQ are also included in Section J, Attachment 1. Previously completed PPQs submitted in the Offeror’s proposal for this solicitation are acceptable. Offerors may not incorporate by reference into their proposal PPQs previously submitted for other Solicitations. However, this does not preclude the Government from using previously submitted

PPQ information in the performance confidence evaluation.

If the client requests, PPQs may be submitted directly to the Contracting Division using the following e-mail address: Curt.D.Stepp@usace.army.mil. The only information in the email subject line MUST be the solicitation number. NOTE: All PPQs submitted directly to the Contract Specialist must be received No Later Than the date and time specified in the solicitation.

The Government reserves the right to obtain past performance information from any available source. The

Government will consider information submitted by the offeror, as well as any other relevant and reliable information obtained from any available source. The Government will consider information submitted in

Government databases such as CPARS, as well as any other relevant and reliable sources of documented past mailto:Curt.D.Stepp@usace.army.mil performance information. In rating past performance, the Government may consider available past performance information on predecessor companies.

The Government reserves the right to contact any and all individuals identified in the projects submitted for Volume

I, Factor 1. It is the responsibility of the Offeror to provide current contact information for the individuals identified therein. The Offeror may provide additional POCs with the customer. The POCs may be contacted to assess the scope of work performed and to evaluate performance of the projects listed under Volume I, Factor 1.

At no time during this process, nor during the debriefing, nor after award, will the names of the individuals providing reference information directly to the Government about an offeror’s past performance be revealed to the offerors or to any other party. If discussions are held, offerors may be afforded the opportunity to respond to adverse comments made by references in accordance with guidelines identified in FAR Part 15.306(b) (4). In this case, comments will be extracted and provided to the offeror.

3.4 Additional Information to be provided in Volume I.

The following items will not count toward the 15-page limit for Volume I.

Venture agreement must be included in Volume I as a separate tab. Joint Ventures are considered as Prime

Contractors.

3.4.2 Teaming Agreements with Subcontractors. A small business prime contractor is permitted to propose a team of small business subcontractors, provided they specifically identify the first-tier subcontractor(s) in the proposal, and the Government will consider the capabilities, past performance, and experience of each first tier subcontractor that is part of the team as the capabilities, past performance, and experience of the small business prime contractor. Offerors submitting a subcontractor project for Factor 1 and offerors wishing to demonstrate experience showing working relationships with proposed teaming partners must submit the following should provide a copy of the fully executed Teaming Agreement in Volume I as a separate tab:.

NOTE: All tables required for Volume II, Factor 3 must be submitted in PDF and native file format (e.g., Microsoft Excel) with viewable equations. Offerors should use the attached spreadsheet file (Section J, Attachment 12) to create the tables.

4.1. Volume II, Factor 3, Tab 1 - Cost/Price

4.1.1 Binding Capped Labor Rate Schedule (Firm Fixed Price Task Orders). The Offeror must complete the

Binding Capped Labor Rate Schedule (Section B), Table 1 in its entirety. The offeror must propose the hourly unburdened and burdened rates for all of the labor categories identified in the Binding Capped Labor Rate Schedule.

Failure to do so may result in an offeror being excluded from consideration for award.

The hourly burdened labor rates proposed by the offeror must include direct cost, payroll taxes, insurance, benefits, and applicable markups (e.g., Overhead, G&A, and other identified indirect costs), but must exclude profit. Offerors must provide an example of how the markups are applied to the unburdened labor rates.

Offerors must show only one (1) rate per labor discipline, including those provided by subcontractors. Offerors may not have all labor disciplines covered by its personnel therefore, if those personnel are subcontracted, their rates must be provided in the table as well. All subcontracted personnel must be identified on the table by including

“SUB” after the title of the discipline, and the Offeror should provide a copy of the fully executed Teaming

Agreement in Volume II as a separate sub-tab.

Hourly burdened labor rates proposed in Section B will be legally binding and will be the maximum rate the offeror can use for all firm fixed price task orders and firm fixed price task order modifications issued during the life of the contract. However, the offeror can propose labor rates that are lower on Firm Fixed Price task orders.

If the cost for a certain labor discipline in Table 1 is included in an Offeror’s overhead rates as part of the Offeror’s standard accounting system, the Offeror must enter “Not Applicable” and include an explanation below the table regarding how that discipline’s costs are accounted for under the Offeror’s standard accounting practices.

Joint Ventures (JV) must submit a single maximum rate in Table 1 for the JV.

If a labor discipline(s) is not listed in Table 1 and is needed for a specific Firm Fixed Price task order, the rate for that labor discipline(s) will be negotiated before award of the specific task order.

Failure to complete Table 1 in its entirety and/or to provide the requested supporting information may result in an

Offeror being excluded from consideration for award.

The Government reserves the right to request information other than certified cost or pricing data from the offerors in order to assess the reasonableness of the proposed labor rates.

The offeror must complete the Section B, Table 2, Escalation Rate, in its entirety and use that rate for completion of

Table 1.

4.1.2. Binding Capped Rate (Firm Fixed Price and Cost-Plus Fixed Fee Task Orders). The offerors must complete the Binding Capped Rate (Section B), Table 2 in its entirety. The Binding Cap Rates will be legally binding and are the maximum rates that the offerors will use on all task orders and modifications issued during the five (5) year period of performance of the contract (base and option terms) for both firm fixed price and cost reimbursement task orders.

NOTE: Depending on an offeror's accounting structure, an offeror may have just a G&A rate and not Home Office

Overhead; or both. The intent is to provide offerors the flexibility in proposing a rate for both if their accounting structure permitted. If an Offeror only has one rate (e.g. Home Office Overhead) and not the other (e.g. G&A), they can mark the G&A as not applicable in the Binding Cap Rate Schedule. In addition, the offeror, may modify Table 2 to accommodate its accounting practices.

The cost pools must be in accordance with the Offeror’s most recent audited rates, if available. Offerors must provide the following for each of the binding cap rates:

If the offeror has had an audit within the last year, the offeror is instructed to provide a copy of the audit. Include, if available, any other rate information received from the Administrative Contracting Officer of the cognizant audit agency, and the offeror will not be required to provide the breakdown of each of their cost pools. If the letter used in

Volume II, Sub-Tab 3 contains the same information required here, the offeror must cross-reference the letter in

Volume II, Sub-Tab 3.

If the offeror does not have a recent audit, the offeror must provide detailed information showing cost accounts included in each of their cost pools in order to explain all overhead rates, G&A markups, labor burden (fringes), and any other pools. The composition of the base on which the pool is distributed must also be shown.

An example of a general and administrative expense rate computation is listed below and may be used as a guide.

Note that the list is not inclusive of all allowable or unallowable costs:

The following definitions are provided:

Direct Costs - Costs identified specifically with the contract.

Office Labor - Labor used off the job site in preparing plans, reports or other efforts/documents.

Field Labor (RT) - Labor used during a normal 40 hour week.

Field Labor (OT) - Overtime Labor.

Per Diem - Food and lodging for temporarily located employees.

Overhead is ongoing indirect expenses of operating a business. Overheads are the expenditure which cannot be conveniently traced to or identified with any particular cost unit, unlike operating expenses such as direct labor.

Examples of Overhead expenses include insurance, rent, taxes, telephone bills, and utilities. All expenses included in Overhead must be allowable, allocable and reasonable in accordance with FAR 31.

Each binding rate must be substantiated by either the provided audit documentation or financial information provided by a person qualified to ensure the information is complete and accurate, e.g., submitted by a Certified

Public Accountant. Offerors must provide an explanation for any deviations in their proposed binding rates from the rates that are substantiated by either the audit documentation or financial data.

Failure to complete Section B, Table 2 in its entirety and/or failure to provide the information as required by this section may result in an Offeror being excluded from consideration for award.

Please include in Section B, Table 2 which direct costs have the applied binding capped rates. For example, if the

G&A rate is applied to all ODCs, including subcontracts, indicate that G&A application in Table 2. On the other hand, if G&A is applied to all ODCs, including subcontracts, and to all direct labor, indicate that G&A application in Table 2.

4.1.3 Maximum Profit and Fee Rates: The Offeror must complete the Maximum Profit and Fee, Table 3 in its entirety. The Offeror must propose a maximum profit rate (for firm-fixed-price work) and a maximum fixed fee rate

(for cost reimbursable work).

The proposed maximum profit rate in Table 3 will be legally binding and is the maximum profit rate the Offeror will be allowed to use on all firm-fixed-price task orders and modifications issued during the period of performance of the contract (base and option terms). The maximum profit rate is binding even if the Weighted Guidelines Method would result in a higher profit. The maximum profit rate must not be construed as a “fixed” profit percentage for all

Task Order or Modification actions. If Weighted Guidelines Method calculations indicate a lower profit is merited, the lower profit percentage must be applied. The offeror is allowed to propose a lower rate on individual task orders in order to remain competitive.

The proposed maximum fixed fee rate in Table 3 will be legally binding and is the maximum fixed fee rate the

Offeror will be allowed to propose for all cost reimbursable task orders and modifications issued during the period of performance of the contract (base and option terms).

The Offeror must propose a single rate for both the profit and the fixed fee. The Offeror must not propose separate maximum rates for subcontractors or Joint Venture partners. The Offeror must not submit different maximum rates for self-performed work and subcontracted work. Finally, the fixed fee rate cannot exceed the statutory maximum of

10%.

4.1.4 Cost Spreadsheet: The Offeror must complete the Cost Spreadsheet (reference Section J) in its entirety to include identified home office and field office personnel and associated markups. Failure to complete the Cost

Spreadsheet in its entirety may result in an Offeror being excluded from consideration for award. The Offeror must utilize the first year Burdened Hourly Labor Rates proposed in Tab 1, Table 1 since the Year 1 fully burdened labor rates and the cost reimbursement labor rates for key personnel should be the same. For the purposes of the Cost

Spreadsheet, the Offeror must not discount their Fully Burdened Hourly Labor Rates. The Offeror must utilize the maximum profit rate proposed in Tab 1, Table 3. For the purposes of the Cost Spreadsheet, the Offeror must not discount their maximum profit rate. The Offeror must utilize the Binding Cap Rates proposed in Section B, Table 2.

For the purposes of the Cost Spreadsheet, the Offeror must not discount their Binding Cap Rates. Please note that any indirect rate included in the cost spreadsheet must be included in Section B, Table 2 along with a full description of that additional indirect rate. The Offeror must utilize the maximum fee rate proposed in Section B, Table 3. For the purposes of the Cost Spreadsheet, the Offeror must not discount their maximum fee rate.

Price analysis will be performed on the binding rates in accordance with FAR 15.404. Cost analysis and cost realism will be conducted on the cost spreadsheet in accordance with FAR 15.404. The Government reserves the right to request additional data other than certified cost or pricing data in order to determine the prices are fair and reasonable.
