1. BACKGROUND

The contractor shall, (except as specified in this Statement of Work (SOW) as government furnished property or services) provide all personnel, supervision, and any items and services necessary to provide commercial lodging for authorized 9TH Mission Support Command (MSC) as defined in this SOW. Lodging is required to be provided to 9TH MSC in support of mission requirements. The Contracting Officer is the final authority for all matters pertaining to this agreement. The Government (9th MSC) intends to enter into a Firm Fixed Price Blanket Purchase Agreement (BPA) that will consist of a five (5) year, period of performance (POP) of January 1, 2019 to December 31, 2024.

2. SCOPE OF WORK

Hotel/Motel Room Use Description: The 9th MSC has a primary requirement for commercial lodging and associated support services to house 9th MSC TDY Battle Assembly (BA) or Rescheduled Training (RST) personnel. Required nights of lodging for eligible personnel may occasionally increase or decrease significantly, depending on mission requirements. The contractor shall provide lodging upon request by the Government. The objective of this agreement is to provide hotel rooms and associated (authorized) services for the 9th MSC in the Honolulu, Kahului and Hilo area while achieving the best terms, conditions and pricing. The physical address of any property for any requirement for lodging must be within 10 driving miles of TDY location for that respective location. Due to AT/OPSEC requirements, only limited dates for known required lodging will be provided in this Statement of Work for predetermined TDY periods;

additional dates shall be provided at the time of any resultant award to an interested party who provides a successful offer. Specific dates for future requirements shall be provided in any resultant award.

CONTRACTOR FURNISHED ITEMS

The (Hotel/Motel Property) shall furnish the following:

• ROOMS. Provided upon request by the Government based on room availability at the predetermined price that is dictated by the Approved Price List in place upon issuance of a “Call”.

The contractor shall provide clean and smoke free single and double occupancy hotel/motel rooms in accordance with industry standards.

• LIVING SPACE.

• Each room shall contain living and sleeping areas in accordance with industry standards. Beds, linens and addition equipment provided by the Hotel/Motel Property shall also be in accordance with industry standards. Double rooms shall occupy no less than two people and both occupants will share a bathroom. Double rooms shall also contain two standard sized beds (King, Queen, Double or Twin) so that each of the two members occupying the room will each have their own bed. ROLL away beds and pullout sofas cannot be considered as double occupancy rooms. Two standard beds must be included within a “double” room.

• Standards: Rooms shall include all standard accommodations found within the commercial market place for “Midscale” hotel/motel services.

Midscale Hotels typically include but not limited to internet access, a refrigerator, a microwave, television with cable access, Iron and iron board, and an alarm clock.

• Rooms shall also comply with all Municipal, State and Federal environmental, health and safety standards.

• SECURITY. The contractor will ensure a safe and crime free environment.

• GUEST ROOMS.

• The guest rooms shall be secured and access limited to occupants, cleaning staff, and management in case of emergencies.

• All entrance doors to guest rooms shall have interior security locks, either deadbolt or double locking locks, and an entrance peep hole. If the guest room has sliding glass or French doors they shall be equipped with an effective locking device.

• Each room occupant shall be provided with a room key.

• No ground floor exterior doors to any room housing ARANG personnel are permitted.

• EXTERIOR.

• All doors for main building entrances shall have controlled secured access.

• Each parking lot shall be equipped with enough amount of lighting for safety of the members and their belongings.

• 9TH MSC SECURITY FORCES REQUIREMENTS.

• The 9th MSC currently has a policy the 9th MSC members shall be distributed amongst no less than three (3) hotels, preferably four (4) or more hotels. This is implemented from risk management strategies and vulnerability assessments.

• The 9th MSC reserves the right to disqualify properties that do not meet their security requirements. Security requirements are primarily based on historical police reports and criminal activity. Therefore, properties shall be in a low crime area, free of drugs and prostitution.

• HEATING, AIR CONDITIONING AND VENTILATION. Living quarters shall be provided with heating and air conditioning (in season) and ventilation necessary to maintain comfort for guests.

• SAFEGUARDING VALUABLES. The (Hotel/Motel Property) must provide a means of storing and safeguarding, in a safe or vault, small high-value personal property of the occupants. Receipts for the stored items must be furnished to the guest. Any cost shall be paid by the individual, not the Government.

• TELEPHONE. A telephone in good working order with free local access and voicemail capability shall be provided in each room. The occupant is personally responsible for telephone charges exceeding the free local access. The government shall incur no liability for telephone calls.

• “DO NOT DISTURB” SIGNS. All rooms shall have such signs available. (Hotel/Motel

Property) employees shall respect them when displayed.

• BATHROOMS. Bathrooms shall be in sanitary condition. Bathrooms shall contain a shower and/or tub combination with a wash basin, a properly functioning toilet, and a mirror. Additionally, bathrooms must have adequate lighting and grounded electrical outlets for use of electrical razors, hair dryers etc. The shower or shower/tub combination shall have shower doors or curtains.

SPECIFIC TASKS TO BE COMPLETED BY CONTRACTOR

The (Hotel/Motel Property) shall provide the following services:

A. ASSIGNMENT OF QUARTERS/ROOMS. The Contracting Officer’s Designated Government

Representative of the 9TH MSC is responsible for identifying government personnel who require lodging. The Contracting Officer shall document the names of 9th MSC personnel on a BPA call order which is submitted to the contractor. 9th MSC personnel shall not be lodged under this Blanket Purchase Agreement unless such an order is presented to the contractor. Single rooms shall be used unless double occupancy is requested.

B. CHECK IN PROCEDURES. The (Hotel/Motel Property) must provide a check in/out service on a 24-hour basis, 7 days a week. The front desk will verify all 9th MSC personnel via valid identification (Military ID, Driver’s License, Passport, etc.) against the BPA call order. Contractor will be responsible for collecting payment from any member who is required to make full or partial payment due to special requests for rooms other than those authorized (i.e.

members with families, request for single room when double is authorized, etc.). Contractor shall not be responsible for payment of accommodations provided to any individuals that checks into a property without being listed in the final roster or previously communicated by the Contracting Officer’s Designated Government Representative. Any member who requests lodging under this program who is not listed on the call order shall be responsible for standard room rates and any applicable taxes.

Additionally, any 9th MSC personnel who fail to meet the required checkout time will be held financially liable for all incurred costs. The government incurs no liability for a late checkout.

C. CUSTODIAL/SANITATION SERVICES. The contractor shall maintain a clean and healthy environment. All custodial/sanitation services shall be in accordance with commercial standards.

D. LINEN SERVICE. Shall be in accordance with industry standards. General daily housekeeping, to include making beds, replacing towels, emptying trash receptacles, cleaning floors and sanitizing bathrooms shall also be in accordance with these standards.

E. INFORMATION SERVICES. Desk clerks shall be able to explain to occupants miscellaneous charges not covered by this statement of work, for example, telephone charges.

F. ADDITIONAL AMENITIES/SERVICES. All facilities and courtesies customarily extended to occupants without charge (i.e. pools, lounges, parking areas, etc.) shall also be made available without additional charge to the Government under this BPA. All extra services not specified in this statement of work, or not normally included in the room rate, shall be paid by the individual(s). Food service is neither requested nor required in this BPA. The contractor shall provide concierge, shuttle, or extra services at no cost if provided to other guests.

G. LIABILITY / MISCELLANEOUS SERVICES. The government will not be responsible for any miscellaneous charges/damages incurred by travelers. The contractor shall explain to each service member that miscellaneous charges (such as telephone charges, pay-per- view movies, room service, meals, smoking in the facility, damage charges, etc.) are not covered by this BPA and will be charged to and paid by the individual. This will be part of the check-in procedures listed in the paragraph listed above. The front desk should explain this to personnel upon check-in. The contractor shall provide information to the travelers on services available that are not inclusive.

ADDITIONAL REQUIREMENTS

In addition to the requirements listed above, the following shall apply to this BPA:

A. SUBCONTRACTING. The contractor shall furnish lodging in his or her establishment or at a location agreed to by the Contracting Officer. The contractor shall not subcontract to any other establishment or any other location not specified in the BPA without prior written approval from the Contracting Officer. Establishments proposed for subcontracting shall meet all of the terms, conditions, and specifications of services in this BPA.

B. ILLEGAL ACTS. The contractor shall not knowingly condone illegal acts on the premises of the establishment.

C. QUALITY ASSURANCE. The Contracting Officer’s Designated Government Representative will monitor the contractor’s performance and may use command surveys to solicit feedback from occupants to ensure terms, conditions and specifications of services are met.

D. EVALUATION OF CONTRACTOR PERFORMANCE. The Government may issue out command surveys from the command team to 9th MSC personnel whom have occupied rooms of the facility. The comments from the surveys will be evaluated against the requirements of the BPA.

E. SYSTEM FOR AWARD MANAGEMENT (SAM). In order for a contractor to be eligible to conduct business with the Government, the contractor must be registered on the System for Award Management website (https://www.sam.gov/portal/SAM/) and keep their registration current by renewing the registration annually. Vendor shall provide their CAGE code, DUNS Number, and Federal Tax ID Number with their quote.

3. PERFORMANCE REQUIREMENTS

1. Contractor Management. The contractor shall provide the name of a manager who shall be available and responsible for the performance of work under this BPA. The BPA manager and alternate shall have full authority to act for the contractor on all matters relating to the performance of this agreement.

The BPA manager or alternate shall be available to meet with government personnel designated by the contracting officer to discuss problem areas.

2. No government (9th MSC) personnel, other than the Contracting Officer, shall change the terms of this BPA.

4. GOVERNMENT-FURNISHED PROPERTY AND SERVICES.

1. The US Government shall not provide any equipment, facilities, labor or services for this requirement.

2. The US Government will provide the following in support of this BPA:

a. If established, a copy of the Blanket Purchase Agreement.

b. If a BPA is established, a copy of Appointment Letter identifying all designated

Contracting Officer’s Designated Government Representatives who are authorized to purchase/issue calls against the BPA. This will be updated and provided to the contractor on an as-needed basis.

c. If a BPA is established and pricing accepted, a Price List identifying a priority listing of properties based off of predetermined rates for single and double rooms for a predetermined period of time shall be provided to the contractor. This will be updated and provided to the contractor on an annual or “as needed” basis.

d. If a BPA is established, a listing of known required dates of lodging for UTA Training periods for a time period in length not to exceed 2 years from the time of BPA establishment.

e. If a BPA is established, Call Sheets (rosters) to the property shall be provided by the Contracting Officer’s Designated Government Representative as “Calls” are issued.

5. DEFINITIONS.

1. CONTRACTOR: The term as used in this requirement refers to the primary (prime) contractor or vendor.

2. CONTRACTING OFFICER: The government official who has authority to enter into contract, administer or terminate contracts. He/she can make related determinations and findings on behalf of the government. The Contracting Officer is the ONLY individual who can legally bind the government.

52.212-2 ADDENDUM

52.212-2 ADDENDUM

A. BASIS OF AWARD for quote uses streamlined simplified acquisition procedures pursuant to FAR Subpart 12.6 and FAR Subpart 13.5. The government anticipates awarding up to 5 vendors resulting from this solicitation to the responsible vendor(s) whose quote conforms to the solicitation, meets the specifications of the statement of work, and will be most advantageous to the Government, price and other factors considered.

The following factors shall be used to evaluate vendors:

I. Factor 1 – Technical Understanding II.Factor 2 – Price - Price will be evaluated but not scored.

Basis for award will be to the vendor(s) providing the lowest quote determined to meet the minimum requirements.

Responsibility determination will be conducted on apparent successful vendor(s) only.

As set forth in FAR 52.212-1, the Government intends to evaluate offers and award a contract without discussions with vendors. Therefore, the Vendor’s initial offer should contain the Vendor’s best terms from a price and technical standpoint. The Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.

B. EVALUATION APPROACH. Vendors are required to submit the following factors in order to be considered for award. The following factors shall be provided:

Factor 1 – Technical Understanding Factor 2 – Price

Factor 1- Technical. The facility must be capable of providing lodging accommodations consistent with the minimum requirements of the Statement of Work. Facility’s compliance with the Hotel and Motel Fire Safety Act of 1990 will be utilized as a factor in the evaluation of proposals. The facility must be in Federal Emergency Management Agency’s (FEMA) Dynamic master list of properties that have been certified as fire-safe and that had been issued a FEMA number.

Factor 1 will be evaluated and assigned a rating of "Acceptable" or "Unacceptable". Acceptable means the quote meets ALL the minimum requirements detailed in the Statement of work. Unacceptable means the quote does NOT meet all the minimum requirements detailed in the Statement of work.

Factor 2 - Price- Offerors shall provide sample pricing for the CLINs listed in the solicitation. Price should reflect fair market value and be reasonable when compared to the independent government estimate and the Joint Travel Regulations. Individual BPA calls will be competed amongst all BPA holders, and awarded to the lowest-priced offer conforming to the solicitation.

Factor 2 will be evaluated and assigned a rating of "Acceptable" or "Unacceptable". Acceptable means the quote does not exceed the JFTR lodging rate for that area. Unacceptable means the quote/exceeds the JFTR rate.

Price/rates will be scored or rated and should be provided on the Standard Form (SF) 1449. The Government expects competitive quotes to be submitted for this procurement and will use these competitive quotes to determine price reasonableness in accordance with FAR 13.106-3. The lowest price quote acceptable for award will be evaluated based on the total period of performance. If competitive quotes are not received, the Government reserves the right to utilize other methods identified in the FAR to determine price reasonableness. The Government intends to evaluate quotes and award without discussions; therefore quotes should be the contractor’s best pricing. Refer to 52.212-2(b) regarding calculation of prices. Note that this includes requirements of 52.217-5.

BPA TERMS & CONDITIONS

BLANKET PURCHASE AGREEMENT TERMS

1. DELIVERY

Contractor shall deliver upon receipt of orders from authorized government representative to designated location.

2. GOVERNMENT AUTHORIZED INDIVIDUALS

The Contracting Officer shall notify the contractor, in writing of calls issued under this BPA. Prior to utilizing any of the BPAs, issuing officials must first receive training and orientation on Lodging BPA call procedures.

3. GENERAL TERMS

a. Description of agreement. The supplier shall furnish supplies or services, described in general terms, if and when requested by the contracting officer (or the authorized representative of the contracting officer) during a specified period and within a stipulated aggregate amount, if any.

b. Extent of obligation. The Government is obligated only to the extent of authorized purchases actually made under the BPA.

c. Purchase limitation. The master dollar limit for each BPA is $1,000.000.00 and purchase limitation for an individual call is $150,000.00.

d. Individuals authorized to purchase under the BPA. The Contracting Officer that established the BPA may authorize individuals within their office to place BPA calls. In addition, the Contracting Officer who issued the BPA may authorize other activities that have been granted appropriate authority to place calls under his/her BPA. Authorized callers are designated in writing by the Contracting Officer. This authority may not be redelegated. Access to the BPA, along with current price lists or catalogs incorporated into the BPA shall be provided to all authorized callers.

All activities authorized to place calls under the BPA(s) of another command must submit to the issuing contracting office a list of individuals who have been appointed to make calls (including the dollar limitation per person/call). This may include a list of Purchase Cardholders authorized to place calls or use their cards as a method of payment for properly issued calls. A list of authorized callers should be maintained by both the issuing Contracting Officer and the activity placing the calls, and provided to the BPA suppliers. The Contracting Officer shall ensure that all individuals authorized to place calls under the BPAs have received training and orientation per AFARS 5113.303-2-90(b).

e. Delivery tickets. A requirement that all shipments under the agreement, except those for newspapers, magazines, or other periodicals, shall be accompanied by delivery tickets or sales slips that shall contain the following minimum information:

i. Name of contractor

ii. BPA number

iii. Date of purchase

iv. Purchase number

v. Itemized list of supplies or services furnished

vi. Quantity, unit price, and extension of each item, less applicable discounts (unit prices and

vii. extensions need not be shown when incompatible with the use of automated systems, provided that the invoice is itemized to show this information)

viii. Date(s) of service

f. Invoicing Process: IAW 13.303-4(a) Blanket Purchase Agreements (BPAs), the contracting officer shall insert in each BPA the clauses prescribed elsewhere in this part that are required for or applicable to the particular BPA. (a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.219-4 NOTICE OF PRICE EVALUATION PREFERENCE FOR HUBZONE SMALL BUSINESS

CONCERNS (OCT 2014)

(a) Definitions. See 13 CFR 125.6(e) for definitions of terms used in paragraph (d).

(b) Evaluation preference. (1) Offers will be evaluated by adding a factor of 10 percent to the price of all offers, except--

(i) Offers from HUBZone small business concerns that have not waived the evaluation preference; and

(ii) Otherwise successful offers from small business concerns.

(2) The factor of 10 percent shall be applied on a line item basis or to any group of items on which award may be made. Other evaluation factors described in the solicitation shall be applied before application of the factor.

(3) When the two highest rated offerors are a HUBZone small business concern and a large business, and the evaluated offer of the HUBZone small business concern is equal to the evaluated offer of the large business after considering the price evaluation preference, award will be made to the HUBZone small business concern.

(c) Waiver of evaluation preference. A HUBZone small business concern may elect to waive the evaluation preference, in which case the factor will be added to its offer for evaluation purposes. The agreements in paragraphs

(d) and (e) of this clause do not apply if the offeror has waived the evaluation preference.

(d) Agreement. A HUBZone small business concern agrees that in the performance of the contract, in the case of a contract for

(1) Services (except construction), at least 50 percent of the cost of personnel for contract performance will be spent for employees of the concern or employees of other HUBZone small business concerns;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), at least 50 percent of the cost of manufacturing, excluding the cost of materials, will be performed by the concern or other HUBZone small business concerns;

(3) General construction. (i) At least 15 percent of the cost of contract performance to be incurred for personnel will be spent on the prime contractor's employees;

(ii) At least 50 percent of the cost of the contract performance to be incurred for personnel will be spent on the prime contractor's employees or on a combination of the prime contractor's employees and employees of HUBZone small business concern subcontractors;

(iii) No more than 50 percent of the cost of contract performance to be incurred…
