(b) The Contractor shall comply with (1) the Security Agreement (DD Form 441), including the National Industrial Security Program Operating Manual (32 CFR part 117); and (2) any revisions to that manual, notice of which has been furnished to the Contractor.

(c) If, subsequent to the date of this contract, the security classification or security requirements under this contract are changed by the Government and if the changes cause an increase or decrease in security costs or otherwise affect any other term or condition of this contract, the contract shall be subject to an equitable adjustment as if the changes were directed under the Changes clause of this contract.

(d) The Contractor agrees to insert terms that conform substantially to the language of this clause, including this paragraph (d) but excluding any reference to the Changes clause of this contract, in all subcontracts under this contract that involve access to classified information.

52.219-14 LIMITATIONS ON SUBCONTRACTING (DEVIATION 2021-O0008) (SEP 2021)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. “Similarly situated entity,” as used in this clause, means a first-tier subcontractor, including an independent contractor, that—

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to—

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;

(4) Orders expected to exceed the simplified acquisition threshold and that are—

(i) Set aside for small business concerns under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to small business concerns under multiple-award contracts as described in 19.504(c)(1)(ii);

(5) Orders, regardless of dollar value, that are—

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for—

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding certain other direct costs and certain work performed outside the United States (see paragraph (e)(1)(i)), to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract. The following services may be excluded from the 50 percent limitation:

(i) Other direct costs, to the extent they are not the principal purpose of the acquisition and small business concerns do not provide the service. Examples include airline travel, work performed by a transportation or disposal entity under a contract assigned the environmental remediation NAICS code 562910), cloud computing services, or mass media purchases.

(ii) Work performed outside the United States on awards made pursuant to the Foreign Assistance Act of 1961, or work performed outside the United States required to be performed by a local contractor.

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 85 percent subcontract amount that cannot be exceeded; or

(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 75 percent subcontract amount that cannot be exceeded.

(f) The Contractor shall comply with the limitations on subcontracting as follows:

(2) For orders, in accordance with paragraphs (c)(4) and (5) of this clause, by the end of the performance period for the order.

(g) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph

(e) of this clause will be performed by the aggregate of the joint venture participants.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (SEP 2021)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (d) of this clause. Such a concern is "not dominant in its field of operation" when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

(b) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, upon occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, when the Contracting Officer explicitly requires it for an order issued under a multiple-award contract.

(d) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code(s) assigned to this contract. The small business size standard corresponding to this NAICS code(s) can be found at https://www.sba.gov/document/support--table-size-standards.

(e) The small business size standard for a Contractor providing an end item that it does not manufacture, process, or produce itself, for a contract other than a construction or service contract, is 500 employees if the acquisition--

(1) Was set aside for small business and has a value above the simplified acquisition threshold;

(2) Used the HUBZone price evaluation preference regardless of dollar value, unless the Contractor waived the price evaluation preference; or

(3) Was an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.

(f) Except as provided in paragraph (h) of this clause, the Contractor shall make the representation(s) required by paragraph (b) and (c) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause, or with its offer for an order (see paragraph (c) of this clause), that the data have been validated or updated, and provide the date of the validation or update.

(g) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (f) or (h) of this clause.

(h) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

The Project is geared to inventory areas that have a high probability of mission activities occurring and helps the installation in complying with Section 106 and section 110 of the NHPA of 1966. The Project is intended to build on previous efforts and result in a comprehensive inventory of historic properties in the selected areas on Camp Desert relevant to all cultural periods; the Project will also make final determinations of eligibility for all recorded sites.

Unless otherwise specifically stated, the Contractor shall furnish all labor, management, travel, supplies, equipment, materials, and vehicles to perform the following work (detailed task requirements are in Section 5.0):

1. Perform a Phase I archaeological inventory of 3,000 acres and evaluate all recorded sites in compliance with the New Mexico Cultural Resources Information System 2018 Guidelines NMCRIS standards;

2. Perform a complete recording of 30 new sites and make NRHP eligibility recommendations, including any necessary Phase II subsurface testing. NRHP eligibility testing is required to follow the NMCRIS standards;

3. Collect diagnostic artifacts and curate them according to established NMCRIS standards and consult with the Laboratory of Anthropology in Santa Fe for curation guidelines;

4. Prepare and submit project plans (including Work Plan, PMP, etc);

5. Prepare and submit fully completed state site forms and any required attachments;

6. Prepare and submit a professional technical report describing, among other requirements, the results of that work in paper and electronic formats in accordance with New Mexico SHPO requirements;

7. Prepare and submit all other required deliverables (including GIS data, data analyses, and project notes);

8. Rehabilitate previously collected artifacts and prepare for storage.

The Contractor shall comply with applicable Federal, state, and local laws, regulations, and guidance; and perform all work in accordance with these requirements and any applicable agreements. All work performed by the Contractor under the firm fixed price task order will be accomplished in a manner which conforms to this Performance Work Statement (PWS). The Contracting Officer (KO) must approve any modifications to the TO before implementation. Professional level skills and management practices are required in the performance of this TO. Accordingly, the Contractor shall establish effective quality control to assure that the end product meets professional standards and complies with the contract requirements. The Contractor, its subsidiaries, affiliates, or associates shall not release any information regarding the project to technical societies, news media, or the general public without obtaining permission from the KO.

Personnel performing work under the TO shall possess training, certification(s) and experience commensurate with the work they will perform and level of responsibility they will exercise.

2.0. INTRODUCTION

Camp Desert is a fictitious Army Installation located in New Mexico. The location and significance of sites dating from the Paleoindian period (ca. 13000 B.P. to Late Formative (ca. AD 1400) to the Cold War is largely unknown. Lack of knowledge concerning the location and significance of these sites can cause regulatory delay and problems in conducting the military mission at Camp Desert. This lack of knowledge could have adverse effects on the eligibility of these sites for the National Register (PL89-665 as amended; 36 CFR 60; 36 CFR 800). Phase II testing will be required on those sites that need more detailed analysis to assess their National Register eligibility status. Those sites that are determined eligible by this work are to be reported to the Camp Desert CRM and the installation will nominate sites to the National Register of Historic Places (NRHP). The Project will assist Camp Desert in compliance with Section 106 and Section 110 of the National Historic Preservation Act of 1966.

The body of the report shall describe all work accomplished. Monthly progress reports shall be sent electronically to the USACE PM, and the Camp Desert CRM.

5.1.3. Project Work Plan (WP)/ Project Management Plan (PMP). The Contractor shall develop a Work Plan for the survey and evaluation effort adhering to the guidelines for cultural resource surveys on Camp Desert. The Contractor shall include, but not be limited to, project organization, personnel (i.e., key personnel roles and responsibilities), deliverables, coordination and communication procedures, activity schedule, and a program for assessing the research potential and NRHP eligibility of each site recorded. Sites must be recommended “eligible” or “not eligible.” A recommendation of “undetermined” will not be accepted. The Contractor will perform any necessary subsurface testing program, chronometric or chronological dating, and any other analyses, in order to provide a recommendation. Collection strategies will be outlined and will be minimized to either diagnostic or rare finds. The WP shall comply with Department of Defense (DoD), USACE, state, and local regulations regarding the proposed work effort. The WP shall address all tasks required to meet project objectives. The WP shall also describe the quality assurance (QA) and quality control (QC), and safety procedures and activities that will contribute to the successful execution of this project. The WP shall also contain the appropriate elements of a Project Management Plan (PMP) that is based on the Contractor’s proposal and must remain current throughout the task order performance period and be updated when any changes occur.

The WP shall consist of three iterations: 1) Draft [Deliverable 3a], 2) Draft Final [Deliverable 3b] and 3) Final [Deliverable 3c].

The following Plans will be included as appendices or attachments to the overall project Work Plan:

5.1.3.1. Health and Safety Plan (HSP). The Contractor shall prepare a written HSP in accordance with the project PWS and adhere to all DoD and appropriate Army policies, procedures, and regulations, including training and medical screening required by 29 Code of Federal Regulations 1910.120(e). The HSP shall address all safety-related issues and potential hazards that may be encountered during work performed under this contract. 5.1.4. Contractor Manpower Reporting

In accordance with FAR 4.1703, Section 743(a)(3) of Division C of Public Law 111-117, Office of Federal Procurement Policy (OFPP) and the Revised Department of Defense Contractor Manpower Reporting Initiative, the contractor shall report required information for Services Contracts meeting specific thresholds and that are within four (4) prescribed Product Service Codes (PSCs). Contractors must log into their SAM profile accounts at www.SAM.gov to perform the contract reporting (also reference the SAM Quick Start Guide for Service Contract Reporting).

SAM receives contract information from FPDS-NG and will enable reporting for entities with contracts that meet the required reporting thresholds and will auto-populate much of the required information for reporting. After logging into the SAM account, the Contractor will select ‘Entity Registration’ and then select ‘Service Contract Reporting’. SAM will display the entities which have service contracts and meet the reporting criteria. Next, select ‘View by Entity’ to see the service contracts for each entity, then select ‘Add’ for the service contract against which a Service Contract Report is to be created. The Contractor will then be taken automatically to the Complete Service Contract Report page. SAM automatically retrieves and displays the contract information.

The required information to be entered is:

a. Total Amount Invoiced: Total dollar amount invoiced for services performed during the previous Government fiscal year under the contract (this amount should include the prime and any subcontract amount).

b. Prime Contractor Hours Expended: Prime Contractor direct labor hours expended on the services performed during the previous Government fiscal year. The amount you enter is automatically divided by 2,080 to calculate a Full Time Employee (FTE) equivalent, displayed under the Prime Contractor Hours Expended as a Prime Contractor FTEs.

c. Tier 1 Subcontractor Information: Report any required Tier 1 subcontractor information by selecting the ‘Add Tier 1 Subcontract Information’ button.

Click ‘Submit’ once the report is completed. This saves the report and returns the user to the ‘Select Service Contract’ page where another report can be created, or an existing report can be edited.

Any previously completed report can be edited as frequently as necessary until the end of the reporting period by selecting ‘View/Edit’ for the selected report.

Reporting must be completed annually by October 31 for each services performed under applicable services contracts during the preceding Government fiscal year (October 1-September 30) and a copy of the report shall be submitted to USACE: 1st annual report (Deliverable 4a) and 2nd annual report (Deliverable 4b).

5.2. TASK 2 – Conduct Archaeological Investigations. The Contractor shall conduct a Phase I archaeological survey in referenced zones/parcels in accordance with NMCRIS standard. The total acreage for archaeological survey is a 3,000 acres area that is relatively flat with minimal changes in elevation (less than 40 foot). The Project location is typical for the area with no access restrictions. The Contractor will assume there are 125 previously recorded sites within the survey area and that no more than 30 new sites will undergo a Phase II survey and be recorded.

The Contractor shall record all historic/prehistoric properties in accordance with NMCRIS. The Contractor shall prepare determinations of eligibility for the NRHP for each newly recorded historic property. The use of “Undetermined” for eligibility shall not be allowed.

The Contractor shall conduct sufficient Phase II in-field analysis activities at the 30 new sites. For bid purposes, the Contractor shall collect 200 diagnostic artifacts and curate them according to established NMCRIS standards. These are generally items that have commercial value or that need identification in a lab setting such as: whole bottles, projectile points, unusual prehistoric ceramics, large ceramic sherds, stone tools such as drills. The Contractor shall not collect every piece of metal, ceramic sherd, ground stone, or fire cracked rock encountered. The Contractor shall record all archaeological manifestations with GPS or total station. The Contractor shall furnish the GPS or total station files in ArcGIS format on CD-ROM for all archaeological sites (Deliverable 5a and 5b). GIS files to be submitted include 1) a polygon of each site boundary; 2) a point in UTM coordinates (WGS 84 datum) for each site datum; 3) a point in UTM coordinates (WGS 84 datum) for each feature. These must be submitted in ArcGIS format. The Contractor must submit one ArcGIS .SHP file with all site polygons in it (Deliverable 5c and 5d). All GIS files must have the metadata prepared and submitted also.

Information collected must be sufficient to complete the required Cultural Resource forms and to meet the detailed reporting requirements per NMCRIS standards.

The Contractor shall prepare two iterations of each as indicated below:

-GPS or Total Station - Draft [Deliverable 5a] and Final [Deliverable 5b] of the report.

The Contractor shall prepare three iterations: Draft [Deliverable 7a], Draft Final [Deliverable 7b] and Final [Deliverable 7c] of the report.

Reports must follow the NMCRIS. The camera-ready copies of the technical report must be bound unbound originals printed on 25% cotton rag bond paper or other suitable archival paper. Hand drafted figures will be drawn on 25% cotton rag paper or other suitable archival paper. All text and tables will be furnished to the government in MS Word or Excel format. All figures will be furnished in .DXF, .SHP, or .JPG file formats unless drafted by hand.

All GIS files will be furnished in ArcGIS format. All electronic files necessary to reproduce the final report will be submitted on five (5) copies of a CD-ROM disk. The CD-ROM disks will also include a copy of the Final Technical Report converted to Adobe .PDF

5.5. Task 5: Rehabilitate Special Collections. The contractor will rehabilitate approximately 3,900 special collections previously collected at Camp Desert from the same survey area identified within this PWS and provide a digital listing/inventory of those items. Archaeological remains to be rehabilitated are extremely rare, unique, monetarily valuable, museum quality and/or diagnostic to meet minimal standards set forth by the Laboratory of Anthropology in Santa Fe for curation guidelines and established Camp Desert curatorial standards and guidelines.
