(End of clause)

The following have been modified:

52.219-3 NOTICE OF HUBZONE SET-ASIDE OR SOLE-SOURCE AWARD (SEP 2021)

(a) Definition. ``HUBZone small business concern,'' as used in this clause, means a small business concern, certified by the Small Business Administration (SBA), that appears on the List of Qualified HUBZone Small Business

52.219-14 LIMITATIONS ON SUBCONTRACTING (DEVIATION 2021-O0008) (SEP 2021)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. “Similarly situated entity,” as used in this clause, means a first-tier subcontractor, including an independent contractor, that—

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to—

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

19.15;

(4) Orders expected to exceed the simplified acquisition threshold and that are—

(i) Set aside for small business concerns under multiple-award contracts, as described in 8.405-5 and

16.505(b)(2)(i)(F); or

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for—

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding certain other direct costs and certain work performed outside the United States (see paragraph (e)(1)(i)), to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract. The following services may be excluded from the 50 percent limitation:

(i) Other direct costs, to the extent they are not the principal purpose of the acquisition and small business concerns do not provide the service. Examples include airline travel, work performed by a transportation or disposal entity under a contract assigned the environmental remediation NAICS code 562910), cloud computing services, or mass media purchases.

(ii) Work performed outside the United States on awards made pursuant to the Foreign Assistance Act of 1961, or work performed outside the United States required to be performed by a local contractor.

Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;

(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. (g) A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph

(e) of this clause will be performed by the aggregate of the joint venture participants.

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (SEP 2021)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13

CFR part 121 and the size standard in paragraph (d) of this clause. Such a concern is "not dominant in its field of operation" when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

(b) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, upon occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, when the Contracting Officer explicitly requires it for an order issued under a multiple-award contract.

(d) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code(s) assigned to this contract. The small business size standard corresponding to this NAICS code(s) can be found at https://www.sba.gov/document/support--table-size-standards.

(e) The small business size standard for a Contractor providing an end item that it does not manufacture, process, or produce itself, for a contract other than a construction or service contract, is 500 employees if the acquisition--

(1) Was set aside for small business and has a value above the simplified acquisition threshold;

(2) Used the HUBZone price evaluation preference regardless of dollar value, unless the Contractor waived the price evaluation preference; or

(3) Was an 8(a), HUBZone, service-disabled veteran-owned, economically disadvantaged women-owned, or women-owned small business set-aside or sole-source award regardless of dollar value.

(f) Except as provided in paragraph (h) of this clause, the Contractor shall make the representation(s) required by paragraph (b) and (c) of this clause by validating or updating all its representations in the Representations and

Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause, or with its offer for an order (see paragraph (c) of this clause), that the data have been validated or updated, and provide the date of the validation or update.

(g) If the Contractor represented that it was other than a small business concern prior to award of this contract, the

Contractor may, but is not required to, take the actions required by paragraphs (f) or (h) of this clause.

(h) If the Contractor does not have representations and certifications in SAM, or does not have a representation in

Amendment #0004

2 March 2021

**Note to Offerors: This is an Example Project, with no existing documentation (i.e. RI/FS, Decision Document, site figures, site address, etc.). This Example Project will not be awarded. Offerors will develop a technical approach and proposed price based on Section L requirements and the information contained therein.

1.0. INTRODUCTION

This an Example Project for a non-personal services contract to provide excavation and disposal remediation actions at the former Fuel Storage Area site in College Station, Brazos County, Texas. College Station, Texas is located 75 miles northwest of Houston, Tx on State Hwy 6. The site is located on the southwest edge of College Station, on the southeast side of FM Road 60. The project site is located on the Easterwood Field Municipal Airport. Easterwood

Field is an active 1,565-acre active municipal airport. The former Fuel Storage project site is in an undeveloped, open area located outside of the airport security fence and outside the approach line of the runways.

As a non-personal services contract, the Government shall not exercise any supervision or control over the Offeror or its’ sub-contractors.

1.1. Background

The Former Fuel Storage (FFS) area is located at a formerly used defense (FUDS) site in College Station, Texas.

This parcel of land is within the FUDS site and has been transferred to the city of College Station along with former runways and other former structures. The former FFS area was an aviation fueling station and fuel storage area for small aircraft used in training flights. Fueling was active between 1943 through 1945. All above ground fuel tanks, pumps and ancillary piping were removed in 1946 and prior to transfer of the adjacent property to the City of

College Station. The area is located outside of the security fence and is level and grassy with no trees or shrubs since the airport maintains the area with regular mowing. The FFS area is outside the runway approach lines.

Groundwater at the FFS area was determined to be 15-ft bgs. The site is easily accessed from paved roadways (the excavation site is approximately 300 feet from the roadway (main road existing terminal parking area) and no overhead or underground utilities remain active or abandoned in place. A utility pole is located approximately 200-ft from the excavation site and available for use after coordination with the local utility company. The cost of any hook-up and electrical service is the contractor’s responsibility. A fire hydrant is located approximately 200 feet away and can be used at no charge for dust control and other contract requirements. The contractor can utilize the area near the power pole as their laydown area during field activities but must provide their own security for all equipment. The excavation site area is undeveloped; therefore, the contractor can expect no traffic during field activities. Site access from the highway is via the main paved, one-way entrance to the airport. Similar, the exit is also a paved, one-way road. The FFS area can be accessed using a paved crossover without entering the airport parking or terminal area. Traffic on the airport access roads will be at a minimum except for periods of sporadic flight arrival and departures.

1.2. Performance Objectives

The contractor is ultimately responsible for meeting all performance objectives within the task order’s performance period specified in this PWS. Performance Objectives and Standards are presented in Table 1 below:

2.0. SCOPE

A site specific Remedial Investigation and Feasibility Assessment (RI/FS) was conducted in 2016, which identified petroleum soil (but no groundwater) contamination in the area. A Feasibility Study was developed with various alternatives for remediation of this site. Based on this Feasibility Study, Excavation and Disposal was selected as the primary remediation alternative in the proposed plan and decision document. Additionally, the site is considered to be Industrial/Commercial, but Texas Commission on Environmental Quality (TCEQ) will request sample results be compared to residential standards for potential reuse considerations. The area is slated for future development including structures and therefore, indoor vapor intrusion is considered a potential exposure pathway. Closure to unlimited use and unrestricted closure (UU/UE) is not required. Ethylbenzene, toluene, and xylene are the contaminants of concern (COC).

The overall objective of this task order is to achieve site closure.

The contractor shall provide all personnel, supervision, equipment, supplies, facilities, transportation, tools, materials, and any other items or services necessary to perform the environmental remediation services to meet the performance objectives of this PWS in accordance with all applicable federal, state and local laws and regulations, and relevant Department of Defense (DoD), Army and USACE policies for the duration of the contract.

3.0. PROJECT MILESTONES

Performance Milestones are identified in Table 2 – Performance Milestones. The Contractor shall propose pricing for the performance milestones utilizing Attachment L-2, Milestone Payment Schedule with Cost. (NOTE: The

Excel version of Attachment L-2 provided with the RFP shall be submitted with the Offeror’s Volume II, Factor 5 6.) The Contractor must utilize Attachment L-1, Milestone Payment Schedule without Cost to identify their anticipated scheduled start and completion dates for each milestone, based upon their overall project schedule.

The Contractor may NOT propose interim milestones to the Performance Milestones within Table 2. As noted in Section 10, payments will be tied to the successful completion of a milestone, or an interim milestone, approved by the Contracting Officer, through the COR.

The Contractor shall participate in a kick-off meeting via teleconference within 15 calendar days of task order award. The kick-off meeting will provide an introduction of both contractor and Government personnel, personnel roles and responsibilities, discuss the contractual requirements, and lay out the path forward for successful contract execution. The Contractor shall prepare meeting minutes and provide them to all meeting participants within 7 calendar days of the kick-off meeting. Relevant contractor key personnel will attend this meeting.

4.1.2 Project Management Plan

The Contractor shall prepare and maintain a Project Management Plan (PMP) that is based on the Contractor’s proposal that, at a minimum, includes technical approach, management organization and integration of the contractor’s project team, their responsibilities and authorities, schedule and schedule management, transitional activities (if any), risk management, quality management, health and safety management, project communications and stakeholders, and security management. The PMP must remain current throughout the performance period of the contract and be updated when any changes occur.

The PMP shall also present a detailed discussion of lines of communication. The contractor shall coordinate and receive approval from USACE prior to communicating with regulatory and external stakeholders with the exception of routine and necessary coordination with the landowners adjacent to the excavation site, if necessary, during the field efforts. All written correspondence (except for email) from USACE to any stakeholder will be signed by an

USACE representative unless otherwise directed. For other communications, the Contractor shall coordinate with the USACE COR or USACE Project Manager (PM). The USACE COR or PM will provide guidance to the

Contractor on communications with upper level management. If conference calls are required to adequately address concerns, issues, and/or questions, the Contractor shall be responsible for setting up conference call lines.

Contractual issues will be directed to the USACE COR or contracting officer (KO).

As part of the PMP, the Contractor shall develop and maintain a project schedule and Work Breakdown Structure

(WBS) as part of their proposal and provided as an attachment to the PMP. The WBS shall be prepared in in

Microsoft Project version 2007 or 2010 (or compatible.) The WBS shall be updated as required and provided to

USACE monthly and upon request. The WBS shall include 100% of the work defined by this PWS and capture all field work elements and submittal development and deliverables. PMP shall describe the process by which the contractor will deliver weekly and monthly progress reports.

The WBS shall fully support the technical approach and outline all activities and milestones defined at the appropriate level of detail, logically sequenced to support and manage completion of the performance objectives in the PWS and which allows for sufficient review time of deliverables. Additionally, the due dates for all payable deliverables shall be identified. The Contractor will submit a monthly invoice with appropriate back-up documentation no later than the 10th day of each month. Partial or bi-monthly invoicing is not allowed. USACE will make all payments after verification of milestone completion in accordance with the approved MPS. All performance objectives must be completed within the allowable period of performance for the contract.

The draft PMP shall be submitted to the COR within 21 calendar days of Task Order award. USACE will provide comments within 15 calendar days. All comments shall be addressed by the Contractor and submit the Final PMP within 21 calendar days of receipt of USACE comments.

4.1.3. Quality Assurance/ Quality Control (QA/QC) Plan

The Contractor shall prepare a separate QA/QC Plan that specifically addresses the work outlined in this PWS and what measures and techniques the contractor will be implementing to ensure the work performed is adequately monitored and verified for successful completion in accordance with the PWS requirements. The contractor’s quality control program is the means by which he/she is assured the work performed complies with the contract.

The Draft QA/QC Plan must be submitted to the PM and COR within 21 calendar days of task order award.

USACE will provide comments within 21 calendar days. All comments shall be addressed by the Contractor and submit the Final QA/QC Plan within 15 calendar days of receipt of USACE comments. The QA/QC Plan must be updated as necessary to remain current.

A list of required submittals and their review times are identified in PWS Attachment 1.

The report for any week shall be provided by close of business on Monday of the following week. All reports must be as concise as possible, highlighting important progress, identifying potential issues (and a plan for their resolution) as well as key upcoming activities or events. When no fieldwork is in progress, or during demobilizations, the contractor shall submit only a Monthly Progress Report.

4.1.5. Accident Prevention Plan (APP) / Site Safety and Health Plan (SSHP) The contractor shall develop an Accident Prevention Plan (APP) / Site Safety and Health Plan (SSHP) for this contract as a standalone document and shall be submitted separately and which will only be reviewed by USACE.

Field activities shall not begin until the APP/SSHP has been reviewed and accepted by the COR. The AAP / SSHP shall be specific and shall address procedures to implement all of the activities described in the UFP-QAPP. The

Final APP / SSHP shall be submitted to the COR a minimum of 21 calendar days for review acceptance prior to starting field work; therefore, the contractor shall allow sufficient time for review and any revisions to the

In accordance with FAR 4.1703, Section 743(a)(3) of Division C of Public Law 111-117, Office of Federal

Procurement Policy (OFPP) and the Revised Department of Defense Contractor Manpower Reporting Initiative, the contractor shall report required information for Services Contracts meeting specific thresholds and that are within four (4) prescribed Product Service Codes (PSCs). Contractors must log into their SAM profile accounts at www.SAM.gov to perform the contract reporting (also reference the SAM Quick Start Guide for Service Contract

Reporting).

SAM receives contract information from FPDS-NG and will enable reporting for entities with contracts that meet the required reporting thresholds and will auto-populate much of the required information for reporting. After logging into the SAM account, the Contractor will select ‘Entity Registration’ and then select ‘Service Contract

Reporting’. SAM will display the entities which have service contracts and meet the reporting criteria. Next, select

‘View by Entity’ to see the service contracts for each entity, then select ‘Add’ for the service contract against which a Service Contract Report is to be created. The Contractor will then be taken automatically to the Complete Service

Contract Report page. SAM automatically retrieves and displays the contract information.

The required information to be entered is:

a. Total Amount Invoiced: Total dollar amount invoiced for services performed during the previous

Government fiscal year under the contract (this amount should include the prime and any subcontract amount).

b. Prime Contractor Hours Expended: Prime Contractor direct labor hours expended on the services performed during the previous Government fiscal year. The amount you enter is automatically divided by

2,080 to calculate a Full Time Employee (FTE) equivalent, displayed under the Prime Contractor Hours

Expended as a Prime Contractor FTEs.

c. Tier 1 Subcontractor Information: Report any required Tier 1 subcontractor information by selecting the

‘Add Tier 1 Subcontract Information’ button.

Click ‘Submit’ once the report is completed. This saves the report and returns the user to the ‘Select Service

Contract’ page where another report can be created, or an existing report can be edited.

Any previously completed report can be edited as frequently as necessary until the end of the reporting period by selecting ‘View/Edit’ for the selected report.

Reporting must be completed annually by October 31 for each service performed under applicable services contracts during the preceding Government fiscal year (October 1-September 30).

4.2. Task 2 –Optimized UFP-QAPP

The Contractor shall prepare a draft and final Optimized UFP-QAPP and a Stormwater Pollution Prevention Plan

(SWPPP) as a separate deliverable, in accordance with PWS Attachment 1 – Deliverables Schedule, to identify all the activities that will take place during the period of performance.

A draft Optimized UFP-QAPP shall be submitted to the USACE COR and the USACE PM for review and comment and the final Optimized UFP-QAPP shall be prepared based upon the resolution of the submitted comments and then submitted to the USACE COR and the USACE PM. Once final approval is given from the USACE COR for the

Optimized UFP-QAPP, the USACE shall submit it to the Texas Commission on Environmental Quality (TCEQ) for review (assume 30-days for TCEQ review/approval). The draft Optimized UFP-QAPP shall be submitted no later than 30 days from the date of kick off meeting and the final Optimized UFP-QAPP shall be submitted no later than

14 days from receipt of comments.

The contractor shall be responsible for quality control and data validation. QAPP worksheets shall be optimized using FUDSCHEM and renumbered for appropriate inclusion into the AGC UFP-QAPP. The project specific automated data review (ADR) library (eQAPP) shall be submitted for review at the same time as the AGC UFP-

QAPP to allow the eQAPP upload into FUDSCHEM during the planning stages of the project. For all analytical services procured through the Contractor’s laboratory or through a subcontracted laboratory under this PWS, the http://www.sam.gov/ laboratory shall report data using the Staged Electronic Data Deliverables (SEDD) format in accordance with the most recently published version. The minimum requirement for the laboratory is the delivery of a SEDD Stage 2a deliverable which includes results and method quality control data and all laboratory analysis/reports organized and submitted as a full data package in Adobe Acrobat format to include original completed chain-of-custody (COC).

Validate data in FUDSChem and upload items related to the submittals above to expedite review, i.e., data validation reports, AGC UFP-QAPP, chains of custody, and reports. FUDSChem Training and a User's Manual are available at https://fudschem.com.

Note: For purposes of this Example Project, assume TCEQ approval with no comments is received for the

Final RACR and the SWPPP.

4.3. Task 3 – Excavation and Disposal

The Contractor shall perform excavation and disposal at the Former Fuel Storage site in accordance with the proposed plan and decision document to remove 3,900 cubic yards of contaminated soil; for the purposes of this

Example Project, assume the excavation site dimension are approximately 300 ft x 50 ft x 7 ft. The boundaries of the excavation site have been clearly marked; therefore, there are no survey requirements except for determining actual excavated volume (bank cubic yards).

The excavated soil shall be disposed of at a permitted facility authorized to handle the contaminated soil. The nearest licensed landfill is east of College Station, on State Hwy 30, approximately 17 miles from the site. The

Contractor will be required to submit to the USACE COR and USACE PM a copy of all associated waste manifests as well as a copy of all landfill receipts as evidence of proper soil disposal. The excavated contaminated soil shall be considered non-hazardous, Class 2 waste.

Note: For the purposes of this example, assume that the excavation site is grass covered with no trees, shrubs, utilities or other infrastructure. The boundaries of the excavation site have been clearly marked;

therefore, there are no survey requirements except for determining actual excavated volume (bank cubic yards).

4.4. Task 4 – Sampling
