Multiple Environmental Government Acquisition (MEGA) Indefinite Delivery Contract (IDC)
Multiple Award Task Order Contract (MATOC) For
Environmental Remediation Services (ERS) Projects Within the Southwestern Division (SWD) Boundaries
And As Assigned in Accordance with UAI Sub-part 7.1 and ER 5-1-10
8 January 2019
1. This contract is a Small Business set-aside Indefinite Delivery Contract (IDC) Multiple Award Task Order Contract (MATOC) for Environmental Remediation Services (ERS) for Projects within the Geographic Boundaries of the Southwestern Division (SWD) and Projects Assigned to the Southwestern Division (within the Continental United States) in accordance with USACE Acquisition Instruction (UAI) Subpart 7.1 and Engineer Regulation (ER) 5-1-10. This MATOC for environmental remediation services (ERS) under NAICS code 562910 is a part of the U.S. Army Corps of Engineers, Northwestern, Southwestern and South Pacific Divisions’ Multiple Environmental Government Acquisition (MEGA) Strategy. The total amount of the MATOC with shared capacity among all contractors awarded contracts under this solicitation shall not exceed $45 million. There is no limit on the number of task orders that may be executed against this MATOC or individual IDCs. The cumulative total of all Task Orders issued under the MATOC shall not exceed the total contract capacity amount of $45 million. Firm-Fixed- Price Task Orders shall be written against the IDCs. The MATOC pool will be awarded under a Competitive Small Business solicitation. The intent is to award up to five (5) contracts under this solicitation; however, if the Source Selection Authority (SSA) determines during the source selection process that fewer or more than five (5) contracts should be awarded, based upon the selection criteria, the SSA has the discretion of adjusting that number or awarding none at all. Each contract awarded under this solicitation shall have a guaranteed Base Period minimum amount of $2,500.00. The guaranteed minimum will be met with the obligation of a task order meeting or exceeding the guaranteed amount. The minimum guarantee applies only to the Base Period and there is no minimum guarantee for any subsequent Option Period.
2. The Contract Line Item structure shall be established at the Task Order level. Pricing of Task Orders shall be pursuant to the instructions and limitations in accordance with FAR Clause 52.216-19, Order Limitation. The Contractor shall complete the Discipline Rate Schedules in Tables 1 and 2 below for the 3-year Base Period, the 2-year Option Period and the Additional 6-month Period (do not apply escalation to the 6-month period, as these rates must be the same as the Option Period Year 2 rates). An hourly rate must be provided for each discipline for every year within the Base and Option Period; failure to provide an hourly rate for all disciplines will result in the Offeror’s proposal being deemed ineligible for further consideration for contract award. These rates will apply to the prime contractor and all teaming subcontractors. A list of all teaming subcontractors must be submitted with the proposal.
3. All costs associated with travel shall be in accordance with the Joint Travel Regulations (JTR).
4. The Period of Performance for the Base Period for the contract will be 3 years, or 36 months, from the date of contract award. In addition, there will be one (1) 2-year Option Period (exercisable at the government’s discretion, early if necessary to access the Option Period’s contract capacity). The total Period of Performance will not exceed
5 years. However, if Contract Clause 52.217-8 is exercised it will extend the contract for an additional 6 months at the existing Option Period Year 2 rates.
To clarify:
FAR Clause 52.217-9, Option to Extend the Term of the Contract, will be the authority to exercise the 2-year Option Period at the Government’s discretion and would be accomplished via contract modification no later than midnight of the last day of the last day of the IDC’s 3-year Base Period.
FAR Clause 52.217-8, Option to Extend Services, will be the authority to extend the IDC’s period of Performance an additional 6 months beyond the 2-year Option Period, if necessary. In accordance with this contract clause, the rates during this 6-month extension period would be the “existing rates”, which would be those identified in Option Period 1, Year 2.
5. This is a firm-fixed-price type contract for the services specified in Section C, Statement of Work, which may or may not be required during the contract period. The Government is setting forth its anticipated requirements and its obligation under this contract. If the Government has any requirements for this type of work described in Section C, Statement of Work, during the contract period, the Government will procure said services on Task Orders on a per Job basis.
6. ORDERING PROCEDURES UNDER A MULTIPLE AWARD CONTRACT.
A) Fair Opportunity and Contractor Selection Process. According to FAR 16.505(b) and DFARS 216.505-70, all multiple award contractors shall be provided a fair opportunity to be considered for each individual Task Order in excess of $3,500 issued under this MATOC. Pursuant to the procedures established in the aforementioned clauses, this document standardizes this process and assures uniform application of this policy.
B) Multiple Award Task Order Contract (MATOC) Intent. The intent of the MATOC is to provide environmental services that support programs and projects assigned to and under direct management responsibility of Fort Worth District and other Districts within the Southwestern Division (SWD), US Army Corps of Engineers. Task orders will be issued on a project specific basis.
C) Period and Amount. The total amount of the Task Orders awarded under this MATOC shall not exceed a total maximum capacity of $45,000,000 for all contracts over five (5) years.
D) Procedures.
1. After the contracts are awarded, the Government will compete work requirements among the MATOC awardees based on performance and other factors appropriate to the project. Individual Task Orders awarded on a competitive basis will involve competition between the MATOC contractors. Each awardee will be provided a “fair opportunity” to be considered for subsequent Task Orders, except under those circumstances described below:
a) The government’s need is of such unusual urgency that providing a fair opportunity to all awardees would result in unacceptable delays [FAR 16.505(b)(2)],
b) Only one source is capable of responding at the level of quality required due to the unique or specialized nature of the work [FAR 16.505(b)(2)];
c) The new work is a logical follow-on in the interest of economy and efficiency to an existing task order where awardees were originally given a fair opportunity to be considered [FAR 16.505(b)(2)] or;
d) The order must be placed with a particular contractor in order to satisfy a minimum guarantee.
[FAR 16.505(b)(2)]
2. Once a project is identified for competition, the Contracting Officer or his designate will contact the MATOC contractors concerning the anticipated work. Contact may be by mail, phone, fax, or e-mail.
Based on the project, the Contracting Officer will request a short technical and cost proposal from each contractor. Technical and cost proposal submissions may range from a short-listing of past performance with verification of already submitted cost information to a five page technical proposal with specific pricing. The Government may use streamlined procedures, including oral presentations and minimized (page limited) submission requirements, at the Contracting Officer’s discretion. Based on the request, awardees shall prepare and submit proposals to the Contracting Office that address the evaluation factors specified in the request. Pre-award task order costs will not be reimbursed.
3. Fair opportunity to be considered for placement of all Task Orders will consist of a Government review and analysis of submitted proposals. Contractor selection will be based on an integrated assessment of all evaluation factors appropriate to the project. These factors may include some, all or any combination of the following nine considerations, although cost or price shall be included in all projects.
a) Specific technical and/or management capabilities and proposed technical approach
b) Experience/knowledge of the proposed work site.
c) Availability of labor and resources to avoid delays
d) Contractor performance on prior task orders including timely performance and quality of products or services provided and timeliness
e) Cost control
f) Customer satisfaction and favorable customer relations
g) Knowledge and experience complying with project specific State and Federal laws and regulations
h) Ability to meet schedule drivers (regulatory, risk, reuse, obligation rates, etc.)
i) Costs (using matrix of contractor-specific costs)
An ad hoc panel comprised of government team members who are knowledgeable of the project work requirements will conduct the review. After a selection is made, based on the best value to the government, the selected MATOC contractor shall be contacted for final negotiations.
E. The government is not required to contact each awardee before selection if the Contracting Officer (KO) has information that each awardee is provided fair opportunity to be considered. The Government reserves the right to award a task order solely on the basis of its review of data and analysis of evaluation criteria without discussions with the awardees. However, if discussions are necessary, the Government will conduct them with the MATOC contractors.
F. Under the provisions of the Federal Acquisition Streamlining Act of 1994, 10 U.S.C. 2304 (c) (Public Law 103- 355), a protest is not authorized in connection with the issuance or proposed issuance of an individual Task Order except for a protest on the grounds that the order increases the scope, period, or maximum value of the contract under which the order is issued. If the contractor believes it was not fairly considered for a particular task order, the contractor may present a complaint to the Contracting Officer. The awardee may appeal the explanation or decision of the Contracting Officer to the designated Task Order Ombudsman. The Ombudsman will be a senior agency official who is independent of the Contracting Officer. However, it is not within the designated Ombudsman's authority to prevent the issuance of an order or disturb an existing order.
7. The Contractor will not accept instructions issued by any person employed by the U.S. Government or otherwise, other than the Contracting Officer, or the Authorized Representative of the Contracting Officer acting within the limits of his or her authority.
8. The Contractor’s Program Manager and Senior Project Manager Key Personnel will be responsible for ensuring successful performance during the course of this contract and function as the key liaisons between contract forces and the Contracting Officer and COR. These designations with their express authorities shall be submitted in writing to the KO and COR within 5 calendar days of contract award.
9. Accounting and appropriation data will be established at the time of award for each task order.
10. Payments will be made on the Contractor’s estimate of work accomplished upon submission of Engineer Form 93, “Payment Estimate-Contract Performance.” No partial payment will be made for task orders of less than 30 calendar day’s duration. Each task order will include payment information.

NOTES (applicable to both tables):
A. Offerors are to submit their labor rates for each of the ordering periods at the time of proposal submission.
B. The offeror shall complete only one Table 1 and Table 2 for submission with their proposal. For each labor discipline, the offeror shall annotate whether the discipline provided is Prime or Subcontractor.
Each table shall show one rate per labor discipline, including those provided by sub-contractors. The offeror may not have all personnel on staff. Therefore, if those personnel are sub-contracted, their rates shall be provided in the tables as well and identify those personnel by entering “(SUB)” after the discipline title. For example, “Cultural Resources Compliance Specialist (SUB)”. The rates shown per labor discipline shall be fully burdened rates, exclusive of profit.
NOTE: If during the Contract Period of Performance, the Contractor’s original sub-contracted personnel are no longer available to the Prime, the Prime shall find a sub-contractor that has at a minimum, the same qualifications as the previous sub-contracted personnel. The Prime shall be responsible for negotiating the labor rates for those personnel that have been provided in this RFP.
Those rates provided in Tables 1 and 2 are the maximum that will be paid by the Government for any replacement personnel.
C. See Sections L and M for complete discussion of the content of the Cost/Price Proposal and its evaluation. The Section B Pricing Schedule is only one part of the contents of the required Cost/Price Proposal.
D. Sub-contractors: The sub-contractors who will be included by the prime in the Pricing Schedule and in the full cost/price proposal are those identified by the Prime contractor as “team sub-contractors”. Team sub-contractors are sub-contractors that the Prime used in their proposal to the Government to qualify for this contact and/or are sub-contractors that the Prime wishes to use during the life of the contract without having to obtain competition.
E. The job titles and classifications noted in the Pricing Schedule at the solicitation phase are the Government’s anticipated job titles and classifications to be used over the life of the contract. All offerors must include and price all of these job titles and classifications, whether through the use of personnel from the Prime’s firm or through sub-contractors. In other words, Tables 1 and 2 shall be completed in their entirety, with no blanks. Offerors shall not modify the disciplines identified in Tables 1 and 2 by adding to, deleting from, or changing the Government’s list of anticipated job titles and classifications. If the offeror has a job title and/or classification that is equivalent to one on the Government’s list, they must price their job title using the Government job title and/or classification that most closely matches theirs as a substitute.
F. The Government has classified the disciplines within job titles as Senior, Staff, and Junior levels. The following definitions apply to the use of these classifications:
Senior Level of the Profession: Job technical and oversight management with some review function.
Staff Level of the Profession: Hands-on work effort; responsible for most of the work on a Task Order.
Junior Level of the Profession: Relatively new to the profession; still in an apprenticeship, not fully credentialed; works under the supervision of a staff or senior level person.
NOTE: For labor disciplines within Tables 1 and 2 not having one of the three classification level designators (i.e. Scheduler, Programmer), the contractor must ensure the individual performing the work on a task order is an individual who is Staff or Senior level.
G. The Offeror and its sub-contractors cannot separate the job titles into different classifications other than the Senior, Staff, and Junior scheme. Offerors can, however, define their scheme and give definitions of the levels elsewhere within their proposal. As stated above, Offerors will not use job titles that will not charge directly to Task Order work. The necessity for the use of a discipline not included in Tables 1 or 2 to perform a requirement will be negotiated on a Task Order basis.
H. The requirement for any other direct cost not included in the Government’s list will be negotiated on a
Task Order basis. As stated above the unit prices entered into the Pricing Schedule will be “fully burdened”, exclusive of profit, as defined above. Please note that equipment, material, supply, travel and lab costs will be handled as noted below.
I. All Other Direct Costs (ODCs) including but not limited to reproduction, equipment, material and supply direct costs will be negotiated as required on each Task Order and not pre-priced or listed on the Pricing Schedule. The Contractor shall present the Government, as part of each Task Order’s cost proposal, the equipment, material and supply costs for the Task Order with support for the proposed costs, for the Government’s evaluation for fair and reasonable. The Contractor shall present the Government, with the Task Order’s cost proposal, with at least two quotes on required equipment, materials, and supplies obtained from sub-contractors by the Prime Contractor to support the Contractor’s proposed costs. The Contractor will be allowed to apply indirect cost rates as proposed (the multiplier identified as appropriate to ODCs and consistent with the accounting system), and profit or fee as negotiated on each Task Order to equipment, material and supply costs.
J. Per Diem (lodging and MI & E expenses) shall be paid at the current Government rates in accordance with the Federal Travel Regulation (FTR) per person per calendar day spent in travel status. No per diem will be paid for travel less than the number of hours per day stated in the current FTR. Per diem rate information may be obtained at https://secureapp2.hqda.pentagon.mil/perdiem/. Actual cost of transportation by public conveyance (plane, limited to coach class) shall be paid. Privately owned vehicles shall be paid at the current Government mileage rate in accordance with the FTR. If required by a Task Order under this contract, cost for travel, lodging, meals, vehicle rental, and mileage are allowable subject to the limitations of FAR 31.205-46. These costs will be negotiated on each Task Order. The contractor is not allowed to apply indirect costs (G&A) to travel costs.
K. Laboratory costs will be negotiated as required on each Task Order and not pre-priced or listed on the
Pricing Schedule. The Contractor shall present the Government, as part of each Task Order’s cost proposal, the laboratory costs for the Task Order with support for the proposed costs for the Government’s evaluation for fair and reasonable. The Contractor shall present the Government, with the Task Order’s cost proposal, with at least two quotes on required laboratory costs obtained from subcontractors by the Prime Contractor to support the Contractor’s proposed costs. The Contractor will be allowed to apply indirect cost rates as proposed (the multiplier identified as appropriate to ODCs and consistent with the accounting system), and profit or fee as negotiated on each Task Order to laboratory costs.
L. Any labor classification rates or other direct costs for the prime or subcontractors that are needed during the life of the contract, but were not included in the Pricing Schedule will be negotiated on the Task Order and may be added by modification to the contract as necessary. However, the fully burdened hourly labor rates entered on the Pricing Schedule and, thereby, proposed by the Contractor will be the contract’s rates and prices for the periods for which they are proposed (Base and Option periods) and will not be re-negotiated during those periods.
M. Task Orders: Services will be ordered by the Government in accordance with Section I, Contract Clause entitled “Ordering”. All services shall be charged at the unit prices, or lower, set forth in this Section B, Supplies or Services and Prices. There is no guarantee of work beyond the $2,500.00 Guaranteed Minimum for the Base Period of this contract. Exercising Option Periods on this contract are at the convenience of the Government and is NOT guaranteed.
N. Sub-contractor Mark-up, identified previously prior to Table 1, is a fixed percentage that is lower than the Prime’s negotiated profit and applied by the Prime on a Task order basis to sub-contracted costs.
Neither the prime’s profit nor G&A is included in this percentage. The Prime’s profit is negotiated on a Task Order basis and applied only to costs incurred by the Prime. The negotiated profit shall not be applied to sub-contracted costs in addition to the Sub-contractor mark-up.
O. Allowable markups on a Task Order basis:
Profit will be allowable on:
o Total fully burdened labor cost o Other Direct Costs (ODCs)
ODC Markup o This percentage is the Prime’s Overhead (OH) or G&A
Sub-contractor Markup o This percentage is the Prime’s markup on sub-contractor’s costs in lieu of profit
P. Non-allowable markups on a Task Order basis:
Profit cannot be applied to travel costs Profit cannot be applied to sub-contractor costs. The sub-contractor markup in Section 13 above is applied in lieu of profit.
G&A or OH cannot be applied to travel costs. The Prime must include an adequate number of hours for the Accounting/Payroll Specialist and/or Administrative/Clerical Specialist labor disciplines for scheduling travel and paying travel invoices.
G&A or OH cannot be applied to sub-contractor costs. The Prime must include an adequate number of hours for the Procurement/Contract Specialist to source, compete and schedule sub-contractors, as well as Accounting/Payroll Specialist and/or Administrative/Clerical Specialist labor disciplines to pay sub-contractor invoices.
