Indefinite Delivery Contract (IDC)

Single Award Task Order Contract (SATOC)

Environmental Management System (EMS), Consulting Services & Training Projects within the

Geographic Boundaries of the Southwestern Division (SWD) and Projects assigned to the Southwestern Division in accordance With UAI Subpart 5107.1 and ER 5-1-10

8 June 2018

1. This contract is a small business set-aside Indefinite Delivery Contract (IDC) Single Award Task Order Contract (SATOC) for Environmental Management System (EMS), Consulting Services and Training Projects within the Geographic Boundaries of the Southwestern Division (SWD) and Projects Assigned to the Southwestern Division in accordance with UAI Subpart 5107.1 and ER 5-1-10 to be executed through Solicitation No. W912BV18R0033.

The collective ceiling for this contract is $49,900,000. The minimum guaranteed amount for this IDIQ contract is $2,500. There is no minimum guaranteed amount for any subsequent option period.

2. The Contract Line Item structure shall be established at the Task Order level. Pricing of Task Orders shall be pursuant to the instructions and limitations in accordance with FAR Clause 52.216-19, Order Limitation. The Contractor shall complete the Discipline Rate Schedules in Tables 1 and 2 below for the 3-year Base Period, the 2-year Option Period and the Additional 6-month Period (do not apply escalation to the 6-month period, as these rates must be the same as the Option Period Year 2 rates). An hourly rate must be provided for each discipline for every year within the Base and Option Period; failure to provide an hourly rate for all disciplines will result in the Offeror’s proposal being deemed ineligible for further consideration for contract award. These rates will apply to the prime contractor and all teaming subcontractors. A list of all teaming subcontractors must be submitted with the proposal.

3. All costs associated with travel shall be in accordance with the Joint Travel Regulations (JTR).

4. The Period of Performance for the Base Period for the contract will be 3 years, or 36 months, from the date of contract award. In addition, there will be one (1) 2-year Option Period (exercisable at the government’s discretion, early if necessary to access the Option Period’s contract capacity). The total Period of Performance will not exceed 5 years. However, if Contract Clause 52.217-8 is exercised it will extend the contract for an additional 6 months at the existing Option Period Year 2 rates.

To clarify:

FAR Clause 52.217-9, Option to Extend the Term of the Contract, will be the authority to exercise the 2-year Option Period at the Government’s discretion and would be accomplished via contract modification no later than midnight of the last day of the IDC’s 3-year Base Period.

FAR Clause 52.217-8, Option to Extend Services, will be the authority to extend the IDC’s period of Performance an additional 6 months beyond the 2-year Option Period, if necessary. In accordance with this contract clause, the rates during this 6-month extension period would be the “existing rates”, which would be those identified in Option Period 1, Year 2.

5. This is a firm fixed price type contract for the services specified in Section C, Performance Work Statement, which may or may not be required during the contract period. The Government is setting forth its anticipated requirements and its obligation under this contract. If the Government has any requirements for this type of work described Section C, Performance Work Statement, during the contract period, the Government will procure said services on Task Orders under this contract on a per Job basis.

6. To clarify DFARS Clause 252.216-7006, Ordering, the following will apply:

(a) Services for each task order may be requested either verbally or in writing. A letter request for proposal will be issued by the Contracting Officer. Oral or telecommunications requests will be issued only by the Contracting Officer.

(b) The Government request for proposal will delineate (1) Performance Work Statement, (2) Location of Work,

(3) Character and Extent of Services, (4) Technical Requirements with supplemental or complement those contained in Section C of this basic contract, and (5) time period(s) within which the work must be performed.

(c) The Contractor will prepare an estimate of his time and cost(s) to perform the work, and submit his proposal in writing to the Contracting Officer within the time specified. Verbal proposals, when so requested and authorized, will be directed only to the Contracting Officer. Itemized cost proposals will strictly correspond to the units contained in Section B of this contract.

(d) Each task order will be discussed by the Contractor and the Contracting Officer’s Representative, as necessary, to develop a mutual understanding of:

(1) Type and scope of the work to be accomplished, including accuracy criteria.

(2) End product required by the Contracting Officer.

(3) Commencement and completion dates required by the Contracting Officer.

(4) Existing site conditions, survey control, and other available data.

(5) A fair and reasonable estimated cost to perform the work.

(e) Time periods within which required work must be accomplished will be defined in each task order placed against the basic contract. Each task order will contain the agreed to performance work statement, type(s) of service(s) to be performed, specific deliverable items, and the negotiated fixed-price cost for performing the work.

7. The Contractor will not accept instructions issued by any person employed by the U.S. Government or otherwise, other than the Contracting Officer, or the Authorized Representative of the Contracting Officer acting within the limits of his authority.

8. The Contractor’s Program Manager and Senior Project Manager Key Personnel will be responsible for ensuring successful performance during the course of this contract and function as the key liaisons between contract forces and the Contracting Officer and COR. These designations with their express authorities shall be submitted in writing to the KO and COR within 5 calendar days of contract award.

** Denotes Key Personnel (both tables): Resumes required

NOTES (applicable to both tables):

1. Offerors are to submit their labor rates for each of the ordering periods at the time of proposal submission.

2. The offeror shall complete only one Table 1 and Table 2 for submission with their proposal. For each labor discipline, the offeror shall annotate whether the discipline provided is Prime or Subcontractor. Each table shall show one rate per labor discipline, including those provided by subcontractors. The offeror may not have all personnel on staff. Therefore, if those personnel are subcontracted, their rates shall be provided in the tables as well and identify those personnel by entering “(SUB)” after the discipline title.

For example, “Cultural Resources Compliance Specialist (SUB)”. The rates shown per labor discipline shall be fully burdened rates, exclusive of profit.

NOTE: If during the Contract Period of Performance, the Contractor’s original subcontracted personnel are no longer available to the Prime, the Prime shall find a subcontractor that has at a minimum, the same qualifications as the previous subcontracted personnel. The Prime shall be responsible for negotiating the labor rates for those personnel that have been provided in this RFP.

Those rates provided in Tables 1 and 2 are the maximum that will be paid by the Government for any replacement personnel.

3. See Sections L and M for complete discussion of the content of the Cost/Price Proposal and its evaluation.

The Section B Pricing Schedule is only one part of the contents of the required Cost/Price Proposal. The complete 9 page, Section B Pricing schedule MUST be submitted in the proposal.

4. Subcontractors: The subcontractors who will be included by the prime in the Pricing Schedule and in the full cost/price proposal are those identified by the Prime contractor as “team subcontractors”. Team subcontractors are subcontractors that the Prime used in their proposal to the Government to qualify for this contract and/or are subcontractors that the Prime wishes to use during the life of the contract without having to obtain competition.

5. The job titles and classifications noted in the Pricing Schedule at the solicitation phase are the

Government’s anticipated job titles and classifications to be used over the life of the contract. All offerors must include and price all of these job titles and classifications, whether through the use of personnel from the Prime’s firm or through subcontractors. In other words, Tables 1 and 2 shall be completed in their entirety, with no blanks. Offerors shall not modify the disciplines identified in Tables 1 and 2 by adding to, deleting from, or changing the Government’s list of anticipated job titles and classifications. If the offeror has a job title and/or classification that is equivalent to one on the Government’s list, they must price their job title using the Government job title and/or classification that most closely matches theirs as a substitute.

6. The Government has classified the disciplines within job titles as Senior, Staff, and Junior levels. The following definitions apply to the use of these classifications:

Senior Level of the Profession: Job technical and oversight management with some review function.

Staff Level of the Profession: Hands-on work effort; responsible for most of the work on a Task Order.

Junior Level of the Profession: Relatively new to the profession; still in an apprenticeship, not fully credentialed; works under the supervision of a staff or senior level person.

NOTE: For labor disciplines within Tables 1 and 2 not having one of the three classification level designators (i.e. Scheduler, Programmer), the contractor must ensure the individual performing the work on a task order is an individual who is Staff or Senior level.

7. The Offeror and its subcontractors cannot separate the job titles into different classifications other than the

Senior, Staff, and Junior scheme. Offerors can, however, define their scheme and give definitions of the levels elsewhere within their proposal. As stated above, Offerors will not use job titles that will not charge directly to Task Order work. The necessity for the use of a discipline not included in Tables 1 or 2 to perform a requirement will be negotiated on a Task Order basis.

8. The requirement for any other direct cost not included in the Government’s list will be negotiated on a

Task Order basis. As stated above the unit prices entered into the Pricing Schedule will be “fully burdened”, exclusive of profit, as defined above. Please note that equipment, material, supply, travel, and lab costs will be handled as noted below.

9. All Other Direct Costs (ODCs) including but not limited to reproduction, equipment, material and supply direct costs will be negotiated as required on each Task Order and not pre-priced or listed on the Pricing Schedule. The Contractor shall present the Government, as part of each Task Order’s cost proposal, the equipment, material and supply costs for the Task Order with support for the proposed costs, for the Government’s evaluation for fair and reasonable. The Contractor shall present the Government, with the Task Order’s cost proposal, with at least two quotes on required equipment, materials, and supplies obtained from subcontractors by the Prime Contractor to support the Contractor’s proposed costs. The Contractor will be allowed to apply indirect cost rates as proposed (the multiplier identified as appropriate to ODCs and consistent with the accounting system), and profit or fee as negotiated on each Task Order to equipment, material and supply costs.

10. Per Diem (lodging and MI & E expenses) shall be paid at the current Government rates in accordance with the Joint Travel Regulation (JTR) per person per calendar day spent in travel status. No per diem will be paid for travel less than the number of hours per day stated in the current JTR. Per Diem rate information may be obtained at https://secureapp2.hqda.pentagon.mil/perdiem/. Actual cost of transportation by public conveyance (plane, limited to coach class) shall be paid. Privately owned vehicles shall be paid at the current Government mileage rate in accordance with the JTR. If required by a Task Order under this contract, cost for travel, lodging, meals, vehicle rental, and mileage are allowable subject to the limitations of FAR 31.205-46. These costs will be negotiated on each Task Order. The contractor is not allowed to apply indirect costs (G&A) to travel costs.

11. Any labor classification rates or other direct costs for the prime or subcontractors that are needed during the life of the contract, but were not included in the Pricing Schedule will be negotiated on the Task Order and may be added by modification to the contract as necessary. However, the fully burdened hourly labor rates entered on the Pricing Schedule and, thereby, proposed by the Contractor will be the contract’s rates and prices for the periods for which they are proposed (Base and Option periods) and will not be re-negotiated during those periods.

12. Task Orders: Services will be ordered by the Government in accordance with Section I, Contract Clause entitled “Ordering”. All services shall be charged at the unit prices, or lower, set forth in this Section B, Supplies or Services and Prices. There is no guarantee of work beyond the $2,500.00 Guaranteed Minimum for the Base Period of this contract. Exercising Option Periods on this contract are at the convenience of the Government and is NOT guaranteed.

13. Subcontractor Markup, identified previously prior to Table 1, is a fixed percentage that is lower than the

Prime’s negotiated profit and applied by the Prime on a Task order basis to subcontracted costs. Neither the prime’s profit nor G&A is included in this percentage. The Prime’s profit is negotiated on a Task Order basis and applied only to costs incurred by the Prime. The negotiated profit shall not be applied to subcontracted costs in addition to the Subcontractor markup.

14. Allowable markups on a Task Order basis:

Profit will be allowable on:

o Total fully burdened labor cost o Other Direct Costs (ODCs)

ODC Markup o This percentage is the Prime’s Overhead (OH) or G&A

Subcontractor Markup o This percentage is the Prime’s markup on subcontractor’s costs in lieu of profit

15. Non-allowable markups on a Task Order basis:

Profit cannot be applied to travel costs Profit cannot be applied to subcontractor costs. The subcontractor markup in Section 13 above is applied in lieu of profit.

G&A or OH cannot be applied to travel costs. The Prime must include an adequate number of hours for the Accounting/Payroll Specialist and/or Administrative/Clerical Specialist labor disciplines for scheduling travel and paying travel invoices.

G&A or OH cannot be applied to subcontractor costs. The Prime must include an adequate number of hours for the appropriate labor disciplines to source, compete and schedule subcontractors, as well as Accounting/Payroll Specialist and/or Administrative/Clerical Specialist labor disciplines to pay subcontractor invoices.

Indefinite Delivery Contract (IDC) Single Award Task Order Contract (SATOC)

Environmental Management System (EMS), Consulting Services & Training Projects within the Geographic Boundaries of the Southwestern Division (SWD) and Projects assigned to the Southwestern Division in accordance With UAI Subpart 5107.1 and ER 5-1-10

8 June 2018

1.0 INTRODUCTION

1.1 Purpose

The purpose of this contract is to provide environmental management system (EMS) consulting services and training and related services that may include full time on-site support services associated with the management of EMS for projects within the geographic boundaries of the Southwestern Division (SWD), U.S. Army Corps of Engineers (USACE), and projects assigned to the Southwestern Division in accordance with UAI Subpart 5107.1 and ER 5-1-

10. Work to be performed under this contract may include, but not necessarily be limited to environmental roles and responsibilities, planning requirements, budgeting, effective implementation and operation, and management review.

Environmental Management System (EMS) is the framework for continual program and process improvement through clearly defined environmental roles and responsibilities, planning requirements, budgeting, effective implementation and operation, and management review.

Per Executive Order (EO) 13693, Planning for Federal Sustainability in the next Decade, the Federal Government shall establish and maintain an EMS where effective. The EMS shall conform to the International Organization for Standardization (ISO) 14001 Standard, EMSs – Requirements with guidance for use, in accordance with (IAW) Federal and Department of Defense (DoD) guidelines. The EMS shall sustain and enhance mission capability by:

- Maintaining compliance with all applicable environmental laws, regulations, and policy requirements.

- Reducing compliance burden by implementing pollution prevention solutions that reduce the quantity and impact of pollutants.

- Sustaining natural, cultural, built, and human resources.

- Providing community outreach to increase awareness of environmental issues.

- Incorporating EMS elements into specific operations of appropriate organizational- levels and installations.

This Performance Work Statement (PWS) provides for environmental services in support of the DoD and other Federal Agencies but predominately the Air Force to include assigned installations and facilities. In carrying out work assignments issued under this contract, the Contractor shall furnish the personnel, services, equipment, materials, facilities, and other requirements necessary for, or incidental to, the performance of work set forth herein.

The Contractor shall employ a multi-disciplined staff of scientists, engineers, Exemplar Global-certified ISO 14001 Lead Auditors, and other technicians, as required, with sufficient expertise and experience to effectively support all EMS requirements covered by this PWS. Technical services required to be performed by credentialed members of science, and engineering professions shall be performed by disciplines including, but not limited to, engineering disciplines typically associated with environmental engineers and scientists. Generally, a credentialed professional

(a) is licensed (e.g., registered professional engineer) and (b) commands the necessary expertise, in terms of knowledge and experience, to undertake the specified task. An environmental professional’s specific expertise may be evinced through certification that is compliant with the American Society of Testing and Materials (ASTM) Standard E1929-98, “Standard Practice for the Assessment of Certification Programs for Environmental Professionals: Accreditation Criteria” (e.g., DEE, CHMM, QEP, CIH).

The purpose of the EMS Program support is for the Contractor to provide responsive, EMS services as assigned under each Task Order (TO) to meet regulatory deadlines, reduce potential environmental impacts, and ensure compliance with all applicable laws, regulations, rules, orders, guidance, agreements, and policies.

The Contractor shall support the EMS Program by performing the following project tasks starting in Section 2 of the PWS. In performing any of the tasks within this PWS, the Contractor does not directly represent Federal Government interests in correspondence and negotiations with federal or state regulatory/legislative agency. Any correspondence or submittals to be submitted to a federal or state regulatory/legislative agency must first be submitted to the USACE for technical and legal review and approval. Additionally, any part of any task that would include a decision point that could potentially be tied to expenditure of funds shall require USACE approval before moving forward.

1.2 Applicable Work Locations

This contract is meant to satisfy requirements primarily within the SWD area of responsibility. However, contract capacity may be shared with other CONUS geographic districts where the principles of the Project Management Business Process and ER-1-10 have been met. The geographic territory for this contract will include the geographic boundaries of the Southwestern Division (SWD) and projects assigned to SWD including any of a variety of military installations, Federal agencies, and civil work entities where the USACE is otherwise authorized to respond. The Contractor shall provide environmental support as requested in the task orders (TOs) issued under this contract. This contract requires the Contractor to perform all work necessary to complete simultaneously executed TOs.

It is noted that the term “installation” is generically used within this PWS to refer to any potential location, agency, or facility as discussed above, that a TO may be awarded to/for under this contract. The Contractor may be required to perform tasks on-site or at their own facilities.

1.3 Technical Requirements

The general technical requirements specified in this performance work statement are intended to provide requirements for execution of the contract and an overall understanding of the functions that the Contractor may be required to perform. Specific services required under this contract shall be described in detail within individual scopes of work for each TO. The USACE will prepare the specific statement of work for each TO. However, the Contractor may be required to provide input to support the planning, scheduling, and formulation of the USACE's performance work statement. Individual TOs will contain additional detailed requirements and/or plans and specifications for each specific project. The Contractor may also receive available data and work products from past environmental activities performed by other Contractors and/or government personnel.

1.4 General Requirements

The Contractor is required to furnish all plant, labor, materials, and equipment to provide environmental services at project locations, unless otherwise directed by individual TOs. The Contractor's personnel shall comply with Occupational Safety and Health Administration (OSHA) requirements. The Contractor shall provide all support activities, described herein or in individual TOs, necessary to ensure the safe and effective accomplishment of project criteria within specified completion times. All work shall be performed in accordance with this contract, applicable Federal, State, and local installation regulations.

1.5 Task Order Requirements and Period of Performance

TOs will be issued as FFP performance-based TOs. For performance based TOs, the Contractor shall be responsible for developing technical and management approaches that directly satisfy the government’s TO objectives, including working with and maintaining good working relationships with regulators on all aspects of their work.
