AND PROJECTS ASSIGNED TO TULSA DISTRICT

IN ACCORDANCE WITH UAI SUBPART 7.1 AND ER 5-1-10

10 MARCH 2016

1.0 INTRODUCTION

The purpose of this contract is to provide environmental management system (EMS) consulting services and training and related services that may include full time on-site support services associated with the management of EMS for projects within the geographic boundaries of the Southwestern Division (SWD), U.S. Army Corps of Engineers (USACE), and projects assigned to Tulsa District in accordance with UAI Subpart 7.1 and ER 5-1-10. Work to be performed under this contract may include, but not necessarily be limited to environmental roles and responsibilities, planning requirements, budgeting, effective implementation and operation, and management review.

Environmental Management System (EMS) is the framework for continual program and process improvement through clearly defined environmental roles and responsibilities, planning requirements, budgeting, effective implementation and operation, and management review.

Per Executive Order (EO) 13423, Strengthening Federal Environmental, Energy, and Transportation Management, the Federal Government shall establish and maintain an EMS. The EMS shall conform to the International Organization for Standardization (ISO) 14001 Standard, Environmental Management Systems – Requirements with guidance for use, in accordance with (IAW) Federal and Department of Defense (DoD) guidelines. The EMS shall sustain and enhance mission capability by:

- Maintaining compliance with all applicable environmental laws, regulations, and policy requirements.

- Reducing compliance burden by implementing pollution prevention solutions that reduce the quantity and impact of pollutants.

- Sustaining natural, cultural, built, and human resources.

- Providing community outreach to increase awareness of environmental issues.

- Incorporating EMS elements into specific operations of appropriate organizational-levels and installations.

This Statement of Work (SOW) provides for environmental services in support of the DoD and other Federal Agencies but predominately the Air Force to include assigned installations and facilities. In carrying out work assignments issued under this contract, the Contractor shall furnish the personnel, services, equipment, materials, facilities, and other requirements necessary for, or incidental to, the performance of work set forth herein. The Contractor shall employ a multi-disciplined staff of scientists, engineers, and other technicians, as required, with sufficient expertise and experience to effectively support all EMS requirements covered by this SOW. Technical services required to be performed by credentialed members of science, and engineering professions shall be performed by disciplines including, but not limited to, engineering disciplines typically associated with environmental engineers and scientists. Generally, a credentialed professional (a) is licensed (e.g., registered professional engineer) and (b) commands the necessary expertise, in terms of knowledge and experience, to undertake the specified task. An environmental professional’s specific expertise may be evinced through certification that is compliant with the American Society of Testing and Materials (ASTM) Standard E1929-98, “Standard Practice for the Assessment of Certification Programs for Environmental Professionals: Accreditation Criteria” (e.g., DEE, CHMM, QEP, CIH).

The purpose of the EMS Program support is for the Contractor to provide responsive, EMS services as assigned under each Task Order (TO) to meet regulatory deadlines, reduce potential environmental impacts, and ensure compliance with all applicable laws, regulations, rules, orders, guidance, agreements, and policies.

The Contractor shall support the EMS Program by performing the following project tasks starting in Section 2 of the SOW. In performing any of the tasks within this SOW, the Contractor does not directly represent Federal Government interests in correspondence and negotiations with federal or state regulatory/legislative agency. Any correspondence or submittals to be submitted to a federal or state regulatory/legislative agency must first be submitted to the USACE for technical and legal review and approval. Additionally, any part of any task that would include a decision point that could potentially be tied to expenditure of funds shall require USACE approval before moving forward.

1.2 APPLICABLE WORK LOCATIONS.

This contract is meant to satisfy requirements primarily within the SWD area of responsibility. However, contract capacity may be shared with other CONUS geographic districts where the principles of the Project Management Business Process and ER-1-10 have been met. The geographic territory for this contract will include the geographic boundaries of the Southwestern Division (SWD) and projects assigned to Tulsa District including any of a variety of military installations, Federal agencies, and civil work entities where the USACE is otherwise authorized to respond. The Contractor shall provide environmental support as requested in the task orders (TOs) issued under this contract. This contract requires the Contractor to perform all work necessary to complete simultaneously executed TOs.

1.3 TECHNICAL REQUIREMENTS.

The general technical requirements specified in this statement of work are intended to provide requirements for execution of the contract and an overall understanding of the functions that the Contractor may be required to perform. Specific services required under this contract shall be described in detail within individual scopes of work for each TO. The USACE will prepare the specific statement of work for each TO. However, the Contractor may be required to provide input to support the planning, scheduling, and formulation of the USACE's statement of work. Individual TOs will contain additional detailed requirements and/or plans and specifications for each specific project. The Contractor may also receive available data and work products from past environmental activities performed by other Contractors and/or government personnel.

1.4 GENERAL REQUIREMENTS.

The Contractor is required to furnish all plant, labor, materials, and equipment to provide environmental services at project locations, unless otherwise directed by individual TOs. The Contractor's personnel shall comply with Occupational Safety and Health Administration (OSHA) requirements. The Contractor shall provide all support activities, described herein or in individual TOs, necessary to ensure the safe and effective accomplishment of project criteria within specified completion times. All work shall be performed in accordance with this contract, applicable Federal, State, and local installation regulations.

1.5 TASK ORDER REQUIREMENTS AND PERIOD OF PERFORMANCE.

TOs will be issued on a standard firm-fixed price (FFP) basis or may be issued as FFP performance-based TOs. For performance based TOs, the Contractor shall be responsible for developing technical and management approaches that directly satisfy the government’s TO objectives, including working with and maintaining good working relationships with regulators on all aspects of their work. As will be detailed in specific TOs, the USACE and its customers will review and comment on all documents prior to their submission to the regulatory agencies.

Any TO issued during the effective period of this contract and not completed within that period of that contract, shall be completed by the Contractor within the time specified in the TO. The Contract shall govern the Contractor's and Government's rights and obligations with respect to that TO's Period of Performance.

2.0 GENERAL CONTRACT INFORMATION.

2.1 CONTRACT TYPE.

This is an indefinite delivery type contract to provide a full range of environmental and related services, including full time on-site support services for projects specified in individual TOs, and it is effective for a period of 5 years from the date of award of the contract if all options are exercised.

2.2 DELIVERY.

Delivery or performance shall be made only as authorized by TOs issued in accordance with each ordering clause. The Contractor shall furnish to the Government, when and if ordered, work for the items specified in individual TOs. There is no limit on the number or size of orders that may be issued, and the Government may issue concurrent orders requiring delivery to multiple destinations or performance at multiple locations.

2.3 COMMENCEMENT OF WORK.

The Contractor shall be required to commence the work required by a TO at the time specified on the TO, execute the work, and complete the entire project not later than the completion time specified on the TO.

Unless identified otherwise or modified in the individual TOs, all services, and Contractor personnel qualifications, shall be in accordance with this section.

2.4 PURPOSE.

The express purpose of this contract is the provision of environmental services including on-site support services. In order to accomplish this, through TOs, the Contractor shall maintain a management staff and system that ensures flexibility, effective communications, and the diversity of disciplines necessary to successfully execute complex, multi-faceted work. The Contractor shall maintain a staffing and program management system that will promote retention of institutional knowledge and continuity. The Contractor shall maintain a communication program that will apprise key personnel executing various TOs of any significant findings that may impact ongoing or planned environmental support activities.

The Contractor shall initiate recommendations to the Contracting Officer's Representative (COR) about any alternative methods of executing a TO that would result in improved economy, productivity, or quality and immediately notify the COR of any conditions encountered during the execution of a TO that may impact performance.

2.5 PROFESSIONAL REGISTRATION/CERTIFICATION AND REGULATED PROCEDURES.

In performing the work effort, the Contractor shall adhere to professional guidelines and procedures established or approved by applicable Federal, State, and local regulatory agencies. Register of Professional Archeologists certification is acceptable as meeting archeological personnel qualifications.

All other mid and senior level disciplines should have or be able to obtain appropriate certification or registration appropriate to their professional field of endeavor. If the Contractor is providing on-site support services, the Contractor may be required to provide suitably registered or certified personnel for applicable tasks in specific TOs.

In the performance of air and water quality testing, the Contractor shall utilize only collection, transportation, testing, recording, and sample disposal procedures approved by the Environmental Protection Agency, the applicable State agency involved, and local installation requirements, if any. The Contractor must obtain and maintain all transportation and handling documentation and certifications required by the applicable State and Federal agencies. Laboratories used (prime or subcontracted facilities) must obtain approval from the Contracting Officer (KO), COR, or a KO approved point of contact (POC) as designated within specific TOs.

2.6 CONTRACT AUTHORITY AND WORK DEVIATION.

The Contractor shall thoroughly coordinate with the USACE KO or COR and other government agency representatives that are involved in the work effort. The USACE KO or COR are the only responsible parties for contractual matters; consequently, the Contractor shall not take any action relating to this contract at the direction of any other party. Any deviation from the established and approved scope of work, including specific methods and techniques, must be proposed in writing by the Contractor and approved by the KO or COR prior to implementation. Unapproved deviations shall not result in any additional cost to the Government. A KO approved POC may be designated, per TO, to act as a local authority for contract deviation approval regarding minor scope variations or divergences. Primary contact for all technical matters will be established within each specific TO.

Though, as outlined above, the Contractor shall not take any action relating to this contract at the direction of any other party, all Contractors must comply with lawful orders issued by certain authorized officials. Examples of this would be, but not limited to, orders by an Installation Commander to address emergency directions or a Safety Officer’s prerogative to issue stop work notices on-site. Various installations have industrial hygiene, security, and range control programs which have authority to

“direct” that certain actions occur or not occur on the installation. Additionally, many installation policies and regulations directly apply to Contractors and all Contractor personnel. Specific circumstances that may apply at any particular installation will be addressed prior to a TO commencement at each particular installation. If the Contractor receives any safety or security direction as outlined in this paragraph that will or potentially will impact TO execution and/or result in deviations that may have a cost impact, the Contractor must immediately notify the KO or COR.

2.7 USE OF SUBCONTRACTORS.

The Contractor shall not subcontract any portion of this contract to a party other than those identified in pre-existing partnerships established within the base contract or in proposals submitted in response to request for proposal for TOs without written authorization from the KO or COR. A KO approved POC may be designated per TO to act as a local authority for subcontractor variations.

2.8 SAFETY.

The Contractor shall at all times conduct operations in a safe manner and in accordance with all applicable Federal, State, and local statutes and regulations as well as the USACE Safety and Health Requirements Manual (EM 385-1-1, latest version). Based on TO award, the Contractor will also comply with all applicable agency or installation/facility safety policies and requirements. 8.0 DoD PERSONNEL SECURITY PROGRAM.

DoD 5200.2-R, DoD Personnel Security Program, requires DoD military and civilian personnel, as well as DoD consultant and Contractor personnel, who perform work on sensitive automated information systems to be assigned to positions which are designated at one of three sensitivity levels (ADP-I, ADP- II, ADP-III). These designations equate to Critical Sensitive, Non-critical Sensitive, and Non-sensitive.

The Contractor shall assure that individuals assigned to the sensitive positions, as determined by the Government, have completed the appropriate forms.

The required investigation(s) shall be completed prior to Contractor personnel being assigned to sensitive tasks. The Contractor shall ensure that personnel working on a sensitive automated information system fill out a System Authorization Access Request (SAAR) and turn it in to the organization’s system administrator. All Contractor personnel providing extended on-site services shall have a clearance and maintain a CAC/PKI access capability. The Contractor Verification System (CVS) is used to verify personal information on contract personnel. 8.2 COMMON ACCESS CARD.

Homeland Security Presidential Directive 12, dated 27 August 2004, promulgated a Federal standard for secure and reliable forms of identification for Federal employees and Contractors. That identification is the CAC. CACs may not be issued to Contractors unless a data record authorizing CAC issuance is resident in the Defense Enrollment Eligibility Reporting System (DEERS). The CVS was developed as a secure and authorized means of entering Contractor data into DEERS in addition to automating the CAC application and approval process. In order to enter Contractor data into CVS, the Contractor’s data must be resident in an authorized source database. The Joint Personnel Adjudication System (JPAS) is that authoritative source. Contractors without JPAS accounts may request accounts by following the instructions provided in the Frequently Asked Questions (FAQ) topic “How do I get a JPAS account (Industry Users)?” found on the JPAS website, https://www.dss.mil/diss/jpas/jpas.html. Personnel eligible for a CAC who are not in JPAS (i.e., certain Contractors, Foreign Nationals, and DoD affiliates) will be required to register at a site where an equivalent background vetting will be accomplished in accordance with FIPS 201.

8.3 SERVICES CONTRACT MANPOWER REPORTING.
