PRICING SCHEDULE

Philadelphia District, USACE $490 million FOB Power Generation and Distribution IDIQ

INSPECTION AND ACCEPTANCE TERMS: Supplies and services will be accepted at Destination by the Government for all CLINs.

CONTRACT ADMINISTRATION: Cognizant contract administration authority will be delegated the contracting officer at the US ARMY Corps of Engineer Office, Philadelphia District.

DESIGNATION OF GOVERNMENT INSPECTOR: A Government representative will be designated as the Contracting Officer Representative (COR) and as Contracting Officer Technical Representative (COTR) for the purpose of technical surveillance and inspection of work being performed under this contract. This designation in no way authorizes anyone other than the contracting officer to commit the Government to changes in the terms of the contract.

LIMITS OF AUTHORITY CONTRACTING OFFICER: Only the contracting officer is authorized to make changes to the terms and conditions of the contract.

OPTION TO EXTEND SERVICES: The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 14 days of contract expiration.

OPTION TO EXTEND THE TERM OF THE CONTRACT: The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(a) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(b) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

CONTRACT PARAMETERS: Total maximum quantity of services the Government may acquire under this IDIQ contract: $490,000,000.00 or 5 Years.

CLIN STRUCTURE: The purpose of this IDIQ contract is to provide flexibility to meet supporting U.S. Military prime power generation, transmission, and distribution for any Title 10 locations in Afghanistan. The immediate focus is on supporting FOB Dwyer, Afghanistan with a 10MW continuous power plant. The IDIQ format will also allow for expansion, take over, or establishment of prime power contract operations at any other US military installation in Afghanistan.

The CLIN structure is organized to mobilize a set MW capability or amount of transmission/distribution and then expand when and where needed. It is also established with the intention to combine CLINs if necessary. For example, if a FOB requires 14MW, CLINs 0006 and 0002 (with quantity of 2) would be combined to support the requirement.

The expansion CLIN will be used to support unforeseen expansion costs. Contractor will be required to submit a proposal, on a case by case basis, for review, negotiation and approval by the Contracting Officer on a case by case basis when installation expansions (additional mobilizations) exceed current capabilities and projected costs in “Mobilization Costs for Additional Power at Existing Job Sites” CLINS. In addition, the expansion CLIN may also be used to address unforeseen O&M costs associated with expansion of the distribution system such as additional feeders, transformers, panels, etc. The transformer CLINs can be used to procure one pad mount transformer or pole top can, or even be utilized to construct a substation if needed.

CONTRACT DOCUMENTS, EXHIBITS, OR ATTACHMENTS:
