INSTRUCTIONS TO OFFERORS

1. BASIS FOR AWARD

A. General.

(1) This solicitation is an unrestricted competitive acquisition using the Lowest Price Technically Acceptable (LPTA) source selection process for the award of a firm-fixed-price contract. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. This acquisition will utilize FAR Part 15 LPTA source selection procedures, leading to selection of the proposal representing the best value to the Government.

00 21 00-1

(2) In the context of this proposal, the “Offeror” refers to the proposed prime contractor. A major subcontractor is defined as a subcontractor that the offeror proposes to perform 25% or more of the work required under the solicitation.

(3) The Government intends to make an award without discussions, but reserves the right to conduct discussions should discussions prove to be necessary or advantageous to the Government. Because the Government does not intend to hold discussions, Offerors are encouraged to include their best pricing in their initial proposal.

(4) All proposals received will stand alone and be considered complete and final. The evaluation board will not consider any information or data incorporated by reference or otherwise referred to. The successful Offeror will be selected solely on the basis of the evaluation factors set forth below.

Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. Elaborate proposals, color brochures, and other excesses are discouraged.

(5) Joint Ventures (JV). A joint venture is defined as a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as “teaming agreements” or “strategic alliances,” which are not recognized as bona fide joint ventures for the purposes of this solicitation. An Offeror that is a joint venture will submit a copy of its legally binding joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners can be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity. Page and project form limits apply to the joint venture as a whole. Offerors that submit proposals may not change their firm (including Letters of Commitment (LOC) and proposed subcontractors) or their Joint Venture firms, if selected to submit Final Proposal Revisions (FPR).

(6) Subcontracting Plan (Large Businesses Only). Other-than-small business offerors (i.e., large businesses) must also submit a small business subcontracting plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003 contained in Section 00 72 00, Contract Clauses. In accordance with FAR 19.702, if any apparently successful offeror fails to negotiate a subcontracting plan acceptable to the Contracting Officer within the time limit prescribed by the Contracting Officer, the offeror will be ineligible for award. See Volume II Tab 6 for more information

B. Evaluation Ratings.

(1) The principal objective of the evaluation process is to make award of a contract to the responsible Offeror whose proposal is determined to be the “best value” to the Government, price and other factors considered. The Government will evaluate each proposal for acceptability in accordance with FAR 15.101- 2, Lowest Price Technically Acceptable Source Selection Process. Award will be made on the basis of the lowest evaluated price of proposals meeting the acceptability standards of non-cost factors. Tradeoffs are not permitted. The failure of a proposal to meet any of the acceptability standards for non-cost factors will result in a technically unacceptable rating and thus preclude award.

(2) The non-price, non-past performance factors will be rated as “Acceptable” or “Unacceptable” using the ratings in Table 1.

Tab 1 – Factor 1: Experience

Tab 2 – Factor 2: Past Performance

Tab 3 – Factor 3: Schedule

00 21 00-2

Table 1. Technical Acceptable/Unacceptable Ratings

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

(3) Past performance will be rated as “Acceptable” or “Unacceptable” using the ratings in Table 2.

Table 2. Past Performance Acceptable/Unacceptable Rating Method

Rating Description

Acceptable Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

Note: In the case of an Offeror without a record of relevant past performance or for which information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the Offeror will be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” will be considered “acceptable.”

2. SUBMISSION OF PROPOSALS

A. Administrative Details and General Instructions. Proposals are due no later than the time and date specified in Block 13 of Standard Form 1442.

(1) General Proposal Format. Submit each copy of the proposal in tabbed, 3-ring binders with a “D” ring or locking closures.

Title Page. Each copy must include the Offeror’s name and address, phone number, email address, title of the solicitation, solicitation number, and date of submittal clearly identified on the front cover of the binder.

Table of Contents. Each binder of the proposal will contain a detailed table of contents. The complete table of contents will be included in each binder.

Printed Matter Submissions. Pages containing text will be 8 ½ x 11 inches with at least one-inch margins at the top, bottom, and both sides. Paragraphs will be separated by at least one blank line. A standard 11-point font in either Arial or Times New Roman fonts is required.

Organization charts or schedules. A folded 11” x 17” format may be used. Larger format drawings or tables may be added by folding them to fit within the binder.

All information must be confined to the appropriate volume. If the materials do not fit within a single volume, they should be separated in additional binders, but clearly identified as such. Each volume of the proposal is expected to contain a table of contents, summary section with a brief abstract of the volume, and the narrative discussion.

00 21 00-3

THE OFFEROR WILL SUBMIT AN ELECTRONIC VERSION OF EACH PROPOSAL as one

(1) .pdf file. The electronic version will be on a readable CD. Any discrepancies between the electronic and paper copies will give precedence to the paper copy.

(2) Proposal Content Limitations.

The Offeror must confine the proposal to relevant information and documentation sufficient to provide an adequate basis for evaluation. Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of the proposal.

The page count is at the discretion of the Offeror; however Volume I, Technical Proposal may not be more than thirty-five (35) pages total. The thirty-five (35) page limitation does NOT include past performance information submitted in Factor 2, Past Performance.

The evaluation panel for the Government will evaluate the non-price proposal factors on the basis of the information provided. Extraneous information provided in the proposals will not be considered in the evaluations; therefore, the Offeror should provide only information that satisfies the solicitation requirements. Merely restating the specifications without sufficient elaboration demonstrates a lack of understanding of the requirement.

DO NOT cross reference past performance information. It is acceptable to repeat data, project information, or experience in more than one non-price area as long as it satisfies the requirements of the factor.

Proprietary information must be clearly marked.

(3) English Language Requirement.

In order for a proposal to be considered, it MUST be prepared in ENGLISH.

B. Content of Proposals. All proposals must be prepared in two (2) volumes: a Technical Proposal (Volume I) and a Price Proposal (Volume II). Each of the volumes will be separate and complete in itself so that evaluation of one may be accomplished independently from evaluation of the other. Offerors that fail to submit a complete proposal may be excluded and thus receive no further consideration for award.

The successful offeror will be selected solely on the basis of the evaluation factors set forth below. Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. The awardee’s Technical Proposal will be incorporated into the awarded contract.

(1) Technical Proposal, Volume I: Provide one (1) original and three (3) copies, and one (1) .pdf file on a CD-ROM. Volume I will consist of information for the three (3) factors listed in tabular form, as noted below. The Technical Proposal must not contain reference to price. The narrative and content structure of the proposal will follow the format shown for Volume I below.

Volume I – Technical (Non-Price) Factors

Tab 1 – Factor 1: Experience

Tab 2 – Factor 2: Past Performance

Tab 3 – Factor 3: Schedule

00 21 00-4

(2) Price Proposal, Volume II: Provide one (1) original and one (1) .pdf file on a CD-ROM. Provide pricing and complete all line items on Standard Form 1442 (SF 1442). The Price Proposal must be prepared in accordance with the following and must include:

Tab 1 - SF1442, Solicitation, Offer, and Award.

The SF1442 will be filled out completely by the Offeror and signed by an official that is authorized to bind the company. The Offeror will also acknowledge all amendments to the solicitation in accordance with the instructions on the Standard Form 30 or Block 19 of SF1442.

Tab 2 – Section 00010, Proposal Price / Bid Schedule.

The Offeror will fully complete this section.

Tab 3 - Representations, Certifications and Other Statements of Offerors.

The Offeror will complete all representations and certifications in Section 00600 and also ensure current registration and completed/updated Annual Representations and Certifications on the System for Award Management (SAM) website, www.sam.gov.

Tab 4 – Banking and Bonding Points of Contact.

The Government is required to determine a contractor’s responsibility. Accordingly, the Offeror will provide contact information (company name, point of contact, address, email, and phone number) for the Offeror’s bank and bonding institutions.

Tab 5 - Bid/Offer Guarantee. The Bid Bond will be at least 20% of the bid price, but will not exceed $3 million. See FAR Clause 52.228-1 – Bid Guarantee.

Tab 6 - Subcontracting Plan (Large Businesses Only). Other than U.S. small business offerors (i.e., large businesses) must also submit a small business subcontracting plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003 contained in Section 00700, Contract Clauses. In accordance with FAR 19.702, if any apparently successful Offeror fails to negotiate a subcontracting plan acceptable to the Contracting Officer within the time limit prescribed by the Contracting Officer, the Offeror will be ineligible for award.

Annual Subcontracting Report. Large businesses shall provide a completed subcontracting plan and most recent annual subcontracting report.

C. Submission of Proposals. Proposals must arrive at the location designated in the solicitation for receipt of such proposals prior to the time and date established in Block 13, SF 1442. There will not be a public proposal opening.

3. EVALUATION FACTORS

Volume I – Technical Proposal Submission Requirements and Evaluation Method:

FACTOR 1 (TAB 1) – Experience

Submission Requirements:

Submit information for two (2) projects that best demonstrate the Offeror’s experience performing projects in the last ten (10) years that are similar in size, scope, and complexity to this project, as described in the solicitation specifications. Information submitted for each project must include the information outlined in Offeror’s Experience Form, Attachment A.

To be evaluated, each project must have been completed or must be substantially complete within ten (10) years of the date that proposals are due. Substantially complete is defined as being 75% complete by the date that proposals are due. If an Offeror submits a project that it represents is “substantially complete,” the Offeror must reasonably explain why the project is considered at least 75% complete. If an Offeror submits an ongoing project without providing an accompanying reasonable explanation that explains how the project is at least 75% complete, the Government reserves the right to reject the project.

Only two (2) projects will be evaluated. If an Offeror disregards these instructions and submits more than two projects, only the first two projects listed will be evaluated for meeting the requirements. Offeror’s should describe each project with enough detail to ensure that the Government can meaningfully assess whether the projects submitted meet the minimum evaluation criteria outlined below.

Instructions on the use of major subcontractors to fulfill more than 25% of the work:

Offeror’s may use the past experience of major subcontractors to demonstrate experience. If the offeror submits experience of major subcontractors, the offeror must submit a letter of commitment from the subcontractor on the letterhead of the firm to be subcontracted. The letter of commitment must be signed by an authorized individual from the subcontractor who is proposed to perform the work. If a letter of commitment is not submitted, the experience will not be considered.

Evaluation Method:

Experience will be rated on an “Acceptable” or “Unacceptable” basis:

Table 1. Technical Acceptable/Unacceptable Ratings Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Acceptable: To be determined “Acceptable,” the Offeror’s proposal must demonstrate that the Offeror has completed or substantially completed the installation of two (2) fire alarm systems in the past ten (10) years. In addition, the installation of each fire alarm system must have:

• Required the Offeror to select the equipment manufacturer;

00 21 00-6

• Included a capacity of at least 100 addressable intelligent Signaling Line Circuit (SLC) Points;

• Included an interface with a smoke pressurization system; and

• Included aspirating smoke detection.

Unacceptable: The Offeror’s experience fails to meet the minimum acceptability criteria outlined above.

FACTOR 2 (TAB 2) – Past Performance

Submission Requirements:

Provide past performance information for each project submitted by the Offeror under Factor 1 – Experience:

• If a completed Contractor Performance Assessment Reporting System (CPARS) evaluation is available, the Offeror will submit it with the proposal.

• If there is not a completed CPARS evaluation, the Offeror will submit a Past Performance Questionnaire (PPQ) for the project. See Attachment B. Do not submit a PPQ when a completed CPARS is available.

o If the Offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the Offeror should complete and submit with the proposal the first page of the PPQ, which will provide contract and client information for the respective project(s).

o Offerors should follow up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government's point of contact, Thomas Cohick, via email at thomas.j.cohick@usace.army.mil prior to proposal closing date. The offerors will instruct the clients to refer to the solicitation number (W9127N18R0012) in the subject line.

o PPQs are source selection materials. All successfully submitted PPQs will receive an email confirmation upon receipt. If the Offeror does not receive the confirmation, it is the Offeror’s responsibility to follow up to ensure the government has received the information.

Offerors will not incorporate by reference into their proposal PPQs or CPARS previously submitted for other procurements. However, this does not preclude the Government from utilizing previously submitted past performance information in the past performance evaluation.

Offerors may provide explanation on problems encountered on past projects and the corrective actions taken by the offeror.

In addition to the above, the Government may review other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the PPIRS, including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), FAPIIS, telephone interviews with organizations familiar with the offeror’s performance, Government personnel with personal knowledge of the offeror’s performance capability, and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

00 21 00-7 mailto:thomas.j.cohick@usace.army.mil

Evaluation Method:

The past performance evaluation results is an assessment of the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance information that pertain to the project outlined in the solicitation requirements.

There are three aspects to the past performance evaluation: recency, relevancy, and quality.

The first aspect is to evaluate whether the Offeror’s past performance is recent, and relevant or not relevant to the solicitation requirements. For this solicitation, recent projects are those projects:

• Completed or substantially completed (as defined above) within ten years of the date that proposals are due.

The second aspect is to determine how relevant the Offeror’s past performance projects are to the solicitation requirements. For this solicitation, relevant projects are those projects that included the installation of a fire alarm system, and:

• Required the Offeror to select the equipment manufacturer;

• Included a capacity of at least 100 addressable intelligent Signaling Line Circuit (SLC) Points;

• Included an interface with a smoke pressurization system; and

• Included aspirating smoke detection.

The third aspect of the past performance evaluation is to determine how well the contractor performed on its past performance projects. The Government will evaluate the offeror’s past performance to ensure previous work performance satisfactorily met the contract requirements, performance schedules, prescribed quality of work, safety requirements, and other customer expectations on these projects.

The Government reserves the right to obtain or verify offeror’s past performance information from references and other sources available to the Government.

Based on a consideration of those three aspects, the Government will evaluate Factor 2 – Past Performance on an “acceptable” or “unacceptable” basis using the ratings stated in Table 2:

Note: In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the Offeror will be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” will be considered “acceptable.”

FACTOR 3 (TAB 3) – Schedule

Submission Requirements:

00 21 00-8

Submit a detailed schedule in Gantt chart format using Microsoft Office Project format (version 2013, 2016 or PDF), or Primavera P6 PDF printout. NOTE: All control room work must NOT be performed Mondays through Thursdays from 0630 to 1700 PST (see Section 01 10 10.00 25 Part 1.5).

The Gantt chart must include the following tasks (for all tasks, include task durations and relationships):

• Material procurement.

• Existing equipment removal and disposal/relocation.

• New equipment installation.

• New wall construction performed around the control room (include clock hours for work restrictions, as specified in specification section 01 10 10.00 25 Part 1.5)

• Testing and Commissioning.

• As-builts and Operational and Maintenance manuals.

Evaluation Method:

The Government will evaluate the Offeror’s schedule to assess the Offeror’s ability to execute the project within the time constraints established in the solicitation.

The Schedule will be rated on an “Acceptable” or “Unacceptable” basis:

Table 1. Technical Acceptable/Unacceptable Ratings Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Acceptable: To be determined “Acceptable,” the Offeror’s schedule must:

• Be in Gantt chart format;

• Include all work activities outlined in the submission requirements above;

• Demonstrate the contractor can complete the work within the required timeframes described in the solicitation;

• Include realistic durations; and

• Be in a logical sequence.

Unacceptable: The Offeror’s schedule fails to meet the minimum acceptability criteria outlined above.

Volume II – Price Proposal Evaluation Method:

Award will be made on the basis of the lowest evaluated proposed price proposal (sum of all CLINs) meeting or exceeding the acceptability standards for non-cost factors.

The Price Proposal will be evaluated to determine fairness and reasonableness. For evaluation purposes, the total evaluated price will be calculated by adding the total price for all optional items to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the options.

The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
