Section 00100 - Bidding Schedule / Instructions to Bidders

INSTRUCTIONS TO BIDDERS

1. BASIS FOR AWARD.

A. General.

(1) The solicitation is a total small business set-aside. The Government intends to award a firm-fixed price construction contract to the responsible offeror whose proposal represents the best value after evaluation in accordance with the factors in the solicitation. Offerors shall submit a technical proposal and a price proposal. The evaluation results of the technical and price proposals will determine an awardee. All evaluation factors other than price are approximately equal in importance to one another. All evaluation factors other than price, when combined, are significantly more important than price.

(2) The Government intends to make an award without discussions, but reserves the right to conduct discussions should discussions prove to be necessary or advantageous to the Government. Because the Government does not intend to hold discussions offerors are encouraged to include their best pricing in their initial proposal.

(3) In the context of this proposal, the “offeror” refers to the proposed prime contractor. A major subcontractor is defined as a subcontractor that the offeror proposes to perform 25% or more of the work required under the solicitation.

(4) Information submitted about any company other than the offeror, whether an affiliated company, major subcontractor, or other associated business, may not be given much weight unless the proposal contains evidence that the offeror has submitted a written commitment from the other business entity to perform a portion of the work.

(5) All proposals received will stand alone and be considered complete and final. The evaluation board will not consider any information or data incorporated by reference or otherwise referred

to. The successful offeror will be selected solely on the basis of the evaluation factors set forth below. Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. Elaborate proposals, color brochures, and other excesses are discouraged.

(6) Joint Ventures (JV) A joint venture is defined as follows: a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as “teaming agreements” or “strategic alliance” which are not recognized as bona fide joint ventures for the purposes of this solicitation.

A company that is part of a joint venture shall submit a legally binding joint venture agreement.

Joint ventures shall include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners can be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity. Page and project form limits apply to the joint venture as a whole. Prospective Offerors that submit proposals may not change their firm (including Letters of Commitment (LOC) and proposed subcontractors) or their Joint Venture firms, if selected to submit Final Proposal Revisions (FPR).

00100-1

(7) The Government recognizes that completion of a project is often a team effort. Thus, offerors are required to submit experience and past performance information for any major subcontractor proposed to be used to help demonstrate that the team they select to perform this project has a complete record of experience and past performance. Per FAR 15.305(a)(2)(iii). In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.

(8) The successful offeror will be selected solely on the basis of the evaluation factors set forth below. Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. The offeror’s technical proposal will be incorporated into the awarded contract.

B. Evaluation Ratings.

All non-price factors other than past performance shall be rated using the combined technical/risk rating as follows:

COLOR RATING DESCRIPTION

Blue Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Purple Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Green Acceptable

Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Yellow Marginal

Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by the strengths. Risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet the requirements and contains one or more deficiencies. Proposal is unacceptable and unawardable.

C. Definitions.

Deficiency. A material failure of a proposal to meet a Government requirement or a combination of weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. See FAR 15.001.

00100-2

Strength. An aspect of an offerors’ proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness. A flaw in the proposal that increases the risk of unsuccessful contract performance.

See FAR 15.001.

Significant Strength is an aspect of an offeror’s proposal that has appreciable merit or appreciably exceeds specified performance or capability requirements in a way that will be appreciably advantageous to the Government during contract performance.

Significant Weakness in the proposal is a flaw that appreciably increases the risk of unsuccessful contract performance.

Uncertainty. Any aspect of a non-cost/price factor proposal for which the intent of the offeror is unclear (e.g., more than one way to interpret the offer or inconsistencies in the proposal indicating that there may have been an error, omission, or mistake.

2. SUBMISSION OF PROPOSALS

A. Administrative Details and General Instructions: Proposals are due no later than the time and date specified in Block 13 of Standard Form 1442.

(1) General Proposal Format. Submit each copy of the proposal in tabbed, 3-ring binders with a “D” ring or locking closures.

Title Page. Each copy must include the Offeror’s name and address, phone number and email address, title of the solicitation, solicitation number and date of submittal clearly identified on the front cover of the binder.

Table of Contents. Each binder of the proposal shall contain a detailed table of contents.

The complete table of contents shall be included in each binder.

Printed Matter Submissions. Pages containing text are expected to be 8 ½ x 11 inches with at least one-inch margins at the top, bottom, and both sides. Paragraphs should be separated by at least one blank line. A standard 11-point font in either Arial or Times New Roman fonts are required.

Organization charts or schedules. A folded 11” x 17” format may be used. Larger format drawings or tables may be added by folding them to fit within the binder.

All information must be confined to the appropriate volume. If the materials do not fit within a single volume, they should be separated in additional binders, but clearly identified as such. Each volume of the proposal is expected to contain a table of contents, summary section with a brief abstract of the volume, and the narrative discussion.

THE OFFEROR SHALL SUBMIT AN ELECTRONIC VERSION OF EACH

PROPOSAL. The electronic version shall be on a readable CD. Any discrepancies between the electronic and paper copies shall give precedence to the paper copy.

00100-3

(2) Proposal Content Limitations.

The Offeror must confine the proposal to relevant information and documentation sufficient to provide an adequate basis for evaluation. Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of the proposal. The proposal may not be more than 60 typewritten pages total. The 60 page limit does NOT include past performance information submitted under Factor 4. Tabs separating factors are not included in the page count, however, they must not be written on.

The evaluation panel for the Government is instructed to evaluate the non-price proposal factors on the basis of the information provided. Extraneous information provided in the proposals will not be considered in the evaluations; therefore, the offeror should only provide information that satisfies the solicitation requirements. Merely restating the specifications without sufficient elaboration demonstrates a lack of understanding of the requirement.

DO NOT cross reference past performance information. It is acceptable to repeat data, project information or experience in more than one non-price area as long as it satisfies the requirements of the factor.

Proprietary information must be clearly marked.

B. Content of Proposals: All proposals must be prepared in two (2) volumes: A technical proposal (Volume I) and a price proposal (Volume II). Each of the volumes shall be separate and complete in itself so that evaluation of one may be accomplished independently from evaluation of the other. The technical proposal must not contain references to price. The narrative and content structure of the proposal shall follow the format shown in the table for Volume I below.

Offerors who fail to submit a complete proposal may be excluded and thus receive no further consideration for award.

(1) Technical Proposal, Volume I: Provide one (1) original and four (4) copies and one (1) .pdf file on a CD-ROM. Volume I shall consist of information for the five (5) factors listed in tabular form, as noted below.

Volume I – Technical (Non-Price) Factors:

Tab 1 – Factor 1: Experience

Tab 2 – Factor 2: Work Plan

Tab 3 – Factor 3: Past Performance

(2) Price Proposal, Volume II: The Price Proposal shall be submitted on one (1) original copy and one (1) .pdf file on a CD-ROM. Contractors shall provide pricing and complete all line items on Standard Form 1442 (SF 1442). Your price proposal must be prepared in accordance with below paragraphs and must include:

00100-4

Tab 1 - SF1442, Solicitation, Offer, and Award.

The SF1442 shall be filled out completely by the offeror and signed by an official that is authorized to bind the company. The offeror shall also acknowledge all amendments to the solicitation in accordance with the instructions on the Standard Form 30 or Block 19 of SF1442.

Tab 2 – Section 00010, Proposal Price / Bid Schedule.

The offeror shall fully complete this section.

Tab 3 - Representations, Certifications and other Statements of Offerors.

Tab 4 - Bid/Offer Guarantee. The Bid Bond shall be at least 20% of the bid price, but shall not exceed $3 million.

C. Submission of Proposals: Proposals must arrive at the location designated in the RFP for receipt of such proposals prior to the time and date established in Block 13, SF 1442. There will not be a public proposal opening. In order for the proposal to be considered, it MUST be prepared in ENGLISH, and must be submitted as a hardcopy original (Volume I and II) and four (4) copies (Technical Volume I only) with the required electronic CD-ROM:

3. EVALUATION FACTORS

Volume I – Technical (Non-Price) Submission Requirements and Evaluation Method:

FACTOR 1 – EXPERIENCE

00100-5

SUBMISSION REQUIREMENTS:

Offerors shall submit project information on a maximum of five (5) recent and relevant projects that best demonstrate the offeror’s experience on projects that require the construction/rehabilitation of a bridge crane and the uprating of a bridge crane. Projects must have been completed or substantially completed** within ten (10) years from the date of the RFP. Projects submitted should emphasize the offeror’s experience on the following major features of work required by the RFP:

Construction/rehabilitation of a bridge crane of at least thirty-five (35) tons, particularly those projects where a crane was rerated to a higher load rating;

Mechanical work to a crane including designing main hoists, auxiliary hoists, and bridge and trolley drive systems, installing/removing new hoists, and installing/removing components of the bridge and trolley drive systems;

Structural work to a crane including designing new operator cabs, designing structural retrofits, and installing/removing new ladders, walkways, handrails;

Electrical work to a crane including designing new control systems, and installing/removing electrical wiring, conduit, panels, instruments, switches, lights.

**Substantially completed is defined as having completed more than 50% of the project work at the time of proposal submission.

Offerors shall submit past project information using the Offeror’s Experience Form (Attachment A6) included at the end of this section. Offerors may use continuation sheets to the Experience Form if necessary.

EVALUATION PROCEDURES:

Proposals will be evaluated to determine the extent of the offeror’s experience performing work that is relevant to the work required by this RFP. The Government intends to assign the greatest weight to individual projects completed in the last ten (10) years that include 1) construction/rehabilitation of a bridge crane of at least thirty-five (35) tons, 2) mechanical work including designing main hoists, auxiliary hoists, and bridge and trolley drive systems, installing/removing new hoists, and installing/removing components of the bridge and trolley drive systems, 3) structural work including designing new operator cabs, designing structural retrofits, and installing/removing new ladders, walkways, handrails, 4) electrical work including designing new control systems, and installing/removing electrical wiring, conduit, panels, instruments, switches, lights.

For projects that don’t meet all the criteria above, the Government will evaluate the projects that demonstrate experience in the following areas (in descending order of importance):

Construction/rehabilitation of a bridge crane of at least thirty-five (35) tons;

Mechanical work to a crane including designing main hoists, auxiliary hoists, and bridge and trolley drive systems, installing/removing new hoists, and installing/removing components of the bridge and trolley drive systems;

Structural work to a crane including designing new operator cabs, designing structural retrofits, and installing/removing new ladders, walkways, handrails;

00100-6

Electrical work to a crane including designing new control systems, and installing/removing electrical wiring, conduit, panels, instruments, switches, lights.

Projects older than ten (10) years will be evaluated, but will not be as highly rated.

Projects that were completed in a hydroelectric powerhouse will be given greater weight.

Projects that involved cranes rated at fifty (50) tons or higher will be given greater weight.

FACTOR 2 – WORK PLAN

SUBFACTOR 1: PROJECT MANAGEMENT PLAN

SUBMISSION REQUIREMENTS:

Offerors shall submit a Project Management Plan. The Project Management Plan shall include a detailed narrative of the offeror’s approach for the following:

a. Shop fabrication and testing;

b. Field assembly and disassembly;

c. Performance Testing;

d. Quality control program;

e. Safety plan;

f. Constraints due to site location and logistics, as well as the plan of the Contractor to mitigate delays should unforeseen events occur.

g. The offeror’s proposed schedule that includes a narrative and a Gantt Chart. The

Gantt chart shall show key items of work and durations, to include procurement, submittals, fabrication, machining, delivery, disassembly and installation of the crane components, as-built drawings and O&M manuals, and all required testing. The narrative shall address all planned activities, major tasks, order of major tasks, task dependencies, and durations proposed to successfully accomplish the work. The maximum allowable schedule must meet the stated schedule requirements specified in Contract Clause 52.211-10, Commencement, Prosecution, and Completion of Work.

h. Identification of Contractor/Operating Project coordination. Examples include blockages of project roadways, or shutting down main units.

Include a detailed discussion of the major tasks necessary to complete the list above. Discuss how work to complete one task may impact or be impacted by work to complete other major tasks. Include critical assumptions made, site constraints, risks and uncertainties that the offeror believes will impact the completion of the work and plan to deal with each.

Describe the resources required and the offeror’s availability of resources to complete the work. List all major pieces of equipment and specialty tools proposed to be used in order to complete the work, and the offeror’s capacity and availability of these items.

In your project management plan, include a detailed discussion of the planned quality control for the work.

00100-7

In your project management plan, include a safety plan specific to the Foster Dam Powerhouse work site. Address any unique techniques that will be used at the work site.

EVALUATION PROCEDURES:

The Government will evaluate the Offeror’s project management plan to determine how well the plan demonstrates that the offeror understands the solicitation requirements, the technical risks and site constraints associated with the required work, and has a sound approach for dealing with the technical risks and site constraints.

The Government will also evaluate the offerors’ plan for how well the offeror understands how major tasks impact other major work tasks needed to accomplish the work required by this RFP, and how well the offeror’s plan for quality control meets contract requirements and will ensure the technical risks and site constraints are mitigated.

A detailed plan specific to the Government’s requirement will be rated higher than a vague and general plan.

The Government will give greater weight to safety plans that address issues specific to the requirements of the solicitation, such as: a rescue plan of how an unconscious person would be removed from the work site; a plan for how personnel safety would be addressed for high work on the bridge crane; a description of fall arrest and restraint equipment and procedures;

a description of on-site abatement of lead and asbestos and prevention of exposure to personnel or release to the environment.

The Government will give greater weight to a work plan that provides a realistic schedule to complete the work with a narrative addressing all planned activities, major tasks, order of major tasks, task dependencies, and durations proposed to successfully accomplish the work while ensuring quality installation and timely completion.

SUBFACTOR 2: ORGANIZATION AND KEY PERSONNEL

SUBMISSION REQUIREMENTS:

Identify and explain the roles and responsibilities of key personnel that the offeror plans to perform major aspects of the work required by the RFP. At a minimum, include the resumes of the following key personnel: Construction Site Superintendent, Site Safety and Health Officer (SSHO), Contractor’s Quality Control (CQC) System Manager, lead structural engineer, lead mechanical engineer, and lead electrical engineer. In each resume, include past project experience that demonstrates that individual’s experience performing projects with the relevant requirements of this RFP. The resumes shall include:

1. Start dates and end dates of the period that the individual served in the capacity of the position proposed on the project;

2. A description of the project sufficient to determine the type of work involved;

3. The key person’s specific role on the project;

4. A copy of the individual’s professional engineering license (for lead structural, mechanical and electrical engineers only); and

5. Descriptions of at least past three (3) past projects in which the individual was the lead designer (for lead structural, mechanical and electrical engineers only).

00100-8

The resumes shall include contact information to verify information submitted for each of the project submitted.

The Project Superintendent shall be a Journeyman with a minimum of five (5) years of experience in verifiable Project Superintendent roles on projects described in Factor 1, Experience.

The Contractor’s Quality Control (CQC) System Manager shall be a graduate engineer with a minimum of five (5) years of experience in verifiable CQC roles on projects described in Factor 1, Experience.

The Site Safety and Health Officer (SSHO) shall have a minimum of five (5) years construction industry safety experience on projects described in Factor 1, Experience.

The offeror shall submit a letter of commitment for each of the proposed key personnel. Key personnel can only be swapped out with the approval of the Contracting Officer. Personnel being swapped must possess equal or greater qualifications than the personnel submitted with the offeror’s proposal.

EVALUATION PROCEDURES:

The resumes will be reviewed to determine the extent of the individual’s experience performing relevant work in the specific role for which the individual is proposed to fill on this project based on the dates provided in their resume. The Government will review the submitted resumes to determine the level of experience of the offeror’s proposed key personnel as it relates to the work required by this RFP.

The Government will give greater weight to offerors that propose key personnel with more experience relevant to the work required by this RFP if the work is in the role proposed under this solicitation.

The resumes of lead design engineers will be given greater weight if resumes demonstrate the individual was a lead designer of work similar to that outlined in Factor 1.

FACTOR 3 – PAST PERFORMANCE

SUBMISSION REQUIREMENTS:

The offeror shall provide past performance information for each project listed by the offeror under Factor 1: Experience. Recent and relevant projects are those projects completed or substantially completed** in the past 10 years that are comparable in size, scope, and complexity with this project.

** Substantially completed is defined as having completed more than 50% of the project work at the time of proposal submission.

If a completed Contractor Performance Assessment Reporting System (CPARS) evaluation is available, it shall be submitted with the proposal. Do not submit a PPQ when a completed CPARS is available.

00100-9

Completed PPQs should be submitted with your proposal if a CPARS evaluation is not available. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment A7), which will provide contract and client information for the respective project(s). Offerors should follow- up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government's point of contact, Ryan Shoemaker, via email at ryan.s.shoemaker2@usace.army.mil prior to proposal closing date. The offerors shall instruct the clients to refer to the solicitation number in the subject line. The PPQs are Source Selection materials. All successfully submitted PPQs will receive an email confirmation upon receipt. If the offeror does not receive the confirmation, it is their responsibility to follow up to ensure the Government has received the information.

Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted past performance information in the past performance evaluation.

Offerors may provide explanation on problems encountered on past projects and the corrective actions taken by the offeror.

In addition to the above, the Government may review other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the PPIRS, including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s),FAPIIS, telephone interviews with organizations familiar with the offeror’s performance, Government personnel with personal knowledge of the offeror’s performance capability, and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

EVALUATION PROCEDURES:

The Government seeks a contractor who maintains a strong commitment to customer satisfaction and superior performance. It is the offeror’s responsibility to affirmatively document these qualities in his technical proposal. In doing so, be mindful that “past performance” and “experience” are not identical. Experience measures what you have done and how many times, or for how long, you have done it. Past performance, however, measures how well you have performed.

There are two aspects to the past performance evaluation. Evaluators will first review each project submitted to determine how relevant the project is to the work being solicited by this RFP. The second aspect of the past performance evaluation is to determine how well the offeror performed on those projects. A final Performance Confidence Assessment Rating will be given for this factor based on the assessment of recent and relevant past performance information and the assessment of the quality of past performance on prior contract efforts.

00100-10

With respect to relevancy, more relevant past performance will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance.

Relevancy will be determined based on how closely the Past Performance effort involved similarity of scope and magnitude of effort, dollar value, and complexities this solicitation requires.

There are four levels of relevancy as shown in the Table below.

Past Performance Relevancy

RATING DEFINITION

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Present/past performance effort involved some of the scope and magnitude Relevant of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

The Past Performance Evaluation Team will review the past performance information and determine the quality and usefulness as it applies to performance confidence assessment. In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings using the Table below, focusing on performance that is relevant to the contract requirements.

Performance Confidence Assessments

RATING DESCRIPTION

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral)

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

If any performance issues are identified, the Government will consider the number, type and severity of the problems and effectiveness of corrective actions taken.

00100-11

In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance, and therefore will receive an “Unknown Confidence” rating.

Volume II – Price Evaluation Method:

PRICE Evaluation

The Price Proposal will be evaluated to determine reasonableness. The government will consider not only the total for all line items but also the prices for each individual CLINs in the evaluation to ensure prices are not unbalanced.

52.215-1 INSTRUCTIONS TO OFFERORS--COMPETITIVE ACQUISITION (JAN 2004)

(a) Definitions. As used in this provision--

“Discussions” are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer's discretion, result in the offeror being allowed to revise its proposal.

“In writing or written” means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

“Proposal modification” is a change made to a proposal before the solicitation's closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

“Time”, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals. (1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages (i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror.

Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.

(2) The first page of the proposal must show--

(i) The solicitation number;

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each

00100-13 item;

(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror's behalf with the Government in connection with this solicitation; and

(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.

(3) Submission, modification, or revision, of proposals.

(i) Offerors are responsible for submitting proposals, and any modifications, or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii)(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(1) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(3) It is the only proposal received.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(4) Unless otherwise specified in the solicitation, the offeror may propose to provide any item or combination of items.

(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is

00100-14 included in the solicitation.

(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.

(7) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

(8) Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days specified on the solicitation cover sheet (unless a different period is proposed by the offeror).

(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall--

(1) Mark the title page with the following legend: This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed--in whole or in part--for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of--or in connection with-- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(2) Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.

(f) Contract award. (1) The Government intends to award a contract or contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.

(2) The Government may reject any or all proposals if such action is in the Government's interest.

(3) The Government may waive informalities and minor irregularities in proposals received.

(4) The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

(5) The Government reserves the right to…
