NOTES PERTAINING TO THE CONTRACT LINE ITEM SCHEDULES,

CONTRACT AWARDS AND TASK ORDER AWARDS

(FOR BASE YEAR AND FOUR (4) ONE-YEAR OPTION PERIODS)

1. The purpose of this acquisition is to obtain multiple Indefinite Delivery Indefinite Quantity contracts against which task orders for design/build, repair and minor construction may be placed. The contracts will be awarded for a base year and four (4) one-year option periods.

2. Task Orders:

a. Task orders will be awarded on a firm-fixed price (FFP) basis, with the exception of reimbursement for performance and payment bonds. Partial payments are authorized based on agreement by the contractor and the Government of the percentage of work completed.

b. Payment for Performance and Payment Bonds: Paragraph (g) of Contract Clause No. 52.232-5 entitled ''Payments under Fixed- Price Construction Contracts" provides for reimbursement of premiums paid to the surety for performance and payment bonds.

In order to ensure sufficient funds have been set aside for payment of such premiums, the contractor shall insert an appropriate not-to-exceed dollar amount in the proposals for task orders, which will represent the maximum amount to be paid for the task orders. Reimbursement is allowed for the prime contractor's performance and payment bonds only. Subcontractor bond costs will not be paid.

c. Task Orders may be placed against this contract by the following methods: (1) facsimile; (2) mail; (3) email; and (4) oral. {Oral orders may be placed in urgent situations when funds are available for obligation. Oral orders will be confirmed in writing.}

3. Bid Item Numbers are numbered using the following convention.

The first character represents the base or option period (0 represents the base period, 1 represents the first option period, etc.). The next two characters represent the zone (note that the Bid Schedule is based on a single zone which covers all geographic areas included in the contract). The fourth character represents the type of work (Work Plan, Repair/Minor Construction, and Prime Contractor Markups). The final character represents the sub line item (A through U, depending on the

Bid Schedule Notes - Page 2 of 3 number of sub line items). For example, Bid Item Number 0011A is the item for the base period, entire geographic area, Work Plan, Senior Architect.

4. Individual unit prices shall be provided for each Bid Item Number sub-item, with the exception of those sub items that specifically state they are not to be priced by the offeror, but are to be negotiated per task order.

5. The unit prices for sub line items under Bid Item Numbers ending in 1 and 2 (e.g. 0011 and 0012) shall represent the cost to the prime contractor for that sub item, not including the prime contractor's General and Administrative Overheads (''G & A", "Home Office", "Branch Office", etc., as applicable) and not including "Profit" (or "Fee"). Prices for labor shall include all burdens, such as, but not limited to: labor taxes and insurance, health morale and welfare, direct retirement costs, and other applicable fringe benefits.

6. Sub line items ending in 1U will only be used to show subcontractor costs for services not represented by sub line items ending in lA through 1R, i.e., geotechnical services, land surveying, hazardous materials sampling and testing, LEED consultant, Anti-Terrorism Force Protection consultant, etc.

Services represented by sub line items 1A through 1R shall be priced as the unit price multiplied by Bid Item Number ending in 3A with no further markups applied, regardless of the method for performing these services (in-house or subcontract). Effort for these services shall only be entered in sub line items lA through 1R, and shall not be entered under the subcontract sub line items ending in 1U. A lump sum amount in the sub line items ending in 1U is not allowed unless it represents disciplines or services not already covered by the sub line items ending in 1A through 1R.

7. Sub line items ending in 2A through 2C shall be used only to show prime contractor labor costs for management and administrative effort performed on site at the task order location by contractor personnel assigned to that site for the duration of the task order. Management at all levels above the site level (to include any regional or product line level management) shall be incorporated into the Contractor's mark-up in the sub line items ending in 3B.

8. The percentage for sub items ending in 3C shall consist of the prime contractor's percentage mark-ups for handling of

Bid Schedule Notes - Page 3 of 3 subcontracts under the Subcontract sub line items. Sub items ending in 3C shall include all expenses related to selection, procurement, and management of subcontracts, including applicable "General and Administrative Expenses" and "Profit" (or "Fee"). No additional mark-up will be applied to this sub line item. Handling charges shall not include any duplication of direct charges, nor shall they be inflated to increase anticipatory profit. The handling charges shall be the maximum handling charges to be used for award of any resulting task orders or service orders. These handling charges may be negotiated downward with award of individual task orders.

Handling charges shall not be applied to travel or bonds.

9. Labor rates in effect at the time a task order is issued shall remain in effect for the duration of performance of that task order.

10. See PROPOSAL PREPARATION AND NEGOTIATION in Section 01 00 04, for use of CLINs in pricing Task Orders after contract award, and for pricing of materials, equipment, subcontracts and other costs not priced as part of the offeror's price proposal.

11. The hourly unit prices/rates listed on the following pages of this bidding schedule establishes the base line contract rates for the base period (1st twelve months) of this contract.

12. NOTE: PLEASE SEE CONTRACT CLAUSE 52.222-30- DAVIS-BACON ACT

-PRICE ADJUSTMENT (NONE OR SEPARATELY SPECIFIED METHOD)--

The Contracting Officer will make no adjustment in contract price, other than provided for elsewhere in this contract, to cover any increases or decreases in wages and benefits as a result of-

(1) Incorporation of the Department of Labor's wage determination applicable at the exercise of the option to extend the term of the contract;

(2) Incorporation of a wage determination otherwise applied to the contract by operation of law; or
