STATEMENT OF WORK

PERFORMANCE WORK STATEMENT (PWS)

PART 1 GENERAL INFORMATION

1. GENERAL: This is a non-personal services contract to provide Railroad Track Maintenance, and Repa ir.

The Government sha ll not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1. Description of Services/Introduction: The contractor sha ll provide a ll personnel, equipment, supplies, facilities, transportation, tools, materia ls, supervision, and other items and non-personal services necessary to perform railroad maintenance, and repair as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.

1.2. Background:

1.2.1. U.S. Army Ft. Stewa rt and Hunter Army Airfield operates approximately 22 miles of tra ck. Services provided under this contract shall be performed in portions of Liberty and Chatham Counties. Ft. Stewart tracks are approximately 19 miles located within the boundaries of Fort Stewart, and traverses through Hinesville, and joins the main CSX line at Allenhurst, Georgia. Hunter Army Airfield has approximately 3 miles located within the boundaries of Hunter Army Airfield Savannah, Ga.

1.2.2. Site maps applicable to the Fort Stewart and Hunter Army Airfield Railroad Track System may be reviewed at Fort Stewart, Georgia , Directora te of Public Works, Service Branch, Building 1178. One copy of all drawings will be furnished to the successful Contractor at the time of award.

1.3. Objectives: The objective of this requirement is to provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform Railroad Maintenance and Repair as defined in this Performance Work Statement (PWS).

Provide for the safe, reliable, and cost-effective operation of the Ft. Stewart and Hunter Army Airfield ra ilroa d tra ck systems. The contractor sha ll operate IAW 49 CFR 200 through 49 CFR 299, UFC 4-860-03, TM 5-628, Occupational Safety and Health Administration (OSHA) regulations and state and local regulations, in addition to being responsible for all materials purchased, inventoried, stored, and maintain safe and clean work areas at all times.

1.4. Scope:

1.4.1. The general scope of work of this requirement is a Firm-Fixed Priced work for maintenance and repa ir services of 22 miles of ra ilroa d. The Contractor sha ll perform requirements of this contract on an “as needed, as funded” ba sis. This tra ck which is owned and operated by the U.S. Army Ft. Stewa rt and Hunter Army Airfield shall be maintained to Federal Railway Administration (FRA) Class 2 standards in accordance with the current version of Code of Federal Regulations (CFR) Title 49, Part 213, US Department of Transportation (DOT), Federal Railway Administration, UFC 4-860-03, Office of Safety, Publication Track Safety Standards; CFR Title 49, Part 214, Railroad Workplace Safety; and with the current version of CFR Title 48, Part 237, Bridge Safety Standards. All services performed by the Contractor shall be in strict accordance with the conditions and specifications of this contract. All operations in connection with this section shall be closely coordinated with the Contracting Officers Representative (COR).

1.4.2. The Government reserves the right to perform any repa ir/ta sk when the cost of repa ir is less than $50.00.

1.4.3. Maintenance and repa ir items include, but not limited to the following:

1.4.3.1. On-call Maintenance and Repair Non-emergency. Examples include, but not limited to the furnishing, repla cing, repa iring and insta lling the following: ma inta ining and repla cing mile posts, whistle posts, culvert markers and other signs; tightening and replacing bolts and fastenings; raising low joints; clean and lubricate switch/frogs; clean railroad (RR) crossing flanges; furnish and install (F&I) bolts, double clamp gage rod, frog (#8 or #10) manganese, insulated joint, joint bar bolt w/ nut & washer, joint bar w/ bolts, rail anchors, rail braces with plate, rail cropping, ramp bumpers spring type, switch point guards, switch point clips, switch rods (48.0 inches) switch rods (80.5 inches), switch stand lever latches, switch stand, target fla g post, target fla gs (pa ir), tie pla te; gage ra ilroa d tra cks; bond joints; insula ted joint;

spike tightening and spiking; surface and align railroad tracks; switch & misc. turnout adjustment; switch point maintenance; tighten joint bolts, remove and/or reinsta ll wheel stop at the end of tra cks; tamping the track to line and surface; keeping curves true and with their proper super elevation.

1.4.3.1.1. Bid schedule item is a ll inclusive for replacement of worn or damaged ra il and/or ra il sections. Everything required for the complete removal and reinstallation of rail and or rail sections.

Including disposal and restoring to full FRA compliance standards. (Note any ties removed shall be replaced with composite ties.)

1.4.3.1.2. Bid schedule item is all inclusive to complete ballast work (including changing, removal, reloca ting and/or disposalof old ba lla st, insta lling and dressing new ba lla st and/or clea ning and dressing of current ballast, grade and stockpile ballast for current and future use).

1.4.3.1.3. Bid schedule item is a ll inclusive changing and/or repla cing of ties with new composite ties.

(All-inclusive removal, everything required for complete removal and disposal of old ties, a ll-inclusive installation, everything required for complete installation of new composite ties including redressing of ba lla st.)

1.4.3.1.4. Bid schedule item is all inclusive changing and/or replacing of switch ties with new composite switch ties. (All-inclusive removal, everything required for complete removal and disposal of old ties, a ll-inclusive insta lla tion, everything required for complete insta lla tion of new switch ties including redressing of ba lla st.)

1.4.3.1.5. Bid schedule item is all inclusive for complete replacement and repair of Crossing Flanges.

Complete a ll-inclusive replacement and/or repa ir. (All-inclusive removal, everything required for complete removal and disposal of old ties, flanges and other associated materials, a ll-inclusive insta lla tion, everything required for complete installation of new composite ties, Flanges and includes redressing of ba lla st.)

1.4.3.2. Emergency Repa irs. Rera il Dera iled Locomotive/No apparent damage to tra ck or Locomotive. Rerail Derailed Railcar/No apparent damage to track or Railcar.

1.4.3.3. Emergency repa ir Ca ll out for other than Dera ilments. Emergency Ca ll out for other than Derailments. This could include regular repair items that unexpectedly become mission critical.

1.4.3.4. Other Miscellaneous Compliance Items. Miscella neous unforeseen Repa irs and/or Inspections required to maintain FRA compliance and safe rail operations.

1.5. Period of Performance: The period of performance sha ll be for one (1) Ba se Yea r of 12 months and two (4) 12-month option years. The Period of Performance reads as follows:

1.6. General Information:

1.6.1. Quality Control. The contractor shall develop and maintain an effective quality control program (QCP) to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s QCP is the means by which s/he assures that the work complies with the requirements of the contract. The contractor shall submit his/her QCP to the Contracting Officer within 10 days of contract award. Any changes to the QCP during the life of the contract shall be documented within 5 working days and submitted to the Contracting Officer for review and acceptance. After acceptance of the QCP the contractor sha ll receive the contractingofficer’s acceptance in writing of any proposed change to the QCP.

1.6.2. Qua lity Assurance. The government sha ll evaluate the contra ctor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveilla nce, and the minimum acceptable defect rate(s).

1.6.2.1. Inspection & test of services. The government will have the right to or cause to have inspected and/or tested all services performed under this contract.

1.6.3. Hours of Operation. The contractor is responsible for conducting business, between the hours of 0700 – 1630 Monday thru Friday except Federal holidays or when the Government facility is closed due to loca l or national emergencies, administra tive closings, or simila r Government directed facility closings. For other than firm fixed price contracts, the contractor will not be reimbursed when the government facility is closed for the above reasons. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.

1.6.3.1. Service may be required to be performed during non-business hours. Normal hours of operation are 0700 to 1630 Monday through Friday. Due to the nature of the work and the limited down time ava ila ble for this type of maintenance/repair it may be necessary to accomplish these ta sks after normal duty hours such as evenings, weekends or holidays when traffic flow is light.

1.6.4. Place of Performance. The work to be performed under this contract will be performed within Ft.

Stewart and federally owned right of way passing through the surrounding communities leading to CSX main line connection and tracks contained on Hunter Army Airfield, in Savannah, GA.

1.6.5. Type of Contract. The government will award a Firm Fixed Price.

1.6.6. Security Requirements:

1.6.6.1. All contractor employees, to include subcontractor employees, requiring access to government insta lla tions, facilities and controlled access areas sha ll complete AT Level I awareness tra ining within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee to the COR within 30 calendar days after completion of tra ining by a ll employees and subcontractor personnel. AT level I awareness tra ining is ava ila ble at the following website: https://jko.jten.mil.

1.6.6.2. The contractor and all associated sub-contractors shall brief all employees on the local iWATCH progra m. This tra ining sha ll be completed within 30 calendar days of contract award andwithin 30 calendar days of new employees commencing performance with the results reported to the COR NLT 30 calendar days after contract award. iWatch training is available at the following website:

1.6.6.3. The Contractor and all associated sub-contractor employees shall comply with applicable Installation local access and security policies and procedures. If required by this contract, the contractor shall also provide all information for background checks to meet Installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office.

Contractor workforce must comply with a ll personal identity verifica tion requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or Installation change, the Government may require changes in contractor security matters or processes.

1.6.6.4. All persons employed by the Contractor in the performance of this contract or any representative of the Contractor entering the Government reserva tion sha ll conform to a ll security regulations which may be in effect during the contract period and shall be subject to such checks as may be deemed necessary to a ssure that no viola tion exists. No employee sha ll be permitted on the reserva tion when such checks reveal that his/her presence would be detrimental to the security of the installation or the accomplishment of the work. The Contracting Officer may require the Contractor to remove any employee for security or misconduct reasons.

1.6.6.5. Insta llation Access. Installation access requires valid government issued photo ID for each individua l (i.e. driver’s license), vehicle registration, and proof of insurance to obtain a day pass and will require going through a back ground check and vehicle inspection. Commercial vehicles will only have access through Ga te 7 (commercialgate) during the normalduty day. After hours and holidays Ga te 1 will be used.

1.6.6.6. Physical Security. The contractor sha ll be responsible for safeguarding a ll government equipment, information and property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured.

1.6.6.7. Key Control. The Contractor shall establish and implement methods of making sure all keys/key cards issued to the Contractor by the Government are not lost or misplaced and are not used by unauthorized persons. NOTE: All references to keys include key ca rds. No keys issued to the Contractor by the Government shall be duplicated. The Contractor shall develop procedures covering key control that shall be included in the Quality Control Plan. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The Contractor shall immediately report any occurrences of lost or duplicate keys/key cards to the Contracting Officer.

1.6.6.7.1. In the event keys, other than master keys, are lost or duplicated, the Contractor shall, upon direction of the Contracting Officer, re-key or replace the affected lock or locks; however, the Government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re-keying is performed by the Government, the total cost of re-keying or the replacement of the lock or locks shall be deducted from the monthly payment due the Contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the Government and the total cost deducted from the monthly payment due the Contractor.

1.6.6.7.2. The Contractor sha ll prohibit the use of Government issued keys/key ca rds by any persons other than the Contractor’s employees. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer.

1.6.7. Special Qua lifications:

1.6.7.1. The Contractor sha ll provide documentation of tra ining and experience which uniquely qua lifies them for the type of work to be performed under this contract to ensure the safe and relia ble operation of the Ra il System IAW 49 CFR 200 through 49 CFR 299, Unified Facilities Criteria (UFC) UfC-4-860- 03 FRA Railroad Track Maintenance & Safety standards.

§214.343 Tra ining and qua lifica tion, general.

(a) No employer shall assign an employee to perform the duties of a roadway worker, and no employee sha ll accept such a ssignment, unless that employee has received tra ining in the on-tra ck safety procedures associated with the assignment to be performed, and that employee has demonstrated the ability to fulfill the responsibilities for on-track safety that are required of an individual roadway worker performing that assignment.

(b) Each employer sha ll provide to a ll roadway workers in its employ initia l or recurrent tra ining once every calendar year on the on-track safety rules and procedures that they are required to follow.

(c) Railroad employees other than roadway workers, who are associated with on-track safety procedures, and whose prima ry duties a re concerned with the movement and protection of tra ins, shall be trained to perform their functions related to on-track safety through the training and qualification procedures prescribed by the operating railroad for the primary position of the employee, including maintenance of records and frequency of training.

(d) Each employer of roadway workers shall maintain written or electronic records of each roadway worker qua lifica tion in effect. Each record sha ll include the name of the employee, the type of qua lifica tion made, and the most recent date of qua lifica tion. These records sha ll be kept available for inspection and photocopying by the Federal Railroad Administrator during regular business hours.

§214.345 Tra ining for a ll roadway workers.

The tra ining of a ll roadway workers sha ll include, as a minimum, the following:

(a) Recognition of ra ilroa d tra cks and understandingof the spa ce around them within which on-track safety is required.

(b) The functions and responsibilities of various persons involved with on-tra ck sa fety procedures.

(c) Proper compliance with on-tra ck sa fety instructions given by persons performing or responsible for on-track safety functions.

(d) Signa ls given by watchmen/lookouts, and the proper procedures upon receiving a tra in approach warning from a lookout.

(e) The hazards a ssocia ted with working on or near ra ilroa d tra cks, including review of on-tra ck safety rules and procedures.

1.6.7.2. The Foreman/superintendent shall be required to have a minimum of five (5) yea rs’ experience with the maintenance and repair of Army railroad track systems.

1.6.7.3. Employees. The contractor is responsible for ensuring all employees possess valid identifica tion and ma inta in current Information Assura nce Technician (IAT) Level I certifica tion and have completed the required FRA Rail safety courses.

1.6.8. Post Award Conference/Periodic Progress Meetings. The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regula tion Subpart 42.5. The Contracting Officer, Contracting Officers Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the Contracting Officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues.

These meetings shall be at no additional cost to the government.

1.6.9. Contracting Officer Representative (COR). The (COR) will be identified by separate letter.

The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance:

ma inta in written and ora lcommunications with the Contractor concerningtechnicalaspects of the contract:

issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.6.10. Key Personnel: The follow personnel are considered key personnel by the government: contract manager/Alternate and/or Foreman/ superintendent. The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate Foreman/superintendent who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The contract manager or alternate sha ll be ava ila ble between 8:00 a .m. to 4:30 p.m. Monday thru Frida y or when the crew is on site.

1.6.10.1. The Contractor shall provide an on-site Foreman/superintendent with authority to act for the Contractor. This individual sha ll be responsible for overall managementand coordination of this contract and shall act as the point of contact with the Government.

1.6.11. Identification of Contractor Employees. All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties a re required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed.

1.6.11.1. The Contractor shall provide a means to identify all employees working under this contract. The Contractor shall provide a typewritten list of employees’ names with personal identification information to the KO/COR. The Contractor sha ll notify a ll parties of any changes to the employee list within two (2) days after change occurs. Each employee shall keep this card/badge on their person at all times while within the boundaries of this installation and shall produce this identification upon request of Military Police, Contracting Officer or the COR.

1.6.12. Contractor Travel. Contractor tra vel at Government expense is not authorized.

• Data Rights. The Government has unlimited rights to all documents/material produced under this contract. All documents and materials, to include the source codes of any software, produced under this contract shall be Government owned and are the property of the Government with all rights and privileges of ownership/copyright belonging exclusively to the Government. These documents and materials may not be used or sold by the contractor without written permission from the Contracting Officer. All materials supplied to the Government sha ll be the sole property of the Government and may not be used for any other purpose. This right does not abrogate any other Government rights.

• Organizational Conflict of Interest. Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actualor potential OCI and sha ll promptly submit a plan to the Contracting Officer to avoid or mitiga te any such OCI. The Contra ctor’s mitiga tion pla n will be determined to be acceptable solely at the discretion of the Contracting Officer and in the event the Contracting Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.

PART 2

DEFINITIONS & ACRONYMS

2. DEFINITIONS AND ACRONYMS:

2.1. Definitions:

2.1.1. Contractor. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

2.1.2. Contracting Officer. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.

2.1.3. Contracting Officer's Representative (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.1.4. Defective Service. A service output that does not meet the standard of performance a ssocia ted with the Performance Work Statement.

2.1.5. Delivera ble. Anything that can be physica lly delivered but may include non-manufactured things such as meeting minutes or reports.

2.1.6. Key Personnel. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel a re used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.1.7. Physical Security. Actions that prevent the loss or damage of Government property.

2.1.8. Qua lity Assura nce. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

2.1.9. Qua lity Assura nce Surveilla nce Pla n (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

2.1.10. Qua lity Control. All necessary measures taken by the Contractor to a ssure that the qua lity of an end product or service shall meet contract requirements.

2.1.11. Subcontractor. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

2.1.12. Work Da y. The number of hours per day the Contractor provides services in accordance with the contract.

2.1.12. Work Week. Monday through Friday, unless specified otherwise.

3. GOVERNMENT FURNISHED ITEMS AND SERVICES:

3.1. Services. The Government will provide no services.

3.2. Facilities. The Government will provide no facilities. The Government will not provide any administra tive areas or storage areas for the contra ctor’s employees, vehicles, equipment or supplies.

3.3 Utilities. The Government will a llow the use of existing utilities when ava ila ble. The Contractor sha ll instruct employees in utilities conservation practices. The contractor shall be responsible for operating under conditions that preclude the waste of utilities, which include turning off the water faucets or valves after using the required amount to accomplish cleaning vehicles and equipment.
