2. The submission of the documentation specified below will constitute the Offeror's acceptance of the terms and conditions of the RFP, concurrence with the Performance Work Statement, and contract type.
3. It is the Government’s intention to award without discussions. Offerors are encouraged to present their best technical proposal and prices in their initial proposal submission. However, in accordance with FAR Part 15.306
(Exchanges with Offerors After Receipt of Proposals), should discussions become necessary, the Government reserves the right to hold them. If this occurs, a competitive range will be determined and Offerors notified.

These instructions are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of proposals.
5. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.

Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

Failure to follow the below Contract Proposal preparation instructions may cause your proposal to be deemed unacceptable by the Government. Volume I will be organized as follows and contain the identified information. Volume I is for informational purposes only and will not be evaluated.
TAB A, SF 1449 – The SF 1449 shall be submitted fully completed. The Offeror is cautioned that the SF
1449 must contain an original signature in block 17 of the form. The contractor shall acknowledge any amendments to the RFP in accordance with the instructions FAR 52.215-1, Instruction to Offerors—
Competitive Acquisition. The Offeror shall provide the name, title and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the
Government. Offer shall be good for 180 days from date for receipt of proposals. Schedule B/Line items in
Section 1 of the solicitation shall be submitted fully completed with total cost.

FAR 52.204-8, Annual Representations and Certifications, the Offeror will ensure that Representation, Certifications, and Other Statements are submitted thoroughly completed with all blocks in each certification/representation completed truthfully and completely. If Offeror has completed Representations, Certifications, and Other Statements of Offerors via the System for Award Management (SAM)
(www.sam.gov.), please indicate date registered and date of expiration.
TAB C, Executive Summary – Provide an executive summary that introduces the contractor team and proposal submission. The executive summary shall also include a list of the proposal package contents and identify the proposal’s point of contact (POC) to include their name, e-mail address, and phone number.
TAB D, Small Business Subcontracting Plan. Each Other Than Small Business offeror shall provide a
Small Business Subcontracting Plan that contains all the elements required by FAR Clause 52.219-9. This plan shall be submitted separately from the Small Business Participation information in Volume IV, which applies to both Large and Small Businesses. The Subcontracting Plan is not a requirement for evaluation in source selection, but rather, a requirement for award to an Other Than Small Business and it will be incorporated into any resultant contract. The Department of Defense has established small business goals as an assistance to assure small business receives a fair proportion of DoD awards. The recommended goals for this acquisition are as follows and are based on the total proposed subcontract effort: Small
Business 44.2%; Small Disadvantaged Business 18%; Woman-Owned Small Business 11.8%; Historically
Underutilized Business Zone (HUB Zone) Small Business 2.2%; Service Disabled Veteran Owned Small
Business 14.7%. (Note, for example, that a participation plan that reflects 3% for Woman-Owned Small
Business, would count towards the overall Small Business Goals.)
TAB E, Organizational Conflict of Interests (OCI) Mitigation Plan (If Applicable). In accordance with
FAR 9.5, the Contracting Officer is currently examining whether or not potential OCI exists with performance of this contract which may impact prospective Offerors. However, all prospective Offerors are hereby advised to examine the Federal Acquisition Regulation § 9.505 and Performance Work
Statement (PWS) Paragraph 1.6.18 and identify any potential OCI conflicts that may now exist to include
Unequal Access to Information, Biased Ground Rules, and Impaired Objectivity; if any such concerns exist, the impacted Offeror will submit an acceptable OCI Mitigation Plan to the PCO with its proposal.
The Contracting Officer will determine based on the facts and circumstances of each individual case whether impacted Offeror’s OCI Mitigation Plan is acceptable for this requirement prior to making an award.
If any Offeror has questions with regards to your affirmative responsibility to identify OCI concerns and/or mitigate each issue, each potential Offeror is encouraged to ask questions and seek clarifications before proposal due dates. The Government will be prevented from awarding a contract to any Offeror who has an actual OCI issue that cannot be mitigated to the satisfaction of the Contracting Officer.
b. Volume II –Factor 1: Technical Capability. Volume II shall not include pricing information. Volume II shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. Legibility, clarity and coherence are very important. Offerors’ proposal will be evaluated against the factors defined in, Evaluation Factors for Award. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the PWS;
statements paraphrasing the PWS or parts thereof; and phrases such as “standard procedures will be employed” or
“well known techniques will be used,” etc., is insufficient to determine technical acceptability. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the Offeror's proposal. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired. The Technical Capability Volume shall be organized as follows and contain the identified information:
Volume II shall be organized according to the following general outline:
-TAB A - Table of Contents
-TAB B - List of Table and Drawings and Glossary of Acronyms and Abbreviations
-TAB C - Technical Capability.
Volume II shall, at a minimum, be prepared in a form consistent with the Performance Work Statement (PWS) and the evaluation criteria for award set forth in this solicitation. The section shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the Offeror’s technical competence and ability to comply with the contract task requirements specified in the PWS. The Offeror shall address as specifically as possible the actual methodology you would use for accomplishing the PWS tasks.
Volume II shall, demonstrate the Offeror’s complete understanding of the work required by the Performance Work
Statement (PWS) to include all efforts necessary to meet the requirement to include proposed processes, schedule, procedures, and innovations. Offeror must describe how they would accomplish each major functional area including, the identification of major work processes, process interfaces, and the outputs of these processes; if the offeror’s technical approach ensures efficient, quality, and timely performance and if the offeror adequately describes how work will be scheduled, to include employment of any automated systems or work loading procedures.
i. Element 1 – Management Approach. The approach must demonstrate the Offeror’s understanding of the tasks identified in the PWS and must describe how services and contract personnel will be managed. The approach must discuss organizational/management structure. Specifically, the Management Approach must:
Provide an organizational/management chart with a detailed explanation of its structure, the role of each management team member, to include responsibility and lines of authority, working relationships with any teaming partners/subcontractors, and how Offeror and any subcontractor personnel will be managed. The approach must include how the Offeror intends to manage daily operations, scheduled maintenance, and unscheduled maintenance.
Provide a thorough discussion of your organization’s internal and external communications; internal communications are communications among the team, to include project teams for the contract and external communications are communications with the Government. Address your approach to ensure effective lines of communication and authority.
Provide an approach that demonstrates how the offeror will manage multiple requirements, which cover a wide variety of tasking areas, utilizing multiple skill sets, in multiple locations simultaneously.
ii. Element 2: Staffing Approach.
Provide a discussion of the proposed team, including all subcontractors, teaming partners, and “in house” workforce for this contract.
The staffing plan shall include a diagrammed organizational chart, with a detailed narrative describing the roles and responsibilities of the key staffing positions in accordance with PWS.
Provide a process to hire, train, and retain an adequate number of personnel with a wide diversity of experience, education, and qualifications who are capable of successfully completing the mission requirements. This process shall include a timeline for hiring, training, and replacement of personnel during performance of the contract period of performance.
The Staffing approach shall demonstrate Offeror’s capability for recruiting, retaining and replacing quality employees to meet the mission requirements, to include techniques used to staff for unexpected turnover.
c. Volume III – Factor 2: Past Performance. General: The Past Performance evaluation will be accomplished by reviewing aspects of an Offeror's recent and relevant Past Performance. Recent and relevant past performance shall be discussed for the prime contractor and any subcontractors proposed to support this contract. A list of no more than three (3) of the Offeror’s most recent and relevant past performance information on projects: similar in size, scope, and complexity to the services being procured under this solicitation), performed for Government agencies and/or commercial customers within the last three (3) years from the solicitation release date.
Content. Past Performance Submission Requirements. The Offeror shall submit Past Performance information within the past three (3) years that is both recent and relevant in the following format:
Tab A - Table of Contents and Glossary of Abbreviations and Acronyms
Tab B - Summary Page describing the role of the Offeror and each subcontractor, teaming partner, and /or joint venture partner that the Offeror is required to provide Past Performance
Specific Relevant Contract Reference Sheets for the past performance experience in accordance with Attachment 2.
Tab C - Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the Offeror can respond to such information. A sample consent letter is attached as Attachment 1.
Tab D - Specific Relevant Contracts Format - Sheets in accordance with Attachment 2 and are limited to 3 pages per reference. The Offeror shall provide documentation outlining the Offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this Solicitation. The submittal shall include rationale supporting your assertion of relevance and how it was determined that the work performed previously was the same or similar in nature, size, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate to.
The Government reserves the right to obtain past performance data from other sources than those identified by the
Offeror in evaluating past performance. This includes, but not limited to, the Past Performance Information
Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic
Subcontract Reporting System (eSRS), or other databases; interviews with Program Managers, Contracting Officers, and Fee Determining Officials; and the Defense Contract Management Agency. Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used by the Government to evaluate the
Offerors past performance. The KO may also evaluated Past Performance based on direct knowledge of the
Contractor’s performance on current or recent contracts. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the Offerors. All past performance received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered
“acceptable.”
d. Volume IV – Factor 3: Price. The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. The Price Volume shall be submitted fully completed and error free. The Price
Volume shall be organized as follows and contain the identified information:
TAB A – Table of Content
TAB B – Glossary of Abbreviation and Acronyms
TAB C – Pricing Schedule & Pricing Narrative
TAB C – Pricing Schedule & Pricing Narrative.
(1) Offeror's proposal shall include complete and accurate pricing on all Contract Line Item Numbers (CLINs) identified in the Pricing Schedule (Section B). For each CLIN, the Offeror shall indicate the CLIN unit price and the resulting CLIN amount. All pricing shall be in whole numbers. If submitted, all formulas, lookup tables, and links should be intact, and no links should exist to files not included with the proposal. Spreadsheets shall not contain hidden worksheets.
(2) Support: For the purpose of price evaluation, the Offeror shall include a Pricing Matrix in contractor-own format details the calculation of its proposed monthly fixed prices for each priced CLIN. The Offeror shall submit fully loaded labor rates for each proposed labor category in terms of staffing proposed for the PWS (to include applicable service areas, Department of Labor (DOL) Labor Code (i.e. 151131 or 151141), exempt or non-exempt status, productive work year, and number of Full Time Equivalents (FTEs). The pricing Matrix shall be prepared using MS
Excel 2013 or earlier; the narrative shall be prepared using MS Word 2013 or earlier. The techniques and procedures described under FAR Part 15.404-1 will be the primary means of assessing price to determine the proposed price to be reasonable, and complete. Through these techniques, the Government will determine whether an Acceptable Offeror’s CLINs and overall price is reasonable in accordance with FAR 15.404 and balanced in accordance with FAR 15.404-1(g) (2).
The Offeror shall tally CLINs for a total price at the bottom of the Pricing Schedule for all CLINs.
II. BASIS FOR AWARD AND EVALUATION CRITERIA
A. Basis for Contract Award. This is a best value source selection conducted in accordance with Federal
Acquisition Regulation (FAR) 15.3, Source Selection, as supplemented by the Defense Federal Acquisition
Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement (AFARS). Award will be made to a single Offeror who is deemed responsible in accordance with the Federal Acquisition Regulation
(FAR), whose proposal conforms to the solicitation requirements, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, represents the Lowest
Priced Technically Acceptable offer. In order to be determined technically acceptable, the Offeror must receive an adjectival rating of Acceptable for all evaluation factors. Award will be based on the lowest evaluated price of proposals received that meet, or exceed, the acceptable standards of the non-price factors identified in the solicitation IAW FAR 15.101-2(b)(3). All proposals received will be evaluated for technical acceptability. Trade-offs between cost/price and non-cost/price factors are not permitted. Unreasonably high, unbalanced, inaccurate or incomplete price proposals may be the grounds for eliminating a proposal from competition. The Government will evaluate proposed prices in accordance with FAR 15.404-1 (Proposal analysis techniques). Proposed prices evaluated as unreasonable may be grounds for eliminating a proposal from competition.
B. Award for All of the Work. The Government intends to award a single contract as a result of this solicitation.
Offers received for less than the stated number of items listed in the Price Schedule will be considered ineligible for award. As set forth in FAR 52.215-1 (f)(4), the Government intends to evaluate proposals and award a contract without discussions with Offerors (except clarifications as described in FAR 15.306(a), Clarifications and award with discussions). Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. In the event that discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.
C. Evaluation Criteria. The Government will use the criteria set forth below in the evaluation and selection of offers for award. Each offeror must submit a proposal that completely addresses all of the requirements outlined in this solicitation in the RFP and must demonstrate how each requirement will be satisfied. Cursory responses or responses which merely reiterate or reformulate, the SOW or technical specifications, or the solicitation will not be considered “Acceptable” as satisfying the requirements of the RFP or as demonstrating the ability to perform the jobs outlined in the solicitation. The three evaluation criteria are as follows:
Factor 1: Technical Capability
Factor 2: Past Performance
Factor 3: Cost/Price
The Government technical evaluation team will evaluate the technical proposals on an acceptable/unacceptable basis, assigning ratings of Acceptable or Unacceptable (defined below in Table 2).
Adjectival Rating Definition. The Technical Factor and Past Performance evaluation provides an assessment of the
Offeror’s capability to satisfy the Government’s minimum requirements. The Government’s technical evaluation team will evaluate the proposal to determine if it is either technically acceptable or technically unacceptable (price excluded). The evaluation factor will receive an adjectival rating. Offerors must receive an adjectival rating of
Acceptable for Factors 1 & 2. Failure to meet the criteria will render the response to be technically unacceptable and it will not be considered for award.
Table 2
Factor 1-3 Acceptable/Unacceptable Ratings
Rating Description
Acceptable Proposal clearly meets the minimum requirements of the RFP
Unacceptable Proposal does not clearly meet the minimum requirements of the RFP
a. Factor 1 – Technical Capability.
(1) Element 1: Management Approach: To be deemed technically acceptable, the Offeror’s Management
Approach must meet ALL of the following:
(i) A comprehensive organizational structure that clearly demonstrates how the requirement will be managed to successfully execute the contract requirements.
(ii) Demonstrate a thorough understanding of the tasks IAW the PWS and the ability to manage daily operations, scheduled maintenance, and unscheduled maintenance.
(iii) An effective means for internal and external communications that demonstrates efficiencies and encourages clear communication across company lines with well-defined lines of authority.
(2) Element 2: Staffing Approach: To be deemed technically acceptable, the Offeror’s Staffing Approach must meet ALL of the following:
(i) The narrative demonstrates an understanding of the staffing resources required to execute the requirements of the
PWS and validated the staffing proposed under the team complement providing a correlation between the staffing proposed and the PWS requirements. The narrative justified the labor category selections and correlated the personnel proposed with the tasks to which they are assigned and the associated requirements for knowledge, skills, education, and experience.
(ii) The Offeror demonstrated capability for recruiting, retaining, and replacing quality employees to meet the mission requirements, to include techniques used to staff for unexpected turnover.
b. Factor 2 - Past Performance. The past performance evaluation results in an assessment of the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance information that pertain to the products and/or services outlined in the solicitation requirements. The offeror is not required to submit any documentation for this factor.
However, offerors are provided an opportunity to identify past or current contracts for consideration in evaluating past performance in accordance with Factor 4 Past Performance. The Government will evaluate past performance using data provided in the offeror’s proposal and data obtained from other sources including, but not limited to, the Past
Performance Information Retrieval System (PPIRS), Contractor Performance Assessment Reports System (CPARS) or similar systems, State Department Watch Lists, and current and former Government officials, etc in its assessment of past performance.
Past Performance is assessed at the factor level after evaluating aspects of the offeror’s recent past performance and focusing on performance that is relevant to the services being procured under this solicitation.
Recent Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.
Relevant Assessment. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature, size, magnitude, and complexity to the services/products being procured under this solicitation. A relevant determination of the offeror’s (including subcontractor) past performance will be made. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror or subcontractor whose contract is being reviewed and evaluated.
Offerors without a record of relevant past performance or for whom information on past performance is not available will not be evaluated favorably or unfavorably on past performance and, as a result, shall be determined to have unknown past performance. In the context of acceptability or unacceptability, “unknown” shall be considered
“acceptable”.
Assigning Ratings. The Past Performance Factor will be assigned one of the ratings defined below. An offeror whose proposal demonstrates no past performance will be rated “Unknown.” An award will not be made to any offeror who receives an Unacceptable past performance rating. In the event of an unacceptable past performance evaluation rating for an otherwise technically acceptable low priced small business offeror, the KO will forward the matter to the Small Business Administration (SBA) in accordance with procedures in FAR 15.101-2(b)(1). In the event an offeror receives a rating of “Unacceptable” in both the Technical Acceptability Factor and the Past
Performance Factor, a COC will not be requested as the offeror would remain “Unacceptable” based on its technical evaluation. If the KO finds an otherwise technically acceptable small business to be non-responsible the KO will forward the matter to the SBA and must withhold award (for 15 business days after receipt by SBA) in accordance with procedures in FAR 19.602-1(a)(2).
Table 3
Past Performance Evaluation Ratings
Rating Description
Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.
Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.
c. Factor 3: Price.
(1) Price will not be scored or rated. Unbalanced Pricing may be evaluated in accordance with FAR 15.404-1(g), as applicable, to assess potential performance risk which could result in unreasonably high prices.
(2) As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-
8) by adding six months of the Offeror's base period price to the Offeror's total price. Thus, the Offeror's total price for the purpose of evaluation will include the base period, and six months of the base period. Offerors are not required to enter a price for the six-month period.
Definitions.
Completeness/Accuracy: The Offeror’s proposal is in compliance with the Price Volume instructions in the
RFP, and is free of mathematical errors or omissions.
Reasonableness: A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business.
Unbalanced: Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of price analysis techniques.
