SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

The following have been modified:

ADDENDUM TO FAR 52.212-1

ADDENDUM TO FAR 52.212-1 – Instructions to Offerors – Commercial Items.

I. SUMMARY: This is a request for proposal utilizing the procedures of FAR 12 and 15. Responses to this solicitation are considered proposals. In this instances where the words “offer”, “Offeror”, and “proposal” are used, the reader should understand that the use of such words does not change the nature of this request for proposals. The resulting award will be a single award Firm-Fixed Price (FFP) contract. The periods of performance shall be one (1) month phase-in period, 11 months base year period and four (4) one-year option periods and the option to extend up to six (6) months in accordance with (IAW) 52.217-8.

A. PROPOSAL SUBMITTAL REQUIREMENTS

(1) All Offerors are required to submit proposals by the Offer Due Date/Local Time identified in block 8 of the Standard Form (SF) 1449, Solicitation/Contract/Order for Commercial Items, or as amended under SF 30, Amendment of Solicitation/Modification to Contract, in accordance with the instructions provided below. All the requirements specified in the solicitation are mandatory. By submitting a proposal, the Offeror is representing that its firm is capable and committed to performing all the requirements specified in the solicitation.

(2) Offerors shall demonstrate their capability, understanding, and willingness to satisfactorily perform all requirements as described in the Performance Work Statement (PWS) located in this solicitation. Capability to perform the PWS requirements may be demonstrated either by the Offeror’s corporate expertise and resources or by establishing contractor teaming arrangements. The proposal shall be valid for one hundred and eighty (180) calendar days from the Offer Due Date.

(3) The Offeror’s written proposal shall be organized as stated in Section B below.

(4) It is the Offeror’s responsibility to ensure that the entire proposal is submitted prior to the proposal submittal due date and time. Failure of an Offeror to submit its offer/proposal by the date and time deadline or in the manner specified in the solicitation may result in a determination that the Offeror is ineligible to be considered for award. Proposals, partial proposals and/or attachments submitted late may not be considered. Proposals will be handled IAW FAR 15.207, Handling proposals and information. All late proposals will be handled IAW FAR 52.212-1(f), Late submissions, modifications, revisions, and withdrawals of offers.

(5) Offerors shall submit proposals by email to Ms. Adeline Maissonet at adeline.maissonet.civ@army.mil and Ms.

Victoria Terrill at victoria.c.terrill.civ@army.mil. Offerors shall perform a virus check prior to proposal submittal.

Offerors are cautioned that e-mail transmission is not instantaneous. The Government recommends that you submit your proposal prior to the proposal submittal due date, thereby allowing enough time to ensure that the entire proposal is received on time so that it can be considered for award. For electronic submissions, the default combined file size limit is 10 megabytes (MB). Multiple emails may be sent when files exceed these limits. Offerors shall identify proposal submissions in the email subject line using the following example: RFP Number W9124923R0002, offer due date/time, proposal submission 1 of 5.

(6) The point of contact (POC) responsible for supplying additional information and answering all inquiries is the Contracting Officer. Address all questions or concerns to the Contracting Officer, Ms. Adeline Maissonet (adeline.maissonet.civ@army.mil) and Contract Specialist, Ms. Victoria Terrill (victoria.c.terrill.civ@army.mil). All questions regarding this solicitation shall be submitted in writing via email by 18 October 2022 at 11:00 AM Eastern Time (ET). The email shall contain the solicitation number: W9124923R0002, in the subject line. Offerors shall submit all questions in one consolidated document, using the following format:

Solicitation Section Solicitation Page Paragraph Question Example: PWS 22 1.0 What does “Network” mean?

(7) All questions received by the due date for questions will be responded electronically via solicitation amendment(s) and/or via the.sam.gov website (https://sam.gov/). Answers shall be posted without identification of the party (ies) that submitted the question(s).

(8) Offerors are required to meet all solicitation requirements. Proposals shall clearly and convincingly demonstrate that the Offeror has a thorough understanding of the entire requirement and associated risks and has the resources necessary to meet the requirement. Statements that the Offeror understands, can, or will comply with the requirements;

phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc.; and statements paraphrasing the PWS requirements or parts thereof (including applicable publications, technical data, etc.) without supporting information/narrative are considered inadequate and unsatisfactory. Mere reiteration of the requirement or standard reference material is discouraged and is considered inadequate and unsatisfactory. The Offeror shall assume that the Government has no prior knowledge of its facilities and experience and will base its evaluation on the information presented in the Offeror's proposal. The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and/or solutions. Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

(9) Proposals will be evaluated using the criteria under FAR 52.212-2 Evaluation – Commercial Items.

Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government’s ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate fill-in blocks and certifications) may be considered non-compliant with the material requirements of the solicitation and ineligible for award.

(10) The submission of the documentation specified below will constitute the Offeror’s acceptance of the terms and conditions of the RFP as amended inclusive of the PWS and the proposed contract type.

(11) As set forth in FAR 52.212-2, Evaluation-Commercial Items, the Government intends to award a contract resulting from this solicitation to the responsible Offeror(s) whose proposal(s) represent(s) the best value after evaluation in accordance with the factors and elements in the solicitation; therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. The Government intends to hold discussions IAW Defense Federal Acquisition Regulation Supplement (DFARS) 215.306(c)(1). However, the Government may choose to award contract without discussions.

(12) When discussions are held, a competitive range determination will be made. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals IAW FAR Part 15.306(c)( 2).

(13) Debriefings. If a competitive range is established, the Contracting Officer will promptly notify Offerors of any decision to exclude them from the competitive range, whereupon the Offeror may request and receive a debriefing IAW FAR 15.505, Pre-award debriefing of Offerors. The Contracting Officer will notify unsuccessful Offerors who were included in the competitive range, but not selected for award IAW FAR 15.503(b), Post-award notices. Upon such notification, unsuccessful Offerors may request and receive a debriefing. Offerors desiring debriefing must make their request IAW the requirements of FAR 15.505, Preaward debriefing of offerors or 15.506, Post-award debriefing to offerors, as applicable.

(14) Proposals shall not contain classified information.

(15) If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer in writing at the email address identified above and shall provide supporting rationale for its assessment.

(16) All exhibits and RFP attachments for this solicitation are available on the System for Award Management (SAM) web site at https://sam.gov/. The Government may revise this solicitation at any time by means of an Amendment. It is the Offeror’s responsibility to ensure it is accessing the https://sam.gov/ website to view potential amendments.

The Offeror shall demonstrate to what extent any identified affiliate will perform significant and critical aspects of the contract if awarded.

The Offeror’s Proposal shall address any/all business interrelationships between different entities (if applicable), such as teaming partners, subcontractors, affiliate companies, sister companies, or joint venture partners and the extent in which the Offeror and its teaming partners, subcontractors, affiliate companies, sister companies, or joint venture partners will perform all required tasks and the percentage of the costs of services performed. VOLUME III: Factor 3 – Past Performance.

(1) The Offeror shall identify three (3) recent and relevant past performance references the Offeror (including teaming partners, subcontractors, affiliate companies, and joint venture partners) performed either as a Prime or Subcontractor utilizing Attachment 1, Past Performance Reference Sheet, of this solicitation.

(2) The Offeror’s Proposal must demonstrate why each past performance reference is recent and relevant. For each past performance reference, the Offeror shall provide the following information: Name of effort, contract and/or task order number, period of performance, Government point of contact responsible for monitoring performance under the contract (name, phone, email address), administrative contracting officer (name, phone, email, address), dollar value of work actually performed during the three (3) years prior to the due date for receipt of offers, and a list of the current solicitation’s PWS task areas for which the Offeror believes the reference demonstrates relevancy.

(3) To be recent, an effort must have been performed for six (6) months or longer during the three (3) years prior to the due date for receipt of offers. Evaluation will focus only on work experience already performed. Yet-to-be-performed work, work for less than six (6) months, or experience prior to the last three (3) years will not be considered.

(4) To be relevant, the effort must be similar in scope and magnitude to the services being procured under this solicitation. For past performance references of teaming partners, subcontractors, affiliate companies, and joint venture partners to be relevant, the effort must be similar in scope to the services the offeror has proposed the specific teaming partner, subcontractor, affiliate company, or joint venture will perform under the contract. Scope is the measure of the services similarity to the task requirements identified in PWS Part 5. Magnitude is the measure of similarity of the dollar value that exists between the current requirement and the past performance reference.

References with a dollar value of at least $14 million dollars per year are considered of essentially the same magnitude to the current requirement. Magnitude will be evaluated using the dollar amount of work actually performed on the past performance reference during the three (3) years prior to the due date for receipt of offers.

(5) The Offeror’s Proposal must demonstrate the quality of each past performance reference. Past performance references for which quality information is not available will not be considered in determining the Offeror’s past performance confidence assessment rating.

(6) For each past performance reference, the Offeror shall provide a copy of all completed Contractor Performance Assessment Reports (CPARs). Teaming partners, subcontractors, affiliate companies, and joint venture partners may submit CPARs directly to the points of contact responsible for receiving proposal submissions no later than the due date and time for receipt of offers identified in block 8 of the SF1449 or as amended under the SF-30. The Offeror shall identify in its proposal whether CPARs for a past performance reference will be separately submitted by a teaming partners, subcontractors, affiliate companies, and joint venture partners as described above.

If CPARs are not available for a past performance reference, the Offeror (including teaming partners, subcontractors, affiliate companies and joint venture partners) shall provide a Past Performance Assessment Questionnaire (Attachment 2) to the applicable reference POC. The Offeror shall complete Part I of the Past Performance Questionnaire only and e-mail the questionnaire to the reference POC. The Offeror shall then instruct the reference POC to complete the remaining parts of the questionnaire and submit the completed form via e-mail to both Ms.

Victoria Terrill at victoria.c.terrill.civ@army.mil and Ms. Adeline Maissonet at adeline.maissonet.civ@army.mil.

Offerors are encouraged to submit the questionnaire to their reference POCs as soon as possible, as the questionnaire must be received by the contracting office 9 December 2022 at 11:00 AM ET.

(7) The past performance data shall document the Offeror’s (including teaming partners, subcontractors, affiliate companies, and joint venture partners) history of past contract performance. For any contracts that the Offeror did not/does not meet original requirements with regard to price, schedule, or technical performance, the Offeror shall provide a brief explanation of the reason(s) for such shortcomings and any demonstrated corrective actions taken to avoid recurrence. Offerors may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts and current as well as past efforts to identify and manage program risk(s). The Offeror is required to clearly address management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified.

(8) The Offeror (including teaming partners, subcontractors, affiliate companies, and joint venture partners) shall provide a statement indicating whether any negative information has been reported in the past three years concerning the Offeror’s (including teaming partners, subcontractors, affiliate companies, and joint venture partners) past compliance with FAR 52.219-8 and/or FAR 52.219-9, if applicable. If any such negative information has been reported, the Offeror may submit explanations or comments regarding such negative information. Offerors with no prior contracts containing FAR 52.219-8 shall state that in this proposal volume.

(9) In conducting the Past Performance evaluation, the Government reserves the right to use the information provided in the Offeror’s Proposal (including Volume I, II, and III) and information obtained from other sources, such as the Electronic Subcontract Reporting System (eSRS), Contractor Performance Assessment Reporting System (CPARS), or other databases; and may be obtained from other sources available to the Government, such as the Defense Contract Management Agency (DCMA) and interviews with Program Managers, Contracting Officers, and Fee Determining Officials. Offerors are reminded that both independent data and data provided by Offerors in their proposals may be used by the Government to evaluate Offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the Offerors. Proposals that do not contain the information requested by this solicitation rejection or a less than acceptable performance rating by the Government. All past performance comments received, as well as relevant information in Volume I and II regarding teaming partners, subcontractors, affiliate companies, and joint venture partners, will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received.

(10) The Offeror shall provide Consent Letters authorizing the release of past performance information executed by each teaming partner, subcontractor, affiliate company, and joint venture partner that will perform 25% or more of the proposed effort. The Offeror shall also provide Consent Letters authorizing the release of past performance information executed by each teaming partner, subcontractor, affiliate company, and joint venture that will perform major, or critical aspects of the requirement when such information is relevant to the instant acquisition. Past performance information concerning subcontractors cannot be disclosed to or requested from a private party without the subcontractor’s consent. Because a prime contractor is a private party, the Government requires consent before disclosing teaming partner, subcontractor, affiliate company, and joint venture partner present and past performance information to the prime contractor and/or requesting such information about the prime contractor from references. In an effort to assist the Government’s Past Performance Team in assessing an Offeror’s past performance relevancy and confidence rating, the Government requests that a consent form be completed for each reference identified in your proposal. The completed consent forms should be submitted as part of the Past Performance volume.

(11) The Offeror shall provide, for each identified past performance reference, a Commercial Client Authorization Letter authorizing the Government to request information from the Commercial Client regarding the performance of Offeror's and/or or its teaming partner, subcontractor, affiliate company, and joint venture partner.

(12) The Offeror shall provide information regarding the organization structure change history of the Offeror and its teaming partners, subcontractors, affiliate companies, and joint venture partners. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, the Offeror shall include in its past performance volume a chart or schedule describing all such changes in the organization of the Offeror and its teaming partners, subcontractors, affiliate companies, and joint venture partners over the past three years. As part of this explanation, the Offeror shall demonstrate how these changes impact the relevance of any identified past performance efforts. The Government intends to consider present and past performance information provided by other sources as well as that provided by the Offeror(s), Organization Structure Change History must be both specifically applicable to the efforts “identified” by the Offeror in the past performance volume of its proposal, and “general enough to apply to efforts on which the Government receives information from other sources”.

VOLUME IV: Factor 4 – Price.

(1) This volume shall contain all required pricing information described below. The Offeror shall not include pricing information in Volumes I, II, III or V of its proposal. The Offeror shall ensure that cell formulas in all worksheets, including any worksheets provided by the Government, such as the pricing worksheet, are accurate and correctly reflect the Offeror’s desired pricing. All pricing shall be complete and error-free.

(2) Tab A: Pricing Worksheet. As part of its Volume IV price proposal, the Offeror shall submit a completed Pricing Worksheet (Attachment 3). The Offeror shall provide a breakdown of the proposed price for each Contract Line Item Number (CLIN), for each year of performance as listed in the Pricing Worksheet.

a. All price data provided shall be in Microsoft Excel spreadsheet and shall be compatible with Microsoft Office 2013. Offerors shall ensure that the spreadsheet is not password-protected and that all formulas and links are intact. Narratives that address assumptions and other price-related information may be submitted as a .pdf or Word document.

b. Using the Attachment 3, Pricing Worksheet, the Offeror shall provide a fully burdened labor rate, including profit, for each proposed labor category, for each year of contract performance.

c. The Offeror shall also identify on the Attachment 3, Pricing Worksheet, which labor categories are professional labor and which categories are subject to the Service Contract Labor Standards (SCLS).

d. Subcontractors are NOT required to submit a completed Attachment 3, Pricing Worksheet.

(3) Tab B: Completed CLINs for all years. This Tab shall include pricing for all SF 1449 CLINs and summation of the total price.

a. The Offeror must complete the unit price and total price for CLINs 0001 through 0003, and the respective option year CLINs for CLINs 0002 and 0003 in the schedule of supplies/services of the solicitation Standard Form 1449. (Note: There are no option CLINs for CLIN 0001, Phase-In).

b. Offerors shall also provide a summation of the total contract price to include the base and all four (4) option periods. CLIN Pricing shall carry over from the Pricing Worksheet (see Tab A above). Offerors shall ensure that the proposed CLIN prices align with the stated amounts on the Offeror’s completed Pricing Worksheet.

(4) Tab C: Employee Total Compensation Pricing Sheet. Offerors shall submit a completed Employee Total Compensation Plan Pricing Sheet (Attachment 4) for the Total Compensation Plan for Professional Employees (TCPPE).
