FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)
(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--
(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or
(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.
(b) The Offeror represents that--

ADDENDUM TO FAR 52.212-1
ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS
PROPOSAL PREPRARATION AND SUBMISSION INSTRUCTIONS:
Replace paragraph (b) with the following instructions:
1. GENERAL. These proposal instructions are designed to provide general guidance for preparing responses as well as providing specific instructions on response organization, format, content and evaluation under FAR Part 13.5. Offeror should include all documents and information in accordance with the instructions herein. Noncompliance with the solicitation requirements may hamper the Government’s ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration for contract award. Offerors are cautioned to follow the instructions carefully and shall present their best technical proposals and prices in their initial proposal submission, as it is the Government’s intent to make an award based on initial proposals received without discussions. However, should discussions become necessary, the Government reserves the right to communicate fairly and equally with contractors by entering into exchanges or discussions IAW FAR PART 13.106-2.
2. The submission of the documentation specified below and signing of the SF1449 and any amendments shall constitute the Offeror’s acceptance of the terms and conditions of the solicitation, concurrence with the PWS, and contract type. If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or otherwise deemed unsound, the Offeror shall immediately notify the OCO in writing with supporting rationale prior to the proposal due date.
3. All required proposal documents are due by 12 November 2024, 4:00PM EST. Responses shall be submitted prior to the closing date and time identified above electronically to Michael I Birney, contract specialist, at Michael.I.birney.civ@army.mil and Casey N. Cambrin, Contracting Officer, at casey.n.cambrin.civ@army.mil.
4. The Offeror shall provide a separate cover sheet with its response and include the following information:
a. Cover sheet shall contain the company’s legal name and address, Cage Code, Unique Entity Identifier (UEI), and Tax Identification Number (TIN)
b. The name and title of the person authorized to sign and negotiate the offer
c. A statement that the offer is valid for at least 90 days
d. A statement that the offer is submitted in response to Solicitation W91247-24-R-0105
e. Additionally, the Offeror shall acknowledge receipt of any amendments issued to the solicitation.
5. Response Organization and Format: The response shall be organized into two (2) separate Volumes. The Volumes are: Volume I (Technical Capability), and Volume II (Price). Solicitation response must comply with the page limitations and format specified for each volume. Page limitations and specific information required for each volume are as follows:

5.1. Page Limitation: The proposal shall not exceed the page limits stated above. Page limit includes all appendices, charts, graphs, diagrams, tables, photographs, drawings, etc. Page Limit does not include covers for volumes, tables of contents, glossary of abbreviations and acronyms, indices, title pages, cross reference indices, and section dividers/tables if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. Pages marked “This page intentionally left blank” will not be counted. Pages will be counted if they contain any other information, i.e., diagrams, extraneous data, etc.
5.2. What Constitutes a Page? A page shall be an 8 1/2 X 11” digital format. The Offeror shall number each page in order to eliminate any confusion. In the event the Offeror creates an ambiguity in their numbering of pages, the Government may exercise its own discretion in counting pages. If the page limits are exceeded, the pages in excess of the limit shall be removed and will not be considered for evaluations. The Government will not accept any changes to the Offerors proposal after the closing date of the solicitation. If discussions become necessary, page limitations may be placed on responses to Evaluation Notices (ENs) to the Offerors.
5.2.1. Submission Format. Specific guidance regarding format and content is discussed in the following paragraphs. The Government will only read/evaluate the maximum number of pages allowed. The submission content shall be formatted as follows:
a. Text: Single-spaced
b. Font Size: Microsoft Office Word, Arial (italic and bold) 12 font
c. Margins: One Inch (1”) left, right, top and bottom
d. Minimum use of non-standard paper size is allowable.
Note: The font size requirement does not apply to headers, footers, charts, graphics, figures, and tables; however, the font size must be reasonable and easily readable. Font size other than 12 point is acceptable for call-out boxes, focus boxes, and theme statement boxes provided it is reasonable and easily readable with the naked eye. Page numbering must be sequential throughout the entire document, and new chapters/sections do not restart the page numbering.
6. SOLICITATION REPSONSE CONTENT.
6.1. Volume I – Technical Capability:
6.1.1. General. Offeror shall submit a proposal that is self-sufficient and responds directly to the requirements of the solicitation. The proposal should be clear, concise, and include adequate detail for effective evaluation. The Offeror should address, as specifically as possible, the actual methodology used for accomplishing the PWS tasks. The proposal should not simply rephrase or restate the Government’s requirements, but rather should provide convincing rational to address how the Offeror intends to meet these requirements. Statements that the Offeror understands, can, or will comply with the PWS (including referenced publications, technical, data, etc.);
statements paraphrasing the PWS or parts thereof (including referenced publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable and may be grounds to eliminate the proposal from further consideration for contract award.
6.1.2. Offerors should assume that the Government has no prior knowledge of their experience, and that it will base its evaluation on the information presented in the Offeror’s proposal. The proposal should contain sufficient information to enable the Government to fully evaluate and determine the Offeror’s capability to comply with the requirements identified in the solicitation.
6.1.3. Technical Capability Content: Volume I consist of three (3) subfactors. Subfactor 1a Management Approach; Subfactor 1b Staffing Approach; and Subfactor 1c Phase-In Approach.
Volume I shall not include pricing information. The Technical Capability (Volume I) response should provide a sound and feasible approach that addresses all applicable requirements of the solicitation, PWS and the associated attachments. It shall also include the following:
a. Management Approach: The Offeror shall address the methodology for planning, organizing, directing, and controlling its staff in performance of the tasks identified in the PWS, and associated attachments. It shall also include the following:
i. Provide an organizational chart which identifies the management structure, roles and responsibilities of their management team compliment (key personnel and any utilization of subcontractors).
ii. Provide the procedures for training and retaining a qualified workforce to satisfy all the requirements of the PWS.
b) Staffing Approach: The Offeror shall provide a staffing plan for USARC’s Army Continuing Education Support (ACES) Services requirement and how the proposed staff is sufficient to complete the tasks in the PWS. The Offeror must include a comprehensive Un- Priced Staffing Matrix identifying by labor category and job responsibilities adequate skill levels in sufficient quantity to successfully perform the requirement. The un-priced labor matrix shall clearly identify the Job Title and applicable Labor Categories including the Key Personnel. It shall also include number of FTEs and/or part-time personnel, if any, any cross training/utilization of personnel, and the labor hours proposed for each labor category to adequately perform the tasks identified in the PWS. The Offeror must identify detail roles, responsibilities and address qualifications, security clearances and certifications as required by the PWS.
c) Phase-In Approach: The Offeror shall provide a chart/timeline of events and narrative that discusses who will manage the phase-in, recruitment of qualified personnel, and what procedures will be sued to assume full operational control without break or degradation of services and reaching Full Operational Capacity (FOC) after the completion of the 14-calendar day phase-in period.
6.2. Price (Volume II):
6.2.1. The price submission should be clearly marked “Volume II, Price, W91247-24-R-0105.
Failure to follow the below preparation instructions may cause your response to be deemed unacceptable by the Government. All final monetary extensions will be represented in two decimal positions only, (example: $0.27 not $0.27434).
6.2.2. For the purpose of price evaluation, offerors shall include the following: 1) Pricing Schedule (Attachment 2) and 2) Priced Staffing Matrix – in contractor’s own format submitted in MS Excel, detailing the effective loaded labor rates and any associated escalation for all positions proposed under this contract.
Pricing Schedule – See Attachment 2. All proposed prices should be complete and accurate. Electronic versions of the price proposal shall be submitted in MS Office Excel format ONLY, as an unprotected/unlocked copy. If the pricing proposal requires a narrative, it shall be submitted in PDF or Word Format. It is the Offeror’s responsibility to ensure that all formulas and calculations are correct. The Pricing Schedule shall include the FFP proposed for the following:
(i) CLINs 0001, 0002, 1001, 1002, 2001, 2002, 3001, 3002, 4001 and 4002: ACES Services shall be priced by contract period IAW the PWS by inputting unit/monthly price and extended total for each CLIN.
(ii) CLINS 0003, 1003, 2003, 3003, and 4003: Service Contract Reporting
Initiative: As part of its proposal, the Offeror will provide the estimated total cost (if any) incurred to comply with the Service Contract Reporting (SCR) requirement. Offeror will determine, in the Schedule CLINs, to price or not separately-price the SCR requirement. CLINs shall be the CLINs under which the Contractor shall bill for all costs associated with the SCR requirement.
6.2.3. The Government will evaluate responses strictly IAW the solicitation and will not assume that performance will include areas not specified in the Offeror’s proposal. The Government reserves the right to reject a response upon initial submission and to no consider it for contract award if required data is absent or the data received conveys a misunderstanding of the requirement. The Government intends to award without discussions. Therefore, each initial response should contain the offeror’s best terms from a cost and technical standpoint. If revised responses are requested, they will be evaluated against the same criteria as were the initial responses.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES
(NOV 2021)
(a) The Government will award a contract to the lowest priced, technically acceptable offer resulting from this solictation. The following factors shall be used to evaluate offers:
Factor 1: Technical Capability Factor 2: Price
1.0. Evaluation Criteria. Evaluation criteria consist of two (2) evaluation factors. The proposals shall be evaluated under the following evaluation factors:

1.1. Volume I – Factor I – Technical Capability: The Government’s technical evaluation team will evaluate the technical capability subfactors on an acceptable or unacceptable basis. Offerors must receive Acceptable ratings in each subfactor and any subfactor that is rated Unacceptable will result in the overall Technical Capability factor being determined Unacceptable. Factor 1 and subfactors a, b, and c will receive one of the adjectival ratings defined in the table below:
The Offeror’s Technical Capability provided a sound and feasible Technical Capability Approach that addressed all applicable requirements which included the following:
a) Management Approach. The Offeror proposed an acceptable management plan that included the following: a complete management organizational chart including roles, structure and responsibilities of their management and acceptable procedures for training and retaining a qualified workforce to successfully satisfy all the requirements in the
PWS.
b) Staffing Approach. The Offeror proposed an acceptable staffing plan to successfully perform the ACES Services. The Offeror included a comprehensive Un-Priced Staffing Matrix that proposed number of personnel, labor hours, qualifications and adequate labor categories in sufficient quantity to successfully perform the tasks in the PWS.
c) Phase-in Approach. The Offeror provided a realistic 14 calendar day phase in plan which included a detailed timeline and narrative that demonstrated their capability to successfully perform all the tasks in the PWS at the completion of the phase-in period.
1.2. Volume II – Factor 2 – Price: The Price Submission will not be scored or rated. The techniques and procedures described under FAR Part 15.404-1(b) will be the primary means of assessing Price analysis to determine price reasonableness. To be viable for award, a Offerors price must be determined fair and reasonable, balanced, complete and accurate. The Government will also evaluate Option Year Pricing including its option to extend services (see FAR Clause 52.217-8).
a. Reasonableness. The existence of adequate price competition is expected to support a determination of reasonableness. Other price analysis techniques IAW FAR15.404-1(b) may be used to further validate price reasonableness.
b. Unbalanced Pricing may be evaluated IAW FAR 15.404-1(g), as applicable, to assess potential performance risk which could result in unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line

c. Complete/Accurate. The Offeror’s price proposal shall be evaluated to ensure it is in compliance with the Price Volume instructions in the solicitation and that it is mathematically accurate, and the priced labor matrix in Volume II will be cross walked with the un-priced staffing matrix in Volume I to ensure that it is complete and accurate. When evaluating price the Government reserves the right, without entering discussions, to de-conflict or correct situations involving clerical errors, minor mathematical errors, rounding discrepancies or obvious misplacement of decimal points where there is a negligible impact on price.
d. Options. The Government will evaluate responses for award by adding the total price for all options to the total price for the basic requirement. The Government may determine that a response is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
e. Total Evaluated Price. Each Offeror shall provide a total sum of all CLINs’: Twevlve
(12) month Base Year (to include 14-day phase-in) and four (4) Option Years IAW Pricing Schedule (Attachment 2). As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the Offeror’s final option period prices to the Offerors total price. Offerors are NOT to enter a price for the six-month period.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND
COMMERCIAL SERVICES (MAY 2024)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.
"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or

"Sensitive technology"--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern—
(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or
(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).
(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.
"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--
(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or
(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.
"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.
"Small business concern"--
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
"Veteran-owned small business concern" means a small business concern--
(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.
