SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2018)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

mailto:Davina.D.Darden@usace.army.mil

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.

Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.

Each volume shall be submitted on a separate CD <Am02> or in a separate attachment if submitting electronically. Electron proposal submissions are acceptable. Offerors may email proposals to the POCs in the solicitation (if under 20MB) or use file transfer systems such as SAFE (especially if over 20MB).

TECHNICAL FACTORS:

Factor 1 – Organizational Experience:

These same projects must be used for Factor 4, Past Performance. <Am02> At least one of the submitted projects must have been performed by the prime contractor proposed for this acquisition. <am02>

The project examples shall be for completed work that is the same/similar to the work to be performed under the Performance Work Statement. The reference projects may have been performed for federal, state, local Government or private clients, but experience with the USACE, FUDS and/or FUDSChem is desired. These project examples shall be for work that the contractor or proposed subcontractor has completed (or substantially completed defined as 75% complete) and/or had accepted by the customer within the last seven (7) years. The submission for experience is limited to up to three 8 ½” x 11” one‐page summaries and one-page narrativesww using a font size no smaller than 10. Begin each reference project on a new page.

Only submit recent projects that were completed, substanially completed or accepted by the customer within SEVEN (7) years of the issue date of this solicitation, or which are nearing completion (e.g., are substantially complete).

Factor 2 – Key Personnel:

The contractor shall submit resumes, no more than two pages in length each, for the following key personnel proposed for the project, including personnel supplied by subcontractors:

A. <Am03> Project Manager(s) [one resume] <Am02> One <am03> Project Manager must be an employee of the prime contractor proposed for this acquisition and must be designated as the primary Point of Contact for contract administration. <am02>

B. Technical Lead <Am03> [At least one but no more than two resumes] <am03>

Each resume shall demonstrate specific project experience directly related to the work required under this order, indicate where the person will be located and demonstrate what responsibilities the person will have on this project. List the major work elements to be performed by each person and identify whether the person is prime or subcontractor personnel.

Offerors shall provide a statement to the effect that the resumes provided in the technical proposal reflect the contractor’s /subcontractor’s personnel who will perform the work. <Am03> In the case of JV the resume shall clearly state the share agreement of each partner. <am03>

Note that changes in Key Personnel after award will be subject to Contracting Officer approval.

Factor 3 – Technical Approach:

Offerors shall submit an outline, no more than 10 pages in length, detailing the proposed technical approach for completing all tasks required by the Performance Work Statement (PWS).

Title sheets, indices, schedule, and tables of contents are EXCLUDED from the page limitation.

This information shall include the following: the Contractor’s work schedule, including expected remediation milestones in the approach for this five year contract; the major work elements to be self‐performed by the offeror’s in‐house work force, the major work elements to be performed by each subcontractor, and how the work will be accomplished; risk management measures that address all high risks to the completion of the PWS; and how the work will demonstrate that remediation has minimized the chance of rebound. Provide a description of your understanding of the challenges anticipated.

Factor 4 – Past Performance (for this factor the offeror must use the form titled “Past Performance Questionnaire with Cover Letter”):

Offeror shall provide at least one (1), but no more than three (3) questionnaires for previous projects using the Past Performance Questionnaire (PPQ) with Cover Letter, attached separately as Attachment No. 3. If past performance information is not available for the offeror the offeror shall be assigned a neutral rating which is neither favorable nor unfavorable. The POCs may be contacted to assess the performance work statement performed and to evaluate performance of the projects listed under the previous experience, if necessary. Each past performance questionnaire is limited to the standard PPQ form.

The PPQ template included in the solicitation is provided for the offeror or its team members to submit to the client for each project the offeror includes in its proposal for Factor 4 -- Past Performance. Ensure correct phone numbers and email addresses are provided for the client point of contact. Completed PPQs should be submitted with your proposal. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment No. 3), which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government’s point of contact, Donald Sumner via email at Donald.C.Sumner@usace.army.mil prior to proposal closing date. Offerors shall not incorporate by reference into their proposal PPQs previously submitted for other RFPs.

However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation.

Also include performance recognition documents received within the last seven years such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition (not subject to page limitations).

In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), mailto:Donald.C.Sumner@usace.army.mil

Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

Price Factor:

Factor 5 –Pricing Proposal

Price will be determined by adding all the firm-fixed price (Base and Options) for all CLINS to find the bottom line price.

Offerors will be required to price all line items for each contract period (base and option years if applicable). Price will not be scored, but will be a factor in establishing the competitive range prior to discussions (if held) and in making the final determination for award. The Government will perform a price analysis on all proposals received. Price analysis will be performed in accordance with FAR 15.404- 1, to determine completeness, reasonableness, and understanding of the work. The evaluation will determine the adequacy of the offer in fulfilling the requirement of the proposal. Completeness addresses the extent to which the elements of the price proposal are consistent with the requirements of the RFP.

Contract Line Items Numbers (CLINs) will be analyzed to determine if the prices are unbalanced. If the price analysis indicates that an offer is unbalanced the KO shall consider the risks to the Government associated with the unbalanced pricing in determining the reasonableness of the offer. An offer will be rejected if the lack of balance poses an unacceptable risk to the Government.

(End of provision)

SECTION M - EVALUATION FACTORS FOR AWARD

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered.

The following factors shall be used to evaluate offers:

Volume I-Non-Price Factors:

Factor 1 - Organizational Experience Factor 2 - Key Personnel Factor 3 - Technical Approach Factor 4 - Past Performance

Volume II-Price Factors:

Factor 5- Pricing Proposal

Factor 1 - Organizational Experience, Factor 2 - Key Personnel, Factor 3 - Technical Approach, and Factor 4 - Past Performance are weighted equally.

Organizational Experience, Key Personnel, Technical Approach and Past Performance when combined, are significantly more important than price.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

FACTOR SUBMISSION REQUIREMENTS AND EVALUATION METHODS

The Government cannot make award based on a deficient offer.

Therefore, a rating of “Unacceptable” under any factor or sub-factor will render the offer ineligible for award, unless the Government elects to enter into discussions with that contractor and all deficiencies are remedied in a revised proposal.

A “deficiency” is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful task order performance to an unacceptable level.

“Weakness” means a flaw in a proposal that increases the risk of unsuccessful task order performance.

A “significant weakness” is a proposal flaw that appreciably increases the risk of unsuccessful task order performance. The Government cannot accept an offer with a deficiency in its technical proposal.

The term “acceptable” is therefore used in this context to describe a technical proposal that does not contain a deficiency and thus could be accepted by the Government, notwithstanding any weaknesses or significant weaknesses in the proposal.

1. TECHNICAL:

The Government will evaluate each contractor’s proposal based on how well the proposal addresses each of the elements listed in FAR clause 52.212-1, Instructions to Offerors, for the factors below. The proposal volumes shall be separated using tabs titled with “Factor I:

Organizational Experience”, “Factor II: Key Personnel” etc.

The tabs will not be counted as a page where there is a page count limitation. Any prescribed page and formatting limitations will be strictly adhered to and enforced by the Government. The Government will not evaluate any excess information resulting from the contractor’s failure to comply with the submission instructions.

The contractor’s conformance with the specified, format and submission requirements will be considered during the technical evaluation. Failure to comply with the formatting and/or submission requirements may be seen as indicative of the type of problems that could be expected during task order performance. Lack of conformance could therefore result in a higher risk assessment, in addition to any other impacts on the evaluation.

Technical proposals which do not provide the specified information in the specified location in accordance with the submission instructions may be downgraded. The Government is under no obligation to search for information that is not in the specified location, and such information may not be evaluated.

2. PRICE:

Proposals which are generic, vague, or lacking in detail may be downgraded. The proposal submission instructions are written to give prospective contractors, where feasible, an indication of the level of detail desired by the Government.

The price proposal will be analyzed for reasonableness. It may also be analyzed to determine whether it reflects a clear understanding of the Government's requirements. Price is not scored, but is evaluated and considered along with non-cost factors in the best value determination.

3. SUBMITTAL REQUIREMENTS: The Offeror’s proposal shall consist of two (2) volumes:

Volume I – Technical and Volume II – Price.

Volume I – Technical shall include all documents needed to satisfy the following factors:

A. Factor 1 - Organizational Experience (1 to 3 relevant projects) (2 page limit per project) B. Factor 2 - Key Personnel (2 page limit per personnel) C. Factor 3 - Technical Approach - including proposed schedule (10 page limit) D. Factor 4 - Past Performance for project described in Factor 1 <Am03> (4 page limit per project; standard

PPQ form length without the instructions page) <am03>

Tables of contents, proposal cover letters, <Am03> schedule in Factor 3 <am03> and tabs between proposal information do not count toward any page limitations in the proposal. Pages that exceed the required page limitations will not be evaluated. Additional pages over the maximum allowed will be removed or not read and will not be evaluated by the Government.

NON-PRICE FACTORS EVALUATION METHODOLOGY:

All proposals shall be subject to evaluation by a Source Selection Evaluation Board (SSEB). The proposal will be evaluated to determine whether the Offeror's methods and approach have adequately and completely considered, defined, and satisfied the requirements specified in this solicitation, particularly in Section L above, including the Proposal Submission Requirements section of provision 52.212-1, Instructions to Offerors—Commercial Items (JAN 2017).

The SSEB will evaluate the proposals utilizing the rating methodology described in this section.

The term ''technical" as used in this solicitation refers to non-cost factors. The technical rating reflects the degree to which the proposed approach meets or does not meet the performance or capability requirements through an assessment of the strengths, weaknesses, deficiencies and risks of the proposal. Evaluations will consist of comparison of the data presented in each proposal to the requirements stated in this solicitation. Evaluators will independently identify and document the relative strengths, weaknesses, deficiencies and risk of each evaluation factor and assign a combined technical/risk rating corresponding to the appropriate rating (e.g. Outstanding, W9123820R0030

Good, etc.). This rating scale will be used in conjunction with each non-price evaluation factor, with the exception of past performance.

Blue Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Purple Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance.

Risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The quotation has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements and contains one or more deficiencies. Proposal is unawardable.

1. Organizational Experience

Examples of projects that most closely resemble the project identified in this solicitation will receive a higher rating. (Form to be used is attached).

The Government is especially interested in relevant experience related to:

TCE remediation in groundwater and other services indicated in the PWS.

Similarity of project in type, concentration of contaminants, geology, climate, scope, complexity and size of project are important factors among others determining relevancy.

Relevancy of the submitted projects will not be separately rated but will be considered in the overall Factor 1 rating using the chart above.

2. Key Personnel

The Key Personnel factor will be evaluated and rated based to on offerors’ response to <Am03> the requirements below: the Key Personnel qualifications in section C.4 of the base IDIQ PWS.

• Project Manager(s) [one resume]

• A college degree from an accredited school in engineering, construction management, geology, chemistry, biology, environmental science, or a related field.

• Three (3) years of relevant management experience.

• Technical Lead [at least one but no more than two resumes] <am03>

• A college degree in chemistry, geology, engineering, or related field.

• Four (4) years of experience with designing and monitoring groundwater treatment systems.

• Four (4) years of experience providing groundwater remediation oversight.

3. Technical Approach

Offerors’ technical approach will be evaluated to determine whether the Offeror's methods and approach have adequately and completely considered and satisfied the requirements specified in the PWS. The proposal will be evaluated to determine the extent to which each key element has been addressed in the proposal in accordance with the proposal submission requirements, Section L, above.

Proposals will also be evaluated to determine the extent to which the proposed approach is workable and the end results achievable. Proposals will be evaluated to determine the extent to which the Offeror is expected to successfully complete the proposed tasks and technical requirements within the proposed approach.

EVALUATION METHODOLOGY: FACTOR 4 – PAST PERFORMANCE:

Offeror will be evaluated on the relevancy of the submitted contracts and the confidence level or expectation of successful performance based on the submitted contracts. The Government may contact the offeror’s references for information and may review performance ratings on file for prior Government projects the offeror may have performed.

Past performance information obtained from sources other than those identified by the offeror may be used. All relevant facts and circumstances gathered from information from the offeror’s listed references and other sources of information available to the Government will be used to evaluate whether the offeror’s overall past performance and quality of performance is acceptable. If an offeror has not had a chance to comment on negative past performance evaluation obtained, it will be given a chance during clarifications. An offeror without a record of relevant past performance for whom past performance is not available will be given a neutral rating.

The Government may also use past performance information obtained from other than the sources identified by the offeror. Information obtained from the Past Performance Information Retrieval System (PPIRS) database located at http//www.ppirs.gov is one of the sources that will be utilized.

PPIRS functions as the central warehouse for performance assessment reports received from several Federal performance information collection systems and is sponsored by the DOD E-Business Office and administered by the Naval Sea Logistics Center Detachment Portsmouth.
