OFFEROR’S PROPOSED MULTIPLIER: (Indirect Cost Rate to be applied as appropriate to Other Direct Costs (ODCs) and consistent with Offeror’s accounting system)

ODC Multiplier ________

NOTES:

1. Subcontractors: The subcontractors who are included by the prime in the pricing schedule are those identified by the prime contractor as key team subcontractors. Key team subcontractors are subcontractors that the prime uses in their proposal to qualify for this contract and are subcontractors that the prime wishes to use during the life of the contract without having to obtain competition.

2. Definition of other direct costs (ODCs): Direct costs other than labor. ODCs, including equipment, supplies, travel, etc., are not pre-priced in the pricing schedule. These ODCs will be included in offerors’ proposals on individual task orders in accordance with offerors’ accounting systems and federal regulations.

3. The pricing schedule requires use of fully burdened hourly labor rates. Fully burdened for the prime contractor means direct labor plus all indirect costs and mark-ups consistent with the prime’s accounting system for which the prime expects payment EXCLUDING profit or fee. The profit or fee for the prime contractor will be negotiated for each task order. Fully burdened for a subcontractor means direct labor plus all indirect costs and mark-ups consistent with the subcontractor’s accounting system for which the subcontractor expects payment INCLUDING profit. The offeror and subcontractors will account for all of their costs in the labor rates entered into the pricing schedule – direct costs and all indirect costs (labor overhead, all other overhead costs, general and administrative (G&A), facilities capital cost of money (FCCOM), the prime’s markup to subcontractor’s fully burdened rates (indirect costs only, not to include any profit or fee going to the prime) and any other multipliers consistent with the prospective accounting system). When the contract is awarded, the labor rates in the contract pricing schedule for the prime contractor and subcontractors will be the contract rates; they will not be renegotiated if they are not correctly calculated and proposed by the contractor or the subcontractor as directed in this paragraph.

4. The job titles and classifications included in the pricing schedule are the Government’s anticipated job titles and classifications. All offerors must include and price all of these job titles and classifications at a minimum, whether through the use of personnel from the prime or through subcontractors. However, there may be job titles in the pricing schedule that are not, under the offeror’s accounting system, direct charged on projects; if the offeror does not give a labor rate for a job title for that reason, the offeror shall so state.

The Government has shown the job classifications within job titles as senior, staff and junior levels. The following definitions apply to the use of these classifications:

Senior level of the profession: Job management with some review function.

Staff level of the profession: Hands-on work effort; responsible for most of the work on a task order.

Junior level of the profession: Relatively new to the profession; still in an apprenticeship, not fully credentialed; works under the supervision of a staff or senior level person.

The offeror and subcontractors may separate the job titles into classifications by whatever method is common to their firm rather than the senior, staff and junior scheme, but the offeror must define their scheme and give definitions of the levels.

The job title of principal is defined as the owner, president, vice-president or CEO of the firm.

APPENDIX A TO STATEMENT OF WORK

Army Contractor Manpower Reporting (CMR) Requirement

1. The following sets forth contractual requirements for reporting of contractor manpower in support of the Army’s Contractor Manpower Reporting requirement.

Reporting is accomplished electronically by direct contractor submission to a secure Army website. The Contractor Manpower Reporting Application (CMRA) Version 3.0 is a business process for collecting information on contracts that provide services to the Department of the Army. The Army operates and maintains a secure data collection site where contractors must report all contractor manpower (including subcontractor manpower) required for performance of contracts subject to the CMR requirement.

2. Since this is an Indefinite Delivery contract, the Government will identify the individual task orders that are subject to the CMR requirement by including this Appendix in the individual task order. The CMR requirement will apply to the order if any of the following is true: (1) Army dollars are funding the order;

(2) Any Army missions are being supported by the order; (3) Any Army military, civilian or contractors are supported/benefit from the ordered services; (4) The Army is the executive agent for the mission being supported by the order. The CMR requirement applies even if funds are sent to another agency to contract for the Army. For the United States Army Corps of Engineers (USACE), civil works utility services, and construction contracts are excluded from the CMR requirement.

3. Reporting is accomplished by direct data entry into a secure Army website found at https://cmra.army.mil . Contractors must register in this system. You are referred to the Contractor and Subcontractors Users Guides and the FAQ’s available at this website for detailed information and instructions pertaining to registration for and data entry into the CMRA system.

4. The CMRA Help Desk can be contacted for assistance by telephone (703-377-6199) or email (contractormanpower@hqda.army.mil). All questions pertaining to system registration, data entry problems, and other information technology-related issues or concerns should be directed to the CMR Helpdesk.

5. Annual reports are required. The data for each Government fiscal year (October 1st through September 30th) must be entered no later than October 31st. If the contract action to which the CMR requirement applies overlaps two or more Government fiscal years, the contractor must prorate the labor hours and labor dollars accordingly.

6. The data that must be entered includes: Contract Number; Delivery Order Number (if applicable); Task Order Number (if applicable); Requiring Activity Unit Identification Code (UIC) [to be provided by the Government]; Command [to be provided by the Government]; Contractor Contact Information; Federal Service Code; Direct Labor Hours; Direct Labor Dollars; Location Information; Amount Invoiced for FY;

and Prime/Subcontractor status.

7. There is a flow-down requirement to subcontractors providing applicable services. The prime contractor has overall responsibility for ensuring that their subcontractors timely enter their respective data.

8. Concurrent with or following the award of each contract or order subject to the reporting requirement, a “CMR Worksheet” will be provided to the Contractor by the Government (see attached sample).

9. A Contract Line Item Number (CLIN) will be included in the contract or order for each contract action to which the CMR requirement applies. The contractor may elect to price or not-separately-price the CMR requirement.

10. The CMR requirement does not require a Contract Requirement List in the contract or order.

11. The CMR website is a secure site. Additionally, contractor labor hours and associated labor costs will be treated as proprietary information when linked to the contractor’s name and the contract number.

12. The Contractor Manpower Reporting requirements are subject to change. The contractor will be responsible for complying with the reporting requirements specified on the CMRA website at the time the annual report is due, at no additional cost to the Government.

When the defects in services cannot be corrected by reperformance, the Government may

(1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.

(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.

Section F - Deliveries or Performance

FAR 52.242-15 STOP-WORK ORDER (AUG 1989)

(a) The Contracting Officer may, at any time, by written order to the Contractor, require the Contractor to stop all, or any part, of the work called for by this contract for a period of 90 days after the order is delivered to the Contractor, and for any further period to which the parties may agree. The order shall be specifically identified as a stop-work order issued under this clause. Upon receipt of the order, the Contractor shall immediately comply with its terms and take all reasonable steps to minimize the incurrence of costs allocable to the work covered by the order during the period of work stoppage. Within a period of 90 days after a stop-work is delivered to the Contractor, or within any extension of that period to which the parties shall have agreed, the Contracting Officer shall either--

(1) Cancel the stop-work order; or

(2) Terminate the work covered by the order as provided in the Default, or the Termination for Convenience of the Government, clause of this contract.

(b) If a stop-work order issued under this clause is canceled or the period of the order or any extension thereof expires, the Contractor shall resume work. The Contracting Officer shall make an equitable adjustment in the delivery schedule or contract price, or both, and the contract shall be modified, in writing, accordingly, if--

(1) The stop-work order results in an increase in the time required for, or in the Contractor's cost properly allocable to, the performance of any part of this contract; and

(2) The Contractor asserts its right to the adjustment within 30 days after the end of the period of work stoppage; provided, that, if the Contracting Officer decides the facts justify the action, the Contracting Officer may receive and act upon the claim submitted at any time before final payment under this contract.

(c) If a stop-work order is not canceled and the work covered by the order is terminated for the convenience of the Government, the Contracting Officer shall allow reasonable costs resulting from the stop-work order in arriving at the termination settlement.

(d) If a stop-work order is not canceled and the work covered by the order is terminated for default, the Contracting Officer shall allow, by equitable adjustment or otherwise, reasonable costs resulting from the stop-work order.

(End of clause)

FAR 52.242-17 GOVERNMENT DELAY OF WORK (APR 1984)

(a) If the performance of all or any part of the work of this contract is delayed or interrupted (1) by an act of the Contracting Officer in the administration of this contract that is not expressly or impliedly authorized by this contract, or (2) by a failure of the Contracting Officer to act within the time specified in this contract, or within a reasonable time if not specified, an adjustment (excluding profit) shall be made for any increase in the cost of performance of this contract caused by the delay or interruption and the contract shall be modified in writing accordingly. Adjustment shall also be made in the delivery or performance dates and any other contractual term or condition affected by the delay or interruption. However, no adjustment shall be made under this clause for any delay or interruption to the extent that performance would have been delayed or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an adjustment is provided or excluded under any other term or condition of this contract.

(b) A claim under this clause shall not be allowed (1) for any costs incurred more than 20 days before the Contractor shall have notified the Contracting Officer in writing of the act or failure to act involved, and (2) unless the claim, in an amount stated, is asserted in writing as soon as practicable after the termination of the delay or interruption, but not later than the day of final payment under the contract.

Section H - Special Contract Requirements

IDIQ MULTIPLIE AWARD CONTRACTS

a. The Government intends to award up to four indefinite-quantity, indefinite-delivery (IDIQ) multiple-award task order contracts for planning and environmental studies within the South Pacific Division boundaries. Notwithstanding the above, the Government may award more or fewer than four.

These contracts will be the result of this multiple award small business set-aside solicitation. The shared, cumulative maximum capacity for all contracts awarded from this solicitation will be $11.0 million for the base year and all option years. The base year does not have a specified maximum amount, and the option years do not have a specified maximum amount. The maximum amount is based on the life of the contracts.

b. The guaranteed minimum for each contract is $5,000. The guaranteed minimum amount will be funded when the contract is awarded either on the contract or by issuance of the first task order on each contract.

c. T he labor rates in effect at the time of task order award shall remain in effect for the entire period of the task order performance.

d. Performance shall be authorized only by issuance of task orders by the Government contracting officer.

The procedures are discussed below in the task order procedures paragraph. No work will be performed before a written and signed task order is issued. Task orders may be issued by the contracting officer via email or facsimile, with the hard copy of the task order to follow. The effective date of the task order, if either email or facsimile are used, is the date the Government sends the task order and receives confirmation of receipt from the contractor.

e. The maximum dollar limit per task order is $2.0 million. There is no limit on the number of task orders that may be issued. The Government may issue simultaneous task orders requiring performance at multiple locations.

f. Task orders must be issued within the performance period of the IDIQ contract, but the performance period of the task order may extend beyond the contract’s performance period. The Contractor shall complete all work described in the scope of work for each task order within the performance period of each task order.

g. Task orders issued will be firm, fixed-price (FFP).

h. In the event of any inconsistency between the contract and any task order, the terms and conditions of the contract shall control.

TASK ORDER PROCEDURES

a. More than one contract is being awarded for the same or similar work in this procurement. Selection for task order awards will be made as follows:

(1) In accordance with FAR 16.505 and EFARS 16.505, all awardees will be given a fair opportunity to be considered for each task order in excess of $2,500 except in certain situations described in paragraph (2), below.

(2) In making selection of the awardee to receive a specific task order, the Contracting Officer will consider the firm’s technical capabilities; experience of each firm’s operational and technical staff; past performance on earlier task orders under the contract, as well as other known contracts, to include quality, timeliness and cost control; potential impact on other orders placed with the contractor and the contractor’s current capacity to accomplish the task order in the required time; equitable distribution of work among the contractors, minimum order requirements; price/cost; or other factors considered relevant.

b. Oral or written proposals may be required.

c. The contracting officer need not contact each contractor before selecting a task order awardee, if the contracting officer has information available to ensure that each contractor is provided a fair opportunity to be considered for each task order.

d. Task Orders may be competed among two or more of the contractors. A proposal or pricing schedule may be requested from two or more contractors and award may be given to the proposal which is most advantageous to the Government (price and price related factors considered). Normally the Government will allow 10-14 days for submission of the proposals, however, depending on the complexity and the urgency of the required services, the Government may require the proposal within one workday. Failure to submit a timely proposal may result in elimination of the proposal from consideration for the task order.

The Contracting Officer may select other than the lowest priced offer if it is determined to be in the best interest of the Government to do so.

e. Awardees need not be given an opportunity to be considered for a particular order if the Contracting Officer determines that:

(1) the agency need is of such urgency that providing such opportunity would result in unacceptable delays;

(2) only one contractor is capable of providing the services required at the level of quality required because the services ordered are unique or highly specialized;

(3) the order should be issued on a sole-source basis in the interest of economy and efficiency as a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original task order;

(4) it is necessary to place an order to satisfy a minimum guarantee.

f. As stated in Federal Acquisition Regulation (FAR) 16.505(8), no protest under FAR Subpart 33.1 is authorized in connection with the issuance or proposed issuance of an order under a task order contract except for a protest on the grounds that the order increases the scope, period, or maximum value of the contract, but see Section G, task order contract and delivery order contract ombudsman.

g. Refer to Section G, task order contract and delivery order contract ombudsman, for designation of the task order contract ombudsman responsible for review of complaints to ensure that all contractors are afforded a fair opportunity to be considered, consistent with the procedures set forth herein.
