PART 1 GENERAL

1.1 Description of James River and its Shoals

The James River is divided into the Lower James, Middle James and Upper James, and includes the following shoals:

Lower James: Rocklanding Shoal and Tribell Shoal

Middle James: Goose Hill Shoal, Dancing Point-Swann Point Shoal, Jordan Point-Harrison Bar-Windmill Point Shoal, and City Point Shoal

Upper James: Richmond Deepwater Terminal to Hopewell, Richmond Deepwater Terminal, Richmond Harbor to Richmond Deepwater Terminal, and Richmond Harbor.

1.2 WORK COVERED BY CONTRACT DOCUMENTS

1.2.1 Project Description

The Contractor shall perform the scheduled "indefinite-delivery, indefinite-quantity" (IDIQ) dredging work at various locations on the James River from Hampton Roads to the City of Richmond with a hydraulic dredge and pipeline capable of dredging to depths of 30 feet below mean lower low water, and efficiently pumping dredged material at distances as far as 22,000 feet as directed by Task Orders to be issued under this contract.

The dredged material shall be placed in upland or overboard Government furnished placement area(s) as indicated on the drawings issued with future Task Orders. The Contracting Officer will direct the order of work for Task Orders to be issued under this contract and reserves the right to change the configuration and location of the dredging areas, placement sites, and required dredging depths prior to dredging. Whenever possible, the Government will provide a schedule of proposed Task Orders with sufficient advance notice for the Contractor to plan his other work around work under this contract.

The Contractor is advised to keep in close contact with the Norfolk District James River Project Manager and Contracting Officer Representative regarding the status of Task Orders. It should be understood that in some cases advance notice of a Task Order may not be possible due to rapidly shoaling conditions and the need to commence dredging as soon as possible.

The Government reserves the right to dredge with Government plant or to solicit and award additional contracts for dredging areas listed as potential dredging areas in this contract. If channel depths begin to deteriorate while the Contractor is performing work on a Task Order, and the Contracting Officer determines that the Contractor does not have the capacity of plant employed on the work or is otherwise incapable to restore the channel within a period of time considered reasonable by the Contracting Officer, the Government reserves the right to restore the

Material moved by other contracts or by Government plant will not be measured for payment under this contract. Government plant or other contracted plant may, at the discretion of the Contracting Officer, be used to augment dredged material placement site capacities or to prepare placement sites, for work under this contract. The decision of the Contracting Officer to employ plant under separate contracts or Government plant will be final and will not be subject to the DISPUTES clause of this contract.

1.3 EXISTING WORK

In addition to "FAR 52.236-9, Protection of Existing Vegetation, Structures, Equipment, Utilities, and Improvements":

a. Remove or alter existing work in such a manner as to prevent injury or damage to any portions of the existing work which remain.

b. Repair or replace portions of existing work which have been altered during construction operations to match existing or adjoining work, as approved by the Contracting Officer. At the completion of operations, existing work shall be in a condition equal to or better than that which existed before new work started.

1.4 SALVAGE MATERIAL AND EQUIPMENT

Sand/gravel from Richmond Harbor dredging shall remain Government Property.

PART 1 GENERAL

1.1 SUBMITTALS

1.2 LUMP SUM PAYMENT ITEMS

Payment items for the work of this contract for which contract lump sum payments will be made are listed in the BIDDING SCHEDULE and described below. All costs for items of work, which are not specifically mentioned to be included in a particular lump sum or unit price payment item, shall be included in the listed lump sum item most closely associated with the work involved. The lump sum price and payment made for each item listed shall constitute full compensation for furnishing all plant, labor, materials, and equipment, and performing any associated Contractor quality control, environmental protection, meeting safety requirements, tests and reports, and for performing all work required for which separate payment is not otherwise provided.

1.2.1 Payment Item No. 0001, 1001 and 2001 Mobilization and Demobilization

All costs connected with the mobilization and demobilization of all of the Contractor's dredging plant and equipment as defined below will be paid for at the contract lump sum price for this item. Sixty percent of the lump sum price will be paid to the Contractor upon completion of his mobilization at the work site. The remaining forty percent will be paid to the Contractor upon completion of demobilization. In the event the Contracting Officer considers that the amount in this item, sixty percent which represents mobilization and forty percent which represents demobilization, does not bear a reasonable relation to the cost of the work in this contract, the Contracting Officer may require the Contractor to produce cost data to justify this portion of the bid. Failure to justify such price to the satisfaction of the Contracting Officer will result in payment of actual mobilization costs, as determined by the Contracting Officer, at the completion of mobilization, and actual demobilization costs, as determined by the Contracting Officer, at the completion of demobilization. The determination of the Contracting Officer is not subject to appeal.

1.2.1.1 Mobilization

Mobilization shall include all costs for operations accomplished prior to commencement of actual dredging operations. This shall include as a minimum the following:

a. Transfer of dredge and attendant plant, booster pumps, bulldozers and other like equipment and machinery for site work to the designated mobilization point.

b. All initial installation of pipe

c. All costs for any other associated work that is necessary in advance of the actual dredging operations.

The Government will notify the Contractor in the Notice to Proceed (NTP) of the location of the designated mobilization point for the duration of the contract; however, the Government reserves the right to change this location at the beginning of each option year, if awarded. The contract price per river mile for transportation of plant from the designated mobilization point on James River to the first dredging area and to any subsequent dredging areas in the event the Contractor is not allowed to demobilize, shall include all costs associated with the transport of the Contractor's dredge, up to 10,000 feet of pipeline, and attendant plant.

1.2.1.2 Demobilization

Demobilization shall include general preparation for transfer of plant to its home base, removal of pipelines, cleanup of site of work including the placement area, and transfer of plant to its home base.

1.2.2 Payment Item No. 0002, 1002 and 2002 Mobilization and Demobilization of Additional Pipeline

All costs associated with the mobilization and demobilization of 12,000 feet of pipeline (additional to the lengths required in other Bid Items) to the designated mobilization point in the James River. Sixty percent of the lump sum price will be paid to the contractor upon completion of mobilization of the additional pipeline to the work site. The remaining forty percent will be paid to the Contractor upon completion of demobilization.

1.3 UNIT PRICE PAYMENT ITEMS

Payment items for the work of this contract on which the contract unit price payments will be made are listed in the BIDDING SCHEDULE and described below. The unit price and payment made for each item listed shall constitute full compensation for furnishing all plant, labor, materials, and equipment, and performing any associated Contractor quality control, environmental protection, meeting safety requirements, tests and reports, and for performing all work required for each of the unit price items.

1.3.1 Payment Item No. 0003, 1003 and 2003 Dredging Lower and Middle James River Shoals

Payment to be made for all costs associated with dredging the Lower and Middle James River Shoals in a respective Task Order shall include the cost of removal and placement of material as indicated and specified, including a combined total of up to 10,000 feet of pipeline, exclusive of the mobilization and demobilization as defined above.

The total amount of material removed and to be paid for under this payment item will be measured by determining the volume within the dredging prism as defined by before dredging survey and then subtracting the volume within the dredging prism as defined by the after dredging survey.

The before dredging survey is defined as the latest survey made before the start of dredging and the after dredging survey is defined as the survey

The volume for measurement and payment shall include the material within the limits of overdepth and side slopes described in paragraph "Required Dredging Prism, Overdepth, and Side Slopes" of SECTION 35 20 23, less any deductions that may be required for misplaced material described in subparagraph "Misplaced Material", below.

Drawings issued with each respective Task Order are expected to accurately represent conditions at the time of the surveys indicated and will constitute the Before Dredging Survey unless indicated otherwise in the Task Order. If indicated in the Task Order, new soundings will be taken before dredging and will constitute the Before Dredging Survey. The Contractor's unit price for dredging, based on the above method of computation of the quantity for payment, shall include his evaluation of shoaling, other natural changes in the waterway, or changes caused by the Contractor's operations that might occur during the period between the surveys before dredging and the surveys for acceptance of the work.

Computations for payment purposes will be made by the Government using, as defined in EM 1110-2-1003, the Average End Area (AEA) method, Triangulated Irregular Network (TIN) method, or a combination of these methods at the discretion of the Government, and utilize electronic data processing software and machines for the calculations. Determination of quantities removed and the deductions made to determine quantities in place to be paid for in the areas specified, after having once been made, will not be reopened except on evidence of collusion, fraud, or obvious error.

1.3.2 Payment Item No. 0004, 1004 and 2004 Dredging Upper James River Shoal, Richmond Deepwater Terminal

Payment to be made for all costs associated with dredging Upper James River Shoal at Deepwater Terminal in a respective Task Order shall include the cost of removal and placement of material as indicated and specified, including a combined total of up to 7,500 feet of pipeline, exclusive of the mobilization and demobilization as defined above.

The total amount of material removed and to be paid for under this payment item will be measured by determining the volume within the dredging prism as defined by before dredging survey and then subtracting the volume within the dredging prism as defined by the after dredging survey. Payment to be made for all costs associated with dredging Upper James River in a respective Task Order shall include the cost of removal and placement of material as indicated and specified, including a combined total of up to 7,500 feet of pipeline, exclusive of the mobilization and demobilization as defined above.

The total amount of material removed and to be paid for under this payment item will be measured by determining the volume within the dredging prism as defined by before dredging survey and then subtracting the volume within the dredging prism as defined by the after dredging survey. 1.3.5 Payment Item No. 0007, 1007 and 2007 Transportation of Plant from Designated Mobilization Point to First Dredging Area and to Subsequent Dredging Areas

The Government will notify the Contractor in the Notice to Proceed (NTP) the location of the designated mobilization point for the duration of the task order; however, the Governemnt reserves the right to change this location at the beginning of each option year, if awarded. The contract price per river mile for transportation of plant from the designated mobilization point on James River to the first dredging area and to any subsequent dredging areas in the event the Contractor is not allowed to demobilize, shall include all costs associated with the transport of the Contractor's dredge, up to 10,000 feet of pipeline, and attendant plant.

Transportation of plant between the designated mobilization point and first dredging area, and between subsequent dredging areas when applicable, will

SECTION 01 22 00 Page 6 be measured and paid for by the linear mile as computed from the SECTION 35 20 30 Table of River Miles on James River. Miles will be measured to the nearest 1/10th mile. Final determination of river mile transportation calculations will be by the Contracting Officer.

Payment will not be made under this bid item for transportation of plant to the mobilization site, for transportation of plant from the last dredging area to the Contractor's home base, or for transportation to other work not covered under this contract.

1.3.6 Payment Item No. 0008, 1008 and 2008 Installation and Removal of Additional Pipeline Greater Than the Designated Pipeline Length in the Respective Payment Item for Dredging

Installation and removal of pipeline, which exceeds the designated length of pipeline provided for in the respective payment item for dredging, will be measured and paid for by the linear foot. The line length will include the length of any booster pump or other associated equipment.

When pipeline is relocated or reset at a dredging area, payment for installation and removal will not be allowed, but included in the cost of dredging. Total pipeline length measured for payment for any dredging area where the additional pipeline is used, shall not exceed the straight line distance from the end of the pipeline length provided for in the payment item for dredging, to the extreme discharge point at the placement site, plus 500 feet.

1.3.7 Payment Item No. 0009, 1009 and 2009 Dredging Upper James River Shoals at Pipeline Lengths Exceeding 7,500 Feet Required in the Respective Payment Item for Dredging

Payment to be made for all costs associated with dredging the Upper James River Shoals with pipeline lengths exceeding 7,500 feet required in the respective Payment Item for dredging shall include the cost of removal and placement of material as indicated and specified, including a combined total of up to 22,000 feet of pipeline, exclusive of the mobilization and demobilization as defined above.

The total amount of material removed and to be paid for under this payment item will be measured by determining the volume within the dredging prism as defined by before dredging survey and then subtracting the volume within the dredging prism as defined by the after dredging survey. The before dredging survey is defined as the latest survey made before the start of dredging and the after dredging survey is defined as the survey made as soon as practicable after the work has been completed.

Computations for payment purposes will be made by the Government using, as defined in EM 1110-2-1003, the Average End Area (AEA) method, Triangulated Irregular Network (TIN) method, or a combination of these methods at the discretion of the Government, and utilize electronic data processing software and machines for the calculations. Determination of quantities removed and the deductions made to determine quantities in place to be paid for in the areas specified, after having once been made, will not be reopened except on evidence of collusion, fraud, or obvious error.

1.3.8 Payment Item No. 0010, 1010 and 2010 Dredging Lower James River Shoals at Pipeline Lengths Exceeding 10,000 Feet Required in the Respective Payment Item for Dredging

Payment to be made for all costs associated with dredging the Lower James River Shoals with pipeline lengths exceeding 10,000 feet required in the respective Payment Item for dredging shall include the cost of removal and placement of material as indicated and specified, including a combined total of up to 22,000 feet of pipeline, exclusive of the mobilization and demobilization as defined above.

The total amount of material removed and to be paid for under this payment item will be measured by determining the volume within the dredging prism as defined by before dredging survey and then subtracting the volume within the dredging prism as defined by the after dredging survey. The before dredging survey is defined as the latest survey made before the start of dredging and the after dredging survey is defined as the survey made as soon as practicable after the work has been completed. The volume for measurement and payment shall include the material within the limits of overdepth and side slopes described in paragraph "Required Dredging Prism, Overdepth, and Side Slopes" of SECTION 35 20 23, less any deductions that may be required for misplaced material described in subparagraph "Misplaced Material", below.

Drawings issued with each respective Task Order are expected to accurately represent conditions at the time of the surveys indicated and will constitute the Before Dredging Survey unless indicated otherwise in the Task Order. If indicated in the Task Order, new soundings will be taken before dredging and will constitute the Before Dredging Survey. The Contractor's unit price for dredging, based on the above method of computation of the quantity for payment, shall include his evaluation of shoaling, other natural changes in the waterway, or changes caused by the Contractor's operations that might occur during the period between the surveys before dredging and the surveys for acceptance of the work.

1.3.9 Payment Item No. 0011, 1011 and 2011 Contracting Officer Directed Standby Time

The contract price per day for Contracting Officer directed standby time shall include the Contractor's costs for holding his plant, equipment and crew on site until further direction is given by the Contracting Officer.

Time will be measured and paid for by the day (24 hours) and calculated to the nearest hour (1/24 day) for payment.

If the Contracting Officer directs that plant be placed in a standby status, the Contractor shall cease dredging operations and preparation for dredging operations, and shall secure the total dredge plant in a mooring location acceptable to the Contracting Officer. The Contracting Officer will give the Contractor 72 hour notice before plant is to be placed on standby status. When in standby status, plant will not be moved from the designated location unless approved by the Contracting Officer. Upon written notice of removal of the plant from standby status by the Contracting Officer, the Contractor shall be prepared to resume operations within 72 hours. Payment for moving from a dredging area to a standby location, and from a standby location to the designated dredging area, will be paid for under Payment Item No. 0006.

1.4 MISPLACED MATERIAL

Any material that is deposited elsewhere than in places designated or approved by the Contracting Officer will not be paid for, and the Contractor may be required to remove such misplaced material and deposit it where directed by the Contracting Officer at the Contractor's expense.

1.5 EXCESSIVE DREDGING

Material taken from outside the specific areas to be dredged or beyond the limits as extended in paragraph "Required Dredging Prism, Overdepth, and Side Slopes" will be considered as excessive overdepth dredging, or excessive side slope dredging, for which payment will not be made. Nothing in these specifications shall be construed to prevent payment for the removal of shoals performed in accordance with the applicable provisions of Paragraphs SHOALING and FINAL EXAMINATION AND ACCEPTANCE of Section 35 20 23.

1.6 MONTHLY PARTIAL PAYMENTS

Monthly partial payments will be based on estimated quantities determined by the Contracting Officer.

PART 1 GENERAL

1.1 SUBMITTALS

Government approval is required for submittals with a "G" designation;

submittals not having a "G" designation are for information only. When used, a designation following the "G" designation identifies the office that will review the submittal for the Government. The following shall be submitted in accordance with Section 01 33 00 SUBMITTAL PROCEDURES:

1.2 PROGRESS AND COMPLETION PICTURES

Photographically document site conditions during dredging operations.

Provide during the first month and within one month of the completion of work on any task order, digital photographs, 1600x1200x24 bit true color 1200 dpi minimum resolution in JPEG file format showing the work. Take a minimum of 20 digital photographs of the Dredge and placement areas including overboard placement if applicable, about 10-each . Show clean water leaving spillways and show the inflow at the outfall pipe and material building up at the outfall. Submit two sets of digital photographs each set on a separate CD-R, in the first and last month of work on any given task order. Include on the second CD all photos taken. Include photographs demonstrating environmental procedures. Photographs shall be in separate monthly directories and each file shall be named to indicate its subject, location and direction in which the camera is looking. All file names shall include a date designator. Cross reference submittals in the appropriate daily report. Photographs shall be provided for unrestricted use by the Government.

1.3 PRECONSTRUCTION CONFERENCE

1.3.1 Scheduling

Prior to commencement of dredging on each respective Task Order, the Contracting Officer's Representative (COR) will schedule and conduct a preconstruction conference. The Contractor's Project Manager, Superintendent and Quality Control System Manager shall attend this meeting. The Contractor is encouraged to have an officer of his company (Project Manager could be this person) and representation from each of his sub-contractors and major construction work divisions at the conference.

This conference will be held at a location and time as specified by the CO.

1.3.2 Purpose

The purpose of this preconstruction conferences is to enable the CO to outline the procedures that will be followed by the Government in its administration of this construction contract and to discuss the performance that will be expected from the Contractor. This conference will allow the Contractor an opportunity to ask questions about the Government's supervision and inspection of contract work, about security requirements, regulations, and other similar matters. The CO may invite other Government personnel involved in the work to attend this conference.

1.3.3 Discussion Items

The following is a sample list of items for discussion during the preconstruction conference; however, the Contracting Officer may modify this list or include additional items for discussion as conditions and the work require.
