52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within the effective date of the award through the remaining period of the contract and any exercised option periods.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 5 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 3 years and 6 months.

52.252-6 AUTHORIZED DEVIATIONS IN CLAUSES (APR 1984)

(a) The use in this solicitation or contract of any Federal Acquisition Regulation (48 CFR Chapter 1) clause with an authorized deviation is indicated by the addition of "(DEVIATION)" after the date of the clause.

252.204-7018 252.204-7018 Prohibition on the Acquisition of Covered Defense Telecommunications Equipment or Services.

As prescribed in 204.2105(c), use the following clause:

Prohibition on the Acquisition of Covered Defense Telecommunications Equipment or Services

(DEC 2019)

(a) Definitions. As used in this clause - Covered defense telecommunications equipment or services means -

(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation, or any subsidiary or affiliate of such entities;

(2) Telecommunications services provided by such entities or using such equipment; or

(3) Telecommunications equipment or services produced or provided by an entity that the Secretary of Defense reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.

Covered foreign country means -

(1) The People's Republic of China; or

(2) The Russian Federation.

Covered missions means -

(1) The nuclear deterrence mission of DoD, including with respect to nuclear command, control, and communications, integrated tactical warning and attack assessment, and continuity of Government; or

(2) The homeland defense mission of DoD, including with respect to ballistic missile defense.

“Critical technology” means -

(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;

(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled -

(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or

(ii) For reasons relating to regional stability or surreptitious listening;

(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);

(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);

(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or

(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).

Substantial or essential component means any component necessary for the proper function or performance of a piece of equipment, system, or service.

(b) Prohibition. In accordance with section 1656 of the National Defense Authorization Act for Fiscal Year 2018 (Pub. L. 115-91), the contractor shall not provide to the Government any equipment, system, or service to carry out covered missions that uses covered defense telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless the covered defense telecommunication equipment or services are covered by a waiver described in Defense Federal Acquisition Regulation Supplement 204.2104.

(c) Procedures. The Contractor shall review the list of excluded parties in the System for Award Management (SAM) at https://www.sam.gov for entities that are excluded when providing any equipment, system, or service, to carry out covered missions, that uses covered defense telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless a waiver is granted.

(d) Reporting.

(1) In the event the Contractor identifies covered defense telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, the Contractor shall report at https://dibnet.dod.mil the information in paragraph (d)(2) of this clause.

(2) The Contractor shall report the following information pursuant to paragraph (d)(1) of this clause:

(i) Within one business day from the date of such identification or notification: The contract number; the order number(s), if applicable; supplier name; brand; model number (original equipment manufacturer number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.

(ii) Within 10 business days of submitting the information in paragraph (d)(2)(i) of this clause:

Any further available information about mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of a covered defense telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.

(e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial items.

PERFORMANCE WORK STATEMENT

Leadership Development Program Level 2

I. OBJECTIVES:

The U.S. Army Corps of Engineers, (Corps), Pittsburgh District, is seeking a professional training organization for partnership with in conducting and administering the Pittsburgh District’s Leadership Development Program (LDP) Level 2.

The primary objective of the LDP (Level 2) is to develop “leaders at all levels” who accomplish the mission, meet challenges and create a learning organization that enables us to continuously adapt and adjust the Corps strategic direction to sustain and improve our relevance to the Army and the nation.

The secondary objective is to achieve enhanced self awareness, build teams and communicate transparently to include the following:

Engage a common language that describes leadership Develop a common concept of what we mean by leadership and teamwork Communicate a common language and approach to processes to promote unity throughout the Corps Provide Participants tools, awareness and experiences that improve their abilities to:

o Understand their strengths and weaknesses o Develop strengths and manage weaknesses o Build collaborative relationships o Manage their personal and professional development o Increase knowledge and share experiences with the private sector and local governments on leadership with regard to business planning and development processes o Build teams

Gain an enterprise-wide perspective by increasing Participants’ knowledge of our own organization (the Corps, Army and Department of Defense) by gaining exposure to and understanding of the Corps operations, strategic direction, and internal leadership visions and philosophies. The Corps will provide subject matter experts to teach this portion of the program.

This contracted leadership development training program is one facet of a much larger program in which the Corps seeks to develop results-oriented, agile leaders with broad perspectives who lead people and lead change successfully in complex environments. The core competencies we are building include: leading change, leading people, results driven, business acumen, building coalitions, building teams and enterprise-wide perspectives.

The Contractor will provide formal training that will include the mandatory elements of the LDP2 program and other leadership topics relevant to the Leading Self and Teams theme. Training is expected to consist of commercial products and industry-accepted teaching techniques tailored to meet the mandatory elements and objectives of the Corps LDP2 vision. A formal program will not be furnished to the contractor to conduct; rather, the contractor will formulate tailored curricula designed to meet the training objectives.

In order to effectively engage the Participants and appeal to their diverse perspectives, educational levels and experience, a variety of modern and proven teaching techniques and styles are expected to be used.

II. PERIOD OF PERFORMANCE

The period of performance for this contract will be 1 March 2020 or the date of award, whichever is later, through 31 January 2021 plus two one-year option periods.

III. DEFINITIONS

LDP : Leadership Development Program

LDP2: Leadership Development Program Level 2, Self and Teams; the second of five levels of Corps leadership training program.

Contractor: Company, agency or organization hired by the Federal Government to provide identified services.

Program Facilitator: The Contractor’s instructors/trainers for this program will be referred to in these documents as the “Program Facilitator” or “Facilitator”.

Cadre: Assigned employees of the Corps who will interface and team with the Contractor, consult and communicate with the LDP Steering Committee (as needed), coordinate and be responsible for the Corps-provided portions of training, participate in training sessions, and assist in assessing the performance of the program. There will be up to four agency Cadre members assigned. Two will attend each session. One LDP Cadre member will act as the lead program manager for the overall LDP Level 2 program and be the primary point of contact for the Corps.

LDP Steering Committee: The LDP Steering Committee (Steering Committee) is composed of a small group of the Corps employees who are trained leaders within the organization. Its function is to select applicants, focus curriculum and assess the performance of the program.

Participants: A maximum of 12 Corps civilian employees will participate annually as students in the LDP2 program. The candidates are selected by an application process through which their personal, technical and leadership potential has been recognized. Typical education levels of the Participants range from completion of high school to vocational/technical schools and all levels of college. Years of work experience vary and levels in the organization may range from junior to senior level. The candidates may or may not have team leader or supervisory work experience. Disciplines represented will include science, engineering, economics, finance, maintenance and administration.

Point of Contact (POC): This Government employee responsible for coordinating with the Contractor as well as receiving and verifying invoices under the contract.

IV. PROGRAM DESCRIPTION

U.S. Army Corps of Engineers Regulation, ER 690-1-1214 (Attachment A) dated 28 February 2011, describes the background, components and intent of the LDP. The Corps leadership program has multiple levels (1 thru 5). This program shall be designed to meet the Level 2, “Leading Self and Teams”, phase of the Corps LDP. The purpose of all levels of the LDP is to develop results oriented, agile leaders with broad perspectives who lead people and lead change successfully in complex environments.

Level 2 – Leading Self and Teams provides Participants with experiences that increase self-awareness and understanding of individual strengths, leadership potential and team building.

Outcomes and goals:

Identify, understand and develop individual strengths and use those strengths to build teams/relationships.

Perform a team project that uses personal skills and strengths while gaining experience in team strategies and applying knowledge gained in the Level 2 program.

Participants will apply their skills and strengths for both self development and team success.

Provide feedback and assessment on Participants’ leadership experience.

Learn, understand and apply leadership skills.

The Contractor shall lead eight monthly two-day sessions of six hours on the first day and four hours on the second day at a location specified in the Class Schedule found in Attachment B.

The full LDP Level 2 training program is a nine month program. The Contractor does not participate in the ninth session which consists of a program review, preparation for graduation and graduation ceremony.

The Participants will work on one or more team projects to provide experience pairing their talents and skills with their newly learned leadership and team building skills. Participants will be coached by the Facilitator and Cadre on their experiences in the program. Other learning experiences include maintaining a journal, assigned readings, facilitated discussions and one essay for which Participants will look back over the sessions and reflect on what they have learned and how they will integrate these lessons into their work.

Not more than two times during the training year, the second training day may include exposure to local private sector or other non-federal businesses or companies. The purpose would be to provide a non-federal perspective to leadership, compare and contrast our organization with non-federal entities, as well as to reinforce the first day’s teaching and enhance leadership knowledge. The Contractor will coordinate this event into the curriculum. Not more than two sessions, two hours per session, including any local travel time, maximum, may be scheduled for this type training. This may be accomplished by visiting non-federal agencies within 10 miles of the Pittsburgh District office; interacting with guest speakers from non-federal agencies, discussing case studies or other proven training methods.

The Contractor shall provide all handouts for Contractor-lead sessions to include those listed under “Mandatory Elements”.

V. GOVERNMENT FURNISHED ITEMS

The Government will provide facilities for conducting the training sessions. Training sessions will occur at a government facility following the schedule established for the year. (Attachment B)

The Facilitator may use the government’s facilities, such as meeting rooms and audio-visual equipment with advance approval of the LDP Cadre. The Facilitator will not be granted access to the government’s computer network.

The Government will provide the Participants’ consumable supplies such as paper, pens, pencils, journal books.

The Government will furnish the 3-5 required leadership books to each of the Participants. The Participants will read books on their own time outside of the classroom. The Contractor may make recommendations as to which leadership books the Participants will read and discuss.

The Government will provide transportation for Participants and Cadre members to training meetings and venues.

The Government will provide speakers during the classroom sessions (generally 1-2 hours per session). These speakers represent organizational senior leaders and subject matter experts who will provide educational overviews of the US Army Corps of Engineers and the Pittsburgh District, as well as provide insights into leadership. See Government provided speakers in Attachment B. The Contractor must incorporate time for the government speakers into the training schedule.

VI. MANDATORY ELEMENTS

Training Curriculum

The Contractor shall incorporate, at a minimum, the following mandatory elements relating to leadership, into the training curriculum:

o The Corps will identify and assign the class Project to the students, as well as monitor progress of project completion Personal journaling o Participants journal on their own time o Contractor should provide not more than a twenty minute introduction to the benefits and mechanics of journaling at the first session.

Note: The Contractor shall incorporate time into the training schedule for the Corps provided government speakers as detailed in Attachment B.

The scheduled curriculum shall clearly illustrate that it fits within the eight monthly, two day, 10-hour sessions.

Partnering Plan

The LDP Level 2 is intended to be a living program. The Contractor must identify a plan for partnering with the Government in order to monitor effectiveness, measure results in achieving goals and objectives and identify plans to adapt the program should adjustments to curriculum or delivery methods be needed. Any adjustments made within the same scope of work are expected to be accommodated at no additional cost to the government.

The Partnering Plan must include monthly After Action Reviews between the Contractor and the Cadre. The After Action Review will include discussion of the Participants’ monthly evaluation forms. The Contractor is responsible for preparation, facilitation and consolidation of results of monthly evaluation forms that will be completed by the Participants. (Sample provided at Attachment C)

Within one week after completion of a training session, the Contractor will provide the Cadre consolidated results of the Participant evaluation forms and copies of the individual evaluation forms. The original evaluations forms will be provided to the Cadre at the next session or mailed to the Government.

These evaluation forms will be used to provide the Contractor performance feedback and to monitor Contractor performance in accordance with the performance work statement.

The Cadre and Contractor will discuss these evaluation results and improvements will be made to the program as needed. Discussion will occur prior to the commencement of the next scheduled session.

The Partnering Plan must also identify the Contractor’s process for adjusting facilitation methods should Participant evaluations and Cadre recommendations identify the need for change.

Not later than 30 days after the last training session, the Contractor must participate with the Cadre in the conduct of an after action review of the completed training and utilize the review to adjust planning and curriculum for the next training year. This will be done at no additional cost to the government. This may be done face to face, telephonically or virtually.

Other Information

The Contractor shall submit, initially and yearly thereafter, a training plan, comprised of a training schedule and curriculum, and a Partnering Plan. The training schedule will clearly illustrate the session number, training day (first or second), start and end time and title of each training module. The curriculum will clearly identify the title of each training module; and identify the training goal(s), objective(s), brief description of the training material and the modern and proven teaching techniques that will be utilized by the Contractor.

For Corps provided government speakers identified in Attachment B, only the training schedule details need to be provided (not the curriculum).

VII. PRE-PERFORMANCE CONFERENCE

Within two (2) weeks after award of the contract, the Contractor shall participate in a half (1/2) day preparation and orientation session. This meeting shall be held at the Corps Pittsburgh District site or virtually via videoconference at a mutually agreeable time. This meeting shall be held as an opportunity to discuss respective roles, responsibilities, clarify expectations and develop initial norms and structures and discuss the curriculum and schedule. LDP Cadre and Steering Committee members will be in attendance. Note: Cost for the pre-performance conference should be amortized across all 8 sessions and will not be billed as a separate line item.

VIII. SECURITY REQUIREMENTS

AT/OPSEC 15. The Contractor must pre-screen Candidates using the E-verify Program website to meet the established employment eligibility requirements. The vendor must ensure that the candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the POC no later than 3 business days after the initial contract award. All new employees commencing performance on this contract shall be verified as stated above and their name(s) provided to the POC no later than 3 business days after hired to work on this contract.
