L.5 INSTRUCTIONS TO OFFERORS
L.5.1 This section provides general guidance for preparation of proposals as well as specific instruction on the format and content of the proposal. The Offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions. The proposal shall be compliant with requirements as stated in the Solicitation. The Offeror shall include evidence (i.e., statement of intent to enter into a teaming agreement) of Subcontractor relationships. Nonconformance with these instructions may result in an unfavorable proposal evaluation. Any Offeror who submits an incomplete package may be considered unacceptable and could be eliminated from further competition.
L.5.2 Offerors are invited to submit a proposal in accordance with Paragraph L.6, Proposal Submission, to arrive at the office specified in Subparagraph (a) below no later than the proposal due date of 8 August 2016 for this solicitation. The Government does not authorize submission of telegraphic or facsimile offers for this solicitation.
L.5.3 If an Offeror believes that the requirements in Section L are erroneous or do not align with Section M of the RFP, the Offeror shall immediately notify the Contract Specialist within fifteen (15) calendar days after issuance of this RFP. The Government reserves the right to award this effort based on the initial proposal, as received, without discussion.
L.6 PROPOSAL SUBMISSION
L.6.1 GENERAL
This section specifies the format and content that Offerors shall use in responding to this Request for Proposal (RFP). The intent is not to restrict the Offerors in the manner in which they will perform their work but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes. Offerors must submit a proposal that is legible and comprehensive enough to provide the basis for a sound evaluation by the Government. Information provided should be concise, factual, and complete. Proposals shall be in the form prescribed by, and shall contain a response to, each of the areas identified in Sections L.6. Any proposal which does not provide, as a minimum, that which is required in this solicitation, may be determined to be incomplete and unacceptable.
L.6.1.1 Award Date: The anticipated award date for this requirement is 15 September 2016.
L.6.1.2 All acceptable proposals must demonstrate the Offeror has an understanding of the requirements and associated risks. The Government considers statements that the prospective Offeror understands, can or will comply with the specifications, and/or statements paraphrasing the requirements or parts thereof to be inadequate and unsatisfactory. The Government further considers mere reiteration of the requirement or standard reference material to also be inadequate and unsatisfactory.
L.6.1.3 The proposal shall be valid for not less than 180 calendar days from the proposal due date. The Offeror shall make a clear statement that the proposal is valid until such date in the Administrative Volume of the proposal. Offerors are hereby provided notice that a failure to submit all the required documentation in exactly the manner (timeliness and format) specified in the solicitation may constitute a basis for the Government to reject a proposal as non-compliant and therefore unacceptable, at the sole discretion of the Procurement Contracting Officer (PCO). Should an Offeror indicate in its proposal that: it cannot or will not meet one or more requirements; provide an approach that clearly does not meet one or more requirements; or, include proposal information that prompts the Government to question the Offeror’s compliance with one or more requirements, the PCO, may determine at his discretion, that the Offeror’s proposal is deficient and/or non-compliant, and therefore, ineligible for award.
L.6.1.4 If a discrepancy exists between the original paper copy of the proposal and the CD copy required to be submitted, the original paper copy will take precedence.
L.6.1.5 The Government reserves the right to request additional information after receipt of Offeror’s response to the RFP.
L.6.1.6 Files shall not contain classified information.
L.6.2 PARTICIPATION OF COMMERCIAL FIRMS IN THE EVALUATION PROCESS
The Government will utilize the contactors listed below to provide administrative support during the evaluation of proposals submitted in response to this RFP. These contractors are restricted by the "Organizational Conflict of Interest" provision of their respective contracts from participating as a contractor, subcontractor, or consultant on the proposed program other than on a non-competitive basis under a prime contract with the Government. Each individual from these contractors will execute a "Certificate of Non-Disclosure" prior to review of the proposal. By submitting a proposal, the offeror agrees to permit the contractor(s) listed below to view proposal information to the extent necessary to provide administrative support to the Government's proposal review process.
Pursuant to FAR Part 9.505-4, and if requested by an offeror, the contractors listed below must execute an agreement with each offeror that states that they will protect the offeror's information from unauthorized use or disclosure for as long as it remains proprietary, and refrain from using the information for any purpose other than that for which it was furnished. To expedite the evaluation process, each offeror must contact the contractors to effect execution of such an agreement prior to the submission of proposals. Each offeror shall submit copies of the agreement with their proposal. The Agreements shall be attached to Volume I as an appendix, and will not be included in the page count. G. COST/PRICE VOL IV:
i. This requirement has two areas of performance, where one area is performed by the contractor overseas, specifically in Southeast Asia (FOREIGN as opposed to OCONUS). That is, there will be subcontracted foreign nationals performing in their host nations with Prime contractor management. The second part will be performed CONUS and/or OCONUS but includes program management of the OCONUS requirements by the Prime contractor, specific to meeting the requirements of NHRC-A. For the purposes of this solicitation, Prime is considered CONUS/OCONUS, and Subcontract is considered FOREIGN. The cost proposal shall clearly identify costs for efforts specific to meeting CONUS and FORIEGN requirements.
ii. The offeror shall submit a completed Section J, Attachment 5, Cost/Price Proposal Spreadsheet. The Cost/Price Proposal shall show proposed cost/price in response to the Section J, Attachment 6 Representative Task Order SOO. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal. Note that unrealistically low or high proposed costs or prices, initially or subsequently, may be grounds for eliminating a proposal from competition either on the basis that the Offeror does not understand the requirement or has made an unrealistic proposal. Offers should be sufficiently detailed to demonstrate their reasonableness. The burden of proof for credibility of proposed costs/prices rests with the Offeror. All Prime fully burdened Direct Labor rates delineated in Section J, Attachment 5, Cost Proposal Spreadsheet, shall become contractually binding upon award for the period of this IDIQ for both CPFF and FFP CLINs, and shall be used in negotiating future FFP and CPFF Task Orders. The Representative Task Order SOO is considered a CPFF type contract.
iii. Subcontract: Data required for submission of the subcontract efforts shall include the Material & Subcontractor Handling (M&SH) Rate indirect cost rate burden applied by the prime contractor to these costs. If the offeror has a total input based General & Administrative (G&A) Rate, then the offeror shall submit such. The offeror shall provide the claimed rates (ICE submission) submitted to DCAA for the last three complete accounting years. If claimed rates do not exist for the last three years (for example, new company), then the offeror shall submit the basis for their indirect cost pool and base for the applied indirect cost rate for the last complete accounting year.
iv. Certified cost or pricing data, IAW FAR 15.406-2, are not required as a result of this solicitation. These instructions are to assist you in submitting information other than cost or pricing data that is required to evaluate the reasonableness of your proposed cost/price. IAW FAR 15.403-1(b) and 15.403-3(a), information other than cost or pricing data may be required to support cost reasonableness. Information shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the Contracting Officer determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data.
v. The Cost/Price Proposal shall show the applicable labor rate, fringes, materials, subcontract costs, all overheads, general and administrative costs, fee, and any other costs determined necessary in performance of the Representative Task Order. Labor rates shall be verifiable through the submission of payroll data and/or documentation of forward pricing agreements. Fringes, all overheads, general and administrative costs, profit, and any other factors applied to the labor rates shall be verified from the submission of a DCAA audit report or a report from an independent auditor. If the Offeror/Subcontractor has reached an agreement with Government representatives on the use of forward pricing rates/factors, identify the agreement, include a copy, and describe its nature.
vi. The Cost/Price Proposal CD shall be submitted as a Microsoft Excel file, showing all formulas and links. Spreadsheets shall be submitted as “Read Only”.
vii. The Offeror shall address the following cost elements in sufficient detail to demonstrate reasonableness of the proposed costs.
1. Direct Labor. Provide estimated hours by Task and labor category. Provide a summary explanation of the method used to determine the estimated hours necessary for each task. Indicate if the proposed rates are based on actual or projected rates for current employees. Indicate any escalation factor used and the month when the factor is applied. Define the number of man-hours that equal a man-year.
2. Subcontractor Costs. “Subcontractor” means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor. Provide a complete description of all Subcontractor costs, including any Teaming Agreements. The Offeror shall provide the basis of selection of the subcontractor and their analysis conducted to determine price reasonableness and the steps planned for compliance with the Competition in Subcontracting clause (FAR 52.244-5 ) to be performed by any entity or group of entities under a subcontract. Numerous sources of these potential subcontract functions are or may become available for competition. The value of foreign in-country subcontractors has been populated in the template spreadsheet, based on anticipated budget. This does not include any prime contractor overheads, nor are these projections binding for any future task order.
3. Consultants. Justify the requirement for consultant services. List proposed Consultants by name, if known. For each Consultant, describe: (1) nature of services, (2) fee rate, and (3) total Consultant fee and any other allowable related costs (e.g., travel, per diem). The Offeror shall provide the basis of selection of each Consultant and their analysis conducted to determine price reasonableness. Total consultant costs should track to the summary spreadsheet.
4. Travel. Any travel shall be in accordance with JTR and Department of State regulations, and needs to be approved in writing by the COR in advance. Travel costs will be included within the general project budget and not required for proposal evaluation. Travel costs are considered pass through and not subject to fee.
5. Indirect Cost. Provide current rates for Overhead, General and Administrative (G&A), Facility Capital Cost of Money and any other indirect costs for the Task Orders provided. Provide forward pricing agreements if applicable. If forward pricing agreements are not in place, separately include historical trend for the last three-year period to assist in evaluating proposed rates.

8. Defense Contract Management Agency (DCMA) or the Defense Contract Audit Agency (DCAA). If the Offeror is currently under administration or audit cognizance of the DCMA or the DCAA; the name, address, and telephone number of the Government Agency’s Point of Contact shall be furnished.
9. Estimating System. Provide a description of the estimating system or methods used. Indicate if there has been a Government review or audit of the estimating system. If the government has reviewed the estimating systems of the Offeror and the proposed Subcontractors, provide results of the review/audit (including date of review and contact numbers) or documentation of the results.
10. Purchasing System. Provide a summary description of the purchasing system or methods (how sources are selected, what provision is made to ensure quantity and other discounts) used. Identify any deviations from these standard procedures in preparing this cost proposal. Indicate if there has been a Government review or audit of the purchasing system. If the government has reviewed the purchasing systems of the Offeror and the proposed Subcontractors, provide results of the review/audit (including date of review and contact numbers) or documentation of the results.
11. Accounting System. Indicate if there has been a Government audit of the accounting system and if so, provide evidence of the accounting system’s acceptability, as per DCAAP 7641.90, Section 2-301.1.a. Identify any deviations from these standard procedures in preparing this cost proposal. IAW FAR 16.301-3(a)(i), a cost reimbursement contract may only be used when the contractor’s accounting system is adequate for determining cost applicable to a Government contract. The Pre-Award Survey, Appendix B, shall be submitted with the proposal of any Offeror that does not have an approved cost accounting system at the time of proposal submission.
