SECTION SF 1449 - CONTINUATION SHEET

The following have been modified:

52.212-2 ADDENDUM

Basis For Award

There are three major evaluation factors: Technical, Past Performance and Price.

A. SOURCE SELECTION PROCESS – TRADE-OFF

1. Noncompliance with the RFP requirements may raise serious questions regarding an offeror’s technical and/or cost performance and may be grounds to eliminate the proposal from consideration for contract award.

Failure to include all information requested may adversely affect the evaluation. A proposal that merely reiterates or promises to accomplish the requirements of the RFP will be considered unacceptable. A proposal that is orderly and sufficiently documented will be easy for the Government to understand and will enable the Government to perform a thorough and fair evaluation. The Contracting Officer will complete the compliance review prior to the evaluation of Technical, and offers that fail to meet the compliance requirements will not be evaluated and will be eliminated from competition.

2. The Government intends to make a single award. The Government will evaluate the offeror’s Technical proposals first.

3. Only those proposals determined under the Technical Evaluation as: Blue”, “Purple”, or "Green" will be eligible for further consideration and evaluation for an award. Proposals rated less than “Blue”, “Purple” or

"Green" shall be rejected, and not further evaluated. No notification will be issued to the affected offerors until the completion of the evaluation process. At that time, the affected offerors will be notified and give the opportunity for post-award debriefings.

a. Only those proposals determined under the Technical Evaluation as: Blue”, “Purple”, or "Green: will be eligible for further consideration and evaluation for an award. Proposals rated less than “Blue”, “Purple” or

"Green" shall be rejected, and not further evaluated. No notification will be issued to the affected offerors until the completion of the evaluation process. At that time, the affected offerors will be notified and give the opportunity for post-award debriefings.

b. Once the “Blue”, “Purple”, or "Green" proposals have been identified, past performance proposals and pricing proposals will be evaluated. Upon completion of the evaluations, the Government will integrate the evaluation of Past Performance, Technical and Price, with Past Performance and Technical.

c. In the event no proposal is determined under the Technical Evaluation as “Blue”, “Purple” or " Green", the Contracting Officer will retain those proposals rated “Yellow” for further consideration and evaluation. After evaluation of Past Performance and Price, a competitive range may be determined and discussions held, if deemed necessary by the Contracting Officer.

B. PRICE EVALUATION - The purpose of the price/cost evaluation is to provide an assessment of the reasonableness and realism of the proposed price/cost in relation to the solicitation requirements. Proposals will be evaluated in the following manner:

1. The price proposal shall initially be reviewed for compliance with the RFP. The Contracting Officer shall complete the compliance review prior to the evaluation of Technical and Past Performance and offers that fail to meet the compliance requirements will not be evaluated and will be eliminated from competition.

2. The Government will evaluate offers for award purposes by adding the total of all CLIN prices, including all options. The purpose of the price/cost evaluation is to provide an assessment of the reasonableness and realism of the proposed price/cost in relation to the solicitation requirements, and the offeror's proposed technical solution to meeting the requirements.

3. Reasonableness of an offeror's proposal will be evaluated through cost or price analysis techniques as described in FAR 15.305(a)(1) and (4). For cost/price to be reasonable, it must represent a cost/price that provides best value to the Government; when consideration to prices in the market, technical and functional capabilities of the offeror and compliance with the requirement.

4. Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price of the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). Offerors are cautioned against submitting an offer that contains unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more Schedule items (including the basic period and out-year periods) is significantly overstated or understated and indicated by application of analysis techniques. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

c. TECHNICAL PROPOSAL AND EVALUATION METHODOLOGY

The technical rating reflects the degree to which the proposal approach meets or does not meet the threshold performance or capability requirements. The Combined Technical/Risk Rating methodology shall be used. This combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies in determining technical ratings. Evaluations shall be made in accordance with the criteria established in the solicitation. The relative strengths, deficiencies, significant weaknesses, and risks identified as the result of the proposal evaluation shall be documented in the evaluation.

Each offeror’s technical proposal will be evaluated to determine if the Offeror provides a sound, compliant approach that meets the requirements of the PWS and demonstrates a thorough knowledge and understanding of those requirements and their associated risks. Proposals that merely offer to provide the services in accordance with the

PWS will be considered technically unacceptable and will not be considered further.

Proposal risk will be a part of the criteria considered in the qualification decisions. Proposal risk assesses the risk associated with the Offeror’s proposed approach as it relates to accomplishing the requirements of this solicitation.

Offers may be determined to be unacceptable, even though the minimum requirements are met, if the proposed approach poses too great a risk.

1. Sub-Factor 1: Overall Technical Approach - The Government will evaluate the quality and extent of the offeror's proposal as to how they intend to conform to the requirements of the PWS. The proposal must demonstrate, in sufficient detail, an adequate understanding of the requirements of the solicitation and the capability to provide quality timely service. In addition to a discussion of the overall approach to compliance with the PWS, the contractor must identify, as a minimum, the following elements:

(1) Contract management

(2) Stray Animal Facility Operations

(3) Animal Control Operations

(4) Required equipment

2. Sub-Factor 2: Management Approach and Administrative Plan - Evaluation Criteria: The Government will evaluate the management approach to determine if it demonstrates the offeror has an organization and staff which will enable the contractor to adequately perform the requirements of the PWS. Additionally, the Government will also evaluate the following elements:

a. Offeror adequately addresses functions, responsibilities, and authorities for performing such duties as overall project management, local project management, contractor employees, and administrative support.

b. Proposed key personnel have background, education, and experience sufficient to perform the tasks of the PWS. Resumes for key personnel are provided and include background, education, and experiences. The specific criterion proposed for employees in these positions indicate that the offeror has an acceptable organization adequate to meet the PWS performance requirements.

c. The organizational structure details logical relationships.

d. An adequate plan to staff the contract is proposed, indicating things such as the number of personnel on duty at various times and coverage for emergency and on call procedures; which give the Government confidence that mission requirements will be met.

e. The proposal addresses and identifies appropriate procedures and record keeping techniques that will be utilized in such a way as to provide the evaluators with the confidence that the offeror will provide administration tasks commensurate with the PWS.

3. Sub-Factor 3: Quality Control Plan - The Government will evaluate the proposed approach to Quality

Control for compliance with the requirements of the PWS. The proposal should detail the offeror’s plans, methods, practices and procedures the offeror intends to use to achieve and maintain acceptable standards. In addition to the

Quality overview, the following elements are discussed in such a manner as to provide the evaluators with the confidence that the offeror will provide quality services on a continuing basis.

a. Methodology for identifying deficiencies in the quality of services, before the level of service becomes unacceptable.

b. Inspection techniques to be utilized

c. How corrective measures for contractor and Government detected faults will be processed and preventative measures to preclude reoccurrence.

d. Ensuring and measuring customer satisfaction and resolution of complaints.

4. Technical Factor Evaluation Methodology

a. All sub-factors of the Technical Factors evaluation are considered relatively equal in importance.

b. The evaluation of each technical proposal will assess and measure the ability of the offeror to provide the attributes in the specified instructions outlined in the Request for Proposal (RFP).

c. In conducting the performance risk assessment, the SSEB may use data provided by the offeror, and data obtained from other sources. While the Government may elect to consider data obtained from other sources, the burden of providing current, accurate and complete product information rests with the offeror.

d. In the evaluation of Technical Factors, the evaluator will use the following adjectives and related definitions to define the Quality the proposal poses:

Table 1. Combined Technical/Risk Ratings

Color Rating Description

Blue Outstanding Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.

Purple Good Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements and contains one or more deficiencies. Proposal is unawardable.

D. PAST PERFORMANCE:

1. All sub-factors of the Past Performance evaluation factor are considered relatively equal in importance.

2. The past performance assessment will assess the confidence in the offer’s ability (which includes, if applicable, the extent of its subcontractors’ or teaming partners’ involvement) to successfully accomplish the proposed effort based on the offeror’s demonstrated present and past performance record under existing and prior contracts over the past three years for similar services. The government will evaluate the offeror’s demonstrated record of contract compliance in supplying services that meet user’s needs, including cost and schedule. General trends in the Contractor’s performance will be considered. The quality of past performance will be evaluated in terms of providing a quality service, timeliness of performance, and customer satisfaction.

3. The Government will focus on information that demonstrates quality of performance relative to the size and complexity of this solicitation. Emphasis will be placed on recent, relevant experience. The Government will perform an independent determination of relevancy of the data provided or obtained. A relevancy determination of the offeror’s present/past performance (which includes, if applicable, the extent of its subcontractor’s or teaming partner’s involvement) will be made. The Government is not bound by the offeror’s opinion of relevancy.

4. The Government may consider an offeror’s contracts in aggregate in determining relevancy, should the offeror’s present and past performance lend itself to this approach. For example, an offeror’s work experience on three contracts may, by definition, represent only a semi-relevant effort when each contract is considered as a stand-alone effort. However, when these contracts are performed concurrently (in part or in whole) and are assessed in the aggregate, the work may more accurately reflect a very relevant effort. The following relevancy criteria apply:

a. VERY RELEVANT: Present/past performance programs involved the magnitude of effort and complexities, which are essentially what this solicitation requires.

b. RELEVANT: Present/past performance programs involved less magnitude of effort and complexities, including most of what this solicitation requires.

c. SEMI-RELEVANT: Present/past performance programs involved much less magnitude of effort and complexities, including some of what this solicitation requires.

d. NOT RELEVANT: Did not involve any significant aspects of the solicitation.

e. In the evaluation of Past Performance, the evaluator will use the following adjectives and related definitions to define the performance risk the contractor poses.

RATINGS Evaluation Criteria

High Confidence Based on the offeror’s performance record, the Government has high confidence that the offeror will successfully perform the required effort.

Significant Confidence Based on the offeror’s performance record, the Government has significant confidence that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s performance record, the Government has confidence that the offeror will successfully perform the required effort. Normal Contractor emphasis should preclude any problems.

Unknown Confidence No performance record identifiable (see FAR 15.305(a)(2)(iii) and (iv)).

Little Confidence Based on the offeror’s performance record, substantial doubt exists that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s performance record, extreme doubt exists that the offeror will successfully perform the required effort.

f. In conducting the performance risk assessment, the SSEB may use data provided by the offeror, and data obtained from other sources. The offeror should provide the Government with no more than 5 (five) of the most current past performance references. A reference name, contact number, phone number, and e-mail address should be submitted to allow the Government to obtain adequate past performance information.

g. The Government may seek past performance information from additional sources and shall not be limited to information furnished by the offeror. Past Performance information on contracts not listed by the offeror, or that of planned subcontractors, Joint Ventures, etc may also be evaluated. The Government may contact references and contact parties other than those identified by the offeror, and information received may be used I the evaluation of the offeror’s Past Performance. While the Government may elect to consider data obtained from other sources, the burden of providing current accurate and complete Past Performance information rests with the offeror.

The Government reserves the rights to obtain and evaluate Past Performance information from any source it deems appropriate. The Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this RFP.

h. An offeror with no Past Performance may receive a rating based on the evaluation of its predecessor companies, key personnel, and/or subcontractors. These rating may not have the same weight as the ratings of the proposing company. If such information is not applicable (i.e., the offeror does not have a predecessor company, key personnel or subcontractors with relevant experience), the offeror shall be evaluated as “Neutral”. However, the proposal of an offeror with no relevant Past Performance history, while rated ‘Neutral” in Past Performance, may not represent the most advantageous proposal to the Government. In any Best Value acquisition, it may be appropriate in assigning a neutral past performance rating to an offeror with no relevant past performance history; to ultimately award to a higher-priced offeror with a demonstrated record of relevant past performance over a lower-cost “neutrally rated” offeror with no relevant past performance history.

i. In all cases of offerors from whom there is no information collected or otherwise furnished on past performance history, a neutral rating assigned may effectively view the offeror as an unknown performance risk. As an unknown performance risk, evaluators will rate the offeror neither favorably nor unfavorably on the factor of past performance.

j. Currency and Trends: The SSEB will consider the currency and trends of the performance information while conducting its performance evaluation. For the purpose of this solicitation, currency is performance occurring within the last three (3) years prior to the solicitation release date. Within this period, performance occurring later in the period may have greater significance that work occurring earlier in the period. For example, performance information for work occurring between Nov 14 and the date of the proposal may have greater importance than performance information for work occurring from Nov 12 through Oct 13.

k. Offerors may be given the opportunity to clarify certain aspects of their proposals, e.g., the relevance of an offeror’s past performance information and adverse past performance information to which the offeror has not previously had an opportunity to respond or to resolve minor clerical errors.
