PERFORMANCE WORK STATEMENT

Performance Work Statement Uninterruptible Power Systems Maintenance and Battery Replacement

TRAC – WSMR

1.0 Introduction: To prevent the equipment downtime due electrical power loss or fluctuations TRAC-WSMR has equip the facilities with Uninterruptible Power Systems (UPS). These systems require preventive and corrective maintenance supporting building 1400 and 1401.

2.0 General: This is a non-personnel services contract to provide UPS maintenance. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

3.0 Services: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform UPS maintenance as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.

4.0 Background: TRAC – WSMR has one Powerware 93m 80kVA UPS in building 1400 and three APC Galaxy 5000 80kVA units, one APC Symmetra system, another Powerware 93m 80kVA and Eaton 9000 in building 1401. Please note; UPS in 1400 is in the basement and is only accessible by stairs, the Symmetra and the Eaton 9000 have additional battery banks.

5.0 Objectives: Maintain the equipment in good operating condition, furnish preventive and remedial maintenance.

6.0 Scope: Provide UPS systems with require maintenance twice a year, system upgrades, and battery replacements every three to four years. Parts, labor, repair services and document the service history.

TASKS

6.1 Visual Inspection: Inspect all circuit boards and connections for cleanliness and/or possible problems. Inspect all breakers, power connections, fuses and controls for excessive heating or swelling via thermal scan and reading. Inspect AC and DC capacitors for swelling or leakage. Inspect for DC capacitor vent caps that have extruded more than 1/8”. Inspect all nuts, bolts, screws and connectors for tightness and heat discoloration.

6.2 Power checks: Measure input voltage, amperage, and frequency readings for proper levels and balance. Measure output voltage, amperage, and frequency readings for proper levels and balance. Measure bypass voltage and frequency for proper available power. Check input power and harmonic filters for proper operation and balance. Check output power and harmonic filters for proper operation and balance. With customer approval, perform operational test of the system including unit transfer and battery discharge

6.3 Internal Component Check: Inspect and calibrate any logic and control signals as specified in the manufacturer’s maintenance procedures. Inspect all indicators and meters for proper operation and calibration adjusting as necessary in accordance to the manufacturer’s maintenance procedures. Inspect and calibrate all power supply settings in accordance with manufacturer’s specified settings. Measure rectifier voltage and current balance for proper operation. Measure inverter voltages and balance for proper operation. Measure static switch voltages and inspect for any leakage.

6.4 External Environmental Checks: Check environmental conditions, equipment clearance issues, electrical changes or concerns, and any safety issues in the equipment area.

6.5 Battery Systems: Inspect the appearance and cleanliness of all batteries, connectors, and cabinets. Check each battery for signs of damage to the case, cover or terminals, staining of the case, terminals or surrounding areas, excessive swelling, evidence of melting or thermal damage to the cover and terminal postseal plus support cabinet for signs of physical damage, corrosion, etc. Confirm battery cabinet hardware integrity and tighten connections as necessary. Clean and retighten all terminal connectors and check for NO-OX grease or oil on all connections (when needed and/or accessible). Check and record system float voltage and current. Adjust if necessary to manufacturer’s specified settings.

Measure and record DC bus ripple voltage when applicable. Measure individual battery temperatures. Check for any hot spots or readings which are out of the manufacturer’s recommended temperature variance when accessible. Measure and record battery conductance values. Perform individual battery load testing when accessible. Record battery date codes, number of cells and strings.

6.6. OPTIONAL TASKS: The Government reserves the unilateral right to exercise the optional task described below. Options will be invoked through a modification issued by the Contracting Officer. Options may be invoked, in whole or in part, at the discretion of the Government.

6.6.1. Battery Replacements: The contractor shall also include in their quote the cost for the below battery replacement and disposal of the old batteries.

7.0 Reports, Data and Deliverables: The contractor shall provide operation data, one line diagram maintenance reports documenting UPS status and recommending additional service activities.

8.0 Hazardous Materials: The contractor will be required to dispose of the UPS system batteries.

9.0 Security Requirements: Contractor personnel performing work under this contract must have a Secret clearance at time of the proposal submission, and must maintain the level of security required for the life of the contract.

10.0 Quality Assurance Surveillance: The contractor, not the government, is responsible for management and quality control actions to meet the terms of the contract. The role of the government is quality assurance to ensure contract standards are achieved as identified in the Performance Requirement Summary (PRS) listed below.

11.0 Period of Performance: Twelve months from date of award.

12.0 Work Location: Work will be performed in TRAC-WSMR facility at White Sands Missile Range, NM.

13.0 Work Hours: The normal government office hours are from between 0700 to 1700, Monday through Friday. This is exclusive of Federal Holidays and Regular Days Off (RDOs), which occur every other Friday.

14.0 ACCOUNTING FOR CONTRACTOR SERVICES (Contractor Manpower

Reporting (CMR) Requirement. Contractor personnel shall comply with the Contractor manpower reporting requirements. The contractor will report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the UPS Maintenance in support of the White Sands Missile Range, via a secure data collection site. The contractor is required to completely fill in all required data fields using the following web address: http://www.ecmra.mil, and then click on “Department of the Army CMRA” or the icon of the DoD organization that is receiving or benefitting from the contracted services.

Reporting inputs will be for the labor executed during the period of performance during each Government FY, which runs from October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October of each calendar year, beginning with 2013. Contractors may direct questions to the help desk by clicking on “Send an email” which is located under the Help Resources ribbon on the right side of the login page of the applicable Service/Component’s CMR website at http://www.ecmra.mil. As part of its submission, the contractor will also provide the estimated total cost (if any) incurred to comply with this reporting requirement.

15.0 ENVIRONMENTAL MANAGEMENT SYSTEM (EMS). Contractors working on behalf of the Government shall adhere to the current Environmental Policy and Environmental Management System (EMS) requirements while performing services in TRAC facilities. The Contractor representative shall identify personnel whose roles, responsibilities and activities may impact the environment and shall demonstrate that these personnel receive EMS awareness training within 30 calendar days of receiving notice to proceed. The list of personnel who receive awareness training shall be provided to the Contracting Officer’s Representative and the EMS Manager.

16.0 RESTRICTED ACCESS TO MILITARY INSTALLATION AND TRAC-WSMR.

17.0 Access and General Protection/Security Policy and Procedures.

17.1 Contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by Government representative). The Contractor shall also provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government shall require changes in contractor security matters or processes.

17.2 White Sands Missile Range (WSMR), is a Department of Defense Military Installations and shall restrict access. The Department of the Army requires that all non-Department of Defense identification card holders complete a National Crime Information Center (NCIC) and Interstate Identification Index (III) check prior to gaining entry to some installations. The Directorate of Emergency Services, or the installation Garrison Commander reserve the right to refuse entry based on an individual’s past record of criminal misconduct.

17.3 Access to the above installations may be delayed between 5 minutes and 60 minutes due to road blocks, increased security precautions which may include verifying vehicle occupant(s) identification, vehicle manifests, and the searching of vehicles. Any general or specific threat to the safety of those working or living at above installations could result in longer wait times at access control points to the installations.

17.4 The Contractor shall, under regulations prescribed by the local Provost Marshal, use only established roadways when transporting personnel and/or material in the prosecution of work.

17.5 TRAC-WSMR, is a classified Department of Defense Military facility and shall restrict access to U.S. citizens only. The Security Office and the Director, TRAC-WSMR reserve the right to refuse entry based on an individual’s past record of criminal misconduct and/or citizenship. The Contractor shall, provide proof of citizenship prior to arrival on site.

18.0 Roadblocks, Evacuations, or Operational delays as a result of Threat, Disaster, Weather, or Operational Testing. As a result of an increase in threat, disaster, inclement weather or operational testing may require the installation to curtail operations, limiting access to essential government employees only, block/restrict movement on major roads on or leading to the installation, or close the installation. These do not relieve the Contractor from performance of contractual duties. It is the Contractor’s responsibility to be aware that roadblocks and evacuations may occur and to reschedule work requirements as necessary. The contractor cannot hold the U.S. Government responsible for cost overruns as a result of these operational decisions.

19.0 COOPERATION WITH FORCE PROTECTION MEASURES.

19.1 Contractor shall comply with the Antiterrorism/Force Protection (AT/FP) requirements IAW current applicable regulations and standards (AR 525-13, TRAC AT/FP Plan, installation AT Plan or any AT/FP Plan, Regulation or supplemental guidance that supersedes the above mentioned documents).

These requirements include, but are not limited to, annual AT Level 1 training, OCONUS Travel Briefs, preparation of Organizational Consolidated Force Protection, Security, and Evacuation Plans, and the conduct of the Random Antiterrorism Measure Program. These publications may be provided at the contractor’s request.

19.2 Antiterrorism Exercises. The Department of Defense and the Department of the Army require that an annual/yearly Antiterrorism Exercise be held on all installations. This annual/yearly exercise may require access control points to the installation to be closed, or the curtailment of daily operations to include movement of personnel, and equipment on the installation. As a result of this requirement, the Contractor will cooperate with the installation to the fullest and cannot hold the US Government or the Installation accountable for cost overruns as a result of this mandated requirement.

19.3 Contractors should work closely with the KO and/or the COR who has access to the installation training schedule. Work should be scheduled accordingly by the Contractor.

19.4 Contractors may as part of the exercise be required to provide an accountability of personnel to the KO and/or the COR of numbers of employees on hand and locations.

20.0 The Contract Security Classification Specification, DD254, outlining specifications will be incorporated as an attachment to the contract.

21.0 COVID-19: At a minimum, anyone on DoD property, installations, and facilities shall wear a cloth face mask if they are in a public work center or area where they cannot maintain the recommended six foot-distance that helps prevent the spread of the novel corona virus. Contractor will adhere to any additional guidance, while working in DoD facilities, from DoD or the CDC as required to prevent the spread of the novel corona virus.

52.212‐2 EVALUATION‐‐COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Factor A: The following ratings will be used in evaluating all non‐price technical factors:

Acceptable = Proposal clearly meet or exceed the salient characteristics or Specification Requirements.

Unacceptable = Proposal does not clearly meet or exceed the salient characteristics.

Factor B: A Price analysis will be performed to determine the extent, to which it is adequate, reasonable and realistic in accordance with FAR 15.404‐1(b).

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JUN 2020)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
