52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days of contract expiration.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor at least 15 days prior to contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 36 months.
52.232-20 LIMITATION OF COST (APR 1984)
(a) The parties estimate that performance of this contract, exclusive of any fee, will not cost the Government more than (1) the estimated cost specified in the Schedule or, (2) if this is a cost-sharing contract, the Government's share of the estimated cost specified in the Schedule. The Contractor agrees to use its best efforts to perform the work specified in the Schedule and all obligations under this contract within the estimated cost, which, if this is a cost-sharing contract, includes both the Government's and the Contractor's share of the cost.
(b) The Contractor shall notify the Contracting Officer in writing whenever it has reason to believe that--
(1) The costs the Contractor expects to incur under this contract in the next 60 days, when added to all costs previously incurred, will exceed 75 percent of the estimated cost specified in the Schedule; or
(2) The total cost for the performance of this contract, exclusive of any fee, will be either greater or substantially less than had been previously estimated.
(c) As part of the notification, the Contractor shall provide the Contracting Officer a revised estimate of the total cost of performing this contract.
(d) Except as required by other provisions of this contract, specifically citing and stated to be an exception to this clause--
(1) The Government is not obligated to reimburse the Contractor for costs incurred in excess of (i) the estimated cost specified in the Schedule or, (ii) if this is a cost-sharing contract, the estimated cost to the Government specified in the Schedule; and
(2) The Contractor is not obligated to continue performance under this contract (including actions under the Termination clause of this contract) or otherwise incur costs in excess of the estimated cost specified in the Schedule, until the Contracting Officer (i) notifies the Contractor in writing that the estimated cost has been increased and (ii) provides a revised estimated total cost of performing this contract. If this is a cost-sharing contract, the increase shall be allocated in accordance with the formula specified in the Schedule.
(e) No notice, communication, or representation in any form other than that specified in subparagraph (d)(2) above, or from any person other than the Contracting Officer, shall affect this contract's estimated cost to the Government.
In the absence of the specified notice, the Government is not obligated to reimburse the Contractor for any costs in excess of the estimated cost or, if this is a cost-sharing contract, for any costs in excess of the estimated cost to the Government specified in the Schedule, whether those excess costs were incurred during the course of the contract or as a result of termination.
(f) If the estimated cost specified in the Schedule is increased, any costs the Contractor incurs before the increase that are in excess of the previously estimated cost shall be allowable to the same extent as if incurred afterward, unless the Contracting Officer issues a termination or other notice directing that the increase is solely to cover termination or other specified expenses.
(g) Change orders shall not be considered an authorization to exceed the estimated cost to the Government specified in the Schedule, unless they contain a statement increasing the estimated cost.
(h) If this contract is terminated or the estimated cost is not increased, the Government and the Contractor shall negotiate an equitable distribution of all property produced or purchased under the contract, based upon the share of costs incurred by each.

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)
(a) Definitions. As used in this clause—
“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.
“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.
“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232- 7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall—
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:

52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT STATUTES OR
EXECUTIVE ORDERS—COMMERCIAL ITEMS (DEVIATION 2018-O0021) (MAR 2020)
(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

PERFORMANCE WORK STATEMENT
Virtual Health Service Support Virtual Medical Center – Europe
1. GENERAL
This is a non-personal services contract (as defined by FAR Subpart 37.104) to provide support for the Defense Health Agency’s Virtual Medical Center in Europe (VMC-E). Currently VMC-E provides digital health care delivery between 300+ providers within 43 specialties to patients in garrison, operational, and remote settings spanning four COCOM’s on three continents serving Army, Air Force, Navy, NATO, DLA, DIA, and DoS Service and Family members. The VMC-E end state will be to sustain current capabilities and increase global footprint to facilitate and leverage Defense Health Region-Europe’s (DHR-E) Medical Center and Treatment Facility Specialty Services throughout the DHR-E, other DHA Markets, and the Combatant Commands within VMC-E’s Area of Responsibility.
1.1. DESCRIPTION OF WORK
1.1.1. For the base year, the contractor shall provide services of four (4) Virtual Health VNC Managers, four (4) Health Care Service Specialist, three (3) Virtual Health Technical Advisors, two (2) Project Managers, one (1) Information Technology manager, two (2) Clinical Nurse Coordinators, and one (1) Executive Administrative Assistant for the Virtual Medical Center-Europe under US Army Regional Health Command Europe (RHCE) as required by this Performance Work Statement (PWS) and in accordance with (IAW) the terms and conditions of this contract. For option years one and two of the contract, the contractor shall provide services of four (4) Virtual Health VNC Manager, four (4) Virtual Health Care Service Specialist, five (5) Virtual Health Technical Advisor, two (2) Project Managers, one (1) Information Technology manager, two (2) Clinical Nurse Coordinators, one (1) Executive Administrative Assistant, and three (3) Healthcare Market Specialists.. These positions have been designated as Emergency Essential Personnel and shall be required to report to work IAW MTF policy. The contract HCPs shall possess qualifications meeting or exceeding currently recognized national standards as established by the Joint Commission (JC). Contract HCPs shall provide the highest consideration to patient dignity and observe the precepts of the American Hospital Association’s “Bill of Rights for Patients.” Services provided under this contract shall be as comprehensive as Government-supplied facilities, equipment, and support services permit.
1.1.2. For the base year of the contract, the Government requires the services of four (4) Virtual Health VNC Manager, four (4) Virtual Health Care Service Specialist, five (5) Virtual Health Technical Advisor, two (2) Project Managers, one (1) Information Technology manager, two (2) Clinical Nurse Coordinators, and one (1) Executive Administrative Assistant for VMC-E. Full performance shall begin on 23 September 2020 and consist of a twelve-month base plus two (2) twelve-month option periods for a total period of three years.
Services shall be provided as required in accordance with the performance work statement (PWS) and the terms and conditions of this contract. Contracted personnel are required to serve as full-time equivalents (FTEs).
1.2 PERSONNEL
1.2.1. The Contractor shall be able to read, write, speak, and understand English.
1.2.2. The Contractor shall present a neat appearance commensurate with that required of a professional.
1.2.3. Neither uniformed personnel nor Government civilian employees shall be employed to perform services under this contract.
2. QUALIFICATIONS.
The Virtual Health Service Support contractors shall have sufficient experience and skills to be able to adequately perform the tasks identified in this work statement as stated below.
2.1.1. The Virtual Health VNC Manager must have Certification in CompTIA Network+ and any vendor related certifications (CISCO / CMS, Polycom, and six (6) or more years’ experience in the technology surrounding video conferencing including conference room and desktop systems, MCU's, Gateway, Gatekeeper, and integrated A/V systems; strong working knowledge of standard video communications protocols such as IP, SIP and ISDN;
knowledge of CODECs from Polycom and Cisco; a solid understanding of AV/VTC infrastructure and associated devices; experience with customer support for VTC events at all levels in the organization: experience providing end-user training on VTC technology; ability to support and maintain VTC CODECs and associated equipment;
skilled in PC and Microsoft Office applications; able to work effectively under limited supervision
2.1.2. The Health Care Service Specialist must have Minimum of three (3) years’ work experience in a medical office or clinical environment; Minimum of two (2) years’ work experience with U.S. Military Healthcare System and benefits or civilian managed care medical/administrative environment; At least one (1) year hands-on experience with the Composite Health Care System (CHCS); At least one (1) year hands-on experience with AHLTA electronic health record system; Possess thorough knowledge of appropriate hardware and software, Telemedicine Stations, computer literacy in Windows7, MS Outlook, MS Outlook Calendar, Excel, PowerPoint.
2.1.3. The ROVH Technical Advisor must have a four-year degree or five years’ experience related to the technical fields described including a minimum of two (2) years’ work experience in a medical office or clinical environment;
Minimum of one (1) years’ work experience with asynchronous and synchronous digital health care delivery, not limited to tele-behavioral health; At least two (2) years hands-on experience working within remote and operational environments with a Role 1, Role 2, or similar setting; Video Network Conferencing Literacy in Cisco, GVS, and web-RTC platforms; Industry literacy in telemedicine devices and interoperability within in the DoD; Computer literacy in Windows10, MS Outlook, MS Outlook Calendar, Excel, PowerPoint
2.1.4. The Project Managers must have must have a four-year degree or five years’ experience related to the technical fields described with minimum of three (3) years’ work experience in a medical office or clinical environment; Minimum of two (2) years’ work experience with U.S. Military Healthcare System and benefits or civilian managed care medical/administrative environment; Minimum of two (2) years’ work experience in Synchronous Virtual Health or Telemedicine; At least one (1) year hands-on experience with the Composite Health Care System (CHCS); At least one (1) year hands-on experience with AHLTA electronic health record system;
Possess thorough knowledge of appropriate hardware and software, Telemedicine Stations, computer literacy in Windows7, MS Outlook, MS Outlook Calendar, Excel, PowerPoint.
2.1.5. The Executive Administrative Assistant must have a four-year degree or five years’ experience related to the technical fields described.
