EXECUTIVE SUMMARY_________________

1. Description of the Item(s) being Procured. The U.S. Armys Project Manager Expeditionary Energy and Sustainment Systems (PM E2S2), as _________________________________________ the responsible program office for generators across the DoD, requires a contract vehicle for the continued production of Advanced

Medium Mobile Power Sources (AMMPS) generator sets, in 5 kilowatt (kW), 10kW, 15kW, 20kW, and 60kW sizes and 50/60 Hertz (Hz) and 400 Hz power configurations, using an established Government Technical Data Package. The contemplated contract also includes associated interface kits, switch boxes, and trailers. Changes and modifications to the generator sets, their control systems, and any optional kits or accessories - for purposes including but not limited to improving performance and/or addressing obsolescence - are expressly within the scope of the contract.

Priority of specifications falls with the Statement of Work (SOW). Additional information is within the MIL-DTL forms located at https://quicksearch.dla.mil/qsSearch.aspx . If information between the MIL-DTL and SOW differs, the SOW takes priority.

2. Type of Contract. The Government intends to issue a single, Indefinite Delivery Indefinite Quantity (ID/IQ) type contract, with a 3- ________________ year base ordering period and a 6-year optional ordering period, and Firm-Fixed range quantity pricing established at the time of award.

3. Delivery Orders. Delivery Orders (DO) will be issued for each requirement. Funding and shipping information will be provided on _______________ each DO. The Government may unilaterally issue Orders in accordance with FAR 52.216-18 (Ordering), FAR 52.216-19 (Ordering

Limitations), and FAR 52.216-22 (Indefinite Quantity).

4. Contract Ceiling. The Government estimates that the maximum value (i.e., the ordering ceiling) of this IDIQ contract, including the ________________ optional ordering period, will be $459M. This amount may be adjusted upwards or downwards at the time of award, based on offers received (see FAR 52.216-19(b)). This may be used either for efforts funded by the USG or for FMS efforts funded by another country.

This estimated contract ceiling is an estimate only to inform potential Offerors of the magnitude of this contract opportunity. This estimate is not intended for use in any way by potential Offerors in preparing their price proposals. The Government will not presume that a proposal submitted below that estimated amount indicates that the proposal prices are fair and reasonable. The actual contracts ordering ceiling will be established at the time of award based on the final, negotiated amount.

5. Minimum Guarantee. The minimum guarantee for this contract is $500,000. The Government will issue Delivery Order 0001 at the time of _________________ contract award which will satisfy the contractual guaranteed minimum order requirement and consideration for this contract (see FAR

52.216-22(b)). The Government has no obligation to issue any order(s) beyond the $500,000.00 minimum guarantee and makes no assurances or representations that it will issue any order(s) beyond the minimum guarantee. This acquisition is being solicited subject to availability of funding. No award will be made until such time as funding is available sufficient to fully fund the minimum guaranteed amount.

6. Small Businesses. This solicitation is not set aside for small business, but it does have challenging small business participation ________________ and subcontracting goals. See Sections L and M for additional details.

7. Disclaimer. This Executive Summary has been prepared as an aid to the potential offeror. The Government has made every attempt to __________ accurately reflect the requirements/information contained in the solicitation. However, if there any discrepancies between the Executive

Summary and the clauses/provisions contained in the solicitation, the clauses/provisions contained in the solicitation shall prevail.

Contact the Contract Specialist and Contracting Officer via email if any discrepancies are found.

SPECIAL CONTRACT REQUIREMENTS

8. Economic Price Adjustment (Index Based)

a. Given the current unstable rates of inflation and this contracts long potential ordering period, this contract provides for a prospective Economic Price Adjustment (EPA). The applicable index for this contracts EPA is Producer Price Index (PPI) Code 1173

(motors, generators, motor generator sets), published by U.S. Department of Labor Bureau of Labor Statistics in its publication, PPI

Detailed Report. The EPA will utilize the most recently published PPI index (even if preliminary or interim) as of the date of the adjustment request. The EPA shall apply only to direct material costs on supply CLINs and will not apply to changes in labor rates, travel costs, training expenses, data deliverable CLINs or any other indirect or direct cost.

b. Either party may invoke an EPA on one or both of the following occasions: within 60 calendar days of the date the 3-year base ordering period expires if the Government has exercised the 6-year optional period and second, within 60 calendar days of the final day of the 36th full month to have elapsed since the 6-year optional ordering period commenced. Either party may initiate an EPA, but neither party is obligated to do so. Failure to initiate an EPA within the applicable 60-day period shall constitute waiver of the right to an EPA.

c. To initiate an EPA, the requesting party must provide written notice to the other party. This notice shall include the requesting partys proposed adjustments in the contracts unit range prices for the applicable ordering period and shall include supporting data explaining the calculations used to calculate the increase or decrease to which the requesting party asserts it is entitled. The

Contracting Officer may require the Contractor to provide this data in a certain form. The request and supporting documents are, together, referred to as the adjustment proposal.

d. The requesting party must provide the written notice within the applicable 60-day period. The party receiving the adjustment proposal has 30 calendar days to respond, in writing, with its concurrence or non-concurrence. In the case of non-concurrence (which may only be based on a miscalculation or other mathematical error or the use if the wrong index), the non-concurring party shall promptly provide its detailed explanation for non-concurrence and any alternative calculations the non-concurring party proposes should be used. The parties shall work expeditiously to resolve any disagreements. Failure to resolve any disagreements will be treated as a dispute under the Disputes clause. The Contractor shall continue performance pending agreement on, or determination of, any adjustment and its effective date.

e. Subject to the limitations discussed below, the upward or downward EPA will be calculated by the BLSs simple percentage method, where all the contracts fixed-pricing tables (i.e., the contract prices) are changed by the same percentage as the percent change in a selected index. If initiated, the percentage change shall be calculated for the first EPA between the date of contract award and the expiration of the base ordering period, and, for the second EPA, between the date the optional ordering period commenced and the last day of the 36th full month to elapse since the date the optional ordering period commenced.

f. The EPA under this contract is subject to the following limitations, regardless of which party requests it:

(1) The EPA shall only apply to supplies or services that are ordered on or after the effective date of the EPA bilateral modification.

The prices for supplies ordered prior to the effective date of the EPA bilateral modification shall remain fixed at the established prices. The Contractor shall continue to perform, at the established prices during any discussions or disputes related to the EPA.

(2) The contract contains an escalation rate of [X% - insert after award] for each year of the base and optional ordering periods.

Neither party may request an EPA unless the EPA calculation would result in an increase or decrease of more than 2% in the contracts prices in use for that ordering year. There is no limitation (i.e., cap) on the maximum magnitude of the EPA, upwards or downwards. The initiation of an EPA does not obligate the Government to order any items beyond the minimum guarantee and the Government may forgo exercising the optional ordering period or ordering additional items within the optional ordering period if the EPA results in an escalation of prices beyond the availability of contract funds.

(3) Examples: If the contracts pricing includes a 3% escalation and the selected PPI index reflects only 1.5% inflation between contract award and the time of the first EPA, there would be no change to the contracts prices (because the PPI does not reflect a change of 2% or higher magnitude over the contracts escalation rate). If the contracts pricing includes a 3% escalation and the PPI index reflects 7% inflation between the base period award and the time of the first EPA, the contractor would be entitled to a 4% increase in contract prices (because inflation is 4% higher than the contracts escalation rate).

(4) The EPA-adjusted prices shall be evidenced by a bilateral modification to this contract, signed by the Contractor and the

Contracting Officer, stating the prices that apply after the EPA until either the next EPA or the end of the ordering period.

(5) In the event the selected index is discontinued or substantially altered, the parties will proceed to mutually establish a replacement index. If mutual agreement cannot be reached prior to the commencement of either EPA initiation period, the Contracting

Officer may unilaterally select a replacement index and determine any applicable EPA using that index.

g. The Government reserves the right to unilaterally adjust the IDIQ contracts overall ordering ceiling upwards or downwards based on either of the two potential EPAs in order to maintain the same purchasing power. For example, if the contracts ceiling (expressed in dollar amounts) allows for the purchase of 10 generators but then there is a 10% upward price adjustment, the Government may

20 79

Name of Offeror or Contractor:

PIIN/SIIN MOD/AMD

unilaterally (and non-competitively) increase the ordering ceiling to account for the EPA so that the contracts ordering ceiling would still allow for the purchase of 10 generators even after the EPA.
