ADDENDUM TO 52.212-1, INSTRUCTIONS TO OFFERORS - COMMERCIAL ITEMS (OCT 2015)

1. Army Contracting Command - Rock Island (ACC-RI) hereby issues solicitation W9098S-16-T-0114 for Multiple Blanket Purchase Agreements (BPAs) for Rock Island Arsenal Joint Manufacturing and Technology Center (RIA- JMTC) to support scheduled production jobs that require various types of aluminum required by RIA-JMTC. This solicitation is issued pursuant to Federal Acquisition Regulations (FAR) Part 13.303 for Multiple BPAs using firm fixed price orders, as deemed necessary for the particular requirement solicited. ACC-RI is seeking businesses willing to enter into a BPA, as defined by FAR 13.303 for a period of five (5) years from the date of award. All orders under this BPA shall be continued until the performance is complete and the order is paid, even after the BPA expiration date.

2. All BPAs awarded will be for five (5) years. Exact dates will be specified in the basic agreements.

3. The Government reserves the right to make multiple awards.

4. Contracts that provide sufficient documentation as to their capabilities to supply some or all of the aluminum listed below will be considered in establishing the BPAs:

Aluminum Bar/Rod Aluminum Plate/Sheet Aluminum Angle/Channel Aluminum Pipe/Tube

5. A BPA Master does not obligate any funds. The Government is obligated only to the extent of call orders issued under the BPA.

6. There is no minimum purchase under this agreement.

7. ***COC’S AND MTR’S ARE REQUIRED FOR ACCEPTANCE OF THIS MATERIAL***

COC’s and MTR’s shall accompany the material when received at Rock Island Arsenal. Material received without the COC’s and MTR’s shall be rejected and not processed until the correct paperwork has been received. This will delay inspection and acceptance of the material and delay the payment.

Mill Test Reports (MTR’s) from the producing mill are required for each (heat) shipment. Material will not be inspected and accepted without the MTR.

Original MTR’s must include but are not limited to the following:

1) Actual chemical analysis

2) Mechanical properties

3) Must reference the Mil Spec per the Line item.

4) Heat / lot number with each shipment, and marked on the material

5) Material type and temper shall be physically marked on all material.

6) Mill name, telephone number, and address

Contractor shall be responsible for all freight charges for material if it is rejected.

Material must have adequate weather protection to prevent rusting during transit.

Material must meet the Buy American Act. See DFARS clauses 252.225-7000 and 252.225-7001.

The Government requires flatbed delivery for reasons of safety and ease and efficiency in off-loading.

See clause 52.0000-4938.

Items not shipped by flatbed will be rejected at receiving and may not be unloaded. Failure to comply with this clause may possibly result in the Government assessing you additional off-loading costs which may result in a reduction to the contract price.

8. ACC-RI is the ONLY agency authorized to place orders under this BPA.

9. The BPA holder shall agree that the clauses and provisions included in the resulting BPA master agreements are incorporated and made a part of each Government call order under the BPA. If any clauses are revised during the life of this BPA, the most recently dated version of the clause shall apply.

INITIAL AND FOLLOW ON COMPETITION AND EVALUATION:

1. Contractors that have a proven record of providing the types of aluminum for some or all of the types to include, but not limited to those indicated above will be considered in establishing this BPA. All offerors determined to be responsible pursuant to FAR 9.104-1 and technically acceptable with the criteria within the solicitation sections L and M, are eligible for award of a BPA.

2. Each BPA holder will be provided a fair opportunity to be considered for each requirement. Award of individual BPA orders will be generally based on lowest price and delivery. The raw material to be furnished under these BPAs are considered commercial supplies and adequate competition is anticipated, therefore certified cost and pricing data will not be required. However, the Government reserves the right to request other than certified cost or pricing data to assist with the determination of fair and reasonable pricing of each individual order. The contracting officer may also consider the following:

a. Each contractor's record of past performance of earlier orders under the BPAs, including quality and the ability to meet performance schedules set forth in the applicable BPA order. The Government will continue to monitor all contractors' performance after establishment of these BPAs. Contractors will have the ability to comment on any adverse past performance to which the contractor has not yet had the opportunity to respond.

b. Each contractor's current and outstanding individual BPA order capacity.

c. Any other factors to be indicated in the specific Request for Quote (RFQ) for a BPA order.

d. In accordance with 13.303-5(d)(1), if it is determined that there is an insufficient number of BPAs available to ensure maximum competition practicable, the Contracting Officer shall be allowed to solicit quotations from other sources, and make the purchase as appropriate.

GENERAL INFORMATION:

1. Administration of the basic BPA and individual BPA call orders will be done by ACC-RI. No individual order executed under this agreement shall exceed $7.0 million. This limitation is in accordance with the procedures and thresholds under FAR 13.303-5(b) (2).

2. It is anticipated that individual BPA call orders with a value under $3,500 will be paid by Government Credit Card. Contractors must have the ability to accept Government Credit Cards for payment. Please identify on the vendor questionnaire below if this is acceptable.

The requirement under FAR 13.303-3(a)(5) for delivery tickets will be accomplished by the use of the Wide Area Workflow (WAWF) for shipping / invoicing, and as set forth at DFARS clause 252.232-7006. The contractor shall ensure that copies of all WAWF notifications are sent to the contract specialist listed on the BPA Call Order.

3. A request for quote (RFQ) will be issued by e-mail for each call order, to allow all awardees a fair opportunity for each call order.

4. Contractors will be allowed three (3) business days to respond to a RFQ, unless the requirement is urgent, in which case the Government reserves the right to request proposals in a short time period, which will be identified in the request. Quotes will generally be requested on an FOB destination basis, although the Government reserves the right to request FOB origin. The Government intends to issue call orders without discussions. However, the Government reserves the right conduct discussions if the Contracting Officer determines them to be necessary. If no contractors reply to the request for call order proposal by the deadline within the proposal, the Government may acquire the aluminum from another source.

5. The Government intends to competitively issue each call order to the offeror whose RFQ represents the lowest price which meets the Government's need including delivery. If additional factors will be considered they will be identified in the RFQ. The Government reserves the right to makes single or split call order awards based on the schedule and quantities required. The Government will identify in each RFQ if it may result in a split award. The criteria for future placement of call orders are as follows:

a. Written RFQ's will be requested prior to the execution of any subsequent call order. Subsequent call orders will be placed with the successful offeror(s). The Government may consider the following for each call order:

b. Proposed total prices.

c. Past performance on previous call orders against the BPA.

d. The ability to meet the delivery requirements.

6. The required delivery date for each call order will be identified in the RFQ.

On time delivery is very critical. Therefore, the contractor must adhere to the delivery requirements indicated in each call order. Failure to comply with the contractual delivery schedule after award may result in termination of the order or require consideration if the Government elects to extend the delivery. The Government is not required to extend your delivery schedule if you encounter delays. The non-availability of raw materials, subcontractor issues, scheduling conflicts, etc. are not acceptable excuses for failing to meet the delivery schedules. Early delivery is authorized, but must be approved and coordinated in advance of due date with the Contract Specialist and/or Contracting Officer designated in the call order. If there is going to be a delay in delivery, the vendor is required to notify the Contract Specialist and Contracting Officer designated in the call order.

7. Variation in Quantity, FAR clause 52.211-16 will be included in RFQ it is applicable.

SPECIAL INSTRUCTIONS FOR OFFERORS:

1. The closing date of this solicitation will be for responses to establish the initial pool of BPA holders.

2. In accordance with FAR13.303-6, the contracting officer will conduct further market research on an annual basis to update any current BPAs at that time, if necessary, and to maintain an awareness of possible market conditions that could allow new arrangements with additional contractors at that point.

3. The Government also reserves the right to establish additional BPAs other than annually, to facilitate purchases, if deemed necessary, and if the sources have provided the information stated in paragraph 1, Initial and Follow on Competition and Evaluation Section.

4. Vendors must submit their documentation in a single submission prior to the closing date and time listing on page one of this solicitation.

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent

Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation.
