ADDENDUM TO FAR 52.212-1
INSTRUCTIONS TO OFFERORS –
INTRODUCTION
This Request For Proposal (RFP) is in support of the Telemedicine and Advanced Technology Research Center
(TATRC) for Mobile Health Care Environment: Commercial Off-the-Shelf Software (COTS) Components and
Related Support Services for a Bi-Directional, Secure Mobile Health Communication System. This requirement is being solicited as full and open competition under https://beta.sam.gov. A single award Indefinite
Delivery/Indefinite Quantity (IDIQ) contract is anticipated to result from this RFP to either a large business or small business; however, the Government reserves the right to withdraw, modify, or eliminate various aspects of the requirement determined to be too costly or impractical prior to award. Offerors shall submit all proposal Volumes cited below and address all evaluation factors set forth in FAR 52.212-1 and FAR 52.212-1 Addendum of this solicitation. In order for proposals to receive full consideration for award, the Offeror shall ensure that the information furnished in support of the proposal is factual, accurate, and complete. Failure to provide the information requested by this RFP may render the Offeror’s proposal incomplete and ineligible for further consideration for award.
PRE-AWARD SURVEY
The Government may conduct a Pre-Award Survey prior to any contract award. The Pre-Award Survey may examine the Offeror’s and/or Key Subcontractor’s records of integrity and business ethics (which includes satisfactory compliance with the law including tax, labor and employment, environmental, antitrust, and consumer protection laws), technical ability, production capacity, management structure, financial capability, accounting systems, security controls/clearances, labor resources, performance record, and ability to meet required schedules.
RFP COSTS
The Offeror will not be reimbursed for any costs incurred prior to the effective date of the contract award.
DISCLOSURE OF PROPOSAL
a. Information contained in the successful or unsuccessful Offeror's Non-Price Proposal or Price Proposal must be released under the Freedom of Information Act (5 U.S.C. 552) upon request from the public after contract award except to the extent it contains trade secrets and privileged or confidential commercial or financial information. If the Offeror's proposal contains material meeting this description which is customarily maintained in confidence in the course of the Offeror's business and is not otherwise publicly available, and if the Offer is not otherwise publicly available, and if the Offeror does not want it disclosed to the public, they shall mark the title page with the legend that follows.
https://beta.sam.gov/
"This proposal, furnished in response to Solicitation W81XWH-20-R-0049, contains trade secrets and/or privileged or confidential commercial or financial information. This information is maintained in confidence in the course of the Offeror's business and is not otherwise publicly available. The Offeror submits this information to the Government with assurance of privacy and understands that it is received with that intent.
This information shall not be released or disclosed outside the Government under the Freedom of Information
Act (5 U.S.C. 552) or under any other circumstances."
SEQUENCE OF EVENTS
The Government will employ informal source selection techniques in FAR Part 15 to evaluate proposals and determine the successful Offeror in this acquisition. “Offer,” for the purposes of this solicitation, shall be defined as a response to the solicitation that, if accepted, would bind the Offeror to perform the resultant contract.
The following describes the sequence of events Offerors can expect during proposal evaluation:
a. Offerors shall submit any questions for clarifications regarding the RFP in accordance with (IAW)
Section 3b. below. The Government will provide responses IAW Section 3b. below.
b. Offerors shall submit their proposal by the closing date and time specified in Section 3c. below.
c. Upon receipt, the proposals will be reviewed for completeness and compliance with RFP requirements.
The proposals will receive a detailed evaluation employing the process and criteria identified in FAR
52.212-2 and FAR 52.212-2 Addendum of this solicitation. In accordance with FAR 15.306(b), the
Government may conduct exchanges with Offerors after receipt of proposals. If required, the Government will request clarifications prior to competitive range determinations.
d. The Government intends to evaluate proposals and award a contract without discussions with Offerors
(except clarifications as described in FAR 15.306(a)). However, the Government reserves the right to conduct discussions and request proposal revisions if the Contracting Officer determines them to be necessary. If a competitive range is established, the Government may limit the number of proposals to the greatest number that will permit an efficient competition amongst the most highly rated proposals. For those Offerors in the competitive range, the Government will submit Items for Negotiation, which shall be answered by the Offeror.
e. The Contracting Officer will request a Final Proposal Revision (FPR) from those Offerors within the competitive range. The Contracting Officer will establish a common due date and time for the submission of FPRs.
f. The Government reserves the right to reject any proposal if data specified above is not submitted with a revision or, if submitted, is inadequate to establish the acceptability of the FPR. Any revision received after the closing time and date will be considered a late Offer in accordance with this provision.
1. SPECIFIC REQUIREMENTS.
This requirement will be awarded as a Firm Fixed Price (FFP) with Incentive Fee (IF) single award IDIQ contract.
Task Orders will be issued off of the IDIQ contract. Performance requirements for this contract are provided in the
Performance Work Statement (PWS) of this RFP.
2. PERIOD OF PERFORMANCE.
The Period of Performance for this requirement will be from 24 September 2020 through 23 September 2025.

c. PROPOSAL DUE DATE: No Later Than: 17 July 2020 at 9:00 AM Eastern Time.
It is solely the Offerors responsibility to ensure receipt of all proposal volumes sent via email. It is highly recommended to state the number of attachments sent in the email and request and receive confirmation of receipt. Failure to submit a complete proposal package shall deem the Offeror non-responsive and ineligible for award. Proposals shall be submitted in four (4) Volumes. Volumes I, II, and III shall be
VOID of any price information. Each volume shall be a stand-alone document and shall clearly and completely provide the information being requested.
4. PROPOSAL CONTENT AND FORMAT INSTRUCTIONS.
GENERAL INSTRUCTIONS
This section provides general guidance for preparation of proposals as well as specific instructions on the format and content of the proposal. The Offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions. The proposal shall be compliant with requirements as stated in the
PWS. Any Offeror who submits an incomplete package may be considered unacceptable and could be eliminated from further competition.
The proposal shall be clear, concise, and with sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government’s requirements, but shall provide convincing rationale to address how the Offeror intends to meet these requirements. The Offeror shall assume that the Government has no prior knowledge of the Offeror’s facilities and experience and will base its evaluation on the information presented in the Offeror’s proposal.
Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and not desired.
Offers shall remain valid for 180 days after closing of the solicitation (this is the period of time over such the
Offeror’s proposal should remain valid in order to provide the Government sufficient time to conduct the source selection process). The proposal acceptance period shall be specified in block 12 of the Standard Form 33.
If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the POC listed in Section 3a. above in writing with supporting rationale. Offerors are reminded that the Government intends to award this effort based on the initial proposal, as received, without discussion.
In the event that revised proposals are authorized, changes shall be summarized in a narrative table to include page number and overall change made, any changed pages shall be annotated in the footer with a revision date, and changed text shall be highlighted to identify changes made from original proposals.
Debriefings. The Offeror may request a debriefing by providing a written request to the Contracting Officer. If the
Government elects to establish a competitive range, the Contracting Officer will promptly notify the Offeror of any decision to exclude an offer from the competitive range. Upon written request, an Offeror may receive a debriefing mailto:Ronald.s.sanford2.civ@mail.mil https://beta.sam.gov/
IAW FAR 15.505. The Offeror desiring a debriefing must make a request in writing within three (3) calendar days after receiving the Contracting Officer’s notification. To the maximum extent practicable, debriefings will be conducted within five (5) working days after receipt of the Offeror’s written request, or no later than the post-award debriefings. The debriefing requirements of 10 U.S.C. § 2305(b)(5)(A) only apply when the debriefing is on a contract awarded on the basis of "competitive proposals" and an unsuccessful "offeror" exists relative to such a
"competitive proposal.

Businesses must submit acceptable subcontracting plans to be eligible for award. IAW FAR 19.705-4, the acceptability of the Subcontracting Plan will be determined prior to award based on the negotiation of the 15 elements of the plan. Negotiations surrounding the elements of the Subcontracting Plan are not considered
“discussions” pursuant to FAR Part 15. As stated in FAR 19.702(a)(1), failure of the apparently successful offeror to negotiate a Subcontracting Plan acceptable to the Contracting Officer by time of award, will result in the Offeror being ineligible for award. Based on information received during negotiation of the Subcontracting Plan, the

C. VOLUME III: PAST PERFORMANCE INSTRUCTIONS: Volume III shall not include any pricing information. The Offeror shall prepare and submit a Past Performance Volume.
Section 1: Relevant Past Performance Information: The Offeror shall complete RFP Attachment 4 Past Performance
Information in accordance with the instructions provided within this attachment. Relevant efforts are defined as those serving as a prime contractor or major subcontractor completing tasks or performing services that are the same or similar to the tasks described in this PWS. If applicable to the Offeror, submission of past performance information at the delivery order level will count as separate submissions (i.e., Citation of multiple orders under a single IDIQ type contract does not constitute a single submission). By submission of past performance data, the
Offeror: 1) authorizes the Government to seek and use information from commercial sources to verify performance on past commercial contracts, if applicable; and 2) constitutes consent from subcontractors/consultants, teaming partners, and/or joint venture partners to release past performance information to the Offeror in order for the Offeror to respond to such information, if required by the Government. The Offeror shall describe relevant on-going and previous (preceding three years only) Government contracts. This shall include a detailed discussion of relevant corporate experience.
If the Offeror, or any of its proposed Major Subcontractors, have limited Government contracting experience, a description of similar contracts with commercial entities, local and/or state governments should be included, if relevant. Information furnished concerning these efforts shall be similar to that requested of Government contracts.
The Government may choose to investigate contracts prior to the past three (3) years for the purpose of the evaluation. In addition, any and all contracts terminated for cause in whole or in part during the past five (5) years, to include those currently in the process of such termination are considered relevant and the Offeror shall provide past performance information for those contracts.
In addition, the Government reserves the right to consider alternative resources to gather past performance information to include, but not limited to information provided by the Offeror, submission of Past Performance
Questionnaires, Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and
Integrity Information System (FAPIIS), Electronic Subcontract Reporting System, (eSRS), Contractor Performance
Assessment Report System (CPARS), commercial contracts, point of contact references and other sources. The
Government is likely to randomly select references provided for contact and does not commit to contact every reference. Offerors should ensure that contact information for designated references is accurate and up-to-date.
For each of the contracts described above, the Offeror shall describe the objectives achieved detailing how the effort is similar to the requirements of this solicitation. For any contracts which did not/do not meet the original requirements with regard to original cost, schedule, or technical performance, the Offeror shall provide a brief explanation of the reason(s) for such shortcomings and any demonstrated corrective actions taken to avoid recurrence. The Offeror shall list each time the delivery schedule was revised, and provide an explanation of why the revision was necessary. The Offeror shall also provide a copy of any cure notices or show-cause letters received on each contract listed and description of any corrective action taken. For any terminated contracts, the Offeror shall indicate the type and reasons for the termination.
Section 2: Past Performance Questionnaire: The Offeror shall provide Past Performance Questionnaire(s) (RFP
Attachment 5) to their point of contact (POC) reference for each contract that will be evaluated under Past
Performance. The contract POC will then complete and independently submit the completed Past Performance
Questionnaire back to the Government POC, Ronnie Sanford, via e-mail at Ronald.s.sanford2.civ@mail.mil. The
Past Performance Questionnaire is to be completed by Offeror’s contract POC reference, not the Offeror. Offerors shall ensure that completed questionnaires are submitted to the Government no later than the closing date/time as specified in the Past Performance Questionnaire instructions. The Offeror shall advise the responding contract POC reference of the applicable closing date/time. Completed Past Performance Questionnaires will not count towards the page limit for Volume III. The Offeror is responsible for ensuring Reference(s) Questionnaire submission(s) are received within the stated timeline. Failure to receive this data from contract POC references may negatively impact past performance rating.
A maximum of three (3) Past Performance Questionnaires for the Prime Contractor and a maximum of one (1) Past
Performance Questionnaire for each Subcontractor shall be submitted. Each of the Past Performance Questionnaires shall be completed in its entirety, and when completed, shall not exceed two pages. Completed Past Performance
Questionnaires shall be completed and submitted in accordance with the RFP Attachment 5 instructions. The Past
Performance information listed on each questionnaire shall be relevant to the RFP PWS. If more than three Past
Performance Questionnaires are submitted, only the first three Past Performance Information Sheets received will be considered. The Government reserves the right to contact the customer POCs for verification or additional information. Each Past Performance Questionnaire shall identify no more than one customer POC. Each Past
Performance Questionnaire may include multiple contracts or one or more delivery/task orders under indefinite delivery indefinite quantity (IDIQ) contracts. The same contract may appear on more than one Past Performance
Questionnaire if more than one customer POC exists. If more than one customer POC is provided for any Past
Performance Questionnaire, only the first customer POC will be considered. Contracts cited must be current, or have mailto:Ronald.s.sanford2.civ@mail.mil ended not more than three years prior to the closing date of the solicitation. If the contract performance ended more than three years prior to the closing date of the solicitation it will be determined not relevant.
Section 3: Subcontractor Consent. If a subcontracting relationship is proposed, the Offeror shall submit the consent of its proposed principal subcontractor(s) to disclose their past performance information to the prime contractor
(Offeror) along with the Offeror’s Past Performance Volume submission. If the proposed principal subcontractor(s) consent is not provided at the time of the Offeror’s Past Performance Volume submission, the past performance information for the principal subcontractor(s) may not be considered by the Government in assessing the Offeror’s past performance.
Section 4: Termination for Default Information: Offerors shall provide notification to the Government pertaining to all contracts the Government has terminated for default in whole or in part, for any reason, during the past three (3) years. This shall include those contracts currently in the process of termination. The Offeror shall provide the contract number, program name, type of contract, contract value, Point of Contact (POC) information of the
Government Project Director and PCO, brief description of the effort, and the cause(s) for termination.
D. VOLUME IV: PRICE PROPOSAL CONTENT INSTRUCTIONS. Offeror’s Price Proposal shall include a
Proposal price, a narrative justifying the proposed prices and cost, assumptions and include required information, i.e.
a price breakdown by labor categories, labor hours, fully burdened labor rates, and other direct costs. Offeror’s shall submit their total proposed price as FFP.
General Information
Certified cost or pricing data are not required as a result of this solicitation. (“Cost or pricing data” are data requiring certification IAW 15.406-2. “Cost or pricing data” are factual, not judgmental, and are verifiable). These instructions are to assist you in submitting information other than cost or pricing data that is required to evaluate the reasonableness of your proposed cost/price. Compliance with these instructions is mandatory and failure to comply may result in rejection of your proposal. Offers should be sufficiently detailed to demonstrate their reasonableness.
The burden of proof for credibility of proposed costs/prices rests with the Offeror.
IAW FAR 15.403-1(b) and 15.403-3(a), information other than cost or pricing data may be required to support price reasonableness. Information shall be provided IAW FAR 15.403-5. If, after receipt of proposals, the Contracting
Officer determines that there is insufficient information available to determine price reasonableness and none of the exceptions in FAR 15.403-1 apply, the Offeror shall be required to submit cost or pricing data.
The Level Of Effort (LOE) proposed must be consistent with the proposed approach outlined in the Technical
Proposal. The Proposal must fully document your non-price approach as it equates to the LOE proposed with a staffing matrix, cross-mapping PWS tasks, the Offeror’s proposed approach (es), and proposed LOE. The Offeror shall use a Staffing Matrix similar to the following:

Proposed LOE in Hours
The Government estimates that this contract will require an approximate LOE to accomplish the tasks identified in the PWS for the task orders issued. Please note that the Government estimate is given as a reference to allow
Offeror’s to better understand the general scope of this effort from the Government’s perspective. This estimate is not to be construed as either mandatory or necessarily the best LOE. The Government is seeking the best LOE and labor mix the Offeror has determined is right to accomplish the mission contained in the PWS. The Offeror is not bound to propose these quantities, rather the Offeror is expected to provide their best solution citing the labor mix and quantity required to accomplish the tasks. If the Offeror has determined either the overall LOE provided in the
Government estimate is not the best LOE, the Offeror is strongly encouraged and expected to submit a solution reflecting a better approach.
Any use of Labor Categories other than suggested below, shall be explained in full, as to why they are in the best interest of the Government for work to be completed in the PWS.
Proposed LOE – The Government estimated LOE is provided below. The Offeror shall propose a LOE that reflects the best LOE and labor mix to accomplish the mission in the PWS.
