CLAUSES INCORPORATED BY FULL TEXT
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (AUG 2018)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation.
Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror https://assist.dla.mil/online/start/ http://quicksearch.dla.mil/ http://assistdocs.com/ https://assist.dla.mil/wizard/index.cfm does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The Government intends to evaluate proposals and award a contract without discussions with Offeror's. The Government reserves the right to conduct discussions with those offeror's within the competitive range, if established. If the Contracting Officer determines discussions to be necessary, the Contracting Officer will provide proposal revision instructions to the Offeror's with whom discussions were conducted. Offeror's are placed on notice that their initial proposal should contain the Offeror's best terms from a technical and price standpoint. All proposals shall be subject to evaluation by a team of Government personnel who will evaluate only one proposal from each prime Offeror.
This is a Tradeoff Source Selection Process (TSSP) best value procurement. One award will be made based on the best overall value proposal that is determined to be the most beneficial to the Government. The Government may select to award to other than the lowest priced proposal, based on the evaluation of the non-priced factors and the best value to the Government. Proposals submitted in response to the Requests for Proposals (RFP) will be evaluated based on the following evaluation factors listed in descending order of importance:
Evaluation Factors:
• Factor 1 – Technical/Scientific Approach
• Factor 2 – Experience
• Factor 3 – Past Performance
• Factor 4 – Price
The non-price factors combined are significantly more important than the price factor however, as the collective non-price factors begin to reach equivalency in the evaluation the price factor becomes more important in the trade-off analysis. If any of the non-price factors receives an individual rating of “unacceptable”, the Offeror’s proposal will be deemed UNACCEPTABLE. Only proposals receiving at least a rating of “acceptable” or higher will be considered for award. Proposals that are unrealistic in terms of non-price factors will be deemed reflective of an inherent lack of technical competence or indicative of the Offeror’s failure to comprehend the complexity and risks of the contract requirements and may be grounds for rejection of the proposal Offerors are cautioned that the award may not necessarily be made to the lowest-price Offeror. The Government reserves the right to reject any or all proposals, award no contract at all depending on the quality of the proposal(s) submitted, award to other than lowest-price Offeror, waive informalities and minor irregularities in offers received an award a contract without discussions.
Evaluation Approach
(1) FACTOR 1: Technical/Scientific Approach
The technical approach will be evaluated to the degree to which the Offeror’s technical approach demonstrates and meets the following:
• Developing and optimizing animal models and for drug screening for Malaria, Leishmania, and other antimicrobial drug discovery efforts.
• Expertise in analyzing and interpreting data from IVIS experiments in which luciferase activity is measured and correlated to paresitemia.
• Evidence of the above in published peer reviewed publications.
(2) FACTOR 2: Experience
Experience will be evaluated to the degree to which the Offeror’s proposal demonstrates:
• The Offeror’s relevant experience in the following:
o Developing and optimizing animal models and for drug screening for Malaria, Leishmania, and other antimicrobial drug discovery efforts.
o Expertise in analyzing and interpreting data from IVIS experiments in which luciferase activity is measured and correlated to paresitemia.
• An appropriate mix and balance of education and training of key personnel.
• Resumes or curriculums vitae (CVs) for Key Personnel. Below are the key personnel positions and minimum requirements.
Key Personnel Position Minimum Requirements Senior Biological Scientist
Knowledge and experience in biochemistry, molecular biology, or cell biology working with both malaria and leishmania in the antiparasitic drug discovery field. Demonstrated knowledge in the field as evidenced by peer-reviewed publications in the field of both leishmania/malaria and drug discovery.
(3) FACTOR 3: Past Performance
The Government will conduct a Past Performance evaluation of the Offerors Past Performance as well as that of its subcontractors. Past Performance consists of two aspects for evaluation, past performance relevancy and performance confidence; thus, the Offeror will be assigned two ratings for past performance. First, the Government will evaluate the Offeror’s past performance references to determine how relevant a recent effort accomplished by the Offeror is to the requirement to be acquired through this source selection. Common aspects of relevance include similarity of service/support, complexity, magnitude of effort, dollar value, and contract type. Second, the Government will evaluate the Offeror’s past performance references to determine the quality of work performed and assess the level of expectation that the Offeror can successfully perform the required effort.
• The Offeror will be evaluated based on the narrative description and type of contract work performed similar in scope and complexity to the requirements of this solicitation. Offeror shall provide a brief description of contract work and comparability to the proposed effort. Offerors are required to provide a reference point of contact, dollar value of contract and dates of contract performance. It is not sufficient to state that it is similar in magnitude and scope, a rationale must be provided to demonstrate that it is comparable. Projects completed or in progress described in the narrative will be evaluated for scope and degree of support to DOD, other federal agencies, or other comparable international organizations.
• Offerors will be evaluated on describe problems encountered in the performance of similar services and describe how the problems was/were resolved.
• Past performance information may be obtained from any other sources available to the Government, to include, but not limited to, the Past Performance Information Retrieval System (PPIRS), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), or other databases; interviews with Program Managers, Contracting Officers, and Fee Determining Officials; and the Defense Contract Management Agency.
• In the case of an Offeror without a record or no relevant past performance exists within the Offeror’s organization or information on past performance is not available, the Offeror may not be evaluated favorably or unfavorably on past performance. The Offeror’s lack of past performance will be evaluated as an unknown/neutral having no favorable or unfavorable impact on the evaluation.
(4) FACTOR 4: Price Analysis
The objective of a price analysis is to ensure that the price is fair and reasonable and consistent with the effort proposed. The price analysis, will not only consider the total price, including options, but also the prices for the individual tasks to ensure that they are not unbalanced. The Price Factor will not be assigned an adjectival rating.
All Offeror’s separately priced line items will be analyzed to determine if the prices are unbalanced. The price will be evaluated in terms of:
• Completeness in the proposed per item costs which are based on the technical approach and reasonable assumptions;
• Fairness and reasonableness in proposed per item costs consistent with the technical approach and which reflect reasonable escalation and economy assumptions for all per item costs proposed.
• Offerors will be placed on notice that any proposals that are unrealistic in terms of Non-Price factors commitment or unrealistically low in price(s) will be deemed reflective of an inherent lack of technical competence or indicative of failure to comprehend the complexity and risk of contract requirements, and may be grounds for rejection of the proposal.
• Options. The Government will evaluate offers for award purposes by adding the total price for all option periods to the total price for the base period of performance. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. The use of options shall not obligate the Government to exercise the option(s).
• The Government will evaluate offers by establishing a Total Evaluated Cost/Price which will consist of the total cost/price proposed for all base contract line items, option contract line items, and the amount associated with FAR 52.217-8. The amount evaluated under FAR 52.217-8 will be calculated using the rates proposed for the last option period, prorated six months.
Rating Standards for the Non Cost Proposal
Table 1 - Rating Standards for the Non Cost Proposal (Excluding Past Performance) Rating Description
Outstanding
Proposal meets requirements and indicates an exceptional approach and understanding of the requirements. Strengths far outweigh any weaknesses. Risk of unsuccessful performance is very low.
Good
Proposal meets requirements and indicates a thorough approach and understanding of the requirements. Proposal contains strengths which outweigh any weaknesses. Risk of unsuccessful performance is low.
Acceptable
Proposal meets requirements and indicates an adequate approach and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. Risk of unsuccessful performance is no worse than moderate.
Marginal
Proposal does not clearly meet requirements and has not demonstrated an adequate approach and understanding of the requirements. The proposal has one or more weaknesses which are not offset by strengths. Risk of unsuccessful performance is high.
Unacceptable Proposal does not meet requirements and contains one or more deficiencies. Proposal is not awardable.
Table 2 - Best Value Tradeoff Evaluation Standard Definitions
Clarifications Limited exchanges between the Government and Offerors that may occur when award without discussions is contemplated.
Communications Exchanges, between the Government and Offerors, after receipt of proposals, leading to establishment of the competitive range.
Deficiency
A material failure of a proposal to meet a Government requirement or a combination of significant weakness in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. See FAR 15.001
Discussions Negotiations conducted in a competitive acquisition. Discussions take place after establishment of the competitive range.
Performance Confidence Assessment
An evaluation of the likelihood (or Government’s confidence that the Offeror will successfully perform the solicitation’s requirements; the evaluation is based upon past performance information.
Recency
As it pertains to past performance information, is a measure of the time that has elapsed since the past performance reference occurred. Recency is generally expressed as a time period during which past performance references are considered relevant.
Relevancy
As it pertains to past performance information, is a measure of the extent of similarity between the service/support effort, complexity, dollar value, contract type, and subcontract/teaming or other comparable attributes of past performance examples and the source solicitation requirements; and a measure of the likelihood that the past performance is an indicator of future performance.
Risk
The potential for unsuccessful contractor performance. The consideration of risk assesses the degree to which an Offeror’s proposed approach to achieving the technical factor or subfactor may involve risk of disruption of schedule, increased cost (not applicable to firm-fixed price contracts) for degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.
Significant Strength
A significant strength appreciably enhances the merit of a proposal or appreciably increases the probability of successful contract performance.
Significant Weakness A flaw that appreciably increases the risk of unsuccessful contract performance. See FAR 15.001.
Strength An aspect of an Offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.
Weakness A flaw the proposal that increases the risk of unsuccessful contract performance. See FAR 15.001.
