SUMMARY OF CHANGES

SECTION SF 1449 - CONTINUATION SHEET

SOLICITATION/CONTRACT FORM

The required response date/time has changed from 27-Jun-2017 10:00 AM to 30-Jun-2017 10:00 AM.

The following have been added by full text:

Solicitation Questions and Answers

As of 23 June 2017

Q = Question A = Answer

Notice: The Government provides the best answer to those Questions asked. Offeror’s proposal shall be based on the amended Solicitation.

Q1. On Page 73 Section N.2.3. THE OFFEROR’S PROPOSAL provides a table describing what should be in

Volume I. One of the items to be completed and returned is Standard Form (SF) 1449. However, there is no

SF 1449 included in the solicitation.

A1. The requirement for the Standard Form (SF) 1449 has been removed from the table on Page 73 Section N.2.3.

Q2. Page 43 Para 2. states primary delivery will be Fort Detrick, MD but Para. 2.1. states the MA-IDIQ will be available for use by the entire Department of Defense (DoD) medical community. Will delivery be expected by other DOD activities at a different location? If so, where?

A2. Page 43, Para 2 is correct in that Fort Detrick is the primary delivery location. The MA-IDIQ will be available for use by the entire DoD medical community and as such the potential for delivery locations outside of Fort Detrick exists. The exact delivery locations outside of Fort Detrick are not know at this time and will be determined at the

Delivery Order level.

Q3. Page 60 Para. ii. FACTOR 2 – states price for delivery orders will be evaluated for reasonableness in terms of consistency with the Offeror’s commercial catalog incorporated into the base BPA, less any discounts, as well as adequate price competition. Page 76 Para. N.4.4.4. PUBLISHED PRICE LIST states

The Offeror shall include a copy of the Offeror’s Commercial Published Price List, including any services and additional discounts offered as part of Volume II. What is the implication if we do not have a commercial published price list?

A3. Page 60 is a continuation of Attachment 3 – DO RFQ, “Sample Delivery Order Request for Quotes (RFQ) which begins on Page 59. Attachment 3 represents a “Sample” of the DO RFQ the Contractor can expect to receive from the Government. Para. ii. FACTOR 2 as referenced in Q3 above is NOT an evaluation factor for award of the

IDIQ. Reference FAR 52.212-2 Evaluation—Commercial Items (Oct 2010), Page 77 for the Basis of Award for the

IDIQ.

Page 76, Para. N.4.4.4. requires the Contractor to submit a Commercial Published Price List. There is no implication if the Contractor does not have a Commercial Published Price List. The Offeror shall state no

Commercial Published Price List exists in the proposal response.

Q4. Do you want the entire solicitation completed and returned or just Representations and Certifications and any fill-in clauses?

A4. In accordance with (IAW) Page 73, Section N.2.3. the Offeror shall complete Representations, Certifications and Other Statements of Offerors.

Q5. Do you want pages 3-35 of the solicitation pricing completed or just the pricing spreadsheet?

A5. IAW Page 76, Section N.4.4.2. Offerors shall use the Government price sheet provided as Exhibit B Price Sheet for the price proposal submissions.

Q6. Do contractor’s need to propose on all items to be considered for award?

A6. The Offeror is not required to provide all of the NHP’s to be considered for award.

Q7. In section 1.3.2, it says “All NHPs must be from a domestic, qualified USDA licensed dealer or commercial breeder.” If the animals are sources from a non domestic source, quarantined and housed in the

US in a USDA licensed dealer is that acceptable?

A7. Yes.

Q8. Housing line items. Says “… if the Government needs quarantine facilities and off-site housing of the

NHPs (max 4 months)” .. what does that mean? We will only import from CRL approved sources. Does that mean the govt can delay an order for up to 4-mo? What happens if it goes beyond 4-mo? Please clarify.

A8. The requirement for off-site housing at the Contractor’s location of the NHPs will be determined at the delivery order level. A 30 day secondary quarantine period of the NHPs is required prior to delivery. The Government must be able to use the Contractor’s off-site housing as a holding facility if USAMRIID doesn’t have adequate space to in-process the NHPs. The maximum amount of time the NHPs will be housed at the Contractor’s location is four (4) months for each delivery order. All NHPs shall be delivered within four (4) months of the delivery order being placed. If USAMRIID has space available at the time of the delivery order, the Contractor will deliver the NHPS directly to USAMRIID.

Q9. Klebsiella, pg 49/119. Says we must test 1 time before and animals must remain negative for up to 45 days after. Klebsiella is common in NHPs, is Klebsiella testing really required? We can certify they are negative when they leave our facility but cannot guarantee they are negative up to 45 days in a client’s facility.

A9. Yes, we realize the Klebsiella is a commensal organism. The NHP shall be tested once at the Contractor’s facility and shall be negative. The Government will reject the NHP if clinical signs of Klebsiella develop and the

NHP tests positive for the agent within the 45 day rejection window.

Q10. Is it imperative that we bid on all species?

A10. Reference Question 6.

Q11. In section 9 IDIQ ceiling, does this clause apply? How would we know what other awardees are spending against the ceiling limit?

A11. Page 38, Section 9, states “the cumulative ceiling of all awards for this MA-IDIQ Contract issued against this solicitation is $33,000,000.00. Regardless of the total price of the awarded delivery order, the Contracting Officer or representative shall provide a Postaward Notice to all unsuccessful awardees. The IDIQ ceiling will be tracked by the U.S. Army Medical Research Acquisition Activity (USAMRAA) and the U.S. Army Medical Research

Institute of Infectious Diseases (USAMRIID).

Q12. Is it anticipated that deviations from the specifications would be acceptable depending on the project such as health status?

A12. Yes. However, those deviations will be at the discretion of the Government..

Q13. The above cited solicitation does not identify the concept of a supplier, and seems to use the term subcontractor to accommodate both a subcontractor and supplier. Please clarify the usage and definition of the term subcontractor and modify the solicitation if necessary.

A13. Reference Page 47 of the solicitation and Federal Acquisition Regulation (FAR) 19.7.

Q14. The solicitation provides a topic “Additional Subcontractors” or new subcontractors and the requirements of such and the approval of new subcontractors by the government. Correspondingly, there appears no requirement in referencing the existing subcontractors with the delivery of the proposal. Please clarify or amend the solicitation.

A14. Subcontractors are authorized IAW FAR 19.702.

Q15. Relative to the above solicitation, where should we mail the proposal volumes?

A15. The Offeror’s entire proposal shall be mailed to the following address:

Mr. Rudolph Spencer

U.S. Army Medical Research Acquisition Activity (USAMRAA)

820 Chandler Street

Fort Detrick, MD 21702

Q16. Starting on Page 3 of W81XWH-17-R-0008 it is requested that the Estimated Net Amount be entered for each of the NHPs. Can this information be deferred with the entries on the NHP Pricing Sheet? An example of one of the entries identified is provided in the following:

Macaca Mulatta (Rhesus), Chinese Origin

FFP

The Contractor shall provide Macaca Mulatta (Rhesus), Specific Pathogen-Free (SPF), Chinese origin, in accordance with (IAW) the Statement of Need and the Minimum Essential Characteristics (MECs).

FOB: Destination

Estimated Net Amount

A16. IAW Page 76, Section N.4.4.2. of the solicitation, Offerors shall use the Government price sheet provided as

Exhibit B Price Sheet for the price proposal submissions.

Q17. In the above what is meant by the Estimated Net Amount?

A17. The “Estimated Net Amount” for the line item. IAW Page 76, Section N.4.4.2. of the solicitation, Offerors shall use the Government price sheet provided as Exhibit B Price Sheet for the price proposal submissions.

Q18. Statement of Need - Reference 18 MAY 2017 - VERSION: 2

Contractor Monthly GPC Order Report – and is stated: Contractor Monthly GPC Order Report

(Deliverable 6) via e-mail to the Contracting Officer of all GPC Orders within five (5) calendar days after the close of each month. As written in the solicitation, it seems as if the report is provided internally to the Contractor rather than the government. Please clarify or confirm.

A18. Deliverable 6 is to be provided by the Contractor. At the end of each month the Contractor shall send the

Contracting Officer a report of all GPC orders the Contractor received for the month, within (5) calendar days after the close of each month.

The following have been modified:

52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2016)

**INCLUDES ADDENDUM. STARTING AT SECTION “N” BELOW**

(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF

1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers:

(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.

(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(C) If this solicitation is a request for proposals, it was the only proposal received.

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the

Government, will be considered at any time it is received and may be accepted.

(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent

Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.

Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.

(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.

(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA

The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.

(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. (n) ADDENDUM

N.1. TYPE OF CONTRACT

N.1.1 CONTRACTS

The Government intends to award multiple Contracts resulting from this solicitation. These will be Indefinite-

Delivery Indefinite-Quantity (IDIQ) Contracts that utilize Firm-Fixed Price (FFP) Contract Line Item Numbers

(CLINs) for the Non-Human Primates (NHPs) described in the Statement of Need (SoN).

N.1.2. SUBCONTRACTING

N.1.2.1. Subcontractors are authorized IAW FAR 19.702. The prime Contractor shall manage all subcontract arrangements. All subcontractor arrangements must be presented in enough detail to allow the Government to understand conceptually how the NHPs are to be provided by the Offeror and what will be provided by each subcontractor. Since there is a direct relationship from the price proposal to the Contractor’s ability to meet the technical proposal to include the Minimum Essential Characteristics (MECs), the Offeror shall cross-reference enough information on subcontracting to allow for a thorough proposal review.

N.1.2.2. The Government is looking for best value Contractor(s) to provide the NHPs outlined in the solicitation.

Consistent with the Organization Conflict of Interest (OCI) clause, the FAR, the DFARS and AFARS, the

Government will require the prime Contractor to verify the proposed subcontractor does not perform other work in support of USAMRIID that may create an OCI situation. The prime Contractor must inform the Contracting Officer whether or not there are any potential OCI issues with the proposed subcontractor and, if there are OCI issues, how the OCI issues will be mitigated. If the proposed use of such subcontractor(s) raises questions of potential, real, or apparent OCIs, the Contractor will be required to note such questions and propose appropriate mitigation plans.

However, notwithstanding any such mitigation plan submitted in any such proposal, the Government reserves the right not to award any such Delivery Order on grounds of a real or apparent OCI which the Government has unilaterally determined would not be adequately mitigated.

N.1.3. TECHNICAL QUESTIONS

https://www.acquisition.gov/

Reference Combined Synopsis/Solicitation Instructions, paragraph 8 for the closing date for receipt of Technical

Questions.

N.2. INSTRUCTIONS FOR THE PREPARATION AND SUBMISSION OF PROPOSALS

Failure to submit all documents concurrently, and in accordance with these instructions, may render a proposal unacceptable. N.2.1. PROPOSAL EVALUATION

N.2.2. PRICE INFORMATION. Price information shall be included in the price proposal Volume only. The proposed price shall not be discussed or exhibited in any other Volume of the Offeror’s proposal.

N.2.3. THE OFFEROR’S PROPOSAL
