52.209-4 FIRST ARTICLE APPROVAL--GOVERNMENT TESTING (SEP 1989)
(Contracting Officer shall insert details)
(a) When required, the Contractor shall deliver three systems within 90 calendar days from the date of this contract to the Government at the contractor's facility for first article tests. The shipping documentation shall contain this contract number and the Lot/Item identification. The characteristics that the first article must meet and the testing requirements are specified elsewhere in this contract.
(b) Within 60 calendar days after the Government receives the first article, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor. A notice of disapproval shall cite reasons for the disapproval.
(c) If the first article is disapproved, the Contractor, upon Government request, shall submit an additional first article for testing. After each request, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval. The Contractor shall furnish any additional first article to the Government under the terms and conditions and within the time specified by the Government. The Government shall act on this first article within the time limit specified in paragraph (b) of this clause. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule or for any additional costs to the Government related to these tests.
(d) If the Contractor fails to deliver any first article on time, or the Contracting Officer disapproves any first article, the Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract.
(e) Unless otherwise provided in the contract, the Contractor--

(2) Shall remove and dispose of any first article from the Government test facility at the Contractor's expense.
(f) If the Government does not act within the time specified in paragraphs (b) or (c) of this clause, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the Changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.
(g) The Contractor is responsible for providing operating and maintenance instructions, spare parts support, and repair of the first article during any first article test.
(h) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government.
(i) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the Offeror/Contractor and have been accepted by the Government. The Offeror/Contractor may request a waiver.

Interested parties will have to request the source code from the Procurement Office and provide their CAGE code. The Security Office will verify, through the Defense Security Service, that the requestor meets all of the criteria stated in L.2. Any proposal submitted by an offeror failing to meet the eligibility requirements above will not be considered for award either as prime or subcontractor.
L.3. INTRODUCTION.
Proposals shall be sufficiently detailed to enable the Government to perform an accurate and complete evaluation strictly from the proposal contents. However, in the area of Past Performance the Government may use data obtained from other sources. The offeror’s proposal shall consist of four volumes. The Volumes are I - Solicitation, Offer and Award Documents and Section K, Representations and Certificates, II – Technical, III – Past Performance, IV – Price/Cost. Files shall not contain classified data. The use of hyperlinks in proposals is prohibited.
L.4. PROPOSAL FILES.
a. Format. Microsoft Office Professional 2007 or later shall be used to create the files. All graphics shall be compatible with MS PowerPoint 2007. All information pertaining to a particular file shall be confined to that file.
The titles for each file, along with the references are shown below. Each file shall contain the applicable proposal information in the referenced paragraph. All proposal submissions shall be clearly indexed and logically assembled.
Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and solicitation number in the header and/or footer. A Table of Contents should be created. MS Word (.doc) files shall use the following page setup parameters:
Margins – Top, Bottom, Left, Right - 1” Gutter – 0” From Edge – Header, Footer - 0.5” Page Size, Width – 8.5” Page Size, Height – 11”
The following additional restrictions apply:
Each paragraph shall be separated by at least one blank line. A standard, 12-point minimum font size applies. Arial or Times New Roman fonts are required. Tables and illustrations may use a reduced font size not less than 8-point and may be landscape. Single space type will be used with the exception of organization line and block charts and the Price/Cost proposal. Graphics may be submitted in black & white, half-tone or in color, in font sizes sufficient for all information to be read or reproduced without difficulty (but in no case less than 8 point Arial or Times New Roman). Foldout pages, limited to 11x17 inch page size, are permissible and will count as two pages.
Page numbers, headers and footers may be within the page margins ONLY, and are not bound by the font requirements. Company logos are prohibited with the exception of the Title Page. Pages that exceed the margin, font or total page limit will not be evaluated. Page count will NOT be based upon the numbers of pages printed but rather dictated by the number of pages in a print layout view in the application based upon the above-prescribed document sittings. Counting pages in the order they appear for viewing will make up the page count.
b. File Packaging. Proposals shall be limited to four volumes and bound and delivered as follows:
Table 1
PROPOSAL

VOLUME CONTENTS PAGE LIMITATION REQUIRED # OF HARD
COPIES
Volume I Solicitation, Offer and Award Document and Section K, Representations and Certificates
Unlimited Original +1
Volume II Technical 75 Original +5 Volume III Past Performance 20 Original +5 Volume IV Price/Cost Unlimited Original +5
Note: Cover sheets, Table of Contents, Tab Labels and Dividers are not included in the total page count.
Page Count: Those pages that exceed the page counts in Table 1 for each volume or attachment will not be evaluated. Double column pages are allowed. Proposals shall be limited in the number of pages specified in the table above. Those pages that exceed the page count in the table for each volume or attachment will not be evaluated and will be returned to the Offeror upon initial review. Pages will be counted in the order they appear for viewing.
c. Content Requirements. All information shall be confined to the appropriate file. The offeror shall confine submissions to essential matters, sufficient to define the proposal and provide adequate basis for evaluation.
Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of each proposal. Each file of the proposal shall consist of a Table of Contents and Summary Section.
The Summary Section shall contain a brief abstract of the file. The Government may consider any failure on the part of an offeror to comply with these instructions to be indicative of the type of conduct it can expect during contract performance. Therefore, offerors are encouraged to contact the Contract Specialist, Elizabeth Chirico Elizabeth.Chirico@usace.army.mil or the Contracting Officer, Nilda Lugo Nilda.E.Lugo@usace.army.mil, in order to request any necessary clarifications or explanations of these instructions. Proprietary information shall be clearly marked.
d. Proposals shall include 2 (one original and one copy) separately bound copies of Volume I and six (one original plus five copies) separately bound copies of volumes II, III and IV. Proposal shall also include two Digital Versatile Discs (DVDs), one containing Volume I only and one containing Volumes II, III and IV. The DVDs must be clearly labeled with the solicitation number, volume numbers, and the offeror’s name. Digital copies will be submitted as “read only” (pdf) documents. If there are discrepancies between the electronic version (DVD) and the hard copy, the hard copy shall take precedence and shall be considered binding. Proposals should be mailed or hand delivered to: AGC Contracting Office, ATTN: CECT-AGC, Elizabeth Chirico; 7701 Telegraph Road, Alexandria, VA 22315-3864. If proposals are mailed the offeror must ensure that the package is received by the date and time in section 9 of the Standard Form 33 by emailing a request for confirmation to Elizabeth.Chirico@usace.army.mil with an information copy to John.M.Harrell@usace.army.mil.
e. The proposal shall contain the solicitation number, narrative and other data sufficient to describe the associated element of the proposal. An offeror’s failure to furnish the necessary information may result in its proposal not being considered for award. A proposal received after the solicitation closing date shall be rejected.
f. The Offeror’s proposal will be the primary basis on which the Government will determine the capability of the offeror’s solution to satisfy this requirement. It shall be specific, complete, thorough, clear and concise, and must address each objective in the solicitation and the sample task order and each factor in Section M. The Offeror’s proposal shall be presented in separate volumes so that all information associated for each factor (Solicitation, Offer and Award document and Section K, Technical, Past Performance, and Price) is easily distinguishable. It will not be necessary to go from volume to volume (or section to section in each volume) in order to completely evaluate each prime factor. Information contained in a volume that belongs in another volume will not be evaluated. The Government will not evaluate information of a general nature and that is not relevant to the topic being evaluated.
g. The proposal shall not merely offer to comply with the Government’s requirements by simply restating them, but shall specifically describe the means of accomplishment. The proposal in its entirety should be specific, detailed, and complete in order to demonstrate that the offeror has a thorough understanding of the objectives.
Statements such as “the offeror understands, can or will comply with the requirements”, statements that paraphrase the statement of objectives or ambiguous phrases such as “standard procedures will be employed” or “well known techniques will be used” will be considered unacceptable. Additionally, providing examples of past performance as a response to an objective, while helpful, does not indicate an offeror’s approach to satisfying an objective. Include as part of the response, the program management process and organizational structure to be used throughout the contract.
L.5. PROPOSAL CONTENT.
(1) VOLUME I – SOLICITATION, OFFER and AWARD DOCUMENT AND SECTION K, REPRESENTATIONS AND CERTIFICATES
Certifications and Representations - Each offeror shall complete (fill-in and signatures) the solicitation sections indicated below using the file (without modification to the file) provided with the solicitation. An authorized official of the firm shall sign the SF 33 and all certifications requiring original signature. An Acrobat PDF file shall be created to capture the signatures for submission.
Section A – Standard Form 33 (SF 33), Solicitation, Offer and Award Section K – Representations, Certifications and Other Statements of Offerors
(2) VOLUME II – TECHNICAL CAPABILITY
The offeror shall submit their technical proposal (consisting of all prime and subcontractor technical information) as a Performance Work Statement (PWS) and shall demonstrate within the PWS how the offeror intends to satisfy each of the objectives of the basic contract SOO located in section C and each of the objectives defined in the Sample Task Order SOO, located in Section J. Offeror shall submit an ID/IQ Quality Control (QC) plan with its proposal response to this solicitation. The offeror must address how it will develop and maintain an effective QC program to ensure work is performed in accordance with the PWS. The offeror’s QC plan shall address procedures to identify, prevent, and ensure non-recurrence of defective products and/or services.
The offeror shall submit a compliance matrix that corresponds to each PWS that the offeror submits. In other words, each offeror shall submit one PWS and corresponding compliance matrix in response to the Basic Contract SOO and one PWS and corresponding compliance matrix in response to the Sample Task Order SOO. These compliance matrices shall identify each technical requirement as: “N” denotes that the offerors’ technical solution does not meet the requirement, “P” indicates that the offeror’s technical solution partially meets the objective, “M” indicates that the technical solution meets the objective, and “E” indicates that the technical solution exceeds the objective. The framework and format of these compliance matrices are located in Section J as attachments. Failure to submit these compliance matrices shall result in the offeror’s proposal deemed as technically unacceptable.
The Technical volume shall be organized as follows:
TAB 1: Introduction TAB 2: Compliance Matrices (one that corresponds to the PWS offeror’s response to the Basic SOO and one that corresponds to the PWS offeror’s response to the Sample Task Order SOO) TAB 3: Basic Contract PWS Response to address the SOO to meet the basic contract requirements. Offerors shall include the process they will use to satisfy each objective in the SOO and add the necessary contract data requirements list (CDRL) with the appropriate Data item description (DID).
TAB 4: PWS to address the Sample Task Order. Offerors shall include the process they will use to satisfy each objective in the SOO and indicate appropriate CDRLs and DIDs.
TAB 5: Quality Control Plan TAB 6: Contractor Qualifications and Experience. Offerors shall identify, with resumes, key personnel in this section.
NOTE: Tab 5 and 6 of this volume are not included in the 75 page limit. However Tab 5 is limited to 10 pages and each resume included in Tab 6 is limited to 2 pages.
(3) VOLUME III – PAST PERFORMANCE. Offerors shall submit a list of all Government (Federal, State and local) and private industry contracts (prime and major subcontracts) in performance or awarded during the past 3 years, which are relevant to the efforts required by this solicitation. Relevant efforts are defined as systems engineering, software and hardware applications and integration; enterprise execution; and software and hardware system testing; integrated logistics support (ILS) requirements; and training and fielding of US Army systems. Data concerning the prime offeror shall be provided first, followed by each proposed major subcontractor, in alphabetical order. Offerors are cautioned that in conducting the performance risk assessment, the Government may use data provided in the offeror's proposal and data obtained from other sources. Since the Government may not necessarily interview all of the sources provided by the offerors, it is incumbent upon the offerors to explain the relevance of the data provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of proving low performance risk rests with the offerors. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror’s lack of performance will be evaluated as neutral/unknown risk, having no favorable or unfavorable impact on the evaluation.
(1) Section 1 – Contract Descriptions. This section shall include the information requested below in the following format:
(a) Contractor/Subcontractor place of performance, CAGE Code and DUNS Number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, and current address, e-mail address, and telephone and fax numbers).

(4). VOLUME IV – PRICE/COST
a. The offeror shall provide prices for each contract line item listed in Section B. The breakdown of prices shall provide sufficient detail for the Government to identify the work effort and resources proposed to accomplish the work for each CLIN and evaluate the proposed prices for price reasonableness. Prices shall be valid for all contract years. System prices shall be for one complete system as specified in Section C, Appendix A to the Basic SOO: ENFIRE SYSTEM LIST. Spares pricing shall include prices for each individual field replaceable item in the system, on a one each basis. Price lists may include volume discount prices. The volume discounts may include, but are not limited to: contract year; quantity in the instant delivery order; and cumulative quantities ordered on the contract. All Offerors’ must submit all price/cost proposals for both prime and subcontractors. Price/Cost proposal build-ups shall be prepared and submitted as Microsoft Excel files (version 2007 or later). Exhibits A & B shall be prepared and submitted as Microsoft Excel files (version 2007 or later). Each offeror shall include the formulas used on these spreadsheets as they shall be reviewed by the Government. No hyperlinks shall be included in any part of the offerors’ proposals.
b. For evaluation purposes ONLY, in order to calculate volume discounts and associated quantity breakpoints, the maximum number of systems to be procured in one year is 350. It is important to note that this quantity is NOT associated in any way with the calculation of the Government's estimated CLIN values provided in Section B of this solicitation.
For evaluation purposes ONLY, in evaluating the offerors’ proposals for “Systems Purchased and
Hardware Integration” the Government will utilize 200 systems purchased, split among three sample delivery orders with quantities of: 20, 60 and 120 systems respectively using appropriate volume discounts. Additionally, the Government will evaluate each Offeror’s fully burdened Unit Prices for the systems under “Systems Purchased and Hardware Integration.”
The price proposal shall fully define the variables in the price lists, any limitations in the application of the price lists, and provide an example of calculating the total price for a delivery order using the price list. The offeror shall describe any warrantees provided for the offered hardware and software, including start of warrantee coverage, duration of warrantee coverage, and limitations on warrantee coverage. Hardware and software prices shall include the license (or similar) fees needed to activate full operation of the hardware or software. Start of license activation, license duration, and restrictions shall be described in the price proposal. The offeror shall describe and price any subsequent license (or similar) fees required to maintain operation of the hardware or software. Furthermore, the offeror’s price/cost information contained in their cost/price volume MUST match the price/costs indicated on the required format of price lists indicated in exhibits A and B in Section J.
The format of price lists indicated in exhibits A and B in Section J shall be used to list the Offeror’s firm fixed price and cost reimbursable labor categories, skill levels, unloaded labor rates, profit percentages, and loaded labor rates including profit and fee. These rates shall be based on forward pricing rate agreements or current rates for all labor categories and skill levels required to satisfy all objectives in the basic contract. These labor rates will be used by the successful contractor as the basis for submitting cost proposals for cost reimbursable and firm fixed price line items on the sample task order, sample delivery orders as well as future task orders and delivery orders issued after contract award. Labor rates must be provided for the base year and all option years of the contract. These labor rates are binding and must be used for all task orders and delivery orders issued under this contract.
c. In addition to the Exhibits A and B labor rate proposals, offerors shall propose a separate cost proposal to satisfy the sample task order statement of objectives found in Section J by using the format provided in Attachment #1.
(1) The cost proposal must include labor categories, number of labor hours per category for prime and each sub-contractor, both unloaded and loaded labor rates for prime and each sub-contractor, profit percentages, materiel, travel and other direct costs required to perform the sample task order. A break-out of overhead cost, travel, material and other direct costs must be identified at the lowest level possible. The labor categories and rates used in estimating the cost of this sample task order shall be easily identifiable in the pricing sheet exhibits.
(2) The Sample Task Order breakdown of cost data is set forth below. If the Government determines adequate competition was not obtained, the Government reserves the right to request certified cost and pricing data.
(3) Basis of estimate write-ups in the cost file shall follow this structure.
a. Describe the base data used to estimate the labor hours, cost of a service, or hardware cost.
b. Describe why the offeror chose to use this base data for the proposal.
c. Describe the adjustments, if any, to the base data and why the adjustments were appropriate.
The basis of estimate write-ups will be contained in the methodology description section for each line of the cost proposal.
d. Offerors shall propose a separate price proposal to satisfy each of the three sample delivery orders’ descriptions of requirements found in Section J.
1) These price proposals must include the offeror’s applicable unit prices based on quantity discounts that correspond to the various quantities and description of requirements stated for each sample delivery order.
e. Discounts shall be afforded to the Government based on the number of systems procured with quantity thresholds or quantity break points identified. Additional discounts afforded to the contractor will be passed on to the Government as they are acquired by the contractor. As mentioned above, for evaluation purposes ONLY, in order to calculate volume discounts and associated quantity breakpoints, the maximum number of systems to be procured in one year is 350. It is important to note that this quantity is NOT associated in any way with the calculation of the Government's estimated CLIN values provided in Section B of this solicitation.
It is important to note that any subcontractor proposals submitted in response to this solicitation, shall be submitted in a sealed package that accompanies the prime offeror’s proposal.
f. The Government will only award a contract to an offeror deemed responsible in accordance with FAR
9.104-1 which requires that the prospective contract has necessary accounting controls. In order to aid the contracting officer’s responsibility determination pursuant to FAR 9.104-1 (e), the offeror shall provide evidence indicating that its accounting system is adequate for determining costs applicable to the contract. See FAR 16.301-3 (a)(3). Consequently, to be determined responsible for purposes of award of a contract under this solicitation an offeror’s accounting system must be adequate for determining costs applicable to this contract. Evidence may include DCAA audit reports, or other relevant audit reports. Note that the contracting officer may conduct exchanges with an offeror pertaining to its responsibility. Such exchanges, if any, do not constitute discussions. An offeror may be deemed non-responsible in the event it fails to provide evidence indicating its accounting system is adequate.
This solicitation provides for task orders to be issued on a cost plus fixed fee basis. Since the services to be obtained pursuant to this solicitation are of significant importance, the Government cannot afford delay in the award of contracts, and intends to evaluate proposals and make an award decision as soon as practical after receipt of proposals. Since the prospective contractors are small businesses, the contracting officer will also comply with applicable provisions of FAR 19.6, Certificates of Competency and Determinations of Responsibility.
g. Offerors are cautioned that it is the Government’s intent to make award selections without discussions.
Thus, it is incumbent upon each offeror to submit its best proposal upon initial submission. In the event discussions are conducted; a competitive range will be established in accordance with FAR 15.306(c)(1), and discussions will be held in accordance with FAR 15.306(d).
