SECTION SF 1449 - CONTINUATION SHEET

The following have been modified:

ADDENDUM TO FAR 52.212-2

I. BASIS FOR AWARD

a. This acquisition will be conducted in accordance with FAR Part 12 Acquisition of Commercial Items, FAR 13.5 Test Program for Certain Commercial Items and as supplemented by agency procedures using the Lowest Price Technically Acceptable (LPTA) source selection process. This is a source selection based on a selection of the technically acceptable offer with the lowest price. Technical acceptability will be based on a contractor submitting a quote that complies with all of the requirements listed in the Solicitation and Performance Work Statement (PWS).

An acceptable rating must be obtained for the technical factor and past performance factor. Any Unacceptable factor will result in the offeror being deemed technically unacceptable. Quoters are put on notice that:

1. The non-price factors will be evaluated on an “acceptable”/“unacceptable” basis.

2. The non-price factors are evaluated for acceptability and NOT ranked.

3. There is no relative order of importance of factors. Award will be made to the lowest priced quote that meets or exceeds all the minimum mandatory criteria in the solicitation evaluation factors.

b. In order to be eligible for an award, an offer shall be rated “ACCEPTABLE” on all non-price factors.

c. Once the Contracting Officer with the assistance of the Technical Team have identified the quotes that are technically acceptable, the Contracting Officer will make the award decision ONLY on the basis of lowest price.

d. The U.S. Government intends to evaluate quotes and award a purchase order without discussions; however, the U.S. Government reserves the right to hold discussions. It should be noted that there is no obligation on the part of the government to make an award to any quoter in response to this RFQ.

II. FACTORS TO BE EVALUATED

a. The evaluation factors for this solicitation are:

FACTOR I – TECHNICAL - CERTIFICATIONS

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation

Acceptable: The quote meets the minimum requirement of the solicitation if it provided all of the below certifications.

CCIAA certificate detailing the company qualification to work on photovoltaic systems and its qualification to operate on plants in compliance with D.M.#37/2008, art.1 letters "a, b"

ISO 9001 or of SOA certification (categories OG9-OG10-OS30 class I or higher);

"Dichiarazione di non essere oggetto di provvedimenti di sospensione o interdittivi di cui all'art. 14 del

D.Lgs n.81-2008

Unacceptable: The quote does not meet the minimum requirement of the solicitation if it does not provide all of the above certifications.

FACTOR II – TECHNICAL – PAST EXPERIENCE

The quoter shall demonstrate recent and relevant experience in scope, complexity, and price. The Government will evaluate the information concerning three relevant projects provided by the quoter on Past Experience Questionnaire attachment.

The technical factor will be rated on an acceptable/unacceptable basis using the following ratings:

Acceptable Proposal clearly meets the minimum requirements of the solicitation

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation

Proposal which meets the minimum requirements of the request for quote is considered the following: The quoter demonstrates relevant experience for at least three projects concerning maintenance and repair or installation of photovoltaic system. The past contracts must be completed or on-going within five years from the RFQ release date identified on SF 1449 Page 1, Block 6. The value of each work shall not be less than €3,000 ($3,341.50).

Proposal which does not meet the minimum requirement of the request for quote is considered the following:

The quoter fails to demonstrate relevant experience for at least three projects concerning maintenance and repair or installation of photovoltaic system. The past contracts were not completed within five years from the RFQ release date identified on SF1449 Page 1, Block 6. The value of each work shall was less than €3,000 ($3,341.50).

FACTOR III – PAST PERFORMANCE

Past performance will be rated on an acceptable / unacceptable basis using the following ratings:

Acceptable Based on the quoter’s performance record, the Government has a reasonable expectation that the quoter will successfully perform the required effort, or the quoter’s performance record is unknown.

Unacceptable Based on the quoter’s performance record, the Government has no reasonable expectation that the quoter will be able to successfully perform the required effort.

i. The quoter’s provided information (questionnaire) along with any information obtained by the Contracting Officer through alternate sources (independent research, Contract Performance Assessment Reporting System (CPARS), Contracting Officer knowledge, etc.) will be utilized to determine the quoters past performance as acceptable/unacceptable in accordance with the above table.

ii. The quoter shall submit the information as required using Past Performance Questionnaire attachment showing past performance of providing “Maintenance and Repair or Installation of Photovoltaic System” as described in the Performance Work Statement. The quoter shall provide at least three completed or on-going contract within five years from RFQ release date identified on SF1449 Page 1, Block 6. For Past Performance to be considered relevant, the magnitude must be not less than Euro 3,000.00 per individual work. To be considered recent, the project must be completed within the last five years from the date of this solicitation (date shows at Block no. 6 of SF 1449) or on-going. Ongoing contract means the contractor performed at least six months of performance from the RFQ release date. The Past Performance is considered to be not relevant if it is not similar in work i.e. work concerning Maintenance and Repair or Installation of Photovoltaic System as described in the Performance Work Statement and if the magnitude is less than Euro 3,000.00 per individual work. It will be considered not recent if it is not completed within the last five years from the date of this solicitation (date shows at Block no. 6 of SF 1449) or not on-going as define above.

iii. The Government may consider past performance information from other sources such as: quoter’s former customers, business associates, federal, state, and local government agencies; Federal Awardee Performance and Integrity Information System (FAPIIS), CPARS or other databases; interviews with Program Managers, and Contracting Officers.

iv. Note: In the case of a quoter without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the quoter may not be evaluated favorably or unfavorably on past performance. Therefore, the quoter shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

FACTOR IV – PRICE

Each Proposal will be evaluated for price reasonableness, completeness, and total evaluated price (TEP).

i. The price structure will consist of quantity multiplied by unit price equaling total line item cost. The price offer will be evaluated separately from the non-price factors. An assessment of the reasonableness of each proposed price will be made. The Contracting Officer will perform a price analysis of each quote found to be acceptable. Quoters are required to price the base period and the option periods. Quoters shall not submit a price for the potential six (6) month extension of services period. The Government may choose to exercise the Extension of Services at the end of any performance period (base or option periods), utilizing the rates of the performance period.

The price analysis is the process of examining and evaluating a proposed price to determine if it is fair and reasonable without evaluating its separate cost elements and proposed profit. The Contracting Officer may use various price analysis techniques and procedures to ensure a fair and reasonable price. The Government will assess price reasonableness and balance by using one or more of the techniques and procedures described under FAR 15.404-1, Proposal Analysis Techniques. Generally, adequate price competition will satisfy the criteria of price reasonableness. The Government will review the pricing submissions for completeness and compliance with FAR 52.212-1 and its addendum. Incomplete price submissions may not be evaluated and the proposal may be eliminated from the competition.

ii. For purposes of evaluating the total quoted price, the Contracting Officer will add the total line item costs for CLINs 0001 through 2003 in Euros or US Dollars (in accordance with the currency indicated in the quote), plus the total value of the option to extend services under FAR 52.217-8, to derive the total evaluated price. For the purposes of calculating the total price under FAR 52.217-8, the Contracting Officer will use one half of the sum of the total quoted prices for CLINs for the final contract year (either the base year or last option period as applicable).

iii. Total Evaluation Price. The total prices indicated at CLIN 0001 through 2003 will be evaluated for fair and reasonableness and for unbalanced pricing. Unrealistic, unbalanced or unreasonable pricing may cause a proposal to be determined unacceptable. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
