About this file

This is a draft Request for Proposal (RFP) for the Army's Artificial Intelligence and Software at Pace (AIS@P) Multiple Award Task Order Contract (MATOC) issued by Army Contracting Command - Aberdeen Proving Ground. The contract vehicle consists of two requirement pools: AI/ML supporting Project Linchpin and Software Development supporting PEO IEW&S portfolio needs. The base period is 5 years with one 5-year option period.

The contract has a $999M ceiling with a $500 minimum guarantee per awardee. Various contract types are allowed including FFP, FPI, T&M, CPFF, CPAF, and CPIF. The RFP outlines a phased evaluation approach across seven sub-requirement pools with targeted numbers of base awards: AI Onboarding Support (6 awards), Data Management & Labeling (20), Model Development & Training (30), Test & Evaluation (5), Software/Systems Engineering Support (30), EMS Techniques Development (20), and Infrastructure as a Service (20). Key requirements include maintaining TS/SCI facility clearance, providing AI/ML solutions, software development, and systems engineering support. Offerors participating in the Model Development pool (sRP1.3) cannot participate in other AI/ML pools but can propose to Software Development pools. Proposal submissions will begin in 2025 with exact dates TBD. The RFP includes provisions for perpetual on-boarding to maintain competitive sources.

c. Of the total LOE, it is estimated that 0 man-hours are uncompensated effort. 226 Uncompensated effort is defined as hours provided by personnel in excess of 40 hours 227 per week without additional compensation for such excess work. All other effort is 228 defined as compensated effort. If no effort is indicated in the first sentence of this 229 paragraph, uncompensated effort performed by the Contractor shall not be counted in 230 fulfillment of the level of effort obligations under this contract. 231

f. If the Contractor believes the total LOE will be expended prior to the end of the 246 period of performance the Contractor shall notify the Contracting Officer in writing. The 247 notification shall contain all the information necessary to support the need for the 248 additional LOE as well as the cost of the LOE. If the Government concurs, the 249 Contracting Officer will negotiate a change to the total LOE and increase the estimated 250 cost and fixed fee as appropriate. 251

g. If the total LOE specified in paragraph a above is not provided by the Contractor 253 during the specified period of performance, the Contracting Officer, at their sole 254 discretion, shall either: 255

(i) Reduce the fee of this contract as follows: 256 Fee Reduction Percentage = Total LOE – Expended LOE 257 Total LOE 258 Or 259

(ii) require the Contractor to continue to perform work until the total LOE shall have 260 been expended, at no increase in the fee. 261

h. The Contractor shall indicate on each invoice for payment the total LOE expended 262 during the period covered by the invoice, separately identifying compensated effort and 263 uncompensated effort, if any. 264

SECTION H: SPECIAL CONTRACT REQUIREMENTS 283

H.1 NORTH AMERICAN INDUSTRY CLASSIFICATION SYSTEM (NAICS) 285

NAICS Codes and small business size standards are periodically updated and revised 287 by SBA. If SBA revises NAICS Code(s) and small business size standard(s) that are 288 within the scope of the AIS@P IDIQ during the term of contract, the IDIQ PCO and/or 289 OCO may need to update the IDIQ and Order awards to reflect the updated NAICS 290 Code(s) and small business size standards(s). 291 The OCO has the responsibility to determine which predominant NAICS code applies to 293 an Order solicitation, whether or not the Order is unrestricted or set-aside, including the 294 type of socio-economic set-aside if applicable, and whether or not the solicitation is 295 sole-source or competitive. The OCO shall identify the NAICS Code Number, Title, and 296 Business Size Standard in the Order solicitation and report the NAICS Code in the 297 Federal Procurement Data System (FPDS). 298 The predominant NAICS code for the IDIQ contract is 541511, Custom Computer 300 Programming Services. 301

H.2 PRODUCT SERVICE CODES (PSC) 303

The PSC represents what products, services, and/or research and development (R&D) 305 was purchased by the federal government for each Order award reported in the Federal 306 Procurement Data System (FPDS). 307 The scope of this IDIQ spans across many PSCs, however, the primary PSC selected 309 shall be based on the predominant service that is being purchased. The OCO will 310 identify the PSC in the Order solicitation and report the PSC in the Federal Procurement 311 Data System (FPDS). 312

H.3 CONTRACTOR KEY PERSONNEL 314

Each IDIQ Contract Holder shall identify personnel to serve in the following roles at that 316 IDIQ level. The Government will not separately pay for these positions. No costs for 317 Contractor Key Personnel shall be billed to the AIS@P Program Office. Key personnel 318 at the IDIQ Contract level will serve as the primary points of communication throughout 319 the ordering period. Contract Holders may fill key personnel positions however they see 320 appropriate provided that the individual(s) filling those positions are empowered to 321 speak on behalf of the company. The following positions are identified as key personnel 322 at the Base Contract level. 323

1. Contractor Contract Manager (CCM): Contractor Representative responsible for 325 negotiating contractual matters on behalf of the AIS@P Contract Holder. 326

2. Contractor AIS@P Director: Member of the AIS@P Board of Directors. 328

Responsible for carrying out the duties described at Clause H.6, AIS@P Board of 329 Directors. AIS@P IDIQ Contract Holders may assign a lead and alternate for the 330 AIS@P Director position. 331

The Contractor shall ensure that the IDIQ PCO has current point-of-contact information 333 for the Contractor Key Personnel positions. In the event of a change to Contractor Key 334 Personnel, the Contractor shall notify the IDIQ PCO and provide all Point of Contact 335 information for the new Key Personnel within five (5) calendar days of the change. 336 Failure of Contractor Key Personnel to effectively and efficiently perform their duties will 338 be construed as conduct detrimental to contract performance and may result in Off-339

Ramping. 340

H.4 DATA/SOFTWARE RIGHTS ON ORDERS 342

Pursuant to the requirements set forth in DFARS 252.227-7017, Contractors are 344 required to specifically identify Data/Software Rights Assertions related to technical data 345 and software deliverables in every Order proposal. 346 To foster innovation and competition, contractors are encouraged to propose open 348 software architecture solutions for AIS@P MA IDIQ Orders. Proprietary solutions that 349 require exclusive processes, systems, maintenance, or support may not align with our 350 goals for future adaptability, modularity and competitiveness. By proposing open 351 architectures, contractors will contribute to a more flexible, interoperable, and 352 sustainable software ecosystem that promotes competition. Proposing proprietary 353 solutions under Order RFPs may be considered an element of an Offerors proposal that 354 increases risk of unsuccessful contract performance. 355 If a proprietary solution is proposed by a Contractor for a given Order requirement, the 357 Contractor shall mark their proposal accordingly and make it clear to the OCO all 358 limitations and costs associated with the solution. 359

H.5 ORGANIZATIONAL CONFLICTS OF INTEREST (OCI) DECLARATION/ 361

MITIGATION PLAN 362

For all Orders, Offerors shall identify and address in response to Order RFPs and 363 during performance of orders all actual or potential OCI situations with itself, 364 subcontractors, partners, or any other Offeror, per FAR Subpart 9.5 and all actual or 365 apparent unfair competitive advantages stemming from its, or its subcontractor’s, hiring 366 or association with a former Government official per FAR Subpart 3.1. If there are no 367 known actual or potential OCIs and/or no known actual or apparent unfair competitive 368 advantages, Offerors shall include a statement affirming that there are no known actual 369 or potential OCIs or no known actual or apparent competitive advantages within its 370 Order RFP. If any actual or potential OCIs and/or actual or apparent unfair competitive 371 advantages are identified, then the Offeror shall submit a mitigation plan within the 372 Order RFP or to the OCO during Order performance. If the OCO determines that any 373 actual or potential OCIs and/or actual or apparent unfair competitive advantages cannot 374 be mitigated, then the Offeror shall not be eligible for award. If the offeror identified an 375 OCI during order performance that cannot be mitigated, the order award may be 376 terminated and awarded IAW below Section H.8.1. 377

H.6 AIS@P BOARD OF DIRECTORS 379

Each AIS@P MA IDIQ Contract Holder will identify one (1) employee of the Prime 381 concern, or in the case of a Joint Venture the lead concern, as its AIS@P Director 382 (reference H.3). 383

1. The AIS@P Board of Directors will be chaired by the Government and meet on a 385 quarterly basis to discuss IDIQ contract performance risks, issues and opportunities 386 related to AIS@P endeavors. 387

2. The Government intends to leverage the AIS@P Board of Directors for market 389 research activities and establish a cross-functional collaborative domain in support 390 of future orders. 391

H.7 MEETINGS 393

The Government may require Contractor attendance in meetings, including the 395 attendance of Contractor Key Personnel at various locations. 396 Meetings may be electronic (ie. via Microsoft Teams), in-person at a government facility, 398 a commercial conference center, or a mutually agreed-upon Contractor facility on a 399 rotational basis, as determined by the Government. Follow-up meetings may be held 400 periodically throughout the duration of the AIS@P MAIDIQ contract to assess 401 performance against the goals, objectives and to reinforce partnering principles. 402 The Government may require up to four (4) Program Management Review (PMR) 404 meetings per year. PMRs are separate and distinct events from Board of Directors 405 meetings. AIS@P MAIDIQ Contract holders may utilize CCM and/or AIS@P Director 406 personnel to support PMRs. The goal of the PMR meetings is to provide a platform for 407 contractor holders, PEO IEW&S, ACC-APG staff, requirement owners, and other 408 agency representatives to communicate current issues, resolve potential problems, 409 discuss business and marketing opportunities, review future and ongoing Army and 410 Government-wide initiatives. Any Contractor costs associated to PMR Meetings shall be 411 at no direct cost to the Government. 412

H.8 ORDERING PROCEDURES 414

H.8.1 Rectify and Roll (R&R) - Order Level 416 The R&R strategy allows the Government to recognize a performance concern, rectify 418 the issue, and roll out a new solution. The Government intends TOs to have shorter 419 PoPs less than or equal to six (6) months and FFP when possible. At the end of the 420 base PoP, the Offeror’s performance will be evaluated based on their proposed 421 milestone accomplishment for that period. Offerors shall provide the government a 422 milestone plan for the base TO period of performance at. Satisfactory performance 423 would allow the TO option to be awarded and work to continue; however, any 424 performance concerns that are unresolved will result in the Option period not being 425 awarded, and a recompete and award of a new TO for a different solution will be 426 executed within approximately 30 days. 427 H.8.2 Proposal Preparation Costs 429

All costs associated with the preparation, presentation, and discussion of the Offeror’s 431 proposal in response to an order Request for Proposal (RFP) will be at the Offeror’s 432 sole and exclusive expense and each resulting order award will be funded by the 433 ordering agency at the order level. 434 H.8.3 Multiple Order Awards 436 The Government may award multiple order awards in response to a requirement should 438 the circumstances dictate. The Government will identify the intention to award one (1) or 439 multiple orders within the order RFP. All order awards that result from a single RFP do 440 not need to be awarded on the same day but will occur within the same 90-day period. 441 Each order RFP will include a statement concerning the number of orders the 442 Government anticipates awarding as a result of the order RFP, as well as instructions 443 for the length of proposal validity. 444

H.9 PERPETUAL ONBOARDING 447

The objective of perpetual onboarding is to maintain competitive sources for orders 449 and/or to obtain access to additional technologies and capabilities. The total number of 450 Contractors may fluctuate due to any number of reasons including but not limited to, 451 competition levels on orders, mergers & acquisition, new technologies, new entrants on 452 the market, and the Government's exercise of the off-ramp process. 453 The Government intends to conduct perpetual onboarding of new vendors into existing 455 RPs or sRPs. Post award of the base contract, which both establishes the RPs/sRPs 456 and the initial vendor awardees, the Government will begin to accept White Paper (WP) 457 submissions for additional vendors to be added to RPs/sRPs. The intent of this is for 458 the RP or sRP to always maintain “best of breed”, meaning the best possible solutions 459 or technologies are available for potential future Task Order/Delivery Order (TO/DO) 460 award. All awarded RPs or sRPs will be included in the perpetual onboarding 461 process. 462 PEO IEW&S also reserves the right to solicit and award additional RPs or sRPs through 464 holding a targeted on-ramp to supplement specific capabilities required by the 465 Government. This on-ramping shall be at the PEO IEW&S sole discretion and 466 announced via SAM.gov. 467 Initial WPs will not be accepted by the Government until 180 days post award of the 469 base contract. After the initial 180 days post award window has expired, the 470 Government aims to evaluate WPs within 90 days of receipt. Should the Government 471 choose to move forward with the vendor’s solution/technology, the Government’s target 472 is to onboard vendors into their respective RP/sRP within 180 days of receipt of WP. 473 The Government requests vendor WP submissions for consideration to be sent 475 electronically to: usarmy.apg.peo-iews.mbx.aisap@army.mil. 476 mailto:usarmy.apg.peo-iews.mbx.aisap@army.mil

WP submissions shall be no longer than 10 pages in length, size 12, with Arial 477 font. WPs shall address the following: 478

• The requested RP or sRP the vendor is requesting consideration for 479

• An overview of the solution/technology being presented to include benefits and 480 efficiencies 481

• How presented solution/technology would meet requirements of the RP or sRP 482 requested 483

• Vendor data rights assertions for presented technology 484

Upon receipt of WP, the Government will review the submission and determine if the 485 presented technology is of interest to the Government. If upon initial review of the WP 486 the Government determines that the vendor’s solution or technology is of interest and is 487 a candidate for onboarding, the vendor will then be asked to submit a proposal within 30 488 days utilizing the same Sections L and M of the initial base contract solicitation for the 489 requested RP or sRP. The Government will include the appropriate Sections L and M in 490 its invitation to the vendor to submit a full proposal. A RFP post-WP is not an automatic 491 entry into a RP/sRP – vendors will still be evaluated leveraging sections L and M. 492 The Government will then evaluate the vendor’s proposal submission utilizing the base 494 award Sections L and M. Upon a successful evaluation of the proposal, the vendor will 495 be added to the requested RP or sRP and be eligible to compete for future TO/DOs. 496

H.10 SMALL BUSINESS PARTICIPATION COMMITMENT 498

Small Business Participation will be addressed at the order level for AIS@P actions. 500 Note that the Limitations on Subcontracting clause only applies at the order level. Small 502 businesses may compete on unrestricted orders without having to meet the 503 requirements of the Limitations on Subcontracting clause. 504 The AIS@P IDIQ contract vehicle does not have a specific reserve for 8(a) participants 506 nor any of the applicable clauses. Accordingly, there is no built-in mechanism to offer an 507 order to SBA for inclusion in the 8(a) program. Therefore, it is not possible to set-aside 508 an award for 8(a) vendors nor is it possible to award sole source to an 8(a) vendor. 509

L.1 PROPOSAL SUBMISSION/GENERAL INSTRUCTIONS 843

The MATOC will consist of two Requirement Pools (RP) with each RP consisting of sub-845 Requirements Pools (sRP). Proposals shall be submitted via email to the following 846 Government Points of Contact (POCs): 847

Procuring Contracting Officer, Kristen Weiman, kristen.l.weiman.civ@army.mil 849 Contract Specialist, Thomas Lueddeke, thomas.j.lueddeke.civ@army.mil 850

All questions shall be submitted in writing and directly to the Government POCs 852 identified above. Offerors shall not contact any Government personnel other than the 853 Government POCs identified above concerning this competition. Contacting any 854 Government personnel other than the individual identified above may result in an 855 organizational conflict of interest (OCI) and may result in an Offeror being excluded from 856 competition and award. 857 The size per email shall not exceed 24MB. If necessary, Offerors may submit multiple 859 emails. If proposing to multiple sRPs, Offerors shall send separate emails for each 860 submission. The subject of the email(s) shall include the sRP number and Offeror 861 name. If a complete proposal is not submitted by the RFP submittal deadline identified 862 in the SAM.gov solicitation posting, the Offerors proposal will not be considered for 863 award. It is the responsibility of the Offeror to contact the Government POCs identified 864 above to confirm their proposal has been received. Confirmation of receipt does not 865 equate to confirmation of contents of the proposal. 866 Proprietary information shall be clearly marked. Notwithstanding applicable USG, DoD, 868 and DA policy, if information contained in the proposal is in the public domain or cannot 869 be protected under law as trade secret (e.g., a patent application), the U.S. Army will 870 not accept liability for failure to safeguard it against open disclosure. Offerors that 871 include in their proposals data that they do not want disclosed to the public for any 872 purpose, or used by the Government except for evaluation purposes, shall IAW FAR 873 52.215-1(e): 874

(1) Mark the cover page with the following legend: 876 This proposal includes data that shall not be disclosed outside the Government 878 and shall not be duplicated, used, or disclosed-in whole or in part-for any 879 purpose other than to evaluate this proposal. If, however, a contract is awarded 880 to this offeror as a result of-or in connection with-the submission of this data, the 881 Government shall have the right to duplicate, use, or disclose the data to the 882 extent provided in the resulting contract. This restriction does not limit the 883 Government's right to use information contained in this data if it is obtained from 884 another source without restriction. The data subject to this restriction are 885 contained in sheets [insert numbers or other identification of sheets]; and 886

(2) Mark each sheet of data it wishes to restrict with the following legend: 888 mailto:kristen.l.weiman.civ@army.mil mailto:thomas.j.lueddeke.civ@army.mil

Use or disclosure of data contained on this sheet is subject to the restriction on 890 the title page of this proposal. 891

Offerors may encrypt and/or password protect proprietary information as they see fit. 893 However, if the Government is unable to access the documents, the proposal will not be 894 considered for award. All Security permissions on Excel spreadsheets (i.e. “.xlsx”) if 895 applicable shall be set to allow the Government to select, cut, paste, review, and print 896 text and graphics without the need for a password. Microsoft Office 2016 software or 897 higher, and Adobe software if applicable, shall be used to create the required files. 898 In order to reduce proposal size, proposals shall be limited to the number of pages as 900 outlined below for each volume. All proposal information shall be confined to the 901 appropriate file. The page limit (identified in the table below is viewed as total pages 902 within a file, excluding a table of contents, cross reference matrixes, cover page, and 903 glossary page). The Government will not evaluate any pages that exceed the page 904 limitation(s) identified below. Unless noted otherwise in the Section below, pages 905 containing text shall be typewritten using the standard letter size (8.5 x 11) in Microsoft 906 Word. Text shall be a minimum of 12- point Times New Roman or Arial font and no less 907 than one-inch margins/borders. Any headers/footers, call out boxes, captions, table or 908 graphic shall use a minimum of 10-point Times New Roman or Arial font. Drawings or 909 other graphics shall be reduced only to the extent legibility is not lost. Website content 910 that is hyperlinked within the proposal will not be evaluated. 911 The proposal/technical solution shall be clear, concise, and shall include sufficient detail 913 for effective evaluation and for substantiating the validity of stated claims. The proposal 914 should not simply rephrase or restate the Government's requirements but, rather, shall 915 provide convincing rationale to address how the Offeror intends to meet these 916 requirements. Offerors shall assume that the Government has no prior knowledge of 917 their facilities or experience and will base its evaluation on the information presented in 918 the Offerors proposal. 919 Offerors shall not submit any assumptions, terms, conditions, caveats, or exceptions 921 with their proposals. All concerns shall be addressed and resolved by submitting 922 questions by the due date for RFP questions specified in the SAM.gov solicitation 923 posting. No assumptions, terms, conditions, caveats or exceptions submitted with 924 proposals in response to RFPs will be accepted or incorporated into the resulting award. 925 Each volume shall be properly identified, numbered, clearly indexed, and logically 927 assembled. Each volume shall also contain clearly identified sections and all pages 928 shall be numbered and identified by the complete company name, date, and solicitation 929 number in the header and/or footer. Information shall be confined to the appropriate 930 volume to facilitate independent evaluation. Each volume shall be presented on a stand-931 alone basis so that the Government can evaluate its contents without cross-referencing 932 to other volumes of the proposal. The Government may consider information it requires 933 for proposal evaluation that is not found in its designated volume as having been 934 omitted from the Offerors proposal. 935

All proposals shall be valid for a minimum of 180 days for award and proposals offering 937 a shorter period of validity less than 180 days will not be considered for award. All 938 proposal submission files shall not contain classified data or information. 939 All previously released draft versions of the solicitation/RFP and question and answers 941 relating to those draft versions are non-binding and do not apply to this final released 942 solicitation. 943
