B.1. ORDERING
This contract is an Indefinite Delivery, Indefinite Quantity (IDIQ) as defined by FAR 16.504. In accordance with (IAW) FAR 52.216-18, Ordering, the Government may issue orders pursuant to the following terms and conditions:
B.2. IDIQ ORDERING PERIODS (OP)
OP 1: Date of contract award through 364 days
OP 2: 365 days through 729 days after contract award
OP 3: 730 days through 1,094 days after contract award
OP 4: 1,095 days through 1,459 days after contract award
OP 5: 1,460 days through 1,824 days after contract award
B.3. ORDER PRICING
Order pricing will be based on the OP that the order is issued and not the date of delivery or completion. Orders will be issued utilizing the labor rate schedules listed in Section B. The amounts shown on each order constitute individual cost estimates IAW FAR
52.232-20, Limitation of Cost. See paragraph H.1 for additional ordering provisions.
B.4 IDIQ CONTRACT MINIMUM / MAXIMUM ORDER
IAW FAR 52.216-22 Indefinite Quantity:
B.4.1 Minimum 5-year quantity: 1 Lot for Phase In Period (FFP)
B.4.2 Maximum 5-year quantity: 7,242,735 labor hours
B.4.3 Maximum including 6-month optional extension: 7,967,009 labor hours
B.4.4 The contract Minimum is the contract Phase In. Ordering of this Phase In CLIN will constitute the contract minimum ordering quantity. The contract Maximum is the contract Phase In plus a total of 7,242,735 labor hours, with a 6-month optional extension of
724,274 labor hours.
B.4.5 The Government will provide the contractor at least 30 calendar day notice of its intent to exercise the 6-month option IAW FAR
52.217-8, Option to Extend Services.
B.5 FIXED FEE
B.5.1 The fixed fee, together with the reimbursement of cost shall constitute full and complete consideration for the contractor services in connection with the work required and performed under this contract. The contractor will be paid the total fixed fee for the scope of work IAW Section B.5.2 and B.5.3 below.
B.5.2 COMPLETION TASK ORDER(S) (TO)
B.5.2.1 The contractor shall be paid the total fixed fee stated in Section B opposite the CLIN awarded for the performance of work IAW the contract clause entitled FIXED FEE, FAR 52.216-8. The fixed fee together with the reimbursement of cost shall constitute full and complete consideration for the contractor services in connection with the work required and performed under this contract. IAW FAR
16.306(d)(1), the total fixed fee is payable at the end of performance upon satisfactory delivery of the specified end product within the estimated cost. The total fixed fee payment shall be subject to the withholding provisions.
B.5.2.2 Pursuant to FAR 52.232-20 Limitation of Cost and FAR 16.306(d) Cost-Plus-Fixed-Fee Contracts, in the event the contractor cannot complete the scope within the estimated cost, the Government may require more effort without increase in fixed fee, provided the
Government increases the estimated cost.
B.5.3 TERM TASK ORDER(S) (TO)
B.5.3.1 The payable fixed fee amount is directly tied to the actual Term hours expended. Each time the contractor invoices for fee, it shall calculate a cumulative billable fee amount by identifying the amount of hours performed for each labor category multiplied by the proposed composite fixed fee dollar per hour for each respective labor category. Accordingly, the contractor shall only invoice the hourly fixed fee dollar per hour for each hour performed. The fixed fee dollar per hour does not change in the event that the contractors invoiced fully burdened labor rate (less fee) changes. Fixed fee payment(s) shall be subject to the withholding provisions.
B.5.3.2 Fixed Fee CLIN Value. The Fixed Fee indicated on each CPFF CLIN indicates the maximum allowable fee, and the contractor shall perform 100% of the specified Term hours for the stated period of performance in order to be entitled to that full amount. Facilities
Capital Cost of Money (FCCM) is not factored into fee calculations.
B.5.3.3 Fixed Fee Example. The below examples include generic scenarios to illustrate the authorized fixed fee calculations. These scenarios do not pertain to the actual costs or labor requirements of this contract and are for demonstration purposes only.
4 49
Name of Offeror or Contractor:
PIIN/SIIN MOD/AMD
Scenario 1: 100% of Hours Performed
Position 1: The Proposed FBLR (less fee) was $50.00, but the Actual FBLR (less fee) is $50.75. The required hours on the TO were 1920, and the Actual Hours Performed are 1920. The Proposed Composite Fixed Fee is $2.50. The Invoiced Labor would equal $97,440.00 ($50.75 *
1920) or (Actual FBLR * Actual Hours Performed). The Invoiced Fee would equal $4,800.00 ($2.50 * 1920) or (Proposed Composite Fixed Fee
$ Per Hour * Actual Hours). The invoice total would be $102,240.
Scenario 2: 95% of Hours Performed
Position 1: The Proposed FBLR (less fee) was $50.00, but the Actual FBLR (less fee) is $50.75. The required hours on the TO were 1920, but the Actual Hours Performed are 1824. The Proposed Composite Fixed Fee is $2.50. The Invoiced Labor would equal $92,568.00 ($50.75 *
1824) or (Actual FBLR * Actual Hours Performed). The Invoiced Fee would equal $4,560.00 ($2.50 * 1824) or (Proposed Composite Fixed Fee
$ Per Hour * Actual Hours). The invoice total would be $97,128.
Note: Fixed fee is a dollar amount per hour based on the proposed composite fee percentage applied to the initial proposed FBLRs. The fixed fee amount per hour is fixed and does not fluctuate with actual costs (i.e. fixed fee is NOT the proposed fee percentage applied to actual costs). Fixed fee is the proposed dollar amount per hour multiplied by the actual hours performed as shown in the scenarios above.
B.5.3.4 The payable fixed fee amount on each invoice is based upon the fixed fee dollar amounts per hour(s) multiplied by the actual hours worked for the associated labor categories, while satisfactorily completing the specified Term hours for the stated period of performance. In the event the Government wants to increase the specified Term hours, the additional hours are subject to more estimated cost and fixed fee. The contractor is not authorized to incur effort in excess of the specified Term hours. Any costs incurred for excess effort are unallowable.
B.5.3.5 Pursuant to FAR 52.232-20 Limitation of Cost , in the event the contractor cannot perform Term hour(s) within the estimated cost set forth in the CLIN, the Government may increase the estimated cost of the hour(s) but will not increase the fixed fee for the hour(s).
