PERFORMANCE WORK STATEMENT (PWS)

NORMANDY 79th Annual D-Day Celebration Charter Bus Transportation

Part 1

General Information

1. Introduction: This is a non-personal services contract to provide Bus Transportation Services for the 79th Annual D-Day Celebration in Normandy, France. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1 Background: USAREUR-AF, has a requirement for contractor services to provide charter bus transportation in support of the 79th Annual D-Day Commemoration Ceremony. Contracted support is required to transport Soldiers to various locations and ceremonies throughout Normandy, France. Transportation will be available to move Soldiers to all required events at the required time. The first day of required transportation is indicated in paragraph 5.2. USAREUR-AF historically provides contract support for services in support of ceremonies. Ceremonies support will be required at various locations throughout the period of performance.

Tentative locations are indicated in paragraph 5.2

1.2 Responsibilities: The Contractor shall assume total responsibility for all requirements stated herein on the commencement date of the performance period. The Contractor shall perform as specified in this Contract and under the direction of the Contracting Officer (KO). See also Paragraph 1.1 Introduction.

1.2.1 Work Responsibility: The Contractor shall perform all work and assume responsibility for planning, programming, administering, managing, and executing all functions necessary to provide the services specified in this PWS. The Contractor shall conduct work in accordance with this PWS and all applicable United States (U.S.), French, and local laws, regulations, standards, provisions, and directives. The Contractor shall ensure that all work meets the level of service, performance standards, or tolerances specified in the PWS or in applicable referenced documents.

1.2.2 Administrative Responsibility: The Contractor shall perform all related administrative actions required to provide services or perform work such as material requisitioning, quality control (QC), financial control, meetings, and correspondence. The Contractor shall also maintain accurate and complete records, files, and libraries of documents to include all U.S., French, and local regulations, standards, provisions, codes, laws, technical manuals, and manufacturers’ instructions and recommendations that are necessary and related to the functions being performed. The Contractor shall compile historical data, prepare required reports, and submit information as specified by the Deliverable List presented in this PWS.

1.3 Objectives: Charter bus transportation services. Services include the transportation of Soldiers to all required locations throughout Normandy. The contractor shall accomplish transportation requirements per the guidelines in this document.

1.4 Functional Areas: Charter Bus Transportation Services

1.5 Period of Performance: The Period of Performance (POP) shall be 30 May 2023 – 07 June 2023.

1.6 Management and Administration:

1.6.1 Phase In /Phase Out Period: Non-Applicable.

1.6.2 Contractor Management: The Contractor shall perform continual management of the functional areas contained in this PWS and shall provide a Project Manager physically present on-site during normal duty hours. The Project Manager shall conduct overall management coordination and shall be the central point of contact (POC) with the Government for performance of all work under the PWS. A Contractor employee shall be designated to act for the Project Manager when work is being performed outside of duty hours, or during the Project Manager’s absence. Both the Project Manager and the Contractor employee filling in for the Project Manager, shall have full authority to act for the contractor on all Contract matters relating to daily operation of this Contract.

1.6.3 Contractor Responsiveness: The Project Manager or designated alternate shall be available for telephone communication or site attendance, with the COR, as required by the COR, A personal answering service is permitted at other than normal Contract workdays and work hours for receipt of COR emergency response work requirements, provided that the Project Manager or designee responds to all calls within a time not to exceed two hours after notification of the call by the answering machine and/or service. The Project Manager and any individuals designated to act in that capacity shall have full authority to contractually bind the Contractor for prompt action on matters pertaining to execution of the PWS.

1.6.4 Meetings, Conferences, and Briefings: The Contractor shall attend, participate in, and furnish input to scheduled and unscheduled meetings, conferences, and briefings that relate to the functions and services herein as required by the Government to provide effective communication and impart necessary information. The Project Manager or designated representative shall attend meetings as requested by the Government. Meeting attendees shall at times include Contractor managerial, supervisory, and other personnel knowledgeable of the subject matter.

Meetings may start or end outside of regular duty hours.

1.6.5 Hours of Operation: The contractor is responsible for conducting business, during the period of performance.

The contractor shall coordinate daily with the COR and expect to be able to adjust times if needed in order to accommodate daily schedule identified in 5.2.3.3. For other than firm fixed price contracts, the contractor will not be reimbursed when the government facility is closed for the above reasons. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.

1.6.6 Recognized Holidays: Contractor shall perform during all recognized U.S. and French holidays as required to maintain service during the POP as defined by this PWS.

1.6.7 Training Holidays: USAREUR-AF has historically granted military personnel Training Holidays as compensation for time that they spent in field training. These are typically combined with regular holiday leave schedules (for example, Christmas half days or day on day off schedules). Training Holidays may affect access to military operated facilities. If scheduled work or access to facilities is required, coordination with occupants will be necessary or the work in affected facilities shall be rescheduled after the training holiday. However, announced training holidays or exodus of military personnel may provide the Contractor with an opportunity for unrestricted access to facilities and areas. The Contractor shall take full advantage of such opportunities by planning maintenance or actions that are better accomplished when such areas are vacant.

1.6.8 Quality Control: The contractor shall develop and maintain an effective quality control program (QCP) to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract.

A draft QCP shall be submitted with the contractor’s proposal, and will be evaluated for acceptance. At minimum, the draft QCP shall include procedures to identify, prevent, and ensure non-recurrence of delayed or defective services as outlined in Part 5- Specific Tasks. After contract award, a final QCP is to be delivered, within 10 days after contract award. Three copies of a comprehensive written QCP shall be submitted to the KO and COR within 5 working days when changes are made thereafter. After acceptance of the quality control plan the contractor shall receive the contracting officer’s acceptance in writing of any proposed change to his QC system.

1.6.9 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards.

It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

1.6.10 Place of Performance: The work to be performed under this contract will be performed in the Normandy Ceremony area of operations.

1.6.11 Type of Contract: The government will award a Firm Fixed Price contract.

1.6.12 Security Program: The contractor will not be expected to maintain any level of security clearance for this event.

1.6.12.1 The contractor and all associated subcontractor employees will comply with applicable installation, facility, and area commander installation/facility access and local security policy and procedures (provided by Government representative). The contractor will also provide all information required for background checks to meet installation-access requirements to be accomplished by the installation provost marshal office, director of emergency services, or security office. The contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA, and local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the force protection condition (FPCON) at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

1.6.13 Physical Security: The contractor shall ensure buses have road safety kits in vehicles, and adhere to all local and host nation laws regarding the physical security of transportation vehicles.

1.6.14 Key Control: Non-Applicable

1.6.15 Special Qualifications: The contractor is responsible for maintaining all required certifications in accordance with French Laws related to bus transportation. Bus drivers must be fully qualified and licensed to drive commercial passenger buses in France.

1.6.16 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The contracting officer, Contracting Officers Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the contracting officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.

1.6.17 Contracting Officer Representative (COR): The (COR) will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.6.18 Key Personnel: The following personnel are considered key personnel by the government: An English speaking Supervisor on site in Saint Mere Eglise, France during execution of the contract. The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer representative. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The contract manager will be available during operating hours and on-call during non-operating hours. The contract manager will be available during operating hours and on-call during non-operating hours. The supervisor will attend the daily morning and evening syncs to ensure they understand the bus schedule. The supervisor will provide the COR a bus schedule 24 hours prior to each day to ensure the ceremony matrix is updated ahead of each sync.

1.6.19 Identification of Contractor Employees: All contract personnel shall be identified with an employer issued badge so as to clearly indicate the person is an authorized contractor employee. The badge shall, at a minimum, contain a picture of the employee with the individual’s full name shown and easily read.

1.6.20 Contractor Travel: Not Applicable.

1.6.21 Other Direct Costs: Not Applicable.

1.6.22 Data Rights: Not Applicable.

1.6.23 Organizational Conflict of Interest: Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the Contracting Officer to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the Contracting Officer and in the event the Contracting Officer unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may effect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.

1.6.24 Safety: The Contractor shall provide drivers licensed IAW with applicable laws, regulations, and standards for driving in France.

1.6.25 Environmental Compliance: The Contractor shall comply with all host nation and local laws regarding environmental compliance.

ACRONYMS

2. Definitions And Acronyms:

2.1 Definitions:

Contractor - A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

Contracting Officer - A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.

Contracting Officer's Representative (COR) - An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

Defective Service - A service output that does not meet the standard of performance associated with the Performance Work Statement.

Deliverable - Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.

Key Personnel - Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

Physical Security - Actions that prevent the loss or damage of Government property.

Quality Assurance - The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

Quality Assurance Surveillance Plan (QASP) - An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

Quality Control - All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

Subcontractor - One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

Work Day - The number of hours per day the Contractor provides services in accordance with the contract.

Work Week – 7 Days a week.

CONTRACTOR FURNISHED ITEMS AND SERVICES

4. Contractor Furnished Items And Responsibilities:

4.1 General: The Contractor shall furnish all supplies, equipment, facilities and services required to perform work under this contract that are not listed under Section 3 of this PWS.

4.2 Secret Facility Clearance: Not Applicable.

4.3 Materials: The contractor shall provide all materials as identified in Part 5 below. Contractor will provide any and all materials necessary to satisfy the contract intent, whether or not specifically mentioned in this document.

4.4 Equipment: The Contractor shall furnish all equipment, supplies, and labor to provide charter bus transportation services.

Part 5

SPECIFIC

TASKS

5.1 Basic Services: The contractor shall provide a bus package of 50 passenger and 25 passenger buses with a total transport capacity of up to 600 passengers required to drive up to approximately 200KM per day to locations in Normandy, France. All buses drives shall be properly licensed and insured to meet all French laws and regulations needed to operate within Normandy, France IAW paragraph 1.6.15.

5.2 Recurring Services: The contractor shall provide the following:

5.2.1 The contractor shall furnish all equipment, supplies, management supervision, and labor to provide transportation services between the hours of 0600hrs until 0000hrs throughout the period of performance with deviations from this requirement approved by the COR no later than 24 hours prior to the day of use. It is the contractor’s responsibility to meet all host nation laws and regulations to meet the full requirements of Part 5 of this

5.2.2. A defined bus route schedule will be provided by the COR 7 days prior to the beginning of the period of performance (POP). All bus routes are subject to change to meet the Governments need which will be communicated to the contractor’s bus supervisor by the COR during the synchronization meeting (paragraph 1.6.18). The changes communicated by the COR should not affect the other routes as required by the route schedule provided by the COR IAW with this PWS paragraph. Any changes communicated by the COR that will affect other routes will be communicated by the bus supervisor during the synchronization meeting.

5.2.3 Employee Uniforms: Contractor personnel shall present a neat appearance and shall be easily recognized.

Employees shall wear contractor-furnished uniforms.

5.2.3.1. Identification Badges: All contract personnel shall be identified with an employer issued badge so as to clearly indicate the person is an authorized contractor employee. The badge shall, at a minimum, contain a picture of the employee with the individual’s full name shown and easily read.

5.2.4. Conduct of Employees: The Contractor shall be responsible for the performance and conduct of all personnel employed under this contract. The Contractor shall prohibit employees from performing work under this contract while under the influence of alcohol, drugs, and other incapacitating agents. Contractor personnel shall abide by all security regulations of the installation and shall be subject to such checks as may be deemed necessary. No verbal or physical abuse will be tolerated while on duty.

5.2.4.1 Use of Alcoholic Beverages/Drugs: The use of alcoholic beverages or illegal drugs by contractor personnel, while on duty, is strictly forbidden. The Contractor shall immediately remove and replace employees who are under the influence of alcohol or drugs. Any replacement drivers will be qualified and licensed as described in paragraphs

1.6.15 and 1.6.24. Replacement drivers will be properly identified as required in paragraphs 1.6.19 and 5.2.4.1. Other replacements will be fully qualified to perform their roles in accordance with Army Regulation 385–10 The Army Safety Program, local French laws, regulations, and standards.

5.2.4.2. Smoking: There shall be no smoking inside the buses at any time, by the operator or passengers.

5.2.4.3 The Contractor shall provide each bus with a number to be displayed on the front window and door at all times so Soldiers know which bus they are getting on.

5.2.4.4 The Contractor shall provide each bus with a printout of every ceremony location, which will be displayed on the front window and door at all times so Soldiers know which ceremony that bus is going to.

5.2.5. Emergency Medical Treatment: Government furnished medical service is not available to contractor personnel except to save life, limb, or eyesight. Therefore, the contractor will be expected to provide all other medical services to employees required by law.

5.2.6. Definition of Clean and Sanitized: For the purpose of this PWS, the following definition will be applied by the Government to measure performance. Properly cleaned equipment shall be free of dirt, garbage, and food particles. Properly sanitized surfaces have been treated using routine cleaning by contractor throughout service.

5.2.7. Upon notification from the Contracting Officer, the Contractor shall immediately replace any drivers who operates a vehicle in an unsafe manner, as determined by the Contracting Officer Representative.
