EXECUTIVE SUMMARY
1. The Army Contracting Command, Rock Island Contracting Center (RICC), Rock Island, IL has a requirement to procure Flexible Rotating Band Covers for the M1122/M1123/M1124 programs.
2. This procurement is a Small Business Set-Aside and the quantity awarded is expected to result in two or more five (5) year, Firm Fixed Price (FFP), Indefinite Delivery/Indefinite Quantity (IDIQ) contracts to the offeror(s) whose proposal(s) are in compliance and adhere to all the terms and conditions of the solicitation with the lowest total evaluated price. The Government reserves the right to make a single award if determined to be in the Government's best interest.
3. Shipments will be F.O.B. Destination to Pine Bluff Arsenal (PBA), Pine Bluff, AR, Crane Army Ammunition Activity (CAAA), Crane, IN, and McAlester Army Ammunition Plant (MCAAP), McAlester, OK.
4. Offerors shall provide their proposed unit prices for the quantities in the Price Matrix set forth in Attachment 0001. Proposed unit prices are limited to two decimal places. The proposed unit prices shall be the prices used by the Government to calculate the total evaluated price. Offerors must propose unit prices for all quantity ranges for all ordering periods identified in the price matrix. Failure to do so may result in the offer being rejected.
5. The Guaranteed Minimum(s) will be issued concurrently with award of the basic IDIQ contract(s) on Delivery Order 0001 to each offeror receiving an award. The Guaranteed Minimum is a Pre-Production Sample of 10 each Flexible Rotating Band Covers. Each offeror awarded a guaranteed minimum will be eligible to compete for future orders. The Government is only obligated to award the guaranteed minimum quantity of 10 Pre-Production samples to each awardee to be awarded in conjunction with the basic IDIQ contract award.
6. If a requirement for a production quantity is available at time of award, the Government reserves the right to award the production quantity in addition to the guaranteed minimum Pre-Production Samples. The Government will award that requirement to the two Offerors whose proposals are determined to be the lowest priced of all the Offerors receiving awards. The Government reserves the right to make more than two awards if determined to be in the Government's best interest.
7. Once the Guaranteed Minimum has been met, subsequent Delivery Orders will be competed in accordance with Fair Opportunities to compete provisions in FAR Part 16.505. The U.S. Government intends to compete delivery orders based on price and schedule. However, the U.S. Government reserves the right to utilize other factors in the evaluation of delivery orders as determined necessary to meet requirements.
8. The Guaranteed Minimum Pre-Production Samples are due 30 days after award. The Government response time to approve the Pre-Production sample is 10 days.
9. It is anticipated that this action will result in a Firm-Fixed Price contract with Most Probable Quantities as follows:

Long-term contract means a contract of more than five years in duration, including options. Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.
(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(3) For long-term contracts--
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and
(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.
(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

Within 10 calendar days after the Government receives the Preproduction Samples, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval or disapproval of the Preproduction Sample. I. Before the Preproduction Sample approval, the acquisition of materials or components for, or the commencement of production, the balance of the contract quantity is at the sole risk of the Contractor. Before Preproduction Sample approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for convenience of the Government.
J. The Government may waive the requirement for Preproduction Samples where supplies identical or similar to those called for in the schedule have been previously furnished by the offeror/contractor and have been accepted by the Government. The offeror/contractor may request a waiver.
K. The Contractor shall produce both the Preproduction Sample and the production quantity at the same facility and shall submit a certification to this effect with each Preproduction Sample.

The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. Item No. Quantity of Contract
(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.
