GENERAL INSTRUCTIONS:
1. These instructions are a guide for preparing your quote. These instructions generally describe the type and extent of information you should provide and address in your quote. You should include in the quote sufficient information to enable the evaluators to determine your understanding of the requirements in each of the evaluated areas. It is the U.S. Government's intent to award a Firm Fixed Price one (1) base year contract and four (4) one year option years using the Lowest Price Technically Acceptable (LPTA) process in accordance with Federal Acquisition Regulation (FAR ) 15.101-2 to select the successful offeror and no trade-offs will be made. The U.S. Government intends to evaluate quotes and award without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offerors initial response should contain the offeror’s best terms and price. However; the U.S. Government reserves the right to conduct discussions if determined necessary by the Contracting Officer.
2. Quote Submission and Format: The offeror's quote shall be prepared and authorized by a person regularly employed by the offeror. The quote should state the name of each person contributing to the authorship of the quote, the person's position title, phone number, and email address of the person who should be contacted should a contract be awarded. Other formats such as (but not limited to) third party cloud file services, hard copies, CDs, and Drop Box) will not be acceptable. Failure to provide a complete quote package will result in the offer being determined non-responsive and it will no longer be considered for award.
FOR THIS PROCUREMENT, THE FOLLOWING FACTORS WILL BE EVALUATED.
Facor 1: Technical Factor 2: Price
FACTOR 1: TECHNICAL:
Experience - In the regular course of its business for a period of at least 3 years preceding the solicitation issue date, the Offeror shall demonstrate, in writing, their experience relative to this requirement. The following shall be provided as evidence:
REFERENCES: Each Offeror shall provide contact information (including at least Company Name, Contact Name, Contact Telephone Number, E-mail address and a description of the services performed) for minimum of (2) projects of similar scope and scale.
FACTOR 2: PRICE:
Offerors shall provide their proposed prices in the Pricing Matrix, Attachment 0002. Proposed prices are limited to two decimal places. The proposed prices shall be the prices used by the Government to calculate the Total Evaluated Price. Offerors must propose prices for the Base Period and the Option Years identified in the Pricing Matrix. Failure to do so could result in the offer being rejected. All prices for this acquisition shall be stated in current U.S. dollars and shall include escalation, as appropriate. The submission shall consist of: One MS Excel electronic file copy of the completed Pricing Matrix (Attachment 0002).
Instructions for completion of the Pricing Matrix:
- All information to be filled in by the Offeror is highlighted on the Pricing Matrix in blue.
- The Offeror shall enter its full name in the space provided.
- The Offeror shall enter unit prices for the base and each Option Year.
- The spreadsheet will limit the display of the offered unit prices to two decimal places.
No other information is to be added to the Pricing Matrix, nor shall Offerors make any changes to the Pricing Matrix.
If an Offeror fails to submit prices for the Base Period and each Option Year, the submission may be considered unacceptable and the Government may reject the submission.
The CLIN structure and a description of the costs to be included in each CLIN is as follows:
CLIN 0001 –Preventive & Mechanical Maintenance Services (Firm Fixed Price) as described on the Performance Work Statement (PWS) dated 24 June 2020.
CLIN 0002 – Emergency Call-out Services (Time & Material) – Offeror shall provide a fully burdened labor rate for four (4) Scenarios.
CLIN 0003 – Parts (actual cost) – No pricing submitted under solicitation.
CLIN 0004 – Contractor Manpower Reporting (Not Separately Priced) CLIN 0005 – Contract Data Requirements List (CDRLs), DD Forms 1423 (Not Separately Priced)
EVALUATION CRITERIA:
The following factors shall be used to evaluate offers:
TECHNICAL AND PRICE. The technical evaluation factor will be assigned a GO/NO-GO rating. The price evaluation factor will not be assigned a rating. Price will be evaluated to determine whether it is fair and reasonable.
FACTOR 1: TECHNICAL
GO Rating: The Offeror provided Experience described as follows - In the regular course of its business for a period of at least 3 years preceding the solicitation issue date, the vendor shall demonstrate, in writing, their experience relative to this requirement. The following shall be provided as evidence:
REFERENCES: The Offeror provided contact information (including at least Company Name, Contact Name, Contact Telephone Number, E-mail address and a description of the services performed) for minimum of (2) projects of similar scope and scale.
NO-GO Rating: The Offeror did not submit the requested documentation to verify experience relative to this requirement. The following was NOT provided as evidence:
REFERENCES: The Offeror did not provide contact information (including at least Company Name, Contact Name, Contact Telephone Number, E-mail address and a description of the services performed) for minimum of (2) projects of similar scope and scale.
Only those quotes receiving a GO Rating will be considered for price evaluation.
FACTOR 2: PRICE
Price submissions will be evaluated for reasonableness in accordance with FAR 15.404-1, Proposal Analysis Techniques. A cost analysis will not be conducted. The Offeror’s price submissions will be evaluated as follows:
Price Analysis techniques will be used to determine price reasonableness.
The Government intends to evaluate price reasonableness relying primarily upon competition. The Government expects adequate competition and a comparison will be made of total evaluated prices received in response to the solicitation. However, the Government reserves the right to require submission of data other than certified cost or pricing data from the Offeror adequate to determine the reasonableness of a submission if competition was inadequate for that purpose.
The Total Evaluated Price for the Base and all Option years will be calculated by taking the sum of the totals for CLIN 0001 and CLIN 0002 in the Base and Option Years. The Total Evaluated Price will be the sum of the totals for the base and option years.
Therefore, the Offeror's total price for the purpose of evaluation will include the price of all CLINs for the base period, and all four option years; that price will be calculated automatically on the Price Matrix.
Evaluation of options will not obligate the Government to exercise the options. Complete reliance will be placed on the Offeror’s Price Matrix.
Unbalanced Pricing. As part of the evaluation, submissions will be reviewed to identify any potential Unbalanced Pricing. In accordance with FAR 15.404-1(g), Unbalanced Pricing, a submission may be rejected if the Contracting Officer determines the lack of balance poses an unacceptable risk to the Government.
If the Offeror fails to submit prices for all CLINs in the Base Year and all Option Years, the submission will be determined unacceptable, resulting in the Offeror’s submission being rejected.

CLAUSES INCORPORATED BY FULL TEXT
52.204-20 Predecessor of Offeror JUL 2016
(j) Definitions. As used in this provision– Commercial and Government Entity (CAGE) code means–
(1) An identifier assigned to entities located in the United States or its outlying areas by the Defense Logistics Agency (DLA) Commercial and Government Entity (CAGE) Branch to identify a commercial or government entity; or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that the DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.
Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
(k) The Offeror represents that it □ is or □ is not a successor to a predecessor that held a Federal contract or grant within the last three years.
(l) If the Offeror has indicated “is” in paragraph (b) of this provision, enter the following information for all predecessors that held a Federal contract or grant within the last three years (if more than one predecessor, list in reverse chronological order): predecessor CAGE code:
Predecessor legal name: name). (r mark “Unknown”). (Do not use a “doing business as”
52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.; and
(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
(End of provision)
52.217-5 EVALUATION OF OPTIONS (JUL 1990)
Except when it is determined in accordance with FAR 17.206(b) not to be in the Government's best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).
52.222-48 EXEMPTION FROM APPLICATION OF SERVICE CONTRACT LABOR STANDARDS
TO CONTRACTS FOR MAINTENANCE, CALIBRATION, OR REPAIR OF CERTAIN
EQUIPMENT CERTIFICATION (MAY 2014)
(a) The offeror shall check the following certification:
CERTIFICATION
The offeror ( ___ ) does ( ___ ) does not certify that--

(2) The services will be furnished at prices which are, or are based on, established catalog or market prices for the maintenance, calibration, or repair of equipment.
(i) An “established catalog price” is a price included in a catalog, price list, schedule, or other form that is regularly maintained by the manufacturer or the offeror, is either published or otherwise available for inspection by customers, and states prices at which sales currently, or were last, made to a significant number of buyers constituting the general public.
(ii) An “established market price” is a current price, established in the usual course of trade between buyers and sellers free to bargain, which can be substantiated from sources independent of the manufacturer or offeror; and
(3) The compensation (wage and fringe benefits) plan for all service employees performing work under the contract are the same as that used for these employees and equivalent employees servicing the same equipment of commercial customers.
(b) Certification by the offeror as to its compliance with respect to the contract also constitutes its certification as to compliance by its subcontractor if it subcontracts out the exempt services. If the offeror certifies to the conditions in paragraph (a) of this provision, and the Contracting Officer determines in accordance with FAR 22.1003-4(c)(3) that the Service Contract Labor Standards statute--
(1) Will not apply to this offeror, then the Service Contract Labor Standards clause in this solicitation will not be included in any resultant contract to this offeror; or
(2) Will apply to this offeror, then the clause at 52.222-51, Exemption from Application of the Service Contract Labor Standards to Contracts for Maintenance, Calibration, or Repair of Certain Equipment-- Requirements, in this solicitation will not be included in any resultant contract awarded to this offeror, and the offeror may be provided an opportunity to submit a new offer on that basis.
(c) If the offeror does not certify to the conditions in paragraph (a) of this provision--
(1) The clause in this solicitation at 52.222-51, Exemption from Application of the Service Contract Labor Standards to Contracts for Maintenance, Calibration, or Repair of Certain Equipment-- Requirements, will not be included in any resultant contract awarded to this offeror; and
(2) The offeror shall notify the Contracting Officer as soon as possible, if the Contracting Officer did not attach a Service Contract Labor Standards wage determination to the solicitation.
(d) The Contracting Officer may not make an award to the offeror, if the offeror fails to execute the certification in paragraph (a) of this provision or to contact the Contracting Officer as required in paragraph (c) of this provision.
52.223-22 Public Disclosure of Greenhouse Gas Emissions and Reduction Goals – Representation (DEC 2016)
(a) This representation shall be completed if the Offeror received $7.5 million or more in Federal contract awards in the prior Federal fiscal year. The representation is optional if the Offeror received less than $7.5 million in Federal contract awards in the prior Federal fiscal year.
(b) Representation. [Offeror is to check applicable blocks in paragraphs (1) and (2).]
(1) The Offeror (itself or through its immediate owner or highest-level owner) □does, □does not publicly disclose greenhouse gas emissions, i.e., make available on a publicly accessible website the results of a greenhouse gas inventory, performed in accordance with an accounting standard with publicly available and consistently applied criteria, such as the Greenhouse Gas Protocol Corporate Standard.

(3) A publicly accessible website includes the Offeror’s own website or a recognized, third-party greenhouse gas emissions reporting program.
(c) If the Offeror checked “does” in paragraphs (b)(1) or (b)(2) of this provision, respectively, the
Offeror shall provide the publicly accessible website(s) where greenhouse gas emissions and/or reduction goals are reported: .
52.233-2 Service of Protest (SEPT 2006)
